This Contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the under mentioned commodity according to the terms and conditions stipulated below:

Other terms 1:

In the future, if the steel floating price will change no more than ±5%, the quotation is no change; if the steel floating price will change more than ±5%, the price be fixed by through negotiation by both sides. The table below list the steel price now.

附1：如果賣(mài)方國(guó)內(nèi)市場(chǎng)鋼材價(jià)格浮動(dòng)小于或等于±5%，以上產(chǎn)品價(jià)格不作變動(dòng);如果鋼材價(jià)格浮動(dòng)大于±5%，由買(mǎi)賣(mài)雙方協(xié)商價(jià)格變動(dòng)幅度。以下列出所用主要鋼材現(xiàn)行價(jià)格：

Other terms 2:

In the future, if the current RMB price of the US dollar will change between 7.5～7.7, the quotation is no change; if the current RMB price of the US dollar will change exceed 7.5～7.7, the price be fixed by through negotiation by both sides.

附2：如果人民幣與美圓匯率在7.5～7.7區(qū)間浮動(dòng)，以上產(chǎn)品價(jià)格不作變動(dòng);如果匯率浮動(dòng)超過(guò)此區(qū)間，由買(mǎi)賣(mài)雙方協(xié)商價(jià)格變動(dòng)幅度。

5. TIME OF SHIPMENT(裝運(yùn)期)：

Open moulds and deliver samples: within 80 days after receipt of T/T

開(kāi)模具及送樣：賣(mài)方收到外匯現(xiàn)金80天內(nèi)送樣

Formal order: After buyers confirm sample and then confirm order, within some days after receipt of T/T, to confirm times according to order.

正式定單：在買(mǎi)方確認(rèn)樣品及正式定單后，賣(mài)方收到外匯現(xiàn)金一定時(shí)間內(nèi)裝運(yùn)，具體時(shí)間根據(jù)訂單確定。

6. PORT OF SHIPMENT(裝運(yùn)港)： Chongqing ,China

7. PORT OF DESTINATION(目的港)：Barcelona , Spain

8. INSURANCE(保險(xiǎn))：To be covered by buyers for 110% invoice value against All Risks.

9. PAYMENT(付款方式)：

T/T 100%

外匯現(xiàn)金結(jié)算付款, 買(mǎi)方給賣(mài)方開(kāi)出100%外匯現(xiàn)金T/T。

10. SHIPMENT:

The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. Partial shipment is not allowed.

運(yùn)輸：賣(mài)方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。

11. SHIPPING ADVICE:

The sellers shall, immediately upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.

裝運(yùn)通知：賣(mài)方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱(chēng)、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買(mǎi)方。如果由于賣(mài)方未能通知買(mǎi)方而造成的所有損失均由賣(mài)方承擔(dān)。

12. GUARANTEE OF QUALITY:

The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.

質(zhì)量保證：賣(mài)方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過(guò)、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。

13. CLAIMS:

Damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers\' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s), . If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.
