16.3 ARBITRATION PROCEDURE 仲裁程序

　　Any disputes between the parties arising hereunder shall be resolved where possible on an amicable basis. Should such resolution prove impossible, then the dispute shall be referred to arbitration pursuant to UNCITRAL rules. Any such Arbitration shall be conducted in Singapore in the English language.

　　雙方在本協(xié)議下產(chǎn)生的任何爭議須盡可能以友好的方式解決。若該決議證明不可行，則該爭議須在新加坡或雙方依據(jù)聯(lián)合國國際貿(mào)易法委員會規(guī)則共同認(rèn)可的其他地方提交仲裁。仲裁的語言須為英語，且仲裁法庭的裁決須為最終裁決并對雙方具有約束力。

　　16.4 PERFORMANCE OF OBLIGATIONS 義務(wù)的履行

　　Unless otherwise agreed in writing, the Parties shall continue to perform their respective obligation under this Agreement during any Dispute and any proceedings by the Parties in accordance with this Section 16 including, in the case of the Company, making available and delivering the Minimum Output and, in the case of EDC, the payment of all amounts due in accordance with and subject to the terms of Section 8.

　　除另有書面約定外，雙方須在雙方任何爭議和任何訴訟程序進(jìn)行期間依據(jù)本協(xié)議第16條繼續(xù)履行本協(xié)議下的各自義務(wù)，包括在公司方面，提供并交付最低數(shù)量，EDC方面，應(yīng)依據(jù)并遵從第8條條款支付所有到期金額。

　　16.5 WAIVER OF SOVEREIGN IMMUNITY 主權(quán)豁免權(quán)的棄權(quán)

　　EDC unconditionally and irrevocably: EDC無條件并不可撤銷地：

　　(a) agrees that the execution, delivery and performance by it of this Agreement constitute private and commercial acts rather than public or governmental acts;

　　同意其對本協(xié)議的簽署、移交和履行為私人商業(yè)行為而非公共或政府行為;

　　(b) agrees that, should any proceeding be brought against it or its assets other than assets protected by the diplomatic and consular privileges (such protected assets shall be referred to as the Excepted Assets) in any jurisdiction in relation to this Agreement or any transaction contemplated by this Agreement, no immunity from such proceedings shall be claimed by or on behalf of itself or with respect to its assets (other than Excepted Assets); and

　　同意：如在與本協(xié)議或與本協(xié)議計劃的任何交易有關(guān)的任何裁判權(quán)中出現(xiàn)對其或其受外交和領(lǐng)事特權(quán)保護(hù)的資產(chǎn)(除外資產(chǎn))之外的資產(chǎn)的任何訴訟，其不得或不以其名義主張對該等訴訟給予豁免或與其資產(chǎn)(非除外資產(chǎn))有關(guān)的給予豁免;且

　　(c) consents generally in respect of the enforcement of any judgment against it in any such proceedings in any jurisdiction to the giving of any relief or the issue of any process in connection with such proceedings including, without limitation, the making, enforcement or execution against or in respect of any property whatsoever irrespective of its use or intended use, other than Excepted Asset.

　　一般同意有關(guān)在與該等訴訟相關(guān)的任何裁判權(quán)中的任何該等訴訟中對其的任何裁決的執(zhí)行，包括，但不限于，對任何財產(chǎn)或與任何財產(chǎn)有關(guān)的制定、執(zhí)行或履行，不管與其使用或故意使用有無關(guān)系，除外資產(chǎn)除外。

　　17. CHANGE IN LAW ADJUSTMENT法律變動調(diào)整

　　17.1 MEANING OF CHANGE IN LAW 法律變動的含義

　　Change in Law shall mean, by adoption, promulgation, amendment, modification, change, effectiveness, repeal, action or reinterpretation of provisions of the prevailing rules and regulations of the RGC or approvals, Cambodian Grid Code, Prudent Utility Practices, permits, licenses, deeds, consents, authorizations and concessions or the same or similar documents issued and granted to the Project and/or the Company by the RGC or interpretations thereof by, or any inaction of, the RGC after the date of execution of this Agreement which:

　　法律變動指在本協(xié)議簽署之日后RGC現(xiàn)行法律法規(guī)或批準(zhǔn)、EDC網(wǎng)路規(guī)范(若有)、審慎應(yīng)用慣例、執(zhí)照、許可證、契約、同意書、授權(quán)書和特許或RGC簽發(fā)并授予該項(xiàng)目和/或公司的相同或類似文件的采用、頒布、修改、修正、改變、廢除或條款的重新解釋，或RGC對本協(xié)議的解釋或任何無行動，

　　(a) results in any change in respect of implementation of this Agreement and other agreements, land use rights, incentives, approval, licenses, undertakings, taxes, exemptions, tax preferences and duties applicable to the Company; or

　　導(dǎo)致與本協(xié)議和適用于公司的其他協(xié)議、土地使用權(quán)、激勵機(jī)制、批準(zhǔn)、許可證、承諾、免稅、稅收優(yōu)惠和關(guān)稅的實(shí)行有關(guān)的任何改變;或

　　(b) results in any adoption, change or repeal of or material conditions for financing, construction, operation and maintenance of the Project; or

　　導(dǎo)致對項(xiàng)目的融資、建設(shè)、運(yùn)作和維護(hù)上的要求或重大條件的任何采用、改變或廢除

　　(c) changes the investment environment or conditions in the area where the Project is located or in RGC in general that could have adverse effect on financing, construction, operation and maintenance of the Project.

　　項(xiàng)目所在地的投資環(huán)境或投資條件或RGC的會對項(xiàng)目的融資、建設(shè)、運(yùn)作和維護(hù)大體會產(chǎn)生負(fù)面影響的改變

　　17.2 CHANGE IN LAW INCREASE IN CAPITAL COSTS 法律變動資本成本的增加

　　(a) If there is a Change in Law which requires the Company to make any material capital improvement or other modification to the Project in order to comply with any Change in Law, the Company shall, subject to Section 17.2(c), submit to EDC a certificate setting forth in detail reasonably satisfactory to EDC the actual costs of such capital improvement or other modification, including financial costs, if any, related thereto.

　　如出現(xiàn)一處法律變動要求公司對項(xiàng)目做出任何重大資本改良或其他修改以遵守任何法律變動，公司須依據(jù)第17.2(c)條向EDC提交證明書，合理地且令EDC滿意地詳細(xì)說明該資本改良或其他修改的實(shí)際成本，包括與此有關(guān)的金融成本(若有)。

　　(b) Upon EDC’s receipt of such certificate, EDC and the Company shall (subject to the Section 17.2(c)) promptly determine, in good faith, any necessary adjustments to the Electricity Payments, or any amounts to compensate the Company equitably for such costs, with the intent that the financial position of the Company shall not be affected by such Change in Law. Each Party shall cooperate in good faith with the other Party in connection with any such determination.

　　EDC一經(jīng)收到該證明書，EDC和公司須(依據(jù)第17.2(c)條)立即真誠地決定對電費(fèi)支出的任何必要調(diào)整，或公平補(bǔ)償公司該等成本的任何款額以令公司的財務(wù)狀況不受該法律變動的影響。任何一方在任何該等決策上均須與另一方真誠合作。

　　(c) The Company shall not be entitled to submit any certificate under Section 17.2 (a) unless and until the costs of all capital improvements or other modifications incurred by the Company prior to or after the Commercial Operation Date shall in aggregate exceed Three Hundred Thousand (300,000) Dollars.

　　依據(jù)第17.2(a)條，公司無權(quán)提交任何證明書，除非且直到公司在商業(yè)運(yùn)作日期內(nèi)或之后遭致的其他修改的所有資本改良的成本總計超出 30萬(300,000 )美元。

　　17.3 CHANGE IN LAW DECREASES IN REVENUES 法律變動收入的減少

　　(a) If there is Change in Law which the Company believes in good faith will:

　　如公司真誠相信的法律變動

　　(i) increase costs to be incurred by the Company which are not recoverable from the EDC under any other provision of this Agreement; or

　　增加了公司的成本且無法依據(jù)本協(xié)議的任何其他條款從EDC方獲得彌補(bǔ);或

　　(ii) decrease the revenues of the Company in connection with the financing, operation or maintenance of the Project, then the Company shall, subject to Section 17.3(d), submit to EDC a certificate in respect of such Change in Law:

　　減少了公司在有關(guān)項(xiàng)目的融資、運(yùn)作或維護(hù)上的收入，則公司須依據(jù)第17.3(d)條向EDC提交有關(guān)該法律變動的證明書：

　　1. where the Company is able to determine in advance the full amount of such increased costs or reduced revenues, after such determination; and

　　公司能夠在該決定之后預(yù)先確定該等成本增加或收入減少的全部款額;且

　　2. where the Company is unable to determine in advance the full amount of such increased costs or reduced revenues (including cases where such increases/decreases only become apparent to the Company after it has submitted a certificate to EDC under paragraph 17.3 (a)(ii) above, at quarterly intervals (or such other intervals as EDC and the company may agree)) after such Change in Law.

　　公司在該法律變動后不能預(yù)先確定該等成本增加或收入減少的全部款額(包括下述情況：公司只有在按季(或EDC和公司約定的其他時間間隔)向EDC遞交證明書之后，該等增加/減少才變得明朗)。

　　(b) The certificate shall set forth in detail reasonably and satisfactory to EDC the basis of and the calculations for the amount of such increase in costs or decrease in revenues (which certificate, in the case-of paragraph (ii) of section 17.3(a), shall be in respect of the preceding quarter, or such other interval as may have been agreed).

　　該說明書須合理地并令EDC滿意地詳細(xì)說明該成本增加或收入減少的款額的理由和計算(在第17.3(a)條(B)項(xiàng)下，該說明書須有關(guān)前一季度或雙方約定的其他該等時間間隔)。

　　(c) Upon EDC’s receipt of each such certificate, EDC and the Company shall (subject to Section 17.3(d)) promptly determine, in good faith, any necessary adjustments to the Electricity Payments under this Agreement, or any amounts to compensate the Company equitably for such increase in costs or decrease in revenues, with the intent that the financial position of the Company shall not be affected by such Change in Law. Each Party shall co-operate in good faith with the other Party in connection with any such determination.

　　EDC一經(jīng)收到該證明書，EDC和公司須(依據(jù)第17(d)條)立即真誠地決定本協(xié)議下對電費(fèi)支出的任何必要調(diào)整，或公平補(bǔ)償公司該等成本增加或收入減少的任何款額以令公司的財務(wù)狀況不受該法律變動的影響。任何一方在任何該等決策上均須與另一方真誠合作。

　　(d) The Company shall not be entitled to submit a certificate under Section 17.3(a)(ii):

　　在第17.3(a)(ii)條下，公司無權(quán)提交證明書：

　　(i) in relation to any increase in costs/decrease in revenues if the Change in Law results in such an increase/decrease due to the default of the Company;

　　與任何成本增加/收入減少有關(guān)，如法律變動造成的該增加/減少是因公司的自身缺陷;且

　　(ii) unless and until any one or more Change in Law events in an increase in costs and/or decrease in revenues in excess of in aggregate exceed Four Hundred Thousand (400,000) Dollars. 除非且直到公司在商業(yè)運(yùn)作日期內(nèi)或之后發(fā)生的任何一個或多個法律變動所導(dǎo)致的成本增加和/或收入減少總計超出 40萬(400,000 )美元。

　　17.4 CHANGE IN LAW INCREASE IN REVENUES 法律變動收入的增加

　　(a) If there is a Change in Law which EDC believes in good faith will: 如EDC真誠相信的法律變動

　　(i) decrease the costs to be incurred by the Company which are not recoverable from EDC under any other provision of this Agreement; or

　　減少了公司的成本且無法依據(jù)本協(xié)議的任何其他條款從EDC方獲得彌補(bǔ);或

　　(ii) increase the revenues of the Company in connection with the financing, operation or maintenance of the Project, then EDC shall, subject to Section 17.4(d) submit to the Company a certificate in respect of such Change in Law:

　　增加了公司在有關(guān)項(xiàng)目的融資、運(yùn)作或維護(hù)上的收入，則EDC須依據(jù)第17.4(d)條向公司提交有關(guān)該法律變動的證明書：

　　(A) where EDC is able to determine in advance the full amount if such reduced costs or increased revenues, after such determination, and

　　其中EDC能夠在該決定之后預(yù)先確定該等成本增加或收入減少的全部款額;且

　　(B) where EDC is unable to determine in advance the full amount of such reduced costs or increased revenues, including cases where such reduced costs/increased revenues only become apparent to EDC after it has submitted a certificate to the Company under paragraph (A) above), at quarterly intervals as EDC and the Company may agree) after such Change in Law.

　　EDC在該法律變動后不能預(yù)先確定該等成本增加或收入減少的全部款額(包括下述情況：EDC只有在EDC和公司均認(rèn)可的按季向公司遞交證明書之后，該等增加/減少才變得明朗)。

　　(b) The certificate shall set forth in detail reasonably satisfactory to the Company the basis of and the calculations for the amount of such decreases in costs or increase in revenues (which certificate, in the case of paragraph (B) of Section 17.4(a)(ii), shall be in respect of preceding quarter or such other interval as may have been agreed).

　　該說明書須合理地并令公司滿意地詳細(xì)說明該等成本增加或收入減少的款額的理由和計算(在第17.4(a)條(B)項(xiàng)下，該說明書須有關(guān)前一季度或雙方約定的其他該等時間間隔)。

　　(c) Upon the Company’s receipt of each such certificate, EDC and the Company shall (subject to Section 17.4(d) promptly determine, in good faith, any necessary adjustment to the Electricity Payments under this Agreement to equitably reflect such decrease in costs or increase in revenues, with the intent that the financial position of the Company shall not be affected by such Change in Law. Each Party shall co-operate in good faith with the other Party in connection with any such determination.

　　公司一經(jīng)收到該證明書，EDC和公司須(依據(jù)第17.4(d)條)立即真誠地決定本協(xié)議下對電費(fèi)支出的任何必要調(diào)整，以公正地反映該等成本減少或收入增加，以令公司的財務(wù)狀況不受該法律變動的影響。任何一方在任何該等決策上均須與另一方真誠合作。

　　(d) EDC shall not be entitled to submit a certificate unless and until any one or more Change in Law events occurring after the Effective Date results in a decrease in costs and/or increase in revenues in excess of in aggregate exceed Four Hundred Thousand (400,000) Dollars.

　　EDC無權(quán)提交證明書除非且直到在生效日之后發(fā)生的任何一個或多個法律變動事件所導(dǎo)致的成本減少和/或收入增加總計超出40 萬(400,000 )美元。

　　17.5 CHANGE IN LAW NOTIFICATION 法律變動通知

　　As soon as practicable after the Company becomes aware of any Change in Law which could reasonably be expected to give rise to an adjustment pursuant to Section 17.2 and 17.3, the Company shall notify EDC of the Change in Law and, to the extent possible, the expected effect on the costs and revenues of the Company. After the Company determines that it will be required to make any additional operating or capital expenditures for which the Company may at any time be entitled to an adjustment to the Electricity Payments under this Agreement pursuant to Section 17.2 or Section 17.3, the Company shall consult with EDC regarding such expenditures and Company shall use all reasonable efforts to implement EDC’s recommendations, if any, to minimize such expenditures consistent with Prudent Utility Practices and the Company’s obligations under this Agreement.

　　公司在意識到，任何法律上的變動有理由會導(dǎo)致第17.2條和第17.3條的調(diào)整時，公司須盡快可行地通知EDC該法律變動，及其對公司成本和收入的影響預(yù)期(盡可能)。在公司確定該變動會要求任何運(yùn)作或資本支出的增加且公司對此在任何時間都有權(quán)依據(jù)第17.2條或第17.3條對本協(xié)議下的電費(fèi)支出進(jìn)行調(diào)整后，公司須就該等支出咨詢EDC且公司須使用所有合理的努力來實(shí)行EDC的建議(若有)以依據(jù)《審慎應(yīng)用慣例》和本協(xié)議下的公司義務(wù)將該等支出降至最低。

　　17.6 DISPUTES 爭議

　　If the Parties fail to agree upon any necessary adjustments referred to in this Section 17, such adjustments shall be determined in accordance with Section 16.

　　如雙方無法就本協(xié)議第17條涉及的任何必要調(diào)整達(dá)成一致，該等調(diào)整須依據(jù)第16條確定

　　18. NOTICES AND APPROVALS 通知和批準(zhǔn)

　　18.1 METHOD OF SENDING NOTICES 傳遞通知方法

　　All notices, approvals or other communications (hereinafter called a Notice or Notices), other than day-to-day communications between the Control Centre and the Project’s Control Centre (which may be verbal or telephonic or telemetric as provided in the Operating Procedures) to be given hereunder shall be in writing, in English and addressed for the attention of the indicated below and shall either be delivered personally or by international courier or sent by prepaid registered post or transmitted by facsimile. All Notices given by facsimile shall be confirmed in writing delivered or sent as aforesaid but the failure to so confirm shall not vitiate the original Notice provided that the Party sending the facsimile has evidence that all pages were sent without substantial error (unless the Party receiving the facsimile has evidence that the facsimile was not legible when received). The addresses for service of the Parties and their respective facsimile and addressee shall be:

　　所有通知，批準(zhǔn)或其他通信(下稱通知)，除控制中心和項(xiàng)目控制中心之間日常通信之外(根據(jù)操作程序規(guī)定，可能通過口頭、電話或遙測通信方法實(shí)現(xiàn))，應(yīng)為英語書面形式，指定如下收件人，并應(yīng)通過個人親自傳送或者通過郵政、快遞或傳真?zhèn)鬟f。所有通過傳真?zhèn)鬟f的通知應(yīng)書面確認(rèn)按照上述方式交付或發(fā)送，但如果發(fā)送傳真的一方有證據(jù)證明所有頁面均已正確發(fā)出，即便沒有確認(rèn)，也不影響通知的原本內(nèi)容(除非接收傳真一方有證據(jù)表明，傳真在接收時不合法)。雙方的服務(wù)地址及其各自傳真和地址為：

　　18.2 RECEIPT OF NOTICES 接收通知

　　All Notices properly addressed in accordance with Section 18.1 under this Agreement shall be effective: 本協(xié)議中的所有通知只有在實(shí)際接收后生效

　　18.2.1 in the case of a Notice delivered by hand or international courier, on the date of delivery;對于文件，應(yīng)根據(jù)第18.1條中的規(guī)定，應(yīng)在交付之日親手交付;

　　18.2.2 in the case of a Notice sent by prepaid, registered post, the date three (3) days after the date of posting; and 對于預(yù)付掛號郵寄通知，郵寄后的3日視為接收;

　　18.2.3 in the case of a Notice sent by facsimile, on the date of transmission of the facsimile PROVIDED THAT the Party transmitting the facsimile has evidence that all pages of the facsimile were transmitted without substantial error.

　　對于傳真，如果發(fā)出傳真一方有證據(jù)表明所有傳真頁面均正確傳送，認(rèn)為在發(fā)出傳真之日已經(jīng)接收(除非接收傳真一方收到的傳真不合法)。

　　19. ASSIGNMENT; TRANSFERS轉(zhuǎn)讓

　　19.1 RIGHT TO ASSIGN轉(zhuǎn)讓權(quán)

　　Except as provided in Section 19.2.4 for the purpose of the Direct Agreement, neither Party may assign its rights and/or transfer its obligations under this Agreement without the prior written consent of the other Party.

　　除非在第19.2.4條中對直接協(xié)議作了規(guī)定，未經(jīng)另外一方的事先書面同意，任何一方不得轉(zhuǎn)讓其協(xié)議中的權(quán)利，和/或其在本協(xié)議中的義務(wù)。

　　19.2 NOVATION OF AGREEMENT更新協(xié)議

　　The Company shall novate all its rights and obligations under this Agreement to a special purpose company incorporated in Cambodia (the Project Company) within six (6) months of the date hereof and prior to submitting any Applications under Section 2.4 (a) on the following terms and conditions:

　　公司應(yīng)根據(jù)如下條款和條件，在協(xié)議中規(guī)定的六(6)個月內(nèi)，在提交第2.4 (a)一條中規(guī)定的申請之前，根據(jù)本協(xié)議規(guī)定更新它對柬埔寨特殊目的公司(項(xiàng)目公司)的所有權(quán)利和責(zé)任：

　　19.2.1 The Company provides EDC a description of the identity and credit standing of the proposed Major Owners and the Upstream Owners at the time of the novation;

　　在更新時，公司向EDC提供所提議的主要業(yè)主和上一級業(yè)主形象和商業(yè)信譽(yù)的說明;

　　19.2.2 The Project Company simultaneously enters into a novation of the Implementation Agreement in the form set out Pursuant to Section 8.3 of the IA; and

　　19.2.3 The Company and the Project Company enter into a novation agreement in the form set out in Schedule 11, which shall be executed by EDC upon satisfaction of the condition set out in Section 19.2.1 and 19.2.2 above.

　　公司和項(xiàng)目公司根據(jù)附件11中規(guī)定的形式簽署更新協(xié)議，該協(xié)議應(yīng)在EDC對上面第19.2.1和19.2.2條中規(guī)定的條件滿意的情況下執(zhí)行。

　　19.2.4 The Company is entitled to assign or grant security in this Agreement in connection with Financial Closing to the Lenders and in connection with any permitted refinancing transaction without EDC’s prior approval. EDC shall, at the written request of the Company, execute a Direct Agreement in substantially the form set out in SCHEDULE 12 to this Agreement (or such other acknowledgement of the interests of the Lenders as they may reasonably request and is substantially to the same effect), SUBJECT ONLY to receipt by it of an engrossment of such document duly executed by the Company and the Lender.

　　未經(jīng)EDC的事先允許，公司有權(quán)向貸款人轉(zhuǎn)讓與融資關(guān)閉工作相關(guān)的保證金，或者與任何準(zhǔn)許再融資相關(guān)的保證金。EDC應(yīng)在接到公司的書面申請之后，根據(jù)本協(xié)議附件12中規(guī)定的方式(或者貸款人合理請求獲得利息的其他此類確認(rèn)，且確認(rèn)具有相同效果)執(zhí)行直接協(xié)議，僅在EDC收到公司和貸款人按時執(zhí)行此類正式文件的收據(jù)之后進(jìn)行。

　　19.3 ASSIGNMENT OR DISPOSAL OF ASSETS 資產(chǎn)轉(zhuǎn)讓

　　Subject to Section 19.1, The Company shall not assign or otherwise transfer any material part of the Project without the prior written consent of EDC except for assets which are obsolete, worn out, beyond repair or no longer used or useful to the Company’s business operations.

　　根據(jù)第19.1條，未經(jīng)EDC事先書面同意，公司不得轉(zhuǎn)讓或者通過其他方式轉(zhuǎn)移項(xiàng)目任何實(shí)質(zhì)部分，報廢、磨損、不能維修、公司經(jīng)營活動不再使用或者不能使用的資產(chǎn)除外。

　　19.3 ASSIGNMENT OR TRANSFER OF SHARES 股份轉(zhuǎn)讓

　　Except for pledges of shares of the Company to any Agent for the Lenders and any transfers of shares pursuant to any such pledge, the Company shall not approve the assignment or transfer of a majority of its shares without the prior approval of EDC. Such approval shall not be unreasonably withheld, and will be automatic in respect to any assignment or transfer of shares to an Affiliate of the Company or shareholder for the purpose of amalgamation or reconstruction, and such assignment or transfer does not adversely affect the financial capacity or resources of the Company.

　　未經(jīng)EDC事先批準(zhǔn)，公司不得批準(zhǔn)轉(zhuǎn)讓或轉(zhuǎn)移任何股份。此類批準(zhǔn)不得無故扣留，并在合并或重組時，自動執(zhí)行向公司的子公司或股東轉(zhuǎn)讓或轉(zhuǎn)移股份，且此類轉(zhuǎn)讓或轉(zhuǎn)移不會對公司的財政能力和資源產(chǎn)生反面影響。

　　19.5 DISPUTES 爭議

　　Any Dispute in respect of the matters referred to in Section 19.1 shall be determined pursuant to Section 16. 在第19.1條中產(chǎn)生的任何爭議應(yīng)根據(jù)第16條解決。

　　20. ACCOUNTS AND REPORTS 賬目和報告

　　20.1 ACCOUNTING SYSTEMS AND AUDITS 財務(wù)系統(tǒng)和審計

　　The Company shall keep and maintain its accounting books and records in accordance with generally accepted international accounting principles, and in compliance with Cambodian tax requirements, and shall appoint a qualified public auditor to audit its financial books and records in accordance with internationally accepted practice.

　　公司應(yīng)依照國際通用的會計準(zhǔn)則記錄并保持其會計賬簿和記錄，并遵照柬埔寨稅務(wù)要求，應(yīng)委派一名合格的公共審計員按照國際慣例審計其財務(wù)賬簿和記錄。

　　20.2 RIGHTS OF INSPECTION 檢查權(quán)

　　The Company shall promptly furnish to EDC such information as EDC may from time to time reasonably request, and if applicable arrange meetings with its auditor, and/or permit access to its books of account and records by appropriate EDC representatives.

　　因EDC可能會隨時要求公司需立即提供該類信息，如可以應(yīng)安排與其審計員見面，或準(zhǔn)許其查看財務(wù)賬簿和記錄。

　　20.3 FINANCIAL AND AUDIT REPORTS 財務(wù)和審計報告

　　(a) The Company shall provide to EDC at the earliest opportunity, but not more than ninety (90) Days after the end of the financial year, a report by its auditors certifying that based on its audited financial statement, the Company was in compliance with its financial obligations for the relevant financial year, and that based on its financial capacity and resources it is in a position to meet its ongoing financial commitments and obligations at least for the current financial year. Such report shall be accompanied by applicable financial data, and details of any audit qualifications. 在第一個會計年度后90天內(nèi)公司應(yīng)盡快向EDC提供一份經(jīng)由審計員依照財務(wù)報表審計證明的報告，公司遵照其相關(guān)會計年度的財務(wù)負(fù)債，基于其財務(wù)能力和資源滿足當(dāng)前年度的財務(wù)承諾與義務(wù)，該報告應(yīng)附有適用的財務(wù)數(shù)據(jù)及審計資格細(xì)節(jié)。

　　(b) The Company shall provide to EDC at the earliest opportunity, but not more than sixty (60) Days after the end of the first six (6) months of the financial year, a report similar to that outlined in Section 20.3 (a) above based on its unaudited financial statements for the first six (6) months of the relevant financial year, including applicable financial data, and details of any material issues which have, or could have an adverse affect on the financial commitments and obligations of the Company during the current financial year.

　　20.4 REPORTING OF CHANGES 報告更改

　　The Company shall, within thirty (30) Days of the coming into effect thereof, report in writing to EDC with details of: 在報告開始生效的30天內(nèi)，公司應(yīng)書面向EDC詳細(xì)說明：

　　(a) any change in its Memorandum of Association; 公司章程的任何變化;

　　(b) any change in its financial year; 其會計年度內(nèi)的任何變化;

　　(d) any change in the appointment of its Chief Executive Officer, Chief Financial Officer and/or Secretary; and 執(zhí)行總裁，財務(wù)總監(jiān)和或秘書任命的任何變化;

　　(e) the registration of any Company share transfer. 公司注冊登記股份轉(zhuǎn)讓。

　　20.5 STATUTORY NOTICE/WINDING UP PROCEEDINGS 法定通知書/清算程序

　　The Company shall, within seven (7) days of receipt thereof, provide EDC with a copy of any statutory notice relating to winding up proceedings that the Company may have been served under any Law by any lender or creditor.

　　21. MISCELLANEOUS PROVISIONS 其他規(guī)定

　　21.1 VARIATIONS IN WRITING書面變更

　　All additions, amendments or variations to this Agreement shall be binding only if in writing and signed by duly authorized representatives of both Parties.

　　協(xié)議的任何增加內(nèi)容、修訂或變更必須以書面形式，由雙方正式授權(quán)代表簽字后生效。

　　21.2 ENTIRE AGREEMENT 協(xié)議完整性

　　This Agreement, including all schedules thereto, together represent the entire understanding between the Parties in relation to the subject matter therein and supersedes the proposal submitted by the Company to EDC and all previous agreements or arrangements between the Parties in respect of the Project.

　　本協(xié)議，包括所有附件，共同代表各方對該問題的全部理解，并取代公司向EDC提交的建議書，以及雙方在該項(xiàng)目上的所有協(xié)議和安排。

　　21.3 WAIVERS棄權(quán)

　　No waiver by either Party of any default by the other in the performance of any of the provisions of this Agreement; 一方未執(zhí)行本協(xié)議任何規(guī)定，不表示另一方棄權(quán);

　　(a) shall operate or be constructed as a waiver of any other or further default whether of a like or different character; and

　　(b) shall be effective unless in writing duly executed by an authorized representative of such Party.僅以書面形式，有各方授權(quán)代表正式簽字之后方可生效。

　　The failure or delay by either Party to insist on any occasion upon the performance of the terms, conditions or provisions of this Agreement or time or other indulgence granted by one Party to the other shall not thereby act as a waiver of such breach or acceptance of any variation or as the relinquishment of any such right hereunder, which shall remain in full force and effect.

　　任何一方未能堅(jiān)持另一方執(zhí)行本協(xié)議中的條款、條件或規(guī)定，或者一方同意另一方的時間或付款延期，不應(yīng)作為對此類違約棄權(quán)、接受任何變更，或者放棄協(xié)議中的任何此類權(quán)利，這些權(quán)利仍然保持全部效力和效果。

　　21.4 CONFIDENTIALITY 保密和知識產(chǎn)權(quán)

　　(a) Each of the Parties shall hold in confidence all documents, including all documents provided by either Parties under Section 3.4, 3.5 and 4.2, and other information provided by either Party to the other Party and designated in writing as confidential. The Party receiving such documents or information shall not publish or otherwise disclose them to any third party or use them for its own purposes except with the providing Party’s consent.

　　任何一方應(yīng)當(dāng)對所有文件保密，包括任何一方根據(jù)第 3.4、3.5和4.2條向另一方提供的所有文件，以及一方向另一方提供并書面指定為秘密的其他信息。未經(jīng)提供方的同意，接收此類文件或信息的一方不得公布或通過其他方式把它們透露給第三方，或者擅自使用。與此類文件或信息相關(guān)的版權(quán)和其他知識產(chǎn)權(quán)屬于并持續(xù)屬于提供此類信息一方。

　　(b) The provisions of Section 21.4(a) shall not apply to any information: 第 20.4(a) 條中的規(guī)定不適用于如下信息：

　　(i) in the public domain other than by reason of a breach of this Agreement; 除違背本協(xié)議之外導(dǎo)致的，在公共領(lǐng)域出現(xiàn)的信息;

　　(ii) in the possession of the receiving Party prior to disclosure and which was not obtained under any obligation of confidentiality; 在發(fā)布之前屬于接受方，接受方為取得信息沒有違反保密義務(wù);

　　(iii) obtained from a third party who the receiving Party believes after reasonable enquiry is free to divulge the same and which was not obtained under any obligation of confidentiality; and 從第三方獲取，接收方經(jīng)過合理調(diào)查，相信第三方可自由透露該信息，且取得信息沒有違反保密義務(wù);

　　(iv) which is required by Law or appropriate regulatory authorities to be disclosed provided that the disclosing Party shall give prior notice to other Party, if feasible, and, if requested by such Party, shall use all reasonable and legal efforts to oppose such disclosure or to make such disclosure pursuant to an arrangement of confidentiality. 法律或者相關(guān)法律部門要求公開，可行情況下，如果透露一方向另一方發(fā)出事先通知，另一方在請求時，應(yīng)采用所有合理的法律手段反對透露信息，或者使信息披露符合保密安排。

　　(c) Nothing herein contained shall preclude the use by either Party of provisions similar to those contained in this Agreement and the other agreements referred to herein any agreements prepared and issued in connection with other projects. 其中包括的任何內(nèi)容不得阻止一方使用與本協(xié)議和雙方在其他項(xiàng)目中起草和簽署的其他協(xié)議中規(guī)定相似的規(guī)定。

　　(d) Nothing herein contained shall preclude either Party from disclosing to an officially recognized international stock exchange the provisions of this Agreement and the other agreements referred to herein or such of them as shall be required to be disclosed prior to the listing of the issued share capital of either Party on the relevant stock exchange. 其中包括的任何內(nèi)容不得阻止一方向官方認(rèn)可的國際證券交易所披露本協(xié)議或者其中所指的其他協(xié)議的規(guī)定，或者該方的發(fā)行股本在相關(guān)證券交易所上市之前需要披露的規(guī)定。

　　21.5 SUCCESSORS AND ASSIGNS 繼承者與受讓者

　　This Agreement shall inure to the benefit of and be binding upon the successors in title and permitted assigns of the Parties. 協(xié)議應(yīng)適用雙方繼承者與受讓者的利益，并對雙方繼承者與受讓者具有法律約束力。

　　21.6 NO LIABILITY FOR REVIEW, OBSERVATION OR APPROVAL EDC

　　無檢查、觀察或評論的義務(wù)

　　No visit to, inspection, witnessing of tests of the Project, review or approval (with or without comments) of any agreement, document, instrument, drawing, specification or design proposed by the Company to EDC or its failure to carry out any of the forgoing shall be construed (i) as an endorsement by EDC of the Project or the design thereof, or (ii) as a warranty or other assurance by EDC of the safety, durability or reliability of the Project

　　21.7 NO THIRD PARTY BENEFICIARIES無第三方受益

　　This Agreement is intended solely for the benefit of the Parties hereto. Nothing in this Agreement shall be construed to create any duty or standard of care with reference to any liability to or any right of suit or action in, any person not a party to this Agreement.

　　本協(xié)議僅用于協(xié)議雙方的利益。本協(xié)議中的任何內(nèi)容不構(gòu)成對不屬于本協(xié)議當(dāng)事方在任何訴訟中具有任何責(zé)任或任何責(zé)任或權(quán)利的參考標(biāo)準(zhǔn)。

　　21.8 AFFIRMATIONS聲明

　　(a) The Company declares and affirms that neither the Company nor any of its shareholders, directors, officers, employees, agents or representatives have paid nor undertaken to pay any commission, bribe, pay-off or kickback nor in any other way or manner paid or promised to pay any sums in cash or in kind or in any other manner given or offered to give any gifts and presents to any person or company to procure this Agreement. The Company undertakes not to engage in any of the said or similar acts to achieve any purpose or secure any gain or advantage or obtain any result under, or associated with any compliance by any Party with the terms of this Agreement during the Term. (a)

　　公司宣布并聲明，公司或公司的股東、董事、管理人員、雇員、代理人或代表沒有支付傭金、賄賂、回報、回扣，或者通過其他方式方法支付或承諾支付現(xiàn)金或貨款，也沒有通過其他方式向任何人員或公司贈送禮物和禮品以簽署本協(xié)議。公司承諾，不從事上述行為或相似行為達(dá)到任何目的，或取得任何收益或好處，或取得任何結(jié)果，或者在期限內(nèi)發(fā)生違背本協(xié)議中雙方遵守條款的行為。

　　(b) EDC declares and affirms that neither EDC nor any if its officers, employees, agents or representatives have received nor agree to accept or receive any commission, bribe or payment or benefit whether in cash, currency or kind from any person or company to secure the entry by EDC or the Company into this Agreement. EDC undertakes on its own behalf and on behalf of its officers, employees, agents and representatives not to engage in any of the said or similar acts to achieve any purpose or secure any gain or advantage or obtain any result under, or associated with any compliance by any Party with the terms of, this Agreement during the Term.

　　EDC宣布并聲明，EDC或其官員、雇員、代理人或代表沒有從任何人員或公司接受、同意接受或接收任何現(xiàn)金、貨幣或其他形式的傭金、賄賂、付款或利益，以確保EDC或者公司簽署該協(xié)議。EDC代表其自身及其官員、雇員、代理人或代表承諾，在協(xié)議執(zhí)行期間，不從事任何上述行為或類似行為取得任何目的，得到任何收益或好處，或取得任何符合本協(xié)議條款的結(jié)果，或者與協(xié)議條款中雙方遵守內(nèi)容相關(guān)的任何結(jié)果。

　　21.9 SEVERABILITY OF PROVISIONS條款的獨(dú)立性

　　(a) A determination by any arbitrator under Section 16 of this Agreement or by any court of competent jurisdiction that any provision of this Agreement is illegal, invalid or unenforceable shall not invalidate the entire Agreement. This Agreement shall be construed, if possible in a manner so as to give effect, by means of the valid provisions, to the intent of the Parties in respect of the particular provision or provisions held to be illegal, invalid or unenforceable and all other terms of this Agreement shall remain in full force and effect.

　　根據(jù)本協(xié)議第16條做出的任何仲裁或者任何裁決，認(rèn)定本協(xié)議規(guī)定不合法、無效或不具強(qiáng)制效果的決定不應(yīng)使整個協(xié)議無效?？赡芮闆r下，應(yīng)通過有效規(guī)定，使協(xié)議內(nèi)容能表達(dá)雙方對于那些被認(rèn)定不合法、無效或不具強(qiáng)制效果特定條款的真實(shí)意圖，本協(xié)議其他條款應(yīng)持續(xù)具有全部效力和效果。

　　(b) Following any determination under Section 21.9(a), the Parties shall promptly negotiate in good faith new provisions to restore, to the extent possible, the original intent and effect of this Agreement. 根據(jù)第 20.9(a)條做出決定后，雙方應(yīng)迅速真誠地進(jìn)行協(xié)商，以便最大可能地修改能表達(dá)本協(xié)議原始意圖和效果的新條款。

　　21.10 FURTHER ACTS AND ASSURANCES進(jìn)一步行為和擔(dān)保

　　Each of the Parties agrees to execute and deliver all such further instruments and to do and perform all such further acts and things as shall be necessary to carry out the provisions of this Agreement.

　　任何一方同意，為執(zhí)行本協(xié)議規(guī)定，執(zhí)行并交付所有此類進(jìn)一步裝置，并執(zhí)行所有必要的進(jìn)一步行為和事件。

　　21.11 DEEMED APPROVED AND RIGHT TO PROCEED 視為批準(zhǔn)且有權(quán)繼續(xù)

　　Where this Agreement states that EDC’s approval is required in respect of any matter, if EDC does not disapprove such matter by notice in writing to the Company within the period (if any) stated in this Agreement and otherwise within thirty (30) Days of receipt by EDC of the Company’s written application for consent, EDC’s approval shall be deemed to have been given within the relevant period.

　　本協(xié)議聲明，涉及事宜都需經(jīng)EDC批準(zhǔn)，如果EDC在協(xié)議內(nèi)沒有書面通知公司或者在收到公司書面申請的30日內(nèi)沒有表態(tài)，那么被認(rèn)定為EDC已批準(zhǔn)。

　　21.12 GOVERNING LAW 管轄法

　　This Agreement shall be interpreted in accordance with the laws of the Kingdom of Cambodia, excluding provisions under Section 16 which may direct the application to the laws of another jurisdiction. In the event there are no applicable laws in Cambodia, except as otherwise provided herein, the English Law shall apply.

　　本協(xié)議應(yīng)根據(jù)柬埔寨王國法律進(jìn)行解釋，本協(xié)議第16條中規(guī)定的條款除外，該條款要求適用另一司法管轄區(qū)的法律。如果沒有適用的柬埔寨法律，除非在本協(xié)議中另作規(guī)定，應(yīng)適用英國法律。

　　21.13 RELATIONSHIP OF THE PARTIES 雙方關(guān)系

　　This Agreement shall not create any association, joint venture, partnership or principal/agent relationship between the Parties. No Party shall have any right, power or authority to enter into any agreement or commitment act on behalf of, or otherwise bind any other Party in any way.

　　本協(xié)議不應(yīng)在雙方之間產(chǎn)生任何聯(lián)盟、合資公司、合作或委托/代理人關(guān)系。任何一方不得以任何形式，有權(quán)代表任何第三方簽署任何協(xié)議或承諾，或者約束任何其他一方。

　　21.14 ACKNOWLEDGEMENT 承認(rèn)

　　EDC acknowledges that the Company intends to finance the Project on an international project finance basis. Accordingly, EDC agrees to consider fairly and in good faith all reasonable requests from the Company to modify the terms of the arrangements contemplated by this Agreement upon the request of the Company, based on serious concerns from potential or actual Project Lenders.

　　EDC承認(rèn)公司有意在國際項(xiàng)目融資的基礎(chǔ)上對項(xiàng)目融資。因此EDC同意，從潛在或?qū)嶋H項(xiàng)目貸款人的角度慎重考慮，對公司提出的要求公正誠信地考慮對本協(xié)議的計劃條款進(jìn)行修改。

　　21.15 REFINANCING 再融資

　　The Company shall be permitted to refinance any or all of this senior indebtedness without obtaining the consent of EDC, provided the terms and conditions of such financing constitute no greater burden on the Project or its cash flow than the original construction-period financing for the Project.

　　公司對任何或所有優(yōu)先債務(wù)的再次融資得到許可，可不經(jīng)EDC的同意，該融資的條款和條件負(fù)擔(dān)不得超過原施工期項(xiàng)目融資對工程或其現(xiàn)金流的負(fù)擔(dān)。。

　　21.16 COPY版本

　　This Agreement is duly executed in six (6) original sets, each of which shall be considered one and the same agreement with the rest, except that for purposes of any documentary stamps only one (1) shall be regarded as first counterpart and first original. EDC shall keep four sets and the Company shall keep two sets.

　　A. PROJECT 項(xiàng)目

　　1. GENERAL DESCRIPTION OF THE PROJECT 項(xiàng)目概述

　　The Scope of Project is to design, finance, insure, construct, own, operate and maintain a 700 MW (NET) coal-fired power generation Project in Preah Sihanouk Province, Cambodia. The Project will be developed in two phases. The Phase 1 (2*135MW) will be developed within the time schedule specified in this Agreement. Design and specifications of the Power Plant shall be in accordance with the internationally accepted engineering standards and practice. 　　(b) Equipment/Manufacturer-current generation technology with at least 20,000 equivalent operational hours in electric generation applications manufactured.

　　The powerhouse will have full local and remote control facilities.

　　Each turbine generator unit will be provided with its own local processor based control system, together with its local metering, relay protection, alarm and instrumentation panels located at the turbine floor level adjacent to each Unit.

　　The central control logic at the powerhouse will interface with the individual generator control logics to exchange the necessary control and data for individual generators. It will take the power frequency and voltage target data as instructed and distribute the individual generator outputs to meet these targets relative to the machine capabilities and limitations stored therein.

　　The PROJECT shall interface with the National Control Centre of EDC (NCC) and provide telemetered data to NCC’s Supervisory Control and Data Acquisition (SCADA) system through a RTU of the same type as used in the NCC existing SCADA system. This existing SCADA control system will be extended to control the PROJECT’s Electricity Generation and transmission system down to the high voltage line circuit breakers in the 230 kV Sihanouk Province Terminal Substation. This system will be operated from existing control and display terminals located within the main central control room at NCC in Phnom Penh with similar local standby display units in the PROJECT control area for the powerhouse. The powerhouse control units will have full control facilities for the generators, the auxiliary system and the 230 kV switch gear.

The Interconnection Point of the Inerconnection Facilities to the EDC System shall be the bus bars of the 230kV switchgear at the Preah Sihanouk Province Terminal Substation.

The Interconnection Facilities shall be procured and installed by the Company to evacuate the delivered energy from the PROJECT. The Interconnection Facilities shall be complete with monitoring system, group operated bus bar disconnects, safety ground switches etc. required for the interconnection of the PROJECT. The Interconnection Point and the battery limit between the Interconnection Facilities to be constructed by the Company and the Preah Sihanouk Province Terminal Substation to be constructed by EDC is presented in the attached single line diagram.

　　6.0 The backbone communications facilities from Preah Sihanouk Province Terminal Substation to the PROJECT will be a 12-fiber overhead ground (shield) wire on the transmission line route with extensions in non-metallic protected fiber cable from the line terminal structures to the control areas of the main substation and the power house. A further fiber optic cable will run from the SCADA/DCS system to each generator and fine control interface cubicle and, where appropriate, to the generator unit control and to the individual 230kV control panels. Protective relay data loops and dial up facilities will also be provided in optic fiber, twisted pair or co-axial cable as per the interface facilities in each relay. For a total fiber failure, the existing power line carrier communition system will provide direct end-to-end voice communication and back-up protection for the direct transfer trip teleportation. An internal telephone system will be provided for the powerhouse.
