8.4 LIQUIDATED DAMAGES FOR DELAYS 延誤違約金

　　(a) If the Company fails to meet the Commercial Operation Date of each phase, as case mey be by the Scheduled Commercial Operation Date of each phase, as the case may be, or any agreed extension thereof, the Company shall pay EDC liquidated damages equal to USD 0.1 (10 cents) per kW per day to the extent that Dependable Capacity that is not in Provisional Operation or Commercial Operation for the number of days such failure is not due to the actions or omissions of EDC or otherwise excused under this Agreement in the period from the Scheduled Commercial Operation Date to the earlier of (i) its Commercial Operation Date, or (ii) the date two hundred forty (240) Days after the Scheduled Commercial Operation Date of each phase, as the case mey be, or (iii) the date that such liability equals the then undrawn amount of the Development Security.

　　如果公司不能按期進(jìn)入各期商業(yè)運(yùn)行日(可協(xié)議延長(zhǎng))，公司應(yīng)向EDC支付延誤違約金，金額為每日每千瓦0.1美元，但臨時(shí)運(yùn)行或商業(yè)運(yùn)行時(shí)因EDC的行為或疏忽或因本協(xié)議其他原因受影響的天數(shù)內(nèi)的可靠容量不應(yīng)計(jì)算在內(nèi)。該延誤違約金應(yīng)從計(jì)劃商業(yè)運(yùn)行日支付至下列較早時(shí)間：(i)商業(yè)運(yùn)行日，或(ii)各期計(jì)劃商業(yè)運(yùn)行日后的240天，或(iii)違約金金額等于開(kāi)發(fā)擔(dān)保項(xiàng)下的未提取金額。

　　(b) If the Company has commissioned one or more of the Generating Units into Provisional Operation prior to the Commercial Operation Date of each phase, as the case may be, EDC shall dispatch such generating Unit and:

　　如果公司在各期商業(yè)運(yùn)行日前調(diào)試一臺(tái)或多臺(tái)發(fā)電機(jī)組進(jìn)入臨時(shí)運(yùn)行，視情況而定，EDC應(yīng)調(diào)度該機(jī)組，并：

　　(i) the damages payable by the Company each Day under Section 8.4(a) shall be reduced pro-rata by the proportion which the total Dependable Capacity of the Unit in Provisional Operation bears to the Minimum Dependable Capacity;

　　公司在8.4(a)條項(xiàng)下每天支付的違約金應(yīng)按照機(jī)組在臨時(shí)運(yùn)行時(shí)的總可靠容量與最低可靠容量的比例減少;

　　(ii) the Company’s obligations to complete Commissioning Tests under this Agreement with respect to the Unit in Provisional Operation shall be completed and further testing of that Unit shall not be required under any circumstances; and

　　公司有義務(wù)在臨時(shí)運(yùn)行期間完成本協(xié)議要求的機(jī)組調(diào)試試驗(yàn)，任何情況下不得要求機(jī)組進(jìn)行進(jìn)一步試驗(yàn);

　　(iii) the Company shall be entitled to receive payment in respect of the Net Electrical Output and the Minimum Take during the period up to the Commercial Operation Date under Section 8.3(b). 公司有權(quán)獲得針對(duì)凈電力輸出和最低購(gòu)電量的付款，直到第8.3(b)條規(guī)定的商業(yè)運(yùn)行日期。

　　(c) The payments to EDC under Section 8.4(a) shall be liquidated damages for the detrimental impact of such delay upon EDC’s generation planning and shall represent the Company’s total financial liability to EDC in respect of any delay in the Commercial Operation Date of each phase, as the case may be. Notwithstanding any thing to the contrary, the Company’s maximum liability for liquidated damages, if any, shall under no circumstances exceed the lesser of (i) the amount(s) as calculated above and (ii) the undrawn amount of the Development Security.

　　第8.4(a)條項(xiàng)下的付款，是對(duì)EDC發(fā)電計(jì)劃延誤導(dǎo)致的不利影響的損害賠償，并構(gòu)成公司關(guān)于該期商業(yè)運(yùn)行日期延長(zhǎng)向EDC承擔(dān)的全部經(jīng)濟(jì)責(zé)任。即使有相反規(guī)定，公司承擔(dān)違約金的上限在任何情況下不得超過(guò)下列較低金額(i)按照上述方式計(jì)算的金額。(ii)開(kāi)發(fā)擔(dān)保項(xiàng)下的未提取金額。

　　8.5 DEVELOPMENT SECURITY 開(kāi)發(fā)擔(dān)保

　　The Company shall provide the Development Security in the amount of one percent (1%) of the estimated total cost of the Project to EDC on or before the signing of this Agreement or at such other time agreed between the Parties. The Development Security shall consist of (i) a standby letter of credit or (ii) a Bank Guarantee issued on terms and by a bank acceptable to EDC or some other form of security acceptable to EDC. In the event that this Agreement ceases to have effect under Section 3.3 (c) as a consequence of the failure by the Company to comply with its obligations under Section 3.3, EDC shall be entitled to retain or collect, as the case may be, the whole amount of the Development Security, and any accrued interest thereon.

　　公司應(yīng)在簽訂本協(xié)議當(dāng)天或之前或各方同意的其他時(shí)間，向EDC提供項(xiàng)目預(yù)算總費(fèi)用1%的金額作為開(kāi)發(fā)擔(dān)保。開(kāi)發(fā)擔(dān)保應(yīng)包括：(i) 備用信用證(ii)EDC可接受的由銀行開(kāi)具的銀行保函或EDC可接受的其他形式的擔(dān)保。如果公司因未履行第3.3條項(xiàng)下義務(wù)導(dǎo)致第3.3(c)條項(xiàng)下約定的本協(xié)議停止生效的情況發(fā)生，EDC有權(quán)保留或收取開(kāi)發(fā)擔(dān)保的全部金額和任何應(yīng)計(jì)利息，視情況而定。

　　In the event the Company shall be required to pay liquidated damages to EDC for any delay in achieving the Commercial Operation Date of each phase, as the case may be, or if this Agreement terminates on or before the Commercial Operation Date of each phase, as the case may be, because of a Company Event of Default, EDC shall be entitled to retain or collect such amount(s), as the case may be, from the Development Security and any accrued interest thereon. In all other cases the Development Security or any remaining part thereof, shall be paid or returned to the Company immediately following the Commercial Operation Date.

　　如果公司沒(méi)有按期進(jìn)入商業(yè)運(yùn)行日期，或是由于公司違約導(dǎo)致本協(xié)議在各期商業(yè)運(yùn)行期內(nèi)或之前終止，視情況而定，公司應(yīng)按要求向EDC支付違約金。EDC有權(quán)保留或收取開(kāi)發(fā)擔(dān)保的全部金額和任何應(yīng)計(jì)利息，視情況而定。在其他情況下，開(kāi)發(fā)擔(dān)保應(yīng)在商業(yè)運(yùn)行期后立即全部或部分支付或返還給公司。

　　8.6 INVOICING 發(fā)票

　　(a) Within fourteen (14) working Days after the end of each Billing Period, the Company shall prepare and deliver to EDC an invoice in or substantially in the form set out in Schedule 10 reflecting amounts payable by EDC to the Company pursuant to this Agreement. Such invoices shall include:

　　在每個(gè)結(jié)算期結(jié)束后14個(gè)工作日內(nèi)，公司應(yīng)準(zhǔn)備并向EDC交付與附錄10樣式一致或大體相同的發(fā)票，金額為EDC根據(jù)本協(xié)議支付給公司的金額，此類(lèi)發(fā)票應(yīng)包括：

　　• Calculations of amounts owed to the Company for the Net Electrical Output;

　　公司凈電力輸出金額;

　　• Any other amount owed by EDC in respect of the relevant Billing Period; and

　　相關(guān)結(jié)算期EDC應(yīng)付的其他金額

　　• Any credit for amount owned to EDC, including any sum calculated under Schedule 14 or liquidated damages in accordance with this Agreement. EDC

　　貸款金額，包括附錄14項(xiàng)下計(jì)算金額或本協(xié)議項(xiàng)下的違約金。

　　All amounts invoiced shall be due and payable by EDC within thirty (30) days of receipt by EDC of the Company’s invoice (the Due Date). The invoice shall reference such Due Date. Each Party shall bear its own bank charges incurred in connection with any payments made under this Agreement exept as provided in Sections 8.7(d) and 8.7(f). Payments shall be made to a bank account in Cambodia as is designated from time to time by the Company. Any late payment shall bear interest at the prevailing LIBOR plus 3 (three) percent in case of foreign currency and the National Bank of Cambodia’s lending rate in case of local currency, and all the concerned banking charges (if any) shall be borne by EDC.

　　EDC應(yīng)在收到公司發(fā)票的30天內(nèi)(到期日)支付發(fā)票金額。發(fā)票應(yīng)引用該到期日。各方應(yīng)承擔(dān)各自在本協(xié)議項(xiàng)下付款產(chǎn)生的銀行費(fèi)用， 8.7(d)和8.7(f)條中的情況除外。付款應(yīng)支付到由公司定期指定的柬埔寨銀行賬戶。任何逾期付款計(jì)息在使用外幣的情況下使用LIBOR(倫敦銀行同業(yè)拆息)上浮3%，使用本地貨幣的情況下則使用柬埔寨國(guó)家銀行貸款率，EDC承擔(dān)所有相關(guān)的銀行費(fèi)用(如有)。

　　(b) EDC shall be entitled to query the invoice issued by the Company under Section 8.6 (a) within fourteen (14) working Days of receipt of the invoice and, in the case of any Dispute arising, the Parties shall use their best endeavors to resolve such Dispute prior to the Due Date. If the Dispute is not resolved prior to the Due Date, EDC shall pay either any undisputed part of the amount stated as due in the invoice or, the Fuel Related Component cost as stated in the invoice, whichever is higher, and shall serve a notice on the Company indicating the amount of the Dispute and the basis thereof (a Dispute Notice). The Dispute shall be referred for determination in accordance with Section 16.

　　在第8.6(a)條項(xiàng)下，EDC有權(quán)在收到發(fā)票的14個(gè)工作日內(nèi)質(zhì)疑公司提供的發(fā)票。產(chǎn)生爭(zhēng)議時(shí)，雙方應(yīng)在到期日前盡力解決爭(zhēng)議。如果到期日前爭(zhēng)議未解決， EDC應(yīng)先支付發(fā)票金額的非爭(zhēng)議部分或者燃料相關(guān)的成本費(fèi)用，以較高者計(jì)算，并應(yīng)通知公司爭(zhēng)議金額及其依據(jù)(爭(zhēng)議通知)。爭(zhēng)議判定參照第16條。

　　(c) At any time within ninety (90) Days after payment of any invoice, either Party may serve a Dispute Notice on the other Party relating to the amount of that invoice which has not previously been referred to the dispute resolution under Section 16 of this Agreement. Upon resolution of the Dispute, the Party which is determined to owe money to the other Party shall immediately pay such sum to the other Party together with interest thereon at LIBOR plus 3% (three percent) per annum from the date such payment should have been made by or to the Company or was overpaid or underpaid by EDC (as the case may be) to the actual date of payment.

　　發(fā)票支付后的90天內(nèi)，任一方可向另一方就本協(xié)議中第16條未被提及的爭(zhēng)議發(fā)票金額發(fā)出爭(zhēng)議通知。根據(jù)爭(zhēng)議解決，欠款方應(yīng)立即向另一方支付包括LIBOR上浮3%的年利息的費(fèi)用總額，計(jì)息期自公司付款日期或應(yīng)收款日期起，或者EDC多付或少付之日起(視情況而定)至實(shí)際付款日期。

　　8.7 PAYMENTS; PAYMENT CURRENCY 支付;支付貨幣

　　(a) In the submission of each invoice by the Company to EDC the Company shall include a request in the body of the invoice setting out the proportionate amount the Company requires to be paid in USD and in Cambodian Riels. However, EDC shall at its sole discretion have the right to maximize the amount of Cambodian Riels paid on any one invoice to twelve (12%) percent of the total invoice value.

　　由公司向EDC提交的每張發(fā)票，需包括發(fā)票規(guī)定的美元和柬埔寨瑞爾的支付比例。不過(guò)，EDC有權(quán)總發(fā)票價(jià)值12%的上限內(nèi)，自行決定任一發(fā)票用柬埔寨瑞爾支付的最大金額。

　　(b) For the purpose of calculating the Riel exchange rate on invoices issued by the Company, EDC shall apply the average of the buying and selling rates of the National Bank of Cambodia (or such other nationally or internationally recognized bank as may be agreed upon by the Parties) at the opening of business (Phnom Penh time) on the date which falls two (2) Business Days prior to the Due Date provided that if there is no such exchange rate published at such time on such date then the last published rate shall be used.

　　發(fā)票所使用的瑞爾匯率以到期日前2個(gè)工作日(金邊時(shí)間)開(kāi)盤(pán)的柬埔寨國(guó)家銀行買(mǎi)入和賣(mài)出的平均率(或雙方協(xié)定的其他國(guó)家或國(guó)際認(rèn)可的銀行)為準(zhǔn)。如果在該日期時(shí)沒(méi)有公布兌換率，則使用與該日期最近時(shí)間公布的兌換率。

　　(c) EDC shall pay the Company based on invoices without set-offs or deductions, other than withholding taxes and customary bank to bank charges and transfer fees and other related costs to be borne by the Company as set forth in Section 8.7(f)..

　　EDC應(yīng)根據(jù)發(fā)票上沒(méi)有抵銷(xiāo)和扣減的金額向公司付款，其他扣繳所得稅、銀行間手續(xù)費(fèi)、轉(zhuǎn)賬費(fèi)和其他相關(guān)費(fèi)用按照第8.7(f)條中的規(guī)定由公司承擔(dān)。

　　8.8 EDC PAYMENT SECURITIES - ESCROW ACCOUNT EDC付款擔(dān)保第三方托管賬戶

　　(a) If EDC fails to fulfill its obligations for payment to the Company pursuant to the terms of this Agreement due for any two payment periods in any six (6) payment period term, then the Company has the right to immediately request, in writing, that the EDC establish an Escrow Account (the Escrow Account) with the National Bank of Cambodia (or such other nationally recognized bank as may be agreed upon by the Parties).

　　根據(jù)本協(xié)議，如果EDC在任何6次付款中的2次未能履行其向公司的付款義務(wù)，那么公司有權(quán)利立即向EDC發(fā)出書(shū)面通知在柬埔寨國(guó)家銀行(或雙方協(xié)定的其他銀行)建立第三方托管賬戶(第三方托管賬戶)

　　EDC must establish the Escrow Account within seven (7) Business Days of EDC receiving such request from the Company. The Escrow Account shall hold the combined amount equivalent to the aggregate of the invoices submitted by the Company in the three (3) months immediately preceding such request from which only amounts properly due and payable by EDC to the Company under this Agreement may be withdrawn. The EDC shall bear the costs associated with establishing and maintaining the Escrow Account.

　　EDC在收到公司發(fā)出的請(qǐng)求后，必須在7個(gè)工作日內(nèi)建立第三方托管賬戶。第三方托管賬戶持有的總金額與公司三個(gè)月內(nèi)提交的發(fā)票金額相等，僅EDC在本協(xié)議下給公司的應(yīng)付款可從托管賬戶中提出。EDC應(yīng)當(dāng)支付第三方托管賬戶的開(kāi)戶和維持費(fèi)用。

　　(b) The EDC shall have the right to terminate the Escrow Account at any time after it has met its payment obligations for payment to the Company pursuant to the terms of this Agreement for any consecutive period of six (6) payment periods, subject to notifying the Company in writing of this intention following completion of the said six (6) payment periods. However, this shall not restrict the Company from its right to require reinstatement of the account for any subsequent failure as set out in Section 8.8(a) above.

　　根據(jù)本協(xié)議規(guī)定，若EDC履行了任何連續(xù)6次的付款義務(wù)，EDC應(yīng)當(dāng)有權(quán)在完成上述6次付款義務(wù)后，書(shū)面通知公司終止第三方托管賬戶。本條規(guī)定并不限制公司按以上第8.8(a)條因后續(xù)未履行責(zé)任而要求恢復(fù)第三方托管賬戶的權(quán)利。

　　(c) The Escrow Account shall be governed by an agreement entered into between the Parties which shall provide for withdrawals from the Escrow Account upon presentation of a draft executed by the Company for any amount due and payable by EDC under this Agreement which shall be accompanied by a certificate executed by an authorized officer of the Company stating that the amounts due and payable by EDC to the Company have been properly invoiced in accordance with the terms of this Agreement at least thirty (30) Days prior to the presentation of this certificate and that such amount invoiced remains unpaid by EDC.

　　第三方托管賬戶應(yīng)按照雙方達(dá)成的協(xié)議共同管理。協(xié)議應(yīng)規(guī)定公司從托管賬戶下執(zhí)行的在本協(xié)議下任何EDC到期應(yīng)付款項(xiàng)的書(shū)面請(qǐng)求格式草案，同時(shí)附有由公司授權(quán)簽字人執(zhí)行的證明，其中說(shuō)明按照本協(xié)議EDC到期應(yīng)付的金額已，且公司至少提前30天開(kāi)具了發(fā)票，且EDC尚未支付該發(fā)票金額。

　　(d) If and for so long as EDC maintains the Escrow Account, it shall be reinstated to the full amount required by this Section within thirty (30) days of any draw thereon by the Company provided however that if, after the draw by the Company, the amount remaining in the Escrow Account is less than the amount due to the Company under another invoice already properly delivered to EDC in accordance with the terms of this Agreement by the Company (the Second Invoice), then the Escrow Account shall be reinstated to the full amount required by this Section by the twenty fifth (25th) day following the delivery to EDC of the Second Invoice.

　　只要EDC保有第三方托管賬戶，在公司提款后的30天內(nèi)，該賬戶余額應(yīng)恢復(fù)到本條要求的全額。如果公司提款后，第三方托管賬戶的余額少于下一張已經(jīng)提交EDC的發(fā)票金額(第二張發(fā)票)，那么提交發(fā)票后的25天內(nèi)EDC應(yīng)當(dāng)恢復(fù)本條要求的第三方托管賬戶全額。

　　(e) Interest shall apply to all EDC payment defaults, or parts thereof, in accordance with the Default Interest Rate as defined in Schedule 1 of this Agreement.

　　按照本協(xié)議附錄1中所定義的滯納金利息率，利息應(yīng)適用于所有EDC拖欠款項(xiàng)或相關(guān)部分。

　　9. TESTING AND DECLARATIONS OF DEPENDABLE CAPACITY

　　可靠容量的試驗(yàn)及聲明

　　(a) The Company shall carry out the Commissioning Tests and thereafter shall test the Dependable Capacity in accordance with Schedule 5. EDC shall comply promptly with all requests by the Company for assistance necessary to carry out such testing and Commissioning. The Company shall provide EDC with copies of the test results of all Commissioning Tests in accordance with Schedule 5.

　　公司應(yīng)依照附錄5進(jìn)行調(diào)試試驗(yàn)并對(duì)可靠容量進(jìn)行測(cè)試。EDC應(yīng)根據(jù)公司的要求及時(shí)提供此類(lèi)試驗(yàn)和調(diào)試所需的必要協(xié)助。公司需按照附錄5向EDC提供所有調(diào)試試驗(yàn)結(jié)果的副本。

　　(b) EDC shall dispatch a Unit during its testing and commissioning phase so as to allow the timely completion of testing and commissioning so as to allow commencement of Provisional Operation at the earliest opportunity and the Commercial Operation Date to occur by the Scheduled Commercial Operation Date and Provisional Operation to occur at the earliest possible date.

　　EDC應(yīng)在試驗(yàn)和調(diào)試階段調(diào)度機(jī)組，以便及時(shí)完成試驗(yàn)和調(diào)試，盡快開(kāi)始臨時(shí)運(yùn)行，并使計(jì)劃的商業(yè)運(yùn)行日期和臨時(shí)運(yùn)行日期按時(shí)生效。

　　10. INSURANCE 保險(xiǎn)

　　10.1 INSURANCE COVERAGE 保險(xiǎn)責(zé)任范圍

　　The Company shall obtain and maintain during the Term at its sole cost and expense the policies of insurance as described in Schedule 9 in accordance with Law of the Kingdom of Cambodia. 按照柬埔寨王國(guó)的法律，公司應(yīng)在合同期限內(nèi)獲得并維持附錄9中詳細(xì)規(guī)定的保險(xiǎn)單，并獨(dú)自承擔(dān)費(fèi)用。

　　10.2 FAILURE TO INSURE 未能投保

　　If the Company shall fail to obtain, procure or maintain any insurance required pursuant to Section 10.1 after the expiration of fourteen (14) days prior written notice from EDC, then EDC shall have the right to procure such insurance for the Company. If and to the extent that any insurance coverage is procured by EDC pursuant to this Section 10, then the Company shall reimburse EDC, within fourteen (14) days of being invoiced therefor, the reasonable cost of insurance.

　　如公司未能依照第10.1條獲得、維護(hù)任何必要保險(xiǎn)，則EDC有權(quán)根據(jù)附錄9的要求公司取得該項(xiàng)保險(xiǎn)。如保險(xiǎn)是由EDC根據(jù)第10條規(guī)定取得，那么公司應(yīng)在開(kāi)具發(fā)票之日起十四(14)天內(nèi)將該保險(xiǎn)的合理費(fèi)用返還給EDC。

　　11. INDEMNITY AND LIABILITY 賠償及責(zé)任

　　11.1 CROSS INDEMNITY 交叉賠償

　　Subject to Section 11.4 of this Agreement, each Party shall indemnify, defend and hold harmless the other Party from and against all liabilities, damages, losses, expenses and claims of any nature whatsoever (Costs), insofar as such Costs are not covered by insurance, for death, personal injury and for damage to or loss of any property arising out of or in any way connected with the indemnifying Party’s default, negligence or willful misconduct in the performance of this Agreement except to the extent that such death, personal injury, damage or loss is attributable to a negligent or intentional act or omission of the Party seeking to be indemnified or failure to take reasonable steps in mitigation thereof. For the avoidance of doubt, notwithstanding the foregoing, EDC’s sole remedy (either directly or indirectly as claims of its customers) relating to Electricity and capacity sales or the quality thereof shall be limited to Shortfall Payments.

　　根據(jù)本合同第11.4條規(guī)定，無(wú)論是在執(zhí)行本協(xié)議過(guò)程中由于任何一方的違約而引起的或是以任何方式與其違約相關(guān)的死亡、人身傷害、或任何財(cái)產(chǎn)損害或損失，該方都應(yīng)賠償、保護(hù)、并使另一方免責(zé)于任何性質(zhì)的任何責(zé)任、損害、損失、費(fèi)用、以及索賠，除非該死亡、人身傷害、損害或損失可歸因于尋求被賠償方的疏忽或故意行為或不履行協(xié)議。

　　11.2 NOTICE OF PROCEEDINGS 訴訟通知

　　Each Party shall promptly notify the other Party of any claim or proceeding in respect of which it is entitled to be indemnified under this Section 11. Such notice shall be given as soon as reasonably practicable after the relevant Party becomes aware of such claim or proceeding.

　　在第11條下有資格被賠償?shù)娜魏我环教岢鋈魏嗡髻r或訴訟的，都應(yīng)立即通知另一方。該通知應(yīng)在相關(guān)方得知該索賠或訴訟后在適當(dāng)時(shí)間發(fā)出。

　　11.3 CONDUCT OF PROCEEDINGS 訴訟的實(shí)施

　　Each Party shall have the right, but not the obligation, to contest, defend and litigate (and to retain legal advisers of its choice in connection therewith) any claim, action, suit or proceeding by any third party alleged or asserted against it arising out of any matter in respect of which it is entitled to be indemnified hereunder, and the reasonable costs and expenses thereof shall be subject to the said indemnity;

　　任何一方都有權(quán)而非義務(wù)通過(guò)第三方對(duì)任何索賠、訴訟或法律程序等進(jìn)行爭(zhēng)奪、辯護(hù)、以及提出訴訟并宣稱(chēng)其起因于任何有權(quán)被保障的原因，并根據(jù)前述保障產(chǎn)生合理的費(fèi)用。

　　PROVIDED HOWEVER that the indemnifying Party shall be entitled, at its option, to assume and control the defense of such claim, action, suit or proceeding at its expense and through legal advisers of its choice if it:

　　在以下情況下，補(bǔ)償責(zé)任方都有權(quán)選擇自費(fèi)及通過(guò)法律顧問(wèn)承擔(dān)其索賠或訴訟或?qū)ζ滢q護(hù)進(jìn)行控制。

　　(a) gives prompt notice of its intention to do so to the other Party; 將該意向立即通知另一方;

　　(b) acknowledges in writing its obligations to indemnify that Party to the full extent provided by this Section 11; and

　　以書(shū)面形式承認(rèn)己方根據(jù)第11條規(guī)定對(duì)另一方的最大程度的賠償責(zé)任;以及

　　(c) reimburses that Party for the reasonable costs and expenses previously incurred by it prior to the assumption of such defense by the indemnifying Party.

　　償還另一方在賠償方對(duì)該辯護(hù)之前所產(chǎn)生的合理費(fèi)用。

　　Neither Party shall settle or compromise any claim, action, suit or proceeding in respect of which it is entitled to be indemnified by the other Party without the prior written consent of that Party, which consent shall not be unreasonably withheld.

　　在未提前得到另一方書(shū)面許可之前，任何一方都不得對(duì)任何有權(quán)由任何第三方補(bǔ)償?shù)南嚓P(guān)索賠或訴訟等進(jìn)行調(diào)?；蛘壑越鉀Q，該許可不得被無(wú)理扣留。

　　Each Party shall provide all reasonable cooperation and assistance to the other Party in respect of the matters provided in this Section 11.3, including consulting with the other Party regarding the conduct of proceedings hereunder and providing upon request information respecting such proceedings.

　　任何一方都應(yīng)就第11.3條中規(guī)定的事宜向另一方提供一切合理的協(xié)作和援助，包括就以下訴訟的實(shí)施向另一方提供咨詢并提供與該訴訟相關(guān)的要求信息。

　　11.4 NO CONSEQUENTIAL DAMAGES 無(wú)間接損害賠償金

　　Except for the express obligations on damages payment or any other compensation arrangements provided in this Agreement, no Party shall be liable for consequential damages or losses (including loss of profit) suffered by the other Party.

　　除本協(xié)議中規(guī)定的關(guān)于損害賠償或任何其他賠償金的明示責(zé)任之外，任何一方都不對(duì)另一方受到的間接后續(xù)損害或損失(包括利潤(rùn)損失)承擔(dān)責(zé)任。

　　EDC and the Company shall assist each other to make representations to the applicable Governmental Authorities of RGC to protect both Parties and their Contractors, employees, directors, agents and shareholders from and against any claim by any third party for indirect loss or consequential damage arising as a consequence of any act or omission in their roles in the operation, generation and distribution of the electricity from the Plant.

　　EDC和公司應(yīng)互相協(xié)助對(duì)柬埔寨王國(guó)政府(RGC)的相關(guān)政府機(jī)關(guān)做出陳述以便保護(hù)雙方及其承包方、職員、負(fù)責(zé)任、代理人或股東免于任何第三方的間接損失、或因其職責(zé)或廠房產(chǎn)生及分配電力等方面的任何行為或不作為所導(dǎo)致的間接損害的索賠。

　　11.5 ENVIRONMENTAL PROTECTION 環(huán)境保護(hù)

　　The Company shall use reasonable endeavors to protect the environment and mitigate impact on environment throughout its or its Contractor’s construction, operation and maintenance of the Plant in compliance with the environmental laws and regulations of the Kingdom of Cambodia. EDC will not be responsible for all liabilities, damages, losses, expenses and claims from environmental pollution caused by the construction, operation and maintenance of the Plant.

　　公司應(yīng)在自己或承包商建設(shè)、運(yùn)行和維護(hù)電廠的過(guò)程中遵守柬埔寨環(huán)境法律法規(guī)，盡合理努力保護(hù)環(huán)境及減小對(duì)環(huán)境的影響。EDC對(duì)電廠建設(shè)、運(yùn)行和維護(hù)過(guò)程中因環(huán)境污染引起的任何責(zé)任、損害、損失、費(fèi)用及索賠不承擔(dān)責(zé)任。

　　11.6 LIMITATION 索賠限制

　　Neither Party shall be entitled to make any claim under this Section 11 until such time as:

　　任何一方都無(wú)權(quán)在該條款之下提出任何索賠，除非

　　(a) all such claims by such claiming Party at the time exceeds Two Hundred Thousand U.S. Dollars (USD 200,000.00) in the aggregate; or

　　索賠方提出的上述索賠合計(jì)超過(guò) 200,000.00美元(USD);或

　　(b) such claim if not made would be barred by the relevant statute of limitations, at which time all such claims of that Party may be made provided however that, when any such claims have been made, such claims shall be made binding precedents to the parties hereto and shall be applied to future claims.

　　如果該方未提出上述索賠要求，則該索賠應(yīng)受相應(yīng)訴訟時(shí)效限制;在這些任何索賠被提出時(shí)，這些索賠將服從先例并且這也適用于未來(lái)的索賠。

　　12. FORCE MAJEURE 不可抗力

　　12.1 MEANING OF FORCE MAJEURE 不可抗力的定義

　　In this agreement and IA, Force Majeure means any event or circumstance or combination of events or circumstances unforceseeable and beyond the reasonable control and without the fault or negligence of the party claiming Force Majeure to prevent event or circumstance, or mitigate its effects, causes a delay or disruption in the performance by either party of any obligation imposed hereunder or which materially and adversely affects the performance by that party of its rights under or pursuant to this Agreement of IA.

　　在本協(xié)議和IA里， 不可抗力指任何無(wú)法預(yù)見(jiàn)或無(wú)法合理控制，非當(dāng)事人過(guò)失或疏忽導(dǎo)致的，對(duì)其發(fā)生及造成的后果是當(dāng)事人采取一切有效手段均無(wú)法避免且無(wú)法克服的，致使任何一方當(dāng)事人延遲或中斷履行義務(wù)，或?qū)θ魏我环疆?dāng)事人在本協(xié)議項(xiàng)下的權(quán)利造成重大不利影響的事件或情況。

　　12.2 EVENT OF FORCE MAJEURE 不可抗力事件

　　Subject to the standard referred to in Section 12.1 and Section 12.3, the event of force Majeure including but not limitation to:

　　根據(jù)第12章第1條和第12章第3條中有關(guān)條款，不可抗力事件包括但不限于以下情形：

　　12.2.1 Force Majeure-Natural: Natural event or circumstance(Force Majeure-Natural) including:

　　(a) natural disasters,lighting,drought, earthquake, mud slides,floods,forest fires, storms,typhoon,hurricanes,other natural calamities and acts of God;

　　自然災(zāi)害，閃電，干旱，地震，泥石流，森林火災(zāi)，暴風(fēng)雨，臺(tái)風(fēng)，颶風(fēng)，其它自然災(zāi)害

　　(b) chemical contamination resulting from nature 自然化學(xué)污染

　　(c) epidemic or plague; and 傳染病或瘟疫;和

　　(iv) accident, earthquake, flood or fire; and 事故、地震、水災(zāi)或火災(zāi);

　　(d) any event or circumstance of Force Majeure affecting the performance of any person that is a party to any material maintenance, construction, service, Fuel supply or other material contract between the Company and such person relating to the ownership, construction, operation or maintenance of the Project if and to the extent that such Party’s obligations have been relieved as a result of Force Majeure under the terms of the relevant contract and that such event would (if it has affected the Company) have relieved the Company of its obligations hereunder or, as applicable, a Third Party Event or Emergency; and

　　任何不可抗力的事件或情況影響到任何人在材料維護(hù)、施工、服務(wù)、燃料供應(yīng)或其他公司與該人員間合同方面關(guān)于所有權(quán)、施工、項(xiàng)目運(yùn)行或維護(hù)的執(zhí)行，那么由于不可抗力，該公司在相關(guān)合同條款項(xiàng)下的義務(wù)被免除，且該事件(如果影響到公司)免除了公司的義務(wù)，如適用，第三方的事故或緊急事件;

　　12.2.2 Force Majeure-Political: 政治不可抗力

　　(a) Cambodia Political Event or circumstance柬埔寨國(guó)內(nèi)政治事件或環(huán)境

　　(i) war (whether declared or undeclared), invasion, blockade, embargo, revolution, insurrection, act of terrorism occurring in Kingdom of Cambodian

　　戰(zhàn)爭(zhēng)(無(wú)論宣戰(zhàn)與否)、入侵、封鎖，禁運(yùn)，革命，起義，柬埔寨王國(guó)發(fā)生的恐怖主義活動(dòng);

　　(ii) expropriation or compulsory acquisition of the Project, any material assets or rights or other interest of the Company under this agreement of IA.

　　征用，強(qiáng)制買(mǎi)斷或迫使公司在本協(xié)議項(xiàng)和IA下的資產(chǎn)

　　(iii) stirikes,work to rule actions, go-slows or similar labor difficulties that are a part of nationwide or regional strikes

　　罷工，怠工等涉及勞動(dòng)力方面的全國(guó)性或區(qū)域罷工。

　　(iv) radioactive contamination or ionising radiation originating from a source in Cambodia

　　起源于柬埔寨的放射性污染，地雷爆炸或轟炸

　　(v) the making of ,or any Change in law of Cambodia as specified in Seciton 17 after the date hereof , adversely affecting the performance by the company of its obligations or enjoyment under any agreement in the security pakage. 在第17條中陳述的柬埔寨任何法律的制定和變更，不利于公司履行此協(xié)議下義務(wù)的

　　12.3 LIMITATIONS ON AND EXCLUSIONS FROM FORCE MAJEURE

　　不可抗力的限制及例外條款

　　12.3.1 The suspension of performance by the non-performing party shall be of no greater scope and of no longer duration than is requied by the non-performing party to overcome the effects of force majeure.

　　由于不履約一方導(dǎo)致的合同中斷，范圍將不大于并且期限不長(zhǎng)于不履約一方要求的客服不可抗力影響范圍和期限。

　　12.3.2 Force of majeure shall exclude the following conditions except to the extent such conditions result from a force majere event.

　　不可抗力不應(yīng)包括以下情況，除非由于不可抗力導(dǎo)致此種情況發(fā)生。

　　(a)unavailability or late delivery of plant, machinery ,equipment,materials,spare parts for the project. 項(xiàng)目的廠區(qū)、機(jī)械、設(shè)備、物資、備件無(wú)法獲得或者延遲交貨

　　(b)delay in performance by the contractor group 承包商集體延遲履約

　　(c)non-performance resulting from normal wear and tear typically experienced in power generation ,transmission ,or distribution materials and equipment;

　　由于在發(fā)電，輸電或者物資和設(shè)備分配過(guò)程中的正常磨損導(dǎo)致的無(wú)法履約

　　12.3.3 Notwithstanding any other provisions in this agreement, neither party shall be relieved of its obligations under this agreement nor shall any obligations of a Party be suspended solely because of increased costs or other adverse economic consequences that may be incurred as a result of the performance of such obligations by the Parties.

　　除非本協(xié)議中有其它條款規(guī)定，雙方當(dāng)事人都應(yīng)嚴(yán)格履行合同中義務(wù)，任何一方都不能由于成本增加或者其它經(jīng)濟(jì)方面原因單方面不停止履行義務(wù)

　　12.3.4 Notwithstanding any other provisions in this agreement, obligations of the Parties that should have been completed before the occurrence of an event of Force Majeure shall be excused as a result of such occurrence.

　　除非本協(xié)議中有其它條款規(guī)定， 在不可抗力事件發(fā)生前本應(yīng)由雙方當(dāng)事人履行的義務(wù)將不能由于該事件發(fā)生而被免除。

　　12.3.5 Notwithstanding any other provisions in this agreement, neither party shall be relieved of its obligations to make payments, except as expressly provided in this Agreement, as the result of the occurrence of an event of Force Majeure affecting such party. 除非本協(xié)議中有其它條款規(guī)定，雙方當(dāng)時(shí)人都應(yīng)嚴(yán)格履行相關(guān)支付義務(wù)，除非在本協(xié)議中有明確規(guī)定由于不可抗力事件影響除外。

　　12.4 REQUIRED STEPS TO BE TAKEN IN THE EVENT OF FORCE MAJEURE

　　In all cases of Force Majeure:

　　(a) The non-performing Party shall give the other Party within forty-eight(48)hours of a Force Majeure Event a written notice describing in reasonable detail the particulars of the occurrence,reasonable evidences,and the likely duration that such occurrence will affect such party.不履約一方應(yīng)當(dāng)以書(shū)面形式在不可抗力事件發(fā)生48小時(shí)內(nèi)通知另外一方，并提供事件發(fā)生的描述，證據(jù)和可能持續(xù)的時(shí)長(zhǎng)。

　　(b) The non-performing party shall continue to finish weekly reports on the impact on its performance and its efforts to overcome the effect of the force majeure during the period that such party is affectd by the force majeure.

　　在不履約一方受不可抗力影響期間，不履約一方仍需每周報(bào)告其對(duì)履約情況的影響和為克服影響而做的努力。

　　(c) The non-performing party shall use its best efforts to remedy its inability to perform or otherwise to mitigate the effect of force majeure event, the other party shall also use its best effort to assist such effort and shall not unreasonable refuse to lend such assistance, PROVIDED THAT no party shall be required hereunder to settle any strike or other labor dispute on unreasonable terms;and

　　不能履約的一方當(dāng)事人應(yīng)當(dāng)盡最大努力補(bǔ)救不能履約的情況或者減少不可抗力的影響， 另一方當(dāng)時(shí)也應(yīng)當(dāng)盡力提供協(xié)助并且 不能拒絕協(xié)助

　　(d) As soon as the non-performing party anticipates that it will be able to resume performance of its obligation under this agreement, that party shall promptly give the other party a written notice to that effect and shall promptly resume performance of its obligations.

　　只要不能履約一方預(yù)料到履約義務(wù)可以恢復(fù)，應(yīng)當(dāng)立刻書(shū)面形式通知另外一方。

　　Failure by the non-performing Party to comply with Section 12.4 shall result in its losing its right to rely upon ( or to continue to rely upon) force majeure.

　　不履約一方當(dāng)事人不能遵守12.4項(xiàng)將導(dǎo)致其失去不可抗力事件時(shí)的權(quán)利。

　　12.5 CONSEQUENCES OF FORCE MAJEURE 不可抗力的影響

　　12.5.1 Suspension of Performance. Neither Party shall be responsible or liable for or deemed in breach hereof because of any failure or delay in complying with its obligations under or pursuant to this Agreement (other than a payment obligation or otherwise as required under Section 8.3(c) or Section 12.5.4) due solely to one or more events of Force Majeure or its or their effects or by any combination thereof, and the periods allowed for the performance by the Parties of such obligation(s) (other than the cure periods specified in Section 15.3), including the Construction Commencement Date, the Scheduled Commercial Operation Date, the Interconnection Date and the Expiry Date, shall be extended Day for Day (or part thereof) to take into account such effect. Notwithstanding any provision in this Agreement to the contrary, EDC’s obligation under this Agreement shall not be relieved as a result of a Force Majeure-Political.

　　合同履行中斷。除非本協(xié)議中另有規(guī)定，任何一方當(dāng)事人均無(wú)須因不可抗力事件導(dǎo)致的無(wú)法履約或延期履約承擔(dān)責(zé)任(支付到期或即將到期款項(xiàng)除外)。不可抗力事件發(fā)生后，雙方當(dāng)事人應(yīng)充分考慮公司和承包商的能力調(diào)整相關(guān)日期(第15章第3條規(guī)定的救濟(jì)期限除外)，包括開(kāi)工日，預(yù)運(yùn)行日，運(yùn)行日，竣工日及到期日等，以避免或減少整體損失。根據(jù)第12章第3條規(guī)定，對(duì)受不可抗力影響無(wú)法履約的當(dāng)事人的救濟(jì)以不可抗力未發(fā)生時(shí)當(dāng)事人能如期履約為限。
