　　本銷售合同通用條款適用與個(gè)人、公司、企業(yè)和其他依據(jù)中華人民共和國(guó)(以下簡(jiǎn)稱“中國(guó) ”)法律成立的法人實(shí)體之間的商業(yè)交易。

　　The General terms is applicable to business transactions with individuals, companies, legal entities under the laws of the People’s Republic of China

　　買方：與洛克流體系統(tǒng)科技有限公司簽署的所有銷售交易的個(gè)人、企業(yè)或公司

　　Buyer: Individuals, enterprises or companies signed with Lok Fluid System Technology Co., Ltd. for all sales transactions

　　賣方 :洛克流體系統(tǒng)科技有限公司 Seller: Lok Fluid Systems Technologies Co., Ltd.

　　第一條 銷售合同總價(jià)Article One Sales Contract Price

　　銷售合同總價(jià)若為人民幣為計(jì)價(jià)單位的，則為已包含進(jìn)口關(guān)稅和增值稅的總價(jià) (DDP Incoterm 2010) ;若為美元的，則為未包含關(guān)稅及增值稅的總價(jià)(DAP 上海外高橋，Incoterm 2010 )，買方自行負(fù)責(zé)產(chǎn)品的所有報(bào)關(guān)完稅手續(xù)及相應(yīng)的費(fèi)用，如買方委托賣方辦理有關(guān)手續(xù)的，買方應(yīng)當(dāng)另外支付賣方相應(yīng)的服務(wù)費(fèi)，具體費(fèi)用雙方可另行協(xié)商約定。

　　The contract price shall include import duties and value-added tax while RMB is adopted as price unit (DDP Incoterm 2010) ; the contract price shall not include import duties and value-added tax (DAP Wai Gaoq Qiao Bonded Zone Shanghai， Incoterm 2010 ) if U.S. dollar is adopted as price unit and the buyer shall be responsible for all custom declaration and the corresponding duties and value-added tax charges. If the buyer authorized the seller to deal with the custom declaration and other procedures, the buyer shall pay service fees to the seller, which can be otherwise agreed by both parties.

　　第二條 產(chǎn)品的所有權(quán)及風(fēng)險(xiǎn)的轉(zhuǎn)移Article Two Transfer of tile and transfer of risk

　　貨物的所有權(quán)和毀損風(fēng)險(xiǎn)自產(chǎn)品置于合同約定的交貨點(diǎn)之日起轉(zhuǎn)移至買方。

　　Transfer of risk and title shall occur upon delivery to the sales contract delivery address.

　　第三條 產(chǎn)品的交付Article Three Delivery

　　1.包裝：賣方提供洛克公司產(chǎn)品的標(biāo)準(zhǔn)包裝。

　　Package: The seller provides the standard package on Lok Products.

　　2賣方負(fù)責(zé)將貨物運(yùn)送至銷售合同約定的交付地點(diǎn)并交予收貨人;如買方變更交付地點(diǎn)或收貨人的，應(yīng)當(dāng)在收到賣方出具的《產(chǎn)品備齊待運(yùn)通知》之前，以書面方式通知賣方，否則由此產(chǎn)生的責(zé)任由買方承擔(dān)。同時(shí)，如買方變更交付地點(diǎn)及收貨人導(dǎo)致賣方多支出的運(yùn)費(fèi)及其他費(fèi)用的，這些費(fèi)用均由買方予以承擔(dān)。

　　The seller is responsible for delivering the products to the delivery location agreed in the sales contract and to the appointed consignee; If the buyer changes the place of delivery or the consignee, it shall notify the seller in writing before the issuing of “The Notice of Products Ready for Shipment”, or any liability resulted from non-notice shall be borne by the buyer. At the same time, any additional freight or any other expenses resulted from the change of the delivery location or consignee shall be borne by the buyer.

　　第四條 產(chǎn)品質(zhì)量保證及驗(yàn)收驗(yàn)貨期

　　Article Four Quality Assurance and Product Acceptance Period

　　1.銷售合同項(xiàng)下產(chǎn)品的規(guī)格、技術(shù)標(biāo)準(zhǔn)參照之前已經(jīng)提供的有關(guān)洛克公司的《產(chǎn)品手冊(cè)》。

　　The specifications and technical standard of the products under this contract can be referred to the related Lok Product Catalog provided by the seller.

　　2.

　　賣方對(duì)產(chǎn)品提供終生有限保證，其中產(chǎn)品的非電氣部件終身無(wú)材料和工藝瑕疵;所有安裝于產(chǎn)品內(nèi)或產(chǎn)品上的電氣部件，自購(gòu)買日起十二個(gè)月內(nèi)無(wú)材料和工藝瑕疵;對(duì)買家的補(bǔ)償僅限于替換及安裝因材料或工藝瑕疵而失效的部件，其中安裝僅適用于非地面車輛應(yīng)用;買方指定選用的所有其他制造商產(chǎn)品適用該制造商的保證;其他有關(guān)保證信息可查閱洛克公司網(wǎng)站。除洛克公司承諾的保證以外，任何其他產(chǎn)品的保證都不適用于洛克公司的產(chǎn)品。

　　Lok and its authorized distributors hereby warrants to the purchaser of their Products that the nonelectrical components shall be free from defects in material and workmanship for the life of the Products. All electrical components installed in or on the Products are warranted to be free from defects in material and workmanship for twelve months from the date of purchase. The purchaser’s remedies shall be limited to replacement and in non-ground vehicle applications, installation of any parts that fail through a defect in material or workmanship.

　　The seller’s product warrants can be found in the Lok website. Any other products warrants shall not be applicable to Lok products. Other non-Lok products designated by the buyer in this contract shall only receive warranty as provided by their original manufacturer or supplier.

　　3 .質(zhì)量保證的除外情形The Exclusions of Quality Warrants:

　　(1)未按產(chǎn)品的技術(shù)要求或是《產(chǎn)品手冊(cè)》的要求進(jìn)行安裝、操作、使用、保養(yǎng)及檢修的;

　　(2)買方人員或第三方人員故意的破壞或是疏忽導(dǎo)致的損壞;

　　(3) 產(chǎn)品正常的損耗;

　　(4)未經(jīng)許可的改裝而造成的損壞;

　　(5)不可抗力導(dǎo)致的損壞;

　　(6)其他與制造商及賣方無(wú)關(guān)的情形。

　　(1) The installation, operation, usage, maintenance and examination and repair of the products are not applied to the technical requirements of the products or the requirements of the Products Manual;

　　(2) The damages are made by the buyer or any third party intentionally or carelessly;.

　　(3) The normal damages of the products;

　　(4) The damage resulting from improper recast;

　　(5) The damage resulting from force majeure;

　　(6) Other conditions irrelevant with the manufacturer and the seller.

　　4 .買方在收到賣方產(chǎn)品時(shí)，應(yīng)當(dāng)當(dāng)場(chǎng)對(duì)產(chǎn)品的數(shù)量、重量及外包裝進(jìn)行清點(diǎn)、檢驗(yàn)，并在相應(yīng)的貨運(yùn)回單上予以明確記載;買方應(yīng)當(dāng)在收到賣方產(chǎn)品后的 3 日內(nèi)，及時(shí)對(duì)產(chǎn)品進(jìn)行檢驗(yàn)，如認(rèn)為不符合雙方合同約定或《產(chǎn)品手冊(cè)》中的相關(guān)標(biāo)準(zhǔn)，應(yīng)當(dāng)在收到產(chǎn)品后的 5 日內(nèi)以書面形式通知賣方。買方未在上述驗(yàn)貨期內(nèi)，對(duì)產(chǎn)品數(shù)量、規(guī)格、質(zhì)量等提出書面異議的，將視為產(chǎn)品符合雙方合同的約定。

　　The buyer shall conduct the check and inspection of the quantity, weight and package of the products upon receipt of the products on the spot and specifies clearly in the relevant proof of delivery. The buyer shall inspect the products in 3 days after receipt, and notify the seller those products which are not consistent with the agreement by both parties or Product Manual in 5 days after receipt. The products will be deemed as consistent with the agreement by both parties if the buyer fails to do so in the above-mentioned examination and acceptance period.

　　5.雙方同意，如買方對(duì)產(chǎn)品質(zhì)量有異議的，將交由產(chǎn)品的制造商美國(guó)洛克公司公司，按照《產(chǎn)品手冊(cè)》的有關(guān)標(biāo)準(zhǔn)進(jìn)行檢測(cè)，異議的提起、產(chǎn)品的檢測(cè)等流程見本合同附件《產(chǎn)品退檢流程》。制造商對(duì)產(chǎn)品的檢驗(yàn)結(jié)果對(duì)買賣雙方均具有約束力，雙方可基于檢驗(yàn)結(jié)果就是否退換貨進(jìn)行協(xié)商。

　　Both Parties agree that, the products will be under the examination of the American Lok company under the relevant standards specified in the Product Manual if the buyer has any objections on the quality of the products. The process of the raising of such objections and the examination of the products can be referred to the appendix of this contract “Product Return Process “. The examination result has legal binding to both parties but both parties can enter into agreement on the return of the products according to the examination result.

　　第五條 不可抗力Article Five Force Majeure

　　1. “不可抗力”指超出買賣雙方控制范圍、無(wú)法預(yù)見、無(wú)法避免或無(wú)法克服、使得本通用條款一方部分或者完全不能履行本合同的事件。這類事件包括但不限于地震、臺(tái)風(fēng)、洪水、火災(zāi)、戰(zhàn)爭(zhēng)、罷工、暴動(dòng)、政府行為、法律規(guī)定或其適用的變化，或者其他任何無(wú)法預(yù)見、避免或者控制的事件，包括在國(guó)際商務(wù)實(shí)踐中通常被認(rèn)定為不可抗力的事件。

　　Force majeure refers to the incidents that are out of the control of both parties, or both parties cannot anticipate, avoid or conquer, thus any party of this general term totally or partially unable to carry out the contract. These incidents include but not limited to earthquakes, typhoon, floods, fires, wars, strikes, rebellions, changes of government behaviors and the rule of the law and its application, and any other unpredictable and uncontrollable incidents, including those been recognized as force majeure in international business practice.

　　2.發(fā)生不可抗力，買賣雙方應(yīng)立即進(jìn)行磋商，尋求一項(xiàng)公正的解決方案，并且要盡一切合理的努力將不可抗力的影響降至最小。

　　Upon the happening of force majeure, both parties shall instantly consult with each other and seek for a proper and right solution, and minimize the impact of the force majeure as much as possible.

　　3.在所有不可抗力的情形下，賣方對(duì)交貨遲延、未交貨或者產(chǎn)品質(zhì)量等均不承擔(dān)責(zé)任。

　　Under all the conditions of force majeure, the seller will not responsible for the delay and failure of delivery or any problems of the quality of the Products.

　　第六條 違約條款A(yù)rticle Six Breach of Contract

　　1.銷售合同簽訂后至賣方實(shí)際交付前，如買方退貨的(包括部分退貨)或是買方收貨后不是由于賣方質(zhì)量原因，買方退貨的，賣方有權(quán)收取退貨產(chǎn)品貨款的 30% 作為違約金;在報(bào)價(jià)單中標(biāo)有“*”的是為買方特別定制產(chǎn)品，賣方將收取該產(chǎn)品的全部貨款作為違約金。

　　After the signature of the sales contract, if the buyer return all the ordered products (or part of the ordered products) or the seller terminates the sales contract for the buyer’s reason, the seller is entitled to take 30% of the returned goods selling value or contract value as the compensation for breach of contract. Products signaled with * are specially made for the buyer, and the seller will take full amount of product selling value as the compensation for the returned products.

　　2 .買方延遲支付貨款的，還應(yīng)當(dāng)向賣方支付延遲付款的違約金，支付標(biāo)準(zhǔn)為按年利率 10% 收取，即延遲天數(shù) /365X 未付貨款金額× 10% 。如買方延遲支付的(包括未全額支付定金的)，交貨期順延;延遲支付超過(guò) 30 天的，賣方有權(quán)解除合同。

　　If the buyer delay in the payments, it shall pay the compensation for the delayed payment to the seller, which shall be: the sum of non-paid amount × the days postponed/365 × 10%. The seller has the right to terminate this contract if the buyer delay in payment for 30 days

　　3 .基于銷售合同約定的交貨日期，由于買方的原因?qū)е沦u方無(wú)法按期送貨的，或是買方未按約定日期提的，賣方將向買方收取未交貨物價(jià)值的 0.2%/ 天的倉(cāng)儲(chǔ)費(fèi)用。因買方的原因超過(guò)約定的交貨期 30 天后，賣方可單方面取消訂單。

　　According to the agreed delivery date of the sales contract, if the seller cannot deliver the products on schedule for the buyer’s reasons or the buyer fails to take the products according to the agreed delivery date, the seller can require the storage charges as 0.2%/per day on the value of goods not delivered. The seller can cancel this sales contract if the ordered goods can not be delivered more than 30 days after agreed delivery date due to the buyer’s responsibility.

　　4 . 如確實(shí)為制造商和賣方產(chǎn)品的質(zhì)量或交付原因，造成買方損失的，賣方的責(zé)任僅限于按照洛克公司保修條款對(duì)于產(chǎn)品進(jìn)行退換。除以上賠償外， 洛克公司不接受任何其他關(guān)于產(chǎn)品情況或者產(chǎn)品使用方面的陳述，無(wú)論明示或者暗示，保證及責(zé)任條款 ， 并且在任何情況下洛克公司和洛克公司流體系統(tǒng)科技有限公司均不承擔(dān)買方或者第三方的任何直接和間接的損失，也不承擔(dān)任何連帶賠償責(zé)任。

　　If there are damages or losses in the buyer due to the quality or delivery of the products or the manufacture, the buyers remedy is limited to replacement under the Lok warranty. All other representations, express or implied, warranty, or liability relating to the condition or use of the product are specifically disallowed, and in no event shall Lok be liable to buyer, or any third party, for any direct and indirect consequential or incidental damages.

　　第七條 知識(shí)產(chǎn)權(quán)及保密Article Seven Intellectual Property Rights and Confidentiality

　　1.對(duì)于買方所購(gòu)買的產(chǎn)品以及產(chǎn)品所涉及的所有文件，包括但不限于圖紙、技術(shù)標(biāo)準(zhǔn)、產(chǎn)品說(shuō)明等，制造商均保留所有有關(guān)的知識(shí)產(chǎn)權(quán)，對(duì)于一切侵犯知識(shí)產(chǎn)權(quán)的行為，權(quán)利人都將通過(guò)有關(guān)途徑進(jìn)行索賠。

　　All intellectual property rights of the products purchased by the buyer and all documents related with the products, include but not limited to drawings, technical standards, product specifications, etc., shall belong to the manufacture , if there is any act of intellectual property infringement, the rights holder will claim for compensation through relevant ways.

　　2.對(duì)本通用條款和適用于本通用條款的所有的銷售合同，買賣雙方均具有保密義務(wù)，未經(jīng)另一方同意，不得向任何第三人進(jìn)行披露。

　　Both parties have the obligation to keep the contents of this general term and all the sales contracts confidential, any party shall not disclose the contents to any third party without consent of the other party.

　　第八條 買方承諾及保證Article Eight Commitments and Guarantees Made by the Buyer

　　1 . 本合同產(chǎn)品的生產(chǎn)商系美國(guó)洛克公司公司，故產(chǎn)品的銷售必須完全符合美國(guó)商務(wù)部有關(guān)產(chǎn)品出口銷售的規(guī)定，具體注意事項(xiàng)見本合同的附件《出口控制通知》。買方承諾，在簽訂本合同之前已經(jīng)對(duì)此些規(guī)定有了完全地、充分地了解，買方簽署本合同的行為是表示對(duì)此些規(guī)定的接受，同時(shí)愿意承擔(dān)因違反此些規(guī)定而產(chǎn)生的法律責(zé)任。

　　The manufacture of the products under this contract is Lok Company; therefore the sales of the products shall be in full compliance with the regulations on export sales required by U.S. Department of Commerce which can be referred to the appendix of this contract “Export Control Notice”. The buyer hereby warrants that it has fully understood such regulations before signature and the signing shall be regarded as the acknowledgement of such regulations and shall bear any legal responsibilities for the violation of such regulations .

　　2. 洛克公司公司有著嚴(yán)格的反商業(yè)賄賂規(guī)定，買方保證，將與賣方共同遵守相關(guān)規(guī)定，具體內(nèi)容見本合同的附件《誠(chéng)信承諾書》。

　　There are strict regulations on anti-commercial bribery in Lok Company; therefore, the buyer commits to abide by such relevant provisions together with the seller, which can be referred to the appendix of this contract “Declaration for Integrity”.

　　第九條 通用條款及銷售合同的生效及送達(dá) Article Nine Effectiveness and Notice

　　1.本通用條款自雙方簽署之日起生效，通用條款正本壹式貳份，由買賣雙方各執(zhí)壹份。

　　2.本通用條款中記載的買賣雙方地址為今后雙方寄送與本通用條款包括與之相關(guān)銷售合同的收件地址，一方如需變更的，應(yīng)當(dāng)以書面的形式通知另一方，否則將承擔(dān)由此引起的法律后果。如果銷售合同中的文件發(fā)送地址與通用條款不一致，以銷售合同為準(zhǔn)。

　　3. 本通用條款以及依據(jù)本通用條款簽訂的銷售合同的內(nèi)容以中文為準(zhǔn)。如果中文和英文不一致，應(yīng)以中文為準(zhǔn)。

　　4.依據(jù)本通用條款簽訂的合同自雙方簽署之日起生效，銷售合同正本壹式貳份，由買賣雙方各執(zhí)壹份。

　　1. This general term shall come into force from the signature date by both parties, and this term shall be made in two copies, each party holds one copy.

　　2. The address of both parties in this general term will be each party’s mailing address for sending or receiving documents related with this general term, the party whose address will be changed shall notify the other party; and if the party fails to do so, all legal liability shall be borne by the party. If the contact address in sales contract is different with the general term, the address in sales contract will prevail.

　　3. The general term and the sales contract based on this general term are subject to interpretation in Chinese language. Inconsistent with both Chinese and English, Chinese shall prevail.

　　4. The sales contracts based on this general term shall come into force from the signature date by both parties, and the sales contracts shall be made in two copies, each party holds one copy.

　　第十條 通用賠償Article Ten General indemnification

　　買方應(yīng)保護(hù)，賠償，并保證賣方及其附屬公司和各自的管理人員，董事，雇員，代理人，受雇人，分包商，經(jīng)銷商免受任何性質(zhì)由于以下兩種情況引起的索賠，要求，訴訟，判決，負(fù)債，費(fèi)用(包括合理的律師費(fèi))及損失。(一) 買方違反任何本協(xié)議項(xiàng)下的任何陳述，擔(dān)保，公約或義務(wù);(二)由于買方的行為或遺漏引起的第三方索賠引起的

　　The buyer shall, defend, indemnify, and hold harmless the seller, its affiliates and their respective officers, directors, employees, agents, servants, subcontractors, and distributors from and against any and all actions, claims, demands, suits, judgments, liabilities, expenses (including reasonable attorney’s fees), losses, or damages of whatever nature arising out of or relating to (i) any breach by the buyer of any representation, warranty, covenant or obligation hereunder; and (ii) any third-party claims to the extent caused by acts or omissions of the buyer.

　　第十一條 準(zhǔn)據(jù)法及管轄Article Eleven Applicable Law and Jurisdiction

　　本通用條款的解釋、效力及履行適用中華人民共和國(guó)法律，不適用《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》;雙方如有爭(zhēng)訟，任何一方均可向賣方所在地法院提起訴訟。

　　The interpretation, effectiveness and compliance of this General term shall be in accordance with the laws of the People’s Republic of China. The provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Contract. Any dispute, controversy, or claim arising out of or relating to this contract shall be settled by the court located in the domicile of the seller

　　第十二條 補(bǔ)充協(xié)議Article Twelve Supplemental Agreements

　　本通用條款如有未盡事宜，雙方另以書面形式訂立補(bǔ)充協(xié)議。

　　If there is any issue not included in this general term, both parties can entered into another written supplemental agreements.

　　附件一： 產(chǎn)品退檢流程Appendix1 Product Return Process

　　1.洛克公司產(chǎn)品可提供終身有限質(zhì)量保證 。

　　2. 洛克公司產(chǎn)品的使用應(yīng)遵守洛克公司的安裝及使用說(shuō)明。若客戶在產(chǎn)品使用過(guò)程中發(fā)現(xiàn)問題，請(qǐng)先聯(lián)系洛克公司銷售工程師協(xié)助解決。

　　1. Lok provides Limited Lifetime Warranty

　　2. Lok installation and usage instructions should be obeyed to use Lok products. If the customer found problems during the usage, please communicate with Lok Sales Engineers .

　　3.若客戶需要將洛克公司產(chǎn)品退回洛克公司工廠進(jìn)行檢測(cè)，請(qǐng)聯(lián)系洛克公司銷售工程師，由他們負(fù)責(zé)協(xié)調(diào)產(chǎn)品退檢流程。申請(qǐng)產(chǎn)品退檢必須遵守以下幾點(diǎn)：

　　a. 產(chǎn)品沒有遭受到人為破壞 。

　　b.客戶必須提供真實(shí)、必要的產(chǎn)品使用情況。

　　c.若產(chǎn)品曾接觸過(guò)非惰性介質(zhì)，必須提供該介質(zhì)英文版的 MSDS 或產(chǎn)品安全數(shù)據(jù)

　　d.使用過(guò)的產(chǎn)品必須經(jīng)過(guò)清洗，提供英文的清洗說(shuō)明，保證退檢產(chǎn)品內(nèi)外無(wú)污物、無(wú)殘留介質(zhì)。

　　3. If the customer wanted to return Lok products to have an evaluation, please communicate with Lok Sales Engineers. Lok Sales Engineers will help the customer do product return process. There are several important points which should be confirmed or finished before product return.

　　a. The products were not damaged by person.

　　b. The customer must provide true, necessary product usage information.

　　c. If the products were ever exposed to non-inert material, an English MSDS or Product Safety Data of this material must be provided.

　　d. The returned products must be decontaminated, an English decontamination instruction must be provided. The customer must assure there is no contamination or residual material in the returned products.

　　4. 洛克公司工廠在接收到必要文件和退檢產(chǎn)品后 1 至 2 個(gè)月后， 出具退檢報(bào)告，由銷售工程師將報(bào)告轉(zhuǎn)發(fā)給客戶，按報(bào)告的結(jié)果處理問題。

　　5. 經(jīng)洛克公司工廠檢測(cè)，無(wú)工藝或材料缺陷的產(chǎn)品，洛克公司不予修理或替換。

　　4. After receiving the necessary documents and returned products, Lok will release the Returned Product Evaluation Report in one or two months. Lok Sales Engineers will transmit the report to the customer and solve the problem according to result of the report.

　　5. If there is no defects in workmanship or material according to Returned Product Evaluation Report, Lok will not repair or replace the products.

　　附件二 出口控制聲明Appendix 2 EXPORT CONTROLS STATEMENT

　　此通用條款項(xiàng)下中所有銷售合同中的產(chǎn)品，技術(shù)或者軟件都是按照美國(guó)的出口法規(guī)提供。嚴(yán)禁違背美國(guó)法律對(duì)此合同中所有產(chǎn)品，技術(shù)或者軟件進(jìn)行出口，再出口，銷售，再銷售，轉(zhuǎn)讓或者轉(zhuǎn)移的操作。此外，買方有獨(dú)立的義務(wù)遵守美國(guó)的出口法規(guī)和所屬國(guó)的進(jìn)出口法規(guī)。

　　All commodities, technology, or software supplied under this general term are supplied in accordance with the Export Regulations of the United States of America. Export, re-export, sale, re-sale, transfer or diversion of these commodities contrary to U.S. law is strictly prohibited. In Addition, buyer is under an independent obligation to comply with U.S. export laws and the import/export laws of their own countries

　　附件三 誠(chéng)信承諾書Appendix3 Declaration for Integrity

　　我公司作為洛克公司流體系統(tǒng)科技有限公司 ( 以下簡(jiǎn)稱“洛克公司” ) 的合作廠商 / 客戶，愿與洛克公司一起共同消除商業(yè)賄賂等違法行為，并做出如下承諾：

　　As the cooperative supplier/customer of Lok Fluid Systems Technologies Co., Ltd. (hereinafter referred to as “Company”), the undersignedWould like to eliminate illegal actions together with Company, including but not limited to commercial bribery; and the undersigned warrants that:

　　1. 我公司嚴(yán)禁本公司及相關(guān)人員向洛克公司員工和 / 或家屬提供任何錢款、禮物或通過(guò)其他方式給與有形或無(wú)形的利益(除了合理和合乎風(fēng)俗的商務(wù)紀(jì)念品聚餐和招待，并也符合中國(guó)相應(yīng)的法律規(guī)定。對(duì)于紀(jì)念品，任何紀(jì)念品價(jià)值超過(guò) 200 人民幣都是不合適和不能接受的)。

　　The undersigned prohibits itself and/or its relevant employees, officers or principals to provide any presents, money or any tangible or intangible interests through any other methods (other than reasonable and customary business souvenir, meal and entertaining proven acceptable under Chinese law. For souvenir, any souvenir that is priced over 200RMB is deemed inappropriate and unacceptable).

　　2. 如我公司授意本公司及相關(guān)人員向洛克公司員工 / 或家屬進(jìn)行上述行為的，一經(jīng)發(fā)現(xiàn)，洛克公司公司除可解除雙方的合同、停止合作外，我公司愿支付違約金，涵蓋所有造成的損失，賠償，成本，法律費(fèi)用和所有因此給洛克公司造成的損失及法律規(guī)定的其他補(bǔ)償金。

　　If the undersigned authorizes itself and/or its relevant employees, officers or principals to engage in any of the aforesaid actions, Company is entitled to terminate the cooperation with the undersigned and cancel the agreement entered into by the parties. At the same time, the undersigned agrees to pay the fine for breach of this Declaration, which shall be all losses, damages, costs, legal fees, penalties and all damages caused to Lok or Company from such acts and any other restitution provided by law.

　　3.如我公司及相關(guān)人員私自向洛克公司員工或家屬請(qǐng)客或提供利益的，我公司發(fā)現(xiàn)后將立即通知洛克公司，否則按第 2 條方式處理;

　　If the undersigned and/or its relevant employees, officers or principals treat Company’s employees and/or their families secretly, or provide any interests to Company’s employees and/or their families, the undersigned shall immediately notify Company; if the undersigned fails to do so, the above Article 2 may be applied.

　　4. 如洛克公司員工向我公司人員索取任何有形或無(wú)形的利益的，我公司將立即通知洛克公司，配合洛克公司依法處理違法員工，如隱瞞不報(bào)，洛克公司可永久停止與我公司的合作。

　　If Company’s employees ask for any tangible or intangible interests from the undersigned and/or its employees, the undersigned will notify Company immediately and coordinate with Company to deal with such employees according to the laws. Company may terminate the cooperation with the undersigned permanently if the undersigned conceals such acts of asking for bribes.
