Done at Washington on 18 March 1965
1965年3月18日由國(guó)際復(fù)興開發(fā)銀行提交各國(guó)政府,在華盛頓開放簽字,1966年10月14日生效。中華人民共和國(guó)政府代表于1990年2月9日簽署本公約,于1993年1月7日交存批準(zhǔn)書,本公約于1993年2月6日對(duì)我生效。
PREAMBLE序言
The Contracting States
Considering the need for international cooperation for economic development, and the role of private international investment therein;
Bearing in mind the possibility that from time to time disputes may arise in connection with such investment between Contracting States and nationals of other Contracting States;
Recognizing that while such disputes would usually be subject to national legal processes, international methods of settlement may be appropriate in certain cases;
Attaching particular importance to the availability of facilities for international conciliation or arbitration to which Contracting States and nationals of other Contracting States may submit such disputes if they so desire;
Desiring to establish such facilities under the auspices of the International Bank for Reconstruction and Development;
Recognizing that mutual consent by the parties to submit such disputes to conciliation or to arbitration through such facilities constitutes a binding agreement which requires in particular that due consideration be given to any recommendation of conciliators, and that any arbitral award be complied with; and Declaring that no Contracting State shall by the mere fact of its ratification, acceptance or approval of this Convention and without its consent be deemed to be under any obligation to submit any particular dispute to conciliation or arbitration,
Have agreed as follows:
考慮到為經(jīng)濟(jì)發(fā)展進(jìn)行國(guó)際合作的需要和私人國(guó)際投資在這方面的作用;
注意到各締約國(guó)和其他締約國(guó)的國(guó)民之間可能不時(shí)發(fā)生與這種投資有關(guān)的爭(zhēng)端;

認(rèn)識(shí)到雙方同意借助此種便利將此種爭(zhēng)端交付調(diào)解或仲裁,構(gòu)成了一種有約束力的協(xié)議,該協(xié)議特別要求對(duì)調(diào)解員的任何建議給予適當(dāng)考慮,對(duì)任何仲裁裁決予以遵守;
宣告不能僅僅由于締約國(guó)批準(zhǔn)、接受或核準(zhǔn)本公約這一事實(shí)而不經(jīng)其同意就認(rèn)為該締約國(guó)具有將任何特定的爭(zhēng)端交付調(diào)解或仲裁的義務(wù),
達(dá)成協(xié)議如下:
CHAPTER I International Centre for Settlement of Investment Disputes
第一章 解決投資爭(zhēng)端國(guó)際中心
Section 1 Establishment and Organization第一節(jié) 建立和組織
Article 1 第一條
(1) There is hereby established the International Centre for Settlement of Investment Disputes (hereinafter called the Centre).
(2) The purpose of the Centre shall be to provide facilities for conciliation and arbitration of investment disputes between Contracting States and nationals of other Contracting States in accordance with the provisions of this Convention.
一、茲建立解決投資爭(zhēng)端國(guó)際中心(以下簡(jiǎn)稱中心)。
二、中心的宗旨是依照本公約的規(guī)定為各締約國(guó)和其他締約國(guó)的國(guó)民之間的投資爭(zhēng)端,提供調(diào)解和仲裁的便利。
Article 2 The seat of the Centre shall be at the principal office of the International Bank for Reconstruction and Development (hereinafter called the Bank). The seat may be moved to another place by decision of the Administrative Council adopted by a majority of two-thirds of its members.
第二條 中心的總部應(yīng)設(shè)在國(guó)際復(fù)興開發(fā)銀行(以下稱為銀行)總行辦事處。該總部可以根據(jù)行政理事會(huì)經(jīng)其成員的三分之二多數(shù)作出的決定遷往另一地點(diǎn)。
Article 3 The Centre shall have an Administrative Council and a Secretariat and shall maintain a Panel of Conciliators and a Panel of Arbitrators.
第三條 中心應(yīng)設(shè)有一個(gè)行政理事會(huì)和一個(gè)秘書處,并應(yīng)有一個(gè)調(diào)解員小組和一個(gè)仲裁員小組。
Section 2 The Administrative Council第二節(jié) 行政理事會(huì)
Article 4第四條
(1) The Administrative Council shall be composed of one representative of each Contracting State. An alternate may act as representative in case of his principal's absence from a meeting or inability to act.
(2) In the absence of a contrary designation, each governor and alternate governor of the Bank appointed by a Contracting State shall be ex officio its representative and its alternate respectively.
一、行政理事會(huì)由每一個(gè)締約國(guó)各派代表一人組成,在首席代表未能出席會(huì)議或不能執(zhí)行任務(wù)時(shí),可以由副代表?yè)?dān)任代表。
二、如無(wú)相反的任命,締約國(guó)所指派的銀行的理事和副理事應(yīng)當(dāng)然地成為各該國(guó)的代表和副代表。
Article 5 The President of the Bank shall be ex officio Chairman of the Administrative Council (hereinafter called the Chairman) but shall have no vote. During his absence or inability to act and during any vacancy in the office of President of the Bank, the person for the time being acting as President shall act as Chairman of the Administrative Council.
第五條 銀行行長(zhǎng)應(yīng)為行政理事會(huì)的當(dāng)然主席(以下稱為主席),但無(wú)表決權(quán)。在他缺席或不能執(zhí)行任務(wù)時(shí)和在銀行行長(zhǎng)職位空缺時(shí),應(yīng)由暫時(shí)代理行長(zhǎng)的人擔(dān)任行政理事會(huì)主席。
Article 6第六條
(1) Without prejudice to the powers and functions vested in it by other provisions of this Convention, the Administrative Council shall:
(a) adopt the administrative and financial regulations of the Centre;
(b) adopt the rules of procedure for the institution of conciliation and arbitration proceedings;
(c) adopt the rules of procedure for conciliation and arbitration proceedings (hereinafter called the Conciliation Rules and the Arbitration Rules);
(d) approve arrangements with the Bank for the use of the Bank's administrative facilities and services;
(e) determine the conditions of service of the Secretary-General and of any Deputy Secretary-General;
(f) adopt the annual budget of revenues and expenditures of the Centre;
(g) approve the annual report on the operation of the Centre.
The decisions referred to in sub-paragraphs (a), (b), (c) and (f) above shall be adopted by a majority of two-thirds of the members of the Administrative Council.
(2) The Administrative Council may appoint such committees as it considers necessary.
(3) The Administrative Council shall also exercise such other powers and perform such other functions as it shall determine to be necessary for the implementation of the provisions of this Convention.
一、行政理事會(huì)在不損害本公約其他條款賦予它的權(quán)力和職能的情況下,應(yīng):
?。ㄒ唬┩ㄟ^(guò)中心的行政和財(cái)政條例;
?。ǘ┩ㄟ^(guò)交付調(diào)解和仲裁的程序規(guī)則;
(三)通過(guò)調(diào)解和仲裁的程序規(guī)則(以下稱為調(diào)解規(guī)則和仲裁規(guī)則);

(七)批準(zhǔn)關(guān)于中心的活動(dòng)的年度報(bào)告。
上述(一)、(二)、(三)和(六)項(xiàng)中的決定,應(yīng)由行政理事會(huì)成員的三分之二多數(shù)票通過(guò)。
二、行政理事會(huì)可以設(shè)立它認(rèn)為必要的委員會(huì)。
三、行政理事會(huì)還應(yīng)行使它所確定的為履行本公約規(guī)定所必需的其他權(quán)力和職能。
Article 7 第七條
(1) The Administrative Council shall hold an annual meeting and such other meetings as may be determined by the Council, or convened by the Chairman, or convened by the Secretary-General at the request of not less than five members of the Council.
(2) Each member of the Administrative Council shall have one vote and, except as otherwise herein provided, all matters before the Council shall be decided by a majority of the votes cast.
(3) A quorum for any meeting of the Administrative Council shall be a majority of its members.
(4) The Administrative Council may establish, by a majority of two-thirds of its members, a procedure whereby the Chairman may seek a vote of the Council without convening a meeting of the Council. The vote shall be considered valid only if the majority of the members of the Council cast their votes within the time limit fixed by the said procedure.
一、行政理事會(huì)應(yīng)每年舉行一次年會(huì),以及理事會(huì)可能決定的,或經(jīng)理事會(huì)至少五個(gè)成員的請(qǐng)求由主席或由秘書長(zhǎng)召開的其他會(huì)議。
二、行政理事會(huì)每個(gè)成員享有一個(gè)投票權(quán),除本公約另有規(guī)定外,理事會(huì)所有的事項(xiàng)應(yīng)以多數(shù)票作出決定。
三、行政理事會(huì)任何會(huì)議的法定人數(shù)應(yīng)為其成員的多數(shù)。
四、行政理事會(huì)可由其成員的三分之二多數(shù)決定建立一種程序,根據(jù)該程序的主席可以不召開理事會(huì)議而進(jìn)行理事會(huì)表決,該項(xiàng)表決只有理事會(huì)的多數(shù)成員在上述程序規(guī)定的期限內(nèi)投票,才能認(rèn)為有效。
Article 8 Members of the Administrative Council and the Chairman shall serve without remuneration from the Centre.
第八條 中心對(duì)行政理事會(huì)成員和主席的工作,不付給報(bào)酬。
Section 3 The Secretariat第三節(jié) 秘書處
Article 9 The Secretariat shall consist of a Secretary-General, one or more Deputy Secretaries-General and staff.
第九條 秘書處由秘書長(zhǎng)一人、副秘書長(zhǎng)一人或數(shù)人以及工作人員組成。
Article 10第十條
(1) The Secretary-General and any Deputy Secretary-General shall be elected by the Administrative Council by a majority of two-thirds of its members upon the nomination of the Chairman for a term of service not exceeding six years and shall be eligible for re-election. After consulting the members of the Administrative Council, the Chairman shall propose one or more candidates for each such office.
(2) The offices of Secretary-General and Deputy Secretary-General shall be incompatible with the exercise of any political function. Neither the Secretary-General nor any Deputy Secretary-General may hold any other employment or engage in any other occupation except with the approval of the Administrative Council.
(3) During the Secretary-General's absence or inability to act, and during any vacancy of the office of Secretary-General, the Deputy Secretary-General shall act as Secretary-General. If there shall be more than one Deputy Secretary-General, the Administrative Council shall determine in advance the order in which they shall act as Secretary-General.
一、秘書長(zhǎng)和任何副秘書長(zhǎng)由主席提名,經(jīng)行政理事會(huì)根據(jù)其成員的三分之二多數(shù)票選舉產(chǎn)生,任期不超過(guò)六年,可以連任。主席在同行政理事會(huì)成員磋商后,對(duì)上述每一職位得提出一個(gè)或幾個(gè)候選人。
二、秘書長(zhǎng)和副秘書長(zhǎng)的職責(zé)不得與執(zhí)行任何政治任務(wù)相聯(lián)系。秘書長(zhǎng)或任何副秘書長(zhǎng)除經(jīng)行政理事會(huì)批準(zhǔn)外,不得擔(dān)任其他任何職務(wù),或從事其他任何職業(yè)。
三、在秘書長(zhǎng)缺席或不能履行職責(zé)時(shí),或在秘書長(zhǎng)職位空缺時(shí),由副秘書長(zhǎng)擔(dān)任秘書長(zhǎng)。如果有一個(gè)以上的副秘書長(zhǎng),應(yīng)由行政理事會(huì)在事前決定他們擔(dān)任秘書長(zhǎng)的次序。
Article 11 The Secretary-General shall be the legal representative and the principal officer of the Centre and shall be responsible for its administration, including the appointment of staff, in accordance with the provisions of this Convention and the rules adopted by the Administrative Council. He shall perform the function of registrar and shall have the power to authenticate arbitral awards rendered pursuant to this Convention, and to certify copies thereof.
第十一條 秘書長(zhǎng)是中心的法定代表和主要官員,并依照本公約的規(guī)定和行政理事會(huì)通過(guò)的規(guī)則負(fù)責(zé)其行政事務(wù),包括任命工作人員。他應(yīng)履行書記官的職務(wù),并有權(quán)認(rèn)證根據(jù)本公約作出的仲裁裁決和核證其副本。
Section 4 The Panels第四節(jié) 小組
Article 12 The Panel of Conciliators and the Panel of Arbitrators shall each consist of qualified persons, designated as hereinafter provided, who are willing to serve thereon.
第十二條 調(diào)解員小組和仲裁員小組各由合格的人員組成,他們應(yīng)根據(jù)以下規(guī)定指派,并愿意提供服務(wù)。
Article 13 第十三條
(1) Each Contracting State may designate to each Panel four persons who may but need not be its nationals.
(2) The Chairman may designate ten persons to each Panel. The persons so designated to a Panel shall each have a different nationality.
一、每一締約國(guó)可以向每個(gè)小組指派四人,他們可以是但不一定是該締約國(guó)國(guó)民。
二、主席可以向每個(gè)小組指派十人,所指派人員應(yīng)具有不同的國(guó)籍。
Article 14第十四條
(1) Persons designated to serve on the Panels shall be persons of high moral character and recognized competence in the fields of law, commerce; industry or finance, who may be relied upon to exercise independent judgment. Competence in the field of law shall be of particular importance in the case of persons on the Panel of Arbitrators.
(2) The Chairman, in designating persons to serve on the Panels, shall in addition pay due regard to the importance of assuring representation on the Panels of the principal legal systems of the world and of the main forms of economic activity.
一、指派在小組服務(wù)的人員應(yīng)具有高尚的道德品質(zhì),并且在法律、商務(wù)、工業(yè)和金融方面有公認(rèn)的能力,他們可以被信賴作出獨(dú)立的判斷。對(duì)仲裁員小組的人員而言,在法律方面的能力尤其重要。
二、主席在指派在小組中服務(wù)的人員時(shí),還應(yīng)適當(dāng)注意保證世界上各種主要法律體系和主要經(jīng)濟(jì)活動(dòng)方式在小組中的代表性。
Article 15第十五條
(1) Panel members shall serve for renewable periods of six years.
(2) In case of death or resignation of a member of a Panel, the authority which designated the member shall have the right to designate another person to serve for the remainder of that member's term.
(3) Panel members shall continue in office until their successors have been designated.
一、小組成員的任期為六年,可以連任。
二、如果小組的成員死亡或辭職時(shí),指派該成員的機(jī)構(gòu)有權(quán)指派另一人在該成員剩余的任期內(nèi)服務(wù)。
三、小組成員應(yīng)繼續(xù)任職,直至其繼任人被指派時(shí)為止。
Article 16第十六條
(1) A person may serve on both Panels.
(2) If a person shall have been designated to serve on the same Panel by more than one Contracting State, or by one or more Contracting States and the Chairman, he shall be deemed to have been designated by the authority which first designated him or, if one such authority is the State of which he is a national, by that State.
(3) All designations shall be notified to the Secretary-General and shall take effect from the date on which the notification is received.
一、一個(gè)人可以在兩個(gè)小組服務(wù)。
二、如果一個(gè)人被一個(gè)以上的締約國(guó)、或被一個(gè)或一個(gè)以上的締約國(guó)和主席指派在同一個(gè)小組服務(wù),他應(yīng)被認(rèn)為是被首先指派他的機(jī)構(gòu)所指派;或者如果其中一個(gè)指派他的機(jī)構(gòu)是他國(guó)籍所屬國(guó)家,他應(yīng)被認(rèn)為是被該國(guó)所指派。
三、所有的指派應(yīng)通知秘書長(zhǎng),并從接到通知之日起生效。
Section 5 Financing the Centre第五節(jié) 中心的經(jīng)費(fèi)
Article 17 If the expenditure of the Centre cannot be met out of charges for the use of its facilities, or out of other receipts, the excess shall be borne by Contracting States which are members of the Bank in proportion to their respective subscriptions to the capital stock of the Bank, and by Contracting States which are not members of the Bank in accordance with rules adopted by the Administrative Council.
第十七條 如果中心對(duì)使用其設(shè)施而收取的費(fèi)用或其他收入不足以彌補(bǔ)其支出,那末屬于銀行成員的締約國(guó)應(yīng)各按其認(rèn)購(gòu)的銀行資本股份的比例,而不屬于銀行成員的締約國(guó)則按行政理事會(huì)通過(guò)的規(guī)則來(lái)負(fù)擔(dān)超支部分。
Section 6 Status, Immunities and Privileges第六節(jié) 地位、豁免和特權(quán)
Article 18 The Centre shall have full international legal personality. The legal capacity of the Centre shall include the capacity:
(a) to contract;
(b) to acquire and dispose of movable and immovable property;
(c) to institute legal proceedings.
第十八條 中心具有完全的國(guó)際法律人格。中心的法律能力應(yīng)包括:
?。ㄒ唬┚喗Y(jié)契約的能力;
(二)取得和處置動(dòng)產(chǎn)和不動(dòng)產(chǎn)的能力;
(三)起訴的能力。
Article 19 To enable the Centre to fulfill its functions, it shall enjoy in the territories of each Contracting State the immunities and privileges set forth in this Section.
第十九條 為使中心能履行其職責(zé),它在各締約國(guó)領(lǐng)土內(nèi)應(yīng)享有本節(jié)規(guī)定的豁免和特權(quán)。
Article 20 The Centre, its property and assets shall enjoy immunity from all legal process, except when the Centre waives this immunity.
第二十條 中心及其財(cái)產(chǎn)和資產(chǎn)享有豁免一切法律訴訟的權(quán)利,除非中心放棄此種豁免。
Article 21 The Chairman, the members of the Administrative Council, persons acting as conciliators or arbitrators or members of a Committee appointed pursuant to paragraph (3) of Article 52, and the officers and employees of the Secretariat
(a) shall enjoy immunity from legal process with respect to acts performed by them in the exercise of their functions, except when the Centre waives this immunity;
(b) not being local nationals, shall enjoy the same immunities from immigration restrictions, alien registration requirements and national service obligations, the same facilities as regards exchange restrictions and the same treatment in respect of traveling facilities as are accorded by Contracting States to the representatives, officials and employees of comparable rank of other Contracting States
第二十一條 主席,行政理事會(huì)成員,擔(dān)任調(diào)解員或仲裁員的人員或按照第五十二條第三款任命的委員會(huì)成員以及秘書處的官員的雇員:
(一)在履行其職責(zé)時(shí)的一切行動(dòng),享有豁免法律訴訟的權(quán)利,除非中心放棄此種豁免;
(二)如不是當(dāng)?shù)氐膰?guó)民,應(yīng)享有締約國(guó)給予其他締約國(guó)相應(yīng)級(jí)別的代表、官員和雇員在移民限制、外國(guó)人登記條件和國(guó)民兵役義務(wù)方面的同等豁免權(quán),在外匯限制方面的同等便利以及有關(guān)旅行便利的同等待遇。
Article 22 The provisions of Article 21 shall apply to persons appearing in proceedings under this Convention as parties, agents, counsel, advocates, witnesses or experts; provided, however, that sub-paragraph (b) thereof shall apply only in connection with their travel to and from, and their stay at, the place where the proceedings are held.
第二十二條 第二十一條的規(guī)定應(yīng)適用于根據(jù)本公約在訴訟中出席作為當(dāng)事人、代理人、顧問(wèn)、辯護(hù)人、證人或?qū)<业娜?,但該條第(二)項(xiàng)只適用于他們往返訴訟地的旅程和停留。
Article 23第二十三條
(1) The archives of the Centre shall be inviolable, wherever they may be.
(2) With regard to its official communications, the Centre shall be accorded by each Contracting State treatment not less favourable than that accorded to other international organizations.
Article 24
(1) The Centre, its assets, property and income, and its operations and transactions authorized by this Convention shall be exempt from all taxation and customs duties. The Centre shall also be exempt from liability for the collection or payment of any taxes or customs duties.
(2) Except in the case of local nationals, no tax shall be levied on or in respect of expense allowances paid by the Centre to the Chairman or members of the Administrative Council, or on or in respect of salaries, expense allowances or other emoluments paid by the Centre to officials or employees of the Secretariat.
(3) No tax shall be levied on or in respect of fees or expense allowances received by persons acting as conciliators, or arbitrators, or members of a Committee appointed pursuant to paragraph (3) of Article 52, in proceedings under this Convention, if the sole jurisdictional basis for such tax is the location of the Centre or the place where such proceedings are conducted or the place where such fees or allowances are paid.
一、中心的檔案不論其在何處,應(yīng)不受侵犯。
二、關(guān)于官方通訊,各締約國(guó)給予中心的待遇,不得低于給予其他國(guó)際組織的待遇。
第二十四條
一、中心及其資產(chǎn)、財(cái)產(chǎn)和收入,以及本公約許可的業(yè)務(wù)活動(dòng)的交易,應(yīng)免除一切稅捐和關(guān)稅。中心還應(yīng)免除征繳任何稅捐或關(guān)稅的義務(wù)。
二、除當(dāng)?shù)貒?guó)民外,對(duì)中心付給行政理事會(huì)主席或成員的津貼或其他報(bào)酬,均不得征稅。
三、對(duì)擔(dān)任調(diào)解員或仲裁員,或按照第五十二條第三款任命的委員會(huì)成員,在本公約規(guī)定的訴訟中取得的報(bào)酬或津貼,均不得征稅,倘若此項(xiàng)征稅是以中心所在地、進(jìn)行上述訴訟的地點(diǎn)、或付給報(bào)酬或津貼的地點(diǎn)為唯一管轄依據(jù)的話。
CHAPTER II Jurisdiction of the Centre第二章 中心的管轄
Article 25第二十五條
(1) The jurisdiction of the Centre shall extend to any legal dispute arising directly out of an investment, between a Contracting State (or any constituent subdivision or agency of a Contracting State designated to the Centre by that State) and a national of another Contracting State, which the parties to the dispute consent in writing to submit to the Centre. When the parties have given their consent, no party may withdraw its consent unilaterally.
(2) "National of another Contracting State" means:
(a) any natural person who had the nationality of a Contracting State other than the State party to the dispute on the date on which the parties consented to submit such dispute to conciliation or arbitration as well as on the date on which the request was registered pursuant to paragraph (3) Article 28 or paragraph (3) of Article 36, but does not include any person who on either date also had the nationality of the Contracting State party to the dispute; and
(b) any juridical person which had the nationality of a Contracting State other than the State party to the dispute on the date on which the parties consented to submit such dispute to conciliation or arbitration and any juridical person which had the nationality of the Contracting State party to the dispute on that date and which, because of foreign control, the parties have agreed should be treated as a national of another Contracting State for the purposes of this Convention.
(3) Consent by a constituent subdivision or agency of a Contracting State shall require the approval of that State unless that State notifies the Centre that no such approval is required.
(4) Any Contracting State may, at the time of ratification, acceptance or approval of this Convention or at any time thereafter, notify the Centre of the class or classes of disputes which it would or would not consider submitting to the jurisdiction of the Centre. The Secretary-General shall forthwith transmit such notification to all Contracting States. Such notification shall not constitute the consent required by paragraph (1).
一、中心的管轄適用于締約國(guó)(或締約國(guó)向中心指定的該國(guó)的任何組成部分或機(jī)構(gòu))和另一締約國(guó)國(guó)民之間直接因投資而產(chǎn)生并經(jīng)雙方書面同意提交給中心的任何法律爭(zhēng)端。當(dāng)雙方表示同意后,任何一方不得單方面撤銷其同意。
二、另一締約國(guó)國(guó)民系指:
?。ㄒ唬┰陔p方同意將爭(zhēng)端交付調(diào)解或仲裁之日以及根據(jù)第二十八條第三款或第三十六條第三款登記請(qǐng)求之日,具有作為爭(zhēng)端一方的國(guó)家以外的某一締約國(guó)國(guó)籍的任何自然人,但不包括在上述任一日期也具有作為爭(zhēng)端一方的締約國(guó)國(guó)籍的任何人;
?。ǘ┰跔?zhēng)端雙方同意將爭(zhēng)端交付調(diào)解或仲裁之日,具有作為爭(zhēng)端一方的國(guó)家以外的某一締約國(guó)國(guó)籍的任何法人,以及在上述日期具有作為爭(zhēng)端一方締約國(guó)國(guó)籍的任何法人,而該法人因受外國(guó)控制,雙方同意為了本公約的目的,應(yīng)看作是另一締約國(guó)國(guó)民。
三、某一締約國(guó)的組成部分或機(jī)構(gòu)表示的同意,須經(jīng)該締約國(guó)批準(zhǔn),除非該締約國(guó)通知中心不需要予以批準(zhǔn)。
四、任何締約國(guó)可以在批準(zhǔn)、接受或核準(zhǔn)本公約時(shí),或在此后任何時(shí)候,把它將考慮或不考慮提交給中心管轄的一類或幾類爭(zhēng)端通知中心。秘書長(zhǎng)應(yīng)立即將此項(xiàng)通知轉(zhuǎn)送給所有締約國(guó)。此項(xiàng)通知不構(gòu)成第一款所要求的同意。
Article 26第二十六條
Consent of the parties to arbitration under this Convention shall, unless otherwise stated, be deemed consent to such arbitration to the exclusion of any other remedy. A Contracting State may require the exhaustion of local administrative or judicial remedies as a condition of its consent to arbitration under this Convention.
除非另有規(guī)定,雙方同意根據(jù)本公約交付仲裁,應(yīng)視為同意排除任何其他救濟(jì)方法而交付上述仲裁。締約國(guó)可以要求以用盡該國(guó)行政或司法救濟(jì)作為其同意根據(jù)本公約交付仲裁的條件。
Article 27第二十七條
(1) No Contracting State shall give diplomatic protection, or bring an international claim, in respect of a dispute which one of its nationals and another Contracting State shall have consented to submit or shall have submitted to arbitration under this Convention, unless such other Contracting State shall have failed to abide by and comply with the award rendered in such dispute.
(2) Diplomatic protection, for the purposes of paragraph (1), shall not include informal diplomatic exchanges for the sole purpose of facilitating a settlement of the dispute.
一、締約國(guó)對(duì)于其國(guó)民和另一締約國(guó)根據(jù)本公約已同意交付或已交付仲裁的爭(zhēng)端,不得給予外交保護(hù)或提出國(guó)際要求,除非該另一締約國(guó)未能遵守和履行對(duì)此項(xiàng)爭(zhēng)端所作出的裁決。
二、在第一款中,外交保護(hù)不應(yīng)包括純粹為了促進(jìn)爭(zhēng)端的解決而進(jìn)行的非正式的外交上的交往。
CHAPTER III Conciliation第三章 調(diào)解
Section 1 Request for Conciliation第一節(jié)
Article 28 第二十八條
(1) Any Contracting State or any national of a Contracting State wishing to institute conciliation proceedings shall address a request to that effect in writing to the Secretary-General who shall send a copy of the request to the other party.
(2) The request shall contain information concerning the issues in dispute, the identity of the parties and their consent to conciliation in accordance with the rules of procedure for the institution of conciliation and arbitration proceedings.
(3) The Secretary-General shall register the request unless he finds, on the basis of the information contained in the request, that the dispute is manifestly outside the jurisdiction of the Centre. He shall forthwith notify the parties of registration or refusal to register.
一、希望交付調(diào)解程序的任何締約國(guó)或締約國(guó)的任何國(guó)民,應(yīng)就此向秘書長(zhǎng)提出書面請(qǐng)求,由秘書長(zhǎng)將該項(xiàng)請(qǐng)求的副本送交另一方。
二、該項(xiàng)請(qǐng)求應(yīng)包括有關(guān)爭(zhēng)端的事項(xiàng)、雙方的身份以及他們同意依照交付調(diào)解和仲裁的程序規(guī)則進(jìn)行調(diào)解等內(nèi)容。

Section 2 Constitution of the Conciliation Commission第二節(jié) 調(diào)解委員會(huì)的組成
Article 29 第二十九條
(1) The Conciliation Commission (hereinafter called the Commission) shall be constituted as soon as possible after registration of a request pursuant to Article 28.
(2)
(a) The Commission shall consist of a sole conciliator or any uneven number of conciliators appointed as the parties shall agree.
(b) Where the parties do not agree upon the number of conciliators and the method of their appointment, the Commission shall consist of three conciliators, one conciliator appointed by each party and the third, who shall be the president of the Commission, appointed by agreement of the parties.
一、調(diào)解委員會(huì)(以下稱為委員會(huì))應(yīng)在依照第二十八條提出的請(qǐng)求予以登記之后盡速組成。
二、(一)委員會(huì)應(yīng)由雙方同意任命的獨(dú)任調(diào)解員或任何非偶數(shù)的調(diào)解員組成。

Article 30第三十條
If the Commission shall not have been constituted within 90 days after notice of registration of the request has been dispatched by the Secretary-General in accordance with paragraph (3) of Article 28, or such other period as the parties may agree, the Chairman shall, at the request of either party and after consulting both parties as far as possible, appoint the conciliator or conciliators not yet appointed.
如果在秘書長(zhǎng)依照第二十八條第三款發(fā)出關(guān)于請(qǐng)求已予以登記的通知后九十天內(nèi),或在雙方可能同意的其他期限內(nèi)未能組成委員會(huì),主席經(jīng)任何一方請(qǐng)求,并盡可能同雙方磋商后,可任命尚未任命的一名或數(shù)名調(diào)解員。
Article 31第三十一條
(1) Conciliators may be appointed from outside the Panel of Conciliators, except in the case of appointments by the Chairman pursuant to Article 30.
(2) Conciliators appointed from outside the Panel of Conciliators shall possess the qualities stated in paragraph (1) of Article 14.
一、除主席根據(jù)第三十條進(jìn)行任命的情況外,可任命調(diào)解員小組以外的人為調(diào)解員。
二、從調(diào)解員小組以外任命的調(diào)解員應(yīng)具備第十四條第一款所述的品質(zhì)。
Section 3 Conciliation Proceedings 第三節(jié) 調(diào)解程序
Article 32第三十二條
(1) The Commission shall be the judge of its own competence.
(2) Any objection by a party to the dispute that that dispute is not within the jurisdiction of the Centre, or for other reasons is not within the competence of the Commission, shall be considered by the Commission which shall determine whether to deal with it as a preliminary question or to join it to the merits of the dispute.
一、委員會(huì)應(yīng)是其本身權(quán)限的決定人。
二、爭(zhēng)端一方提出的反對(duì)意見(jiàn),認(rèn)為該爭(zhēng)端不屬于中心的管轄范圍,或因其他原因不屬于委員會(huì)權(quán)限范圍,委員會(huì)應(yīng)加以考慮,并決定是否將其作為先決問(wèn)題處理,或與該爭(zhēng)端的是非曲直一并處理。
Article 33第三十三條
Any conciliation proceeding shall be conducted in accordance with the provisions of this Section and, except as the parties otherwise agree, in accordance with the Conciliation Rules in effect on the date on which the parties consented to conciliation. If any question of procedure arises which is not covered by this Section or the Conciliation Rules or any rules agreed by the parties, the Commission shall decide the question.
任何調(diào)解程序應(yīng)依照本節(jié)規(guī)定,以及除雙方另有協(xié)議外,依照雙方同意調(diào)解之日有效的調(diào)解規(guī)則進(jìn)行,如發(fā)生任何本節(jié)或調(diào)解規(guī)則或雙方同意的任何規(guī)則未作規(guī)定的程序問(wèn)題,則該問(wèn)題應(yīng)由委員會(huì)決定。
Article 34第三十四條
(1) It shall be the duty of the Commission to clarify the issues in dispute between the parties and to endeavour to bring about agreement between them upon mutually acceptable terms. To that end, the Commission may at any stage of the proceedings and from time to time recommend terms of settlement to the parties. The parties shall cooperate in good faith with the Commission in order to enable the Commission to carry out its functions, and shall give their most serious consideration to its recommendations.
(2) If the parties reach agreement, the Commission shall draw up a report noting the issues in dispute and recording that the parties have reached agreement. If, at any stage of the proceedings, it appears to the Commission that there is no likelihood of agreement between the parties, it shall close the proceedings and shall draw up a report noting the submission of the dispute and recording the failure of the parties to reach agreement. If one party fails to appear or participate in the proceedings, the Commission shall close the proceedings and shall draw up a report noting that party's failure to appear or participate.
一、委員會(huì)有責(zé)任澄清雙方發(fā)生爭(zhēng)端的問(wèn)題,并努力使雙方就共同可接受的條件達(dá)成協(xié)議。為此目的,委員會(huì)可以在程序進(jìn)行的任何階段,隨時(shí)向雙方建議解決的條件。雙方應(yīng)同委員會(huì)進(jìn)行真誠(chéng)的合作,以使委員會(huì)能履行其職責(zé),并對(duì)委員會(huì)的建議給予最認(rèn)真的考慮。

Article 35 Except as the parties to the dispute shall otherwise agree, neither party to a conciliation proceeding shall be entitled in any other proceeding, whether before arbitrators or in a court of law or otherwise, to invoke or rely on any views expressed or statements or admissions or offers of settlement made by the other party in the conciliation proceedings, or the report or any recommendations made by the Commission.
第三十五條 除爭(zhēng)端雙方另有協(xié)議外,參加調(diào)解程序的任何一方均無(wú)權(quán)在其他任何程序中,不論是在仲裁員面前或在法院或其他機(jī)構(gòu),援引或依仗參加調(diào)解程序的另一方所表示的任何意見(jiàn)或所作的聲明或承認(rèn)或提出的解決辦法,也不得援引或依仗委員會(huì)提出的報(bào)告或任何建議。
CHAPTER IV Arbitration第四章 仲裁

(1) The Arbitral Tribunal (hereinafter called the Tribunal) shall be constituted as soon as possible after registration of a request pursuant to Article 36.

(a) The Tribunal shall consist of a sole arbitrator or any uneven number of arbitrators appointed as the parties shall agree.
(b) Where the parties do not agree upon the number of arbitrators and the method of their appointment, the Tribunal shall consist of three arbitrators, one arbitrator appointed by each party and the third, who shall be the president of the Tribunal, appointed by agreement of the parties.

Article 38 If the Tribunal shall not have been constituted within 90 days after notice of registration of the request has been dispatched by the Secretary-General in accordance with paragraph (3) of Article 36, or such other period as the parties may agree, the Chairman shall, at the request of either party and after consulting both parties as far as possible, appoint the arbitrator or arbitrators not yet appointed. Arbitrators appointed by the Chairman pursuant to this Article shall not be nationals of the Contracting State party to the dispute or of the Contracting State whose national is a party to the dispute.

Article 39 The majority of the arbitrators shall be nationals of States other than the Contracting State party to the dispute and the Contracting State whose national is a party to the dispute; provided, however, that the foregoing provisions of this Article shall not apply if the sole arbitrator or each individual member of the Tribunal has been appointed by agreement of the parties.
第三十九條 仲裁員的多數(shù)不得為爭(zhēng)端一方的締約國(guó)國(guó)民和其國(guó)民是爭(zhēng)端一方的締約國(guó)的國(guó)民;但獨(dú)任仲裁員或仲裁庭的每一成員經(jīng)雙方協(xié)議任命,本條上述規(guī)定則不適用。
Article 40第四十條
(1) Arbitrators may be appointed from outside the Panel of Arbitrators, except in the case of appointments by the Chairman pursuant to Article 38.
(2) Arbitrators appointed from outside the Panel of Arbitrators shall possess the qualities stated in paragraph (1) of Article 14.
一、除主席根據(jù)第三十八條進(jìn)行任命的情況外,可以從仲裁員小組以外任命仲裁員。
二、從仲裁員小組以外任命的仲裁員應(yīng)具備第十四條第一款所述的品質(zhì)。
Section 3 Powers and Functions of the Tribunal第三節(jié) 仲裁庭的權(quán)力和職能
Article 41第四十一條
(1) The Tribunal shall be the judge of its own competence.
(2) Any objection by a party to the dispute that that dispute is not within the jurisdiction of the Centre, or for other reasons is not within the competence of the Tribunal, shall be considered by the Tribunal which shall determine whether to deal with it as a preliminary question or to join it to the merits of the dispute.

Article 42 第四十二條
(1) The Tribunal shall decide a dispute in accordance with such rules of law as may be agreed by the parties. In the absence of such agreement, the Tribunal shall apply the law of the Contracting State party to the dispute (including its rules on the conflict of laws) and such rules of international law as may be applicable.
(2) The Tribunal may not bring in a finding of non liquet on the ground of silence or obscurity of the law.
(3) The provisions of paragraphs (1) and (2) shall not prejudice the power of the Tribunal to decide a dispute ex aequo et bono if the parties so agree.
一、仲裁庭應(yīng)依照雙方可能同意的法律規(guī)則對(duì)爭(zhēng)端作出裁決。如無(wú)此種協(xié)議,仲裁庭應(yīng)適用作為爭(zhēng)端一方的締約國(guó)的法律(包括其沖突法規(guī)則)以及可能適用的國(guó)際法規(guī)則。
二、仲裁庭不得借口法律無(wú)明文規(guī)定或含義不清而暫不作出裁決。
三、第一款和第二款的規(guī)定不得損害仲裁庭在雙方同意時(shí)按公允及善良原則對(duì)爭(zhēng)端作出裁決的權(quán)力。
Article 43 Except as the parties otherwise agree, the Tribunal may, if it deems it necessary at any stage of the proceedings,
第四十三條 除雙方另有協(xié)議,如果仲裁庭在程序的任何階段認(rèn)為有必要時(shí),它可以:
(a) call upon the parties to produce documents or other evidence, and
(b) visit the scene connected with the dispute, and conduct such inquiries there as it may deem appropriate.

Article 44 Any arbitration proceeding shall be conducted in accordance with the provisions of this Section and, except as the parties otherwise agree, in accordance with the Arbitration Rules in effect on the date on which the parties consented to arbitration. If any question of procedure arises which is not covered by this Section or the Arbitration Rules or any rules agreed by the parties, the Tribunal shall decide the question.

Article 45 第四十五條
(1) Failure of a party to appear or to present his case shall not be deemed an admission of the other party's assertions.
(2) If a party fails to appear or to present his case at any stage of the proceedings the other party may request the Tribunal to deal with the questions submitted to it and to render an award. Before rendering an award, the Tribunal shall notify, and grant a period of grace to, the party failing to appear or to present its case, unless it is satisfied that that party does not intend to do so.
一、一方未出席或陳述其案情,不得視為接受另一方的主張。
二、如果一方在程序的任何階段未出席或陳述案情,另一方可以請(qǐng)求仲裁庭處理向其提出的問(wèn)題并作出裁決。仲裁庭在作出裁決之前,應(yīng)通知未出席或陳述案情的一方,并給以寬限日期,除非仲裁庭確信該方不愿意這么做。
Article 46 Except as the parties otherwise agree, the Tribunal shall, if requested by a party, determine any incidental or additional claims or counterclaims arising directly out of the subject-matter of the dispute provided that they are within the scope of the consent of the parties and are otherwise within the jurisdiction of the Centre.
第四十六條 除非雙方另有協(xié)議,如經(jīng)一方請(qǐng)求,仲裁庭應(yīng)對(duì)爭(zhēng)端的主要問(wèn)題直接引起的附帶或附加的要求或反要求作出決定,但上述要求應(yīng)在雙方同意的范圍內(nèi),或在中心的管轄范圍內(nèi)。
Article 47 Except as the parties otherwise agree, the Tribunal may, if it considers that the circumstances so require, recommend any provisional measures which should be taken to preserve the respective rights of either party.
第四十七條 除雙方另有協(xié)議外,仲裁庭如果認(rèn)為情況需要,得建議采取任何臨時(shí)措施,以維護(hù)任何一方的權(quán)利。
Section 4 The Award第四節(jié) 裁決
Article 48 第四十八條
(1) The Tribunal shall decide questions by a majority of the votes of all its members.
(2) The award of the Tribunal shall be in writing and shall be signed by the members of the Tribunal who voted for it.
(3) The award shall deal with every question submitted to the Tribunal, and shall state the reasons upon which it is based.
(4) Any member of the Tribunal may attach his individual opinion to the award, whether he dissents from the majority or not, or a statement of his dissent.
(5) The Centre shall not publish the award without the consent of the parties.
一、仲裁庭應(yīng)以其全體成員的多數(shù)票對(duì)問(wèn)題作出決定。
二、仲裁庭的裁決應(yīng)以書面作成,并由仲裁庭投贊成票的成員簽字。
三、裁決應(yīng)處理提交仲裁庭的每一個(gè)問(wèn)題,并說(shuō)明所根據(jù)的理由。
四、仲裁庭的任何成員可以在裁決上附上他個(gè)人的意見(jiàn)(不論他是否同意多數(shù)人的意見(jiàn)),或陳述他的不同意見(jiàn)。
五、中心未經(jīng)雙方的同意不得公布裁決。
Article 49第四十九條
(1) The Secretary-General shall promptly dispatch certified copies of the award to the parties. The award shall be deemed to have been rendered on the date on which the certified copies were dispatched.
(2) The Tribunal upon the request of a party made within 45 days after the date on which the award was rendered may after notice to the other party decide any question which it had omitted to decide in the award, and shall rectify any clerical, arithmetical or similar error in the award. Its decision shall become part of the award and shall be notified to the parties in the same manner as the award. The periods of time provided for under paragraph (2) of Article 51 and paragraph (2) of Article 52 shall run from the date on which the decision was rendered.

Section 5 Interpretation, Revision and Annulment of the Award第五節(jié) 裁決的解釋、修改和撤銷
Article 50 第五十條
(1) If any dispute shall arise between the parties as to the meaning or scope of an award, either party may request interpretation of the award by an application in writing addressed to the Secretary-General.
(2) The request shall, if possible, be submitted to the Tribunal which rendered the award. If this shall not be possible, a new Tribunal shall be constituted in accordance with Section 2 of this Chapter. The Tribunal may, if it considers that the circumstances so require, stay enforcement of the award pending its decision.
一、如果雙方對(duì)裁決的意義或范圍發(fā)生爭(zhēng)議,任何一方可以向秘書長(zhǎng)提出書面申請(qǐng),要求對(duì)裁決作出解釋。
二、如有可能,應(yīng)將該項(xiàng)要求提交作出裁決的仲裁庭。如果不可能這樣做,則應(yīng)依照本章第二節(jié)組織新的仲裁庭。仲裁庭如認(rèn)為情況有此需要,可以在它作出決定前停止執(zhí)行裁決。
Article 51第五十一條
(1) Either party may request revision of the award by an application in writing addressed to the Secretary-General on the ground of discovery of some fact of such a nature as decisively to affect the award, provided that when the award was rendered that fact was unknown to the Tribunal and to the applicant and that the applicant's ignorance of that fact was not due to negligence.
(2) The application shall be made within 90 days after the discovery of such fact and in any event within three years after the date on which the award was rendered.
(3) The request shall, if possible, be submitted to the Tribunal which rendered the award. If this shall not be possible, a new Tribunal shall be constituted in accordance with Section 2 of this Chapter.
(4) The Tribunal may, if it considers that the circumstances so require, stay enforcement of the award pending its decision. If the applicant requests a stay of enforcement of the award in his application, enforcement shall be stayed provisionally until the Tribunal rules on such request.
一、任何一方可以根據(jù)所發(fā)現(xiàn)的某項(xiàng)其性質(zhì)對(duì)裁決有決定性影響的事實(shí),向秘書長(zhǎng)提出書面申請(qǐng)要求修改裁決,但必須以在作出裁決時(shí)仲裁庭和申請(qǐng)人都不了解該事實(shí)為條件,而且申請(qǐng)人不知道該事實(shí)并非由于疏忽所致。
二、申請(qǐng)應(yīng)在發(fā)現(xiàn)該事實(shí)后的九十天內(nèi),且無(wú)論如何應(yīng)在作出裁決之日后三年之內(nèi)提出。
三、如有可能,該項(xiàng)要求應(yīng)提交作出裁決的仲裁庭。如果不可能這樣做,則應(yīng)依照本章第二節(jié)組織新的仲裁庭。
四、仲裁庭如認(rèn)為情況有此需要,可以在作出決定前,停止執(zhí)行裁決。如果申請(qǐng)人在申請(qǐng)書中要求停止執(zhí)行裁決,則應(yīng)暫時(shí)停止執(zhí)行,直到仲裁庭對(duì)該要求作出決定為止。
Article 52第五十二條
(1) Either party may request annulment of the award by an application in writing addressed to the Secretary-General on one or more of the following grounds:
(a) that the Tribunal was not properly constituted;
(b) that the Tribunal has manifestly exceeded its powers;
(c) that there was corruption on the part of a member of the Tribunal;
(d) that there has been a serious departure from a fundamental rule of procedure; or
(e) that the award has failed to state the reasons on which it is based.
(2) The application shall be made within 120 days after the date on which the award was rendered except that when annulment is requested on the ground of corruption such application shall be made within 120 days after discovery of the corruption and in any event within three years after the date on which the award was rendered.
(3) On receipt of the request the Chairman shall forthwith appoint from the Panel of Arbitrators an ad hoc Committee of three persons. None of the members of the Committee shall have been a member of the Tribunal which rendered the award, shall be of the same nationality as any such member, shall be a national of the State party to the dispute or of the State whose national is a party to the dispute, shall have been designated to the Panel of Arbitrators by either of those States, or shall have acted as a conciliator in the same dispute. The Committee shall have the authority to annul the award or any part thereof on any of the grounds set forth in paragraph (1).
(4) The provisions of Articles 41-45, 48, 49, 53 and 54, and of Chapters VI and VII shall apply mutatis mutandis to proceedings before the Committee.
(5) The Committee may, if it considers that the circumstances so require, stay enforcement of the award pending its decision. If the applicant requests a stay of enforcement of the award in his application, enforcement shall be stayed provisionally until the Committee rules on such request.
(6) If the award is annulled the dispute shall, at the request of either party, be submitted to a new Tribunal constituted in accordance with Section 2 of this Chapter.
一、任何一方可以根據(jù)下列一個(gè)或幾個(gè)理由,向秘書長(zhǎng)提出書面申請(qǐng),要求撤銷裁決:
?。ㄒ唬┲俨猛サ慕M成不適當(dāng);
?。ǘ┲俨猛ワ@然超越其權(quán)力;
?。ㄈ┲俨猛サ某蓡T有受賄行為;
?。ㄋ模┯袊?yán)重的背離基本程序規(guī)則的情況;
?。ㄎ澹┎脹Q未陳述其所依據(jù)的理由。
二、申請(qǐng)應(yīng)在作出裁決之日后一百二十天內(nèi)提出,但以受賄為理由而要求撤銷者除外,該申請(qǐng)應(yīng)在發(fā)現(xiàn)受賄行為后一百二十天內(nèi),并且無(wú)論如何在作出裁決之日后三年內(nèi)提出。
三、主席在接到要求時(shí),應(yīng)立即從仲裁員小組中任命一個(gè)由三人組成的專門委員會(huì)。委員會(huì)的成員不得為作出裁決的仲裁庭的成員,不得有相同的國(guó)籍,不得為爭(zhēng)端一方國(guó)家的國(guó)民或其國(guó)民是爭(zhēng)端一方的國(guó)家的國(guó)民,不得為上述任一國(guó)指派參加仲裁員小組的成員,也不得在同一爭(zhēng)端中擔(dān)任調(diào)解員。委員會(huì)根據(jù)第一款規(guī)定的任何理由有權(quán)撤銷裁決或裁決中的任何部分。
四、第四十一至第四十五條、第四十八條、第四十九條、第五十三條和第五十四條以及第六章和第七章的規(guī)定,在適用于委員會(huì)的程序時(shí),得作必要的變動(dòng)。
五、委員會(huì)如認(rèn)為情況有此需要,可以在作出決定前,停止執(zhí)行裁決。如果申請(qǐng)人在申請(qǐng)書中要求停止執(zhí)行裁決,則應(yīng)暫時(shí)停止執(zhí)行,直到委員會(huì)對(duì)該要求作出決定為止。
六、如果裁決被撤銷,則經(jīng)任何一方的請(qǐng)求,應(yīng)將爭(zhēng)端提交給依照本章第二節(jié)組織的新仲裁庭。
Section 6 Recognition and Enforcement of the Award第六節(jié) 裁決的承認(rèn)和執(zhí)行
Article 53第五十三條
(1) The award shall be binding on the parties and shall not be subject to any appeal or to any other remedy except those provided for in this Convention. Each party shall abide by and comply with the terms of the award except to the extent that enforcement shall have been stayed pursuant to the relevant provisions of this Convention.
(2) For the purposes of this Section, "award" shall include any decision interpreting, revising or annulling such award pursuant to Articles 50, 51 or 52.
一、裁決對(duì)雙方具有約束力。不得進(jìn)行任何上訴或采取除本公約規(guī)定外的任何其他補(bǔ)救辦法。除依照本公約有關(guān)規(guī)定予以停止執(zhí)行的情況外,每一方應(yīng)遵守和履行裁決的規(guī)定。
二、在本節(jié)中,裁決應(yīng)包括依照第五十條、第五十一條或第五十二條對(duì)裁決作出解釋、修改或撤銷的任何決定。
Article 54第五十四條
(1) Each Contracting State shall recognize an award rendered pursuant to this Convention as binding and enforce the pecuniary obligations imposed by that award within its territories as if it were a final judgment of a court in that State. A Contracting State with a federal constitution may enforce such an award in or through its federal courts and may provide that such courts shall treat the award as if it were a final judgment of the courts of a constituent state.
(2) A party seeking recognition or enforcement in the territories of a Contracting State shall furnish to a competent court or other authority which such State shall have designated for this purpose a copy of the award certified by the Secretary-General. Each Contracting State shall notify the Secretary-General of the designation of the competent court or other authority for this purpose and of any subsequent change in such designation.
(3) Execution of the award shall be governed by the laws concerning the execution of judgments in force in the State in whose territories such execution is sought.
一、每一締約國(guó)應(yīng)承認(rèn)依照本公約作出的裁決具有約束力,并在其領(lǐng)土內(nèi)履行該裁決所加的財(cái)政義務(wù),正如該裁決是該國(guó)法院的最后判決一樣。具有聯(lián)邦憲法的締約國(guó)可以在聯(lián)邦法院或通過(guò)該法院執(zhí)行裁決,并可規(guī)定聯(lián)邦法院應(yīng)把該裁決視為組成聯(lián)邦的某一邦的法院作出的最后判決。
二、要求在一締約國(guó)領(lǐng)土內(nèi)予以承認(rèn)或執(zhí)行的一方,應(yīng)向該締約國(guó)為此目的而指定的主管法院或其他機(jī)構(gòu)提供經(jīng)秘書長(zhǎng)核證無(wú)誤的該裁決的副本一份。每一締約國(guó)應(yīng)將為此目的而指定的主管法院或其他機(jī)構(gòu)以及隨后關(guān)于此項(xiàng)指定的任何變動(dòng)通知秘書長(zhǎng)。
三、裁決的執(zhí)行應(yīng)受要求在其領(lǐng)土內(nèi)執(zhí)行的國(guó)家關(guān)于執(zhí)行判決的現(xiàn)行法律的管轄。
Article 55 Nothing in Article 54 shall be construed as derogating from the law in force in any Contracting State relating to immunity of that State or of any foreign State from execution.
第五十五條 第五十四條的規(guī)定不得解釋為背離任何締約國(guó)現(xiàn)行的關(guān)于該國(guó)或任何外國(guó)執(zhí)行豁免的法律。
CHAPTER V Replacement and Disqualification of Conciliators and Arbitrators
第五章 調(diào)解員和仲裁員的更換及取消資格
Article 56 第五十六條
(1) After a Commission or a Tribunal has been constituted and proceedings have begun, its composition shall remain unchanged; provided, however, that if a conciliator or an arbitrator should die, become incapacitated, or resign, the resulting vacancy shall be filled in accordance with the provisions of Section 2 of Chapter III or Section 2 of Chapter IV.
(2) A member of a Commission or Tribunal shall continue to serve in that capacity notwithstanding that he shall have ceased to be a member of the Panel.
(3) If a conciliator or arbitrator appointed by a party shall have resigned without the consent of the Commission or Tribunal of which he was a member, the Chairman shall appoint a person from the appropriate Panel to fill the resulting vacancy.
一、在委員會(huì)或仲裁庭組成和程序開始之后,其成員的組成應(yīng)保持不變;但如有調(diào)解員或仲裁員死亡、喪失資格或辭職,其空缺應(yīng)依照第三章第二節(jié)或第四章第二節(jié)的規(guī)定予以補(bǔ)充。
二、盡管委員會(huì)或仲裁庭的某一成員已停止成為仲裁員小組的成員,他應(yīng)繼續(xù)在該委員會(huì)或仲裁庭服務(wù)。
三、如果由一方任命的調(diào)解員或仲裁員未經(jīng)委員會(huì)或仲裁庭(該調(diào)解員或仲裁員是該委員會(huì)或仲裁庭的成員)的同意而辭職,造成的空缺應(yīng)由主席從有關(guān)小組中指定一人補(bǔ)充。
Article 57 A party may propose to a Commission or Tribunal the disqualification of any of its members on account of any fact indicating a manifest lack of the qualities required by paragraph (1) of Article 14. A party to arbitration proceedings may, in addition, propose the disqualification of an arbitrator on the ground that he was ineligible for appointment to the Tribunal under Section 2 of Chapter IV.
第五十七條 一方可以根據(jù)明顯缺乏第十四條第一款規(guī)定的品質(zhì)的任何事實(shí),向委員會(huì)或仲裁庭建議取消其任何成員的資格。參加仲裁程序的一方還可根據(jù)第四章第二節(jié)以某一仲裁員無(wú)資格在仲裁庭任職為理由,建議取消該仲裁員的資格。
Article 58 The decision on any proposal to disqualify a conciliator or arbitrator shall be taken by the other members of the Commission or Tribunal as the case may be, provided that where those members are equally divided, or in the case of a proposal to disqualify a sole conciliator or arbitrator, or a majority of the conciliators or arbitrators, the Chairman shall take that decision. If it is decided that the proposal is well-founded the conciliator or arbitrator to whom the decision relates shall be replaced in accordance with the provisions of Section 2 of Chapter III or Section 2 of Chapter IV.
第五十八條 對(duì)任何取消調(diào)解員或仲裁員資格的建議的決定應(yīng)視情況由委員會(huì)或仲裁庭的其他成員作出,但如成員中雙方人數(shù)相等,或遇到建議取消獨(dú)任調(diào)解員或仲裁員的資格,或取消大多數(shù)調(diào)解員或仲裁員的資格時(shí),則應(yīng)由主席作出決定。如決定認(rèn)為該建議理由充分,則該決定所指的調(diào)解員或仲裁員應(yīng)依照第三章第二節(jié)或第四章第二節(jié)的規(guī)定予以更換。
CHAPTER VI Cost of Proceedings第六章 訴訟費(fèi)用
Article 59第五十九條
The charges payable by the parties for the use of the facilities of the Centre shall be determined by the Secretary-General in accordance with the regulations adopted by the Administrative Council.
雙方為使用中心的設(shè)施而應(yīng)付的費(fèi)用由秘書長(zhǎng)依照行政理事會(huì)通過(guò)的條例予以確定。
Article 60第六十條
(1) Each Commission and each Tribunal shall determine the fees and expenses of its members within limits established from time to time by the Administrative Council and after consultation with the Secretary-General.
(2) Nothing in paragraph (1) of this Article shall preclude the parties from agreeing in advance with the Commission or Tribunal concerned upon the fees and expenses of its members.
一、每一委員會(huì)和每一仲裁庭應(yīng)在行政理事會(huì)隨時(shí)規(guī)定的限度內(nèi)并在同秘書長(zhǎng)磋商后,決定其成員的費(fèi)用和開支。
二、本條第一款的規(guī)定并不排除雙方事先同有關(guān)的委員會(huì)或仲裁庭就其成員的費(fèi)用和開支達(dá)成協(xié)議。
Article 61第六十一條
(1) In the case of conciliation proceedings the fees and expenses of members of the Commission as well as the charges for the use of the facilities of the Centre, shall be borne equally by the parties. Each party shall bear any other expenses it incurs in connection with the proceedings.
(2) In the case of arbitration proceedings the Tribunal shall, except as the parties otherwise agree, assess the expenses incurred by the parties in connection with the proceedings, and shall decide how and by whom those expenses, the fees and expenses of the members of the Tribunal and the charges for the use of the facilities of the Centre shall be paid. Such decision shall form part of the award.
一、就調(diào)解程序而言,委員會(huì)成員的費(fèi)用和開支以及使用中心的設(shè)施的費(fèi)用,應(yīng)由雙方平均分?jǐn)?。每一方?yīng)負(fù)擔(dān)各自與程序有關(guān)的任何其他開支。
二、就仲裁程序而言,除雙方另有協(xié)議外,仲裁庭應(yīng)估計(jì)雙方同程序有關(guān)的開支,并決定該項(xiàng)開支、仲裁庭成員的酬金和開支以及使用中心的設(shè)施的費(fèi)用應(yīng)如何和由何人償付。此項(xiàng)決定應(yīng)成為裁決的一部分。
CHAPTER VII Place of Proceedings第七章 訴訟地
Article 62 Conciliation and arbitration proceedings shall be held at the seat of the Centre except as hereinafter provided.
第六十二條 調(diào)解和仲裁程序除以下的條文規(guī)定外,應(yīng)在中心的所在地舉行。
Article 63 Conciliation and arbitration proceedings may be held, if the parties so agree,
(a) at the seat of the Permanent Court of Arbitration or of any other appropriate institution, whether private or public, with which the Centre may make arrangements for that purpose; or
(b) at any other place approved by the Commission or Tribunal after consultation with the Secretary-General.
第六十三條 如果雙方同意,調(diào)解和仲裁程序可以在下列地點(diǎn)舉行:
?。ㄒ唬┏TO(shè)仲裁庭或任何其他適當(dāng)?shù)墓綑C(jī)構(gòu)的所在地,中心可以同上述機(jī)構(gòu)就此目的作出安排;
(二)委員會(huì)或仲裁庭在同秘書長(zhǎng)磋商后所批準(zhǔn)的任何其他地點(diǎn)。
CHAPTER VIII Disputes Between Contracting States第八章 締約國(guó)之間的爭(zhēng)端
Article 64 第六十四條
Any dispute arising between Contracting States concerning the interpretation or application of this Convention which is not settled by negotiation shall be referred to the International Court of Justice by the application of any party to such dispute, unless the States concerned agree to another method of settlement.
締約國(guó)之間發(fā)生的不能通過(guò)談判解決的有關(guān)本公約的解釋或適用的任何爭(zhēng)端,經(jīng)爭(zhēng)端任何一方申請(qǐng),可提交國(guó)際法院,除非有關(guān)國(guó)家同意采取另一種解決辦法。
CHAPTER IX Amendment第九章 修改
Article 65第六十五條
Any Contracting State may propose amendment of this Convention. The text of a proposed amendment shall be communicated to the Secretary-General not less than 90 days prior to the meeting of the Administrative Council at which such amendment is to be considered and shall forthwith be transmitted by him to all the members of the Administrative Council.
任何締約國(guó)可建議修改本公約。建議修改的文本應(yīng)在審議該修改案的行政理事會(huì)召開會(huì)議之前至少九十天送交秘書長(zhǎng),并由秘書長(zhǎng)立即轉(zhuǎn)交行政理事會(huì)所有成員。
Article 66第六十六條
(1) If the Administrative Council shall so decide by a majority of two-thirds of its members, the proposed amendment shall be circulated to all Contracting States for ratification, acceptance or approval. Each amendment shall enter into force 30 days after dispatch by the depositary of this Convention of a notification to Contracting States that all Contracting States have ratified, accepted or approved the amendment.
(2) No amendment shall affect the rights and obligations under this Convention of any Contracting State or of any of its constituent subdivisions or agencies, or of any national of such State arising out of consent to the jurisdiction of the Centre given before the date of entry into force of the amendment.
一、如果行政理事會(huì)根據(jù)其成員的三分之二多數(shù)決定修改,則建議修改的文本應(yīng)分送給所有締約國(guó)予以批準(zhǔn)、接受或核準(zhǔn)。每次修改應(yīng)在本公約的保管人向各締約國(guó)發(fā)出關(guān)于所有締約國(guó)已經(jīng)批準(zhǔn)、接受或核準(zhǔn)該項(xiàng)修改的通知之后三十天開始生效。
二、任何修改不得影響任何締約國(guó)或其任何組成部分或機(jī)構(gòu)或該國(guó)的任何國(guó)民,在修改生效之日以前表示同意受中心管轄而產(chǎn)生的由本公約規(guī)定的權(quán)利和義務(wù)。
CHAPTER X Final Provisions第十章 最后條款
Article 67 第六十七條
This Convention shall be open for signature on behalf of States members of the Bank. It shall also be open for signature on behalf of any other State which is a party to the Statute of the International Court of Justice and which the Administrative Council, by a vote of two-thirds of its members, shall have invited to sign the Convention.
本公約應(yīng)開放供銀行的成員國(guó)簽字。本公約也向參加國(guó)際法院規(guī)約和行政理事會(huì)根據(jù)其成員的三分之二多數(shù)票邀請(qǐng)簽署本公約的任何其他國(guó)家開放簽字。
Article 68第六十八條
(1) This Convention shall be subject to ratification, acceptance or approval by the signatory States in accordance with their respective constitutional procedures.
(2) This Convention shall enter into force 30 days after the date of deposit of the twentieth instrument of ratification, acceptance or approval. It shall enter into force for each State which subsequently deposits its instrument of ratification, acceptance or approval 30 days after the date of such deposit.
一、本公約須由簽字國(guó)依照其各自的憲法程序予以批準(zhǔn)、接受或核準(zhǔn)。
二、本公約在交存第二十份批準(zhǔn)、接受或核準(zhǔn)書之日后三十天開始生效。對(duì)以后每一個(gè)交存批準(zhǔn)、接受或核準(zhǔn)書的國(guó)家,本公約在其交存之日后三十天開始生效。
Article 69 Each Contracting State shall take such legislative or other measures as may be necessary for making the provisions of this Convention effective in its territories.
第六十九條 每一締約國(guó)應(yīng)采取使本公約的規(guī)定在其領(lǐng)土內(nèi)有效所必需的立法或其他措施。
Article 70 This Convention shall apply to all territories for whose international relations a Contracting State is responsible, except those which are excluded by such State by written notice to the depositary of this Convention either at the time of ratification, acceptance or approval or subsequently.
第七十條 本公約應(yīng)適用于由一締約國(guó)負(fù)責(zé)國(guó)際關(guān)系的所有領(lǐng)土,但不包括締約國(guó)在批準(zhǔn)、接受或核準(zhǔn)時(shí),或其后以書面通知本公約的保管人予以除外的領(lǐng)土。
Article 71 Any Contracting State may denounce this Convention by written notice to the depositary of this Convention. The denunciation shall take effect six months after receipt of such notice.
第七十一條 任何締約國(guó)可以書面通知本公約的保管人退出本公約。該項(xiàng)退出自收到該通知六個(gè)月后開始生效。
Article 72 Notice by a Contracting State pursuant to Articles 70 or 71 shall not affect the rights or obligations under this Convention of that State or of any of its constituent subdivisions or agencies or of any national of that State arising out of consent to the jurisdiction of the Centre given by one of them before such notice was received by the depositary.
第七十二條 締約國(guó)依照第七十條或第七十一條發(fā)出的通知,不得影響該國(guó)或其任何組成部分或機(jī)構(gòu)或該國(guó)的任何國(guó)民在保管人接到上述通知以前由他們其中之一所表示的同意受中心的管轄而產(chǎn)生的由本公約規(guī)定的權(quán)利和義務(wù)。
Article 73 Instruments of ratification, acceptance or approval of this Convention and of amendments thereto shall be deposited with the Bank which shall act as the depositary of this Convention. The depositary shall transmit certified copies of this Convention to States members of the Bank and to any other State invited to sign the Convention.
第七十三條 本公約的批準(zhǔn)、接受或核準(zhǔn)書以及修改的文本應(yīng)交存于銀行,它是本公約的保管人。保管人應(yīng)將本公約核證無(wú)誤的副本送交銀行的成員國(guó)和被邀請(qǐng)簽署本公約的任何其他國(guó)家。
Article 74 The depositary shall register this Convention with the Secretariat of the United Nations in accordance with Article 102 of the Charter of the United Nations and the Regulations thereunder adopted by the General Assembly.
第七十四條 保管人應(yīng)依照聯(lián)合國(guó)憲章第一○二條和大會(huì)通過(guò)的有關(guān)條例向聯(lián)合國(guó)秘書處登記本公約。
Article 75 The depositary shall notify all signatory States of the following:
(a) signatures in accordance with Article 67;
(b) deposits of instruments of ratification, acceptance and approval in accordance with Article 73;
(c) the date on which this Convention enters into force in accordance with Article 68;
(d) exclusions from territorial application pursuant to Article 70;
(e) the date on which any amendment of this Convention enters into force in accordance with Article 66; and
(f) denunciations in accordance with Article 71.
第七十五條 保管人應(yīng)將下列各項(xiàng)通知所有簽字國(guó):
?。ㄒ唬┮勒盏诹邨l的簽字;
?。ǘ┮勒盏谄呤龡l交存的批準(zhǔn)、接受和核準(zhǔn)書;
?。ㄈ┮勒盏诹藯l本公約的生效日期;
?。ㄋ模┮勒盏谄呤畻l不適用本公約的領(lǐng)土;
(五)依照第六十六條對(duì)本公約的任何修改的生效日期;
(六)依照第七十一條退出本公約。
DONE at Washington, in the English, French and Spanish languages, all three texts being equally authentic, in a single copy which shall remain deposited in the archives of the International Bank for Reconstruction and Development, which has indicated by its signature below its agreement to fulfill the functions with which it is charged under this Convention.
訂于華盛頓,用英文、法文和西班牙文寫成,三種文本具有同等效力。正本一份,存放在國(guó)際復(fù)興開發(fā)銀行檔案庫(kù),銀行已在下方簽字,以表明它同意根據(jù)本公約履行其職責(zé)。
