　　Received from you upon trust the following document(s) of title covering or the letter(s) of guarantee to the shipping company duly countersigned by you (collectively, the Documents) to enable us to take delivery of the undermentioned goods pledged to you as security:

　　本公司基于信托的方式，作為貴行的受托人，從貴行收到貴行加簽的如下貨物所有權(quán)證或簽發(fā)給船公司的銀行保函(以下合稱 單據(jù))，以使本公司能夠提取下述質(zhì)押給貴行的貨物。

　　In consideration of your releasing to us the Documents, we agree with and undertake to you as follows:

　　鑒于貴行向本公司釋放單據(jù)，本公司同意并向貴行承諾如下：

　　(i) The Documents and the goods and/or products to which they relate (the Goods) are now and shall remain in pledge to you as security for the due performance of our obligations to you free of any security interest in favor of any other person and we shall receive and hold the Documents and take delivery of and deal with the Goods exclusively for obtaining delivery of and/or making delivery to purchasers of the Goods or third parties for the purpose of processing and selling the Goods unless you shall direct or agree otherwise.

　　本公司現(xiàn)在和今后將繼續(xù)把單據(jù)以及與單據(jù)相關(guān)的貨物和/或產(chǎn)品(貨物)質(zhì)押給貴行，以作為本公司完全履行義務(wù)的擔(dān)保，該擔(dān)保不受以任何其他人為受益人的任何擔(dān)保權(quán)益的影響。除非貴行另行同意或指示，本公司將僅為接收貨物和/或?yàn)殇N售或加工而向買方或第三方交付貨物之目的接收并持有單據(jù)。

　　(ii) The Documents, the Goods and the proceeds of sale are and will be held by us on trust for you and solely to your order but we shall bear all risks and expenses. We shall pay all proceeds of sale of the Goods (in whatever form they may take), and any sums received in respect of insurances relating to the Goods, to you immediately on receipt without any set-off or deduction. We shall keep records which properly record your interest in the Goods. Pending payment of the sale proceeds of the Goods to you, we shall hold them on trust for you and solely to your order, and shall keep them in a separate bank account segregated from all other funds under our control.

　　本公司現(xiàn)在和將來均作為貴行的受托人持有單據(jù)、貨物和銷售收益并完全憑貴行指示行事，但是本公司應(yīng)承擔(dān)全部風(fēng)險(xiǎn)和費(fèi)用。本公司一旦收到貨物的銷售收益(無論以何種形式)以及與貨物保險(xiǎn)相關(guān)的任何金額，應(yīng)立即向貴行全額支付，不得作任何抵消或扣減。本公司應(yīng)就貴行對貨物享有的利益進(jìn)行正確記錄。在將貨物的銷售收益支付給貴行之前，本公司應(yīng)當(dāng)作為貴行的受托人持有該款項(xiàng)并憑貴行指示行事，并且應(yīng)當(dāng)將該款項(xiàng)存放在與本公司控制的其他款項(xiàng)相分隔的單獨(dú)銀行賬戶中。

　　(iii) You are hereby authorised to demand and/or receive the sale proceeds of the Goods directly from any buyer or other person, and to exercise all other rights (if any) of us as the seller.

　　本公司在此授權(quán)貴行直接向任何買方或其他人請求支付和/或接收貨物的銷售收益，并行使本公司作為賣方所享有的全部其他權(quán)利(如有)。

　　(iv) The Goods shall be stored in your name and any warrants for the Goods shall be delivered to you. Pending sale of the Goods, we undertake to warehouse the Goods as you may from time to time direct. You are authorised to enter any premises so as to inspect or secure possession of the Goods and the Documents, to remove and dispose of the Goods (or any of them) by sale or otherwise as you may think fit and otherwise to deal with the Goods as you may consider expedient.

　　本公司應(yīng)當(dāng)以貴行名義存儲貨物并將收據(jù)提交給貴行。在貨物銷售之前，本公司承諾將按貴行不時(shí)發(fā)出的指示對貨物進(jìn)行倉儲。本公司在此授權(quán)貴行進(jìn)入任何地點(diǎn)，以檢查或確保貨物和單據(jù)的占有情況，并授權(quán)貴行以銷售或貴行認(rèn)為適當(dāng)?shù)钠渌绞睫D(zhuǎn)移和處置貨物(或其任何部分)，以及以貴行認(rèn)為有利的其他方式處置貨物。

　　(v) We shall pay all warehousing, freight, dock and other charges relating to the Goods and Documents.

　　本公司應(yīng)支付與貨物和單據(jù)有關(guān)的全部倉儲費(fèi)、運(yùn)費(fèi)、碼頭費(fèi)和其他費(fèi)用。

　　(vi) We shall advise you of the whereabouts of the Goods at all times and keep this transaction, the Documents, the Goods and all sale proceeds separate from any others and shall not permit the Goods to be processed or altered without your prior written consent. If the Goods shall be held in premises belonging to us or otherwise stored with other assets belonging to us, we shall ensure that the Goods are physically segregated and easily identifiable as being held on trust for you.

　　本公司應(yīng)當(dāng)隨時(shí)告知貴行貨物的所在地點(diǎn)，并保持本交易、單據(jù)、貨物和全部銷售收益的獨(dú)立性。在得到貴行的書面同意之前，不得允許對貨物進(jìn)行加工或變更。如果貨物存放在本公司的場地或者與本公司的其他財(cái)產(chǎn)一起存放，本公司應(yīng)確保本公司作為貴行受托人所持有的貨物在物理上具有獨(dú)立性并且容易與其他財(cái)產(chǎn)相區(qū)分。

　　(vii) We shall keep the Goods fully insured against all insurable risks as you may require at our expense with such insurers as you may approve and shall hold the policies and any insurance instruments and proceeds on trust for you and solely to your order. We shall notify you forthwith of any circumstances likely to give rise to an insurance claim under such insurances. In the event of loss or damage, we shall account to you immediately for any moneys received from the insurers and shall make good any deficiency.

　　本公司應(yīng)當(dāng)根據(jù)貴行的要求，自負(fù)費(fèi)用向貴行批準(zhǔn)的保險(xiǎn)公司就全部可保風(fēng)險(xiǎn)對貨物進(jìn)行投保，并應(yīng)當(dāng)作為貴行的受托人持有保險(xiǎn)單、其他保險(xiǎn)憑證和保險(xiǎn)收益，憑貴行指示行事。本公司將及時(shí)通知貴行在相關(guān)保險(xiǎn)項(xiàng)下可能發(fā)生保險(xiǎn)金索賠請求的任何情況。如發(fā)生損失或損害，本公司將把自保險(xiǎn)公司收到的任何款項(xiàng)立即支付給貴行，并就任何差額對貴行作出補(bǔ)償。

　　(viii) We shall not sell or otherwise dispose of any of the Goods, except by a sale or other disposal as trustee for you in accordance with the terms and conditions of this Trust Receipt.

　　本公司不得出售或者以其他方式處置貨物，但依照本信托收據(jù)的條款和條件并作為貴行受托人進(jìn)行的出售或其他處置除外。

　　(ix) You may, at any time, terminate this Trust Receipt and take possession of the Goods and/or the Documents and/or the proceeds of sale, wherever and in whatever form the same may be. We undertake to return to you forthwith upon your request at any time the Documents and/or any other documents received by us in exchange or substitution for them and to comply promptly and fully with any instructions which you may give as to the manner of processing and dealing with the Goods (or any of them) or the removal of them to, or storage of them at, any place.

　　貴行可隨時(shí)終止本信托收據(jù)并占有貨物和/或單據(jù)和/或銷售收益，無論其處于何地或何種形式。本公司承諾，一經(jīng)貴行要求，本公司即向貴行返還單據(jù)和/或本公司作為單據(jù)的交換品或替代品而收到的其他文件，并立即完全遵照貴行就貨物(或其任何部分)的加工和處置方式所發(fā)出的，或?qū)⒇浳?或其任何部分)從某地轉(zhuǎn)出或儲存于某地的任何指示。

　　(x) If the credit term arranged with you on this Trust Receipt expires, you are hereby authorised to debit our current account in full/partial repayment of the loan against import and/or retirement of the relevant bill without reference to us.

　　如本信托收據(jù)的授信期間到期，本公司授權(quán)貴行在無需通知本公司的情況下，借記本公司的往來賬戶以償還全部/部分進(jìn)口押匯款項(xiàng)及/或結(jié)清相關(guān)單據(jù)款項(xiàng)。

　　(xi) We acknowledge that in case the Goods are taken delivery by means of a letter or letters of guarantee to the shipping company, the value appearing above is an approximate value only estimated by us in the absence of the exporter‘s invoice relating to the Goods which has not yet been received by either us or yourselves and we accordingly acknowledge and agree that we shall abide by and accept as the actual value of the Goods such total sum as shall be revealed by your books as relating to the commercial credit or loan against import as the case may be which shall be established pursuant to the document(s) relating to trade financing transactions executed by us and on file with you from time to time (as such document(s) may be amended from time to time) and after you have discharged your liability to your correspondent in relation to the Goods and the same shall be final.

　　本公司確認(rèn)，如果貨物是以向船公司交付銀行保函的形式提取，由于本公司或貴行還沒收到出口商出具的與貨物相關(guān)的發(fā)票，此時(shí)上述的金額是由本公司估計(jì)的近似的金額。本公司確認(rèn)并且同意，當(dāng)貴行履行了與上述貨物有關(guān)的責(zé)任后，接受上述貨物的實(shí)際價(jià)格，其總額應(yīng)與貴行根據(jù)本公司與貴行隨時(shí)簽署并在貴行存檔的有關(guān)貿(mào)易融資交易文件(該等文件可不時(shí)進(jìn)行修訂)所開立的信用證或進(jìn)口押匯的賬面總額相一致。

　　(xii) We shall not pledge, charge or otherwise encumber the Goods for any purpose, nor allow any person (other than you) to acquire any security interest in them, nor part with control of them except to purchasers thereof in the ordinary course of our business.

　　本公司不得為任何目的在貨物上設(shè)立質(zhì)押、擔(dān)保或其他負(fù)擔(dān)，亦不得允許任何人(貴行除外)在貨物上取得任何擔(dān)保利益，并且除了正常經(jīng)營過程中的買方外，不得放棄對貨物的控制。

　　(xiii) We shall not without your prior written consent sell the Goods (or any of them) on credit terms or for less than the bill amount (if any) as shown above. Nor shall we sell the Goods to purchasers to whom we are indebted or under any liability.

　　未經(jīng)貴行書面同意，本公司不得賒銷貨物(或其任何部分)，或者以低于上述票據(jù)金額(如有)的價(jià)格出售貨物，并不得向本公司對其欠付債務(wù)或負(fù)有任何責(zé)任的買方出售貨物。

　　(xiv) Your knowledge of any breach, failure or omission in respect of any of our obligations under this Trust Receipt shall not operate as a waiver of or otherwise preclude you from exercising any of your rights under this Trust Receipt.

　　貴行知悉本公司在信托收據(jù)項(xiàng)下的義務(wù)被違反，或者未能履行或疏于履行義務(wù)，不得視作貴行放棄本信托收據(jù)項(xiàng)下的任何權(quán)利，也不得以其他方式阻礙貴行行使相關(guān)權(quán)利。

　　(xv) You shall have no responsibility whatsoever for the correctness, validity or sufficiency of the Documents handed to us or for the existence, character, quality, quantity, condition, packing, value or delivery of the Goods.

　　貴行無需就貴行提交給本公司的單據(jù)的正確性、有效性或充分性承擔(dān)責(zé)任，也無需就貨物的存在、性質(zhì)、質(zhì)量、數(shù)量、狀況、包裝、價(jià)值或交付承擔(dān)責(zé)任。

　　(xvi) We hereby agree to promptly and fully indemnify you, your correspondents and agents on demand against all liabilities, claims, demands, losses, damages, taxes, costs, charges and expenses of any kind (including, without limitation, legal fees on a full indemnity basis) which may be suffered or incurred by you or any of your correspondents or agents and all actions or proceedings which may be brought by or against you or any of your correspondents or agents whether in contract, tort or otherwise arising from or in connection with your release to us of the Documents or otherwise in relation to the Goods in the absence of any negligence or willful default on your part.

　　本公司在此同意，如果貴行、貴行的往來行和代理行因向本公司釋放單據(jù)或與貨物有關(guān)的其他事項(xiàng)遭致或發(fā)生任何責(zé)任、索賠、請求、損失、損害、稅賦、成本、費(fèi)用和任何形式的支出(包括但不限于全部法律費(fèi)用)，或貴行提起或被提起合同、侵權(quán)或其他任何訴訟或程序，只要貴行不存在疏忽或故意的違約行為，本公司一經(jīng)請求，將立即對貴行、貴行的往來行和代理行做出充分補(bǔ)償。

　　(xvii) This Trust Receipt is of continuing effect notwithstanding the death, bankruptcy, liquidation, incapacity or any change in the constitution of us or any settlement of account or other matter whatsoever and is in addition to and shall not merge with or otherwise prejudice or affect any contractual or other right or remedy or any guarantee, pledge, bill, note, mortgage, (if permitted by law) lien or other security (whether created by the deposit of documents or otherwise) now or hereafter held by or available to you and shall not be in any way prejudiced or affected thereby or by the invalidity thereof or by you now or hereafter dealing with exchanging, releasing, varying or abstaining from perfecting or enforcing any of the same or any rights which you may now or hereafter have or giving time for payment or indulgence or compounding with any other person liable.

　　無論本公司發(fā)生死亡、破產(chǎn)、清算、喪失行為能力，或者本公司的組織機(jī)構(gòu)、賬戶結(jié)算或其他任何事項(xiàng)發(fā)生任何變更，本信托收據(jù)將繼續(xù)有效，并作為貴行當(dāng)前和今后持有或可獲得的合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、(如法律允許)留置或其他擔(dān)保(無論以質(zhì)押單據(jù)的方式或其他方式創(chuàng)設(shè))的補(bǔ)充，不得與其混同，并且不得以任何方式受到上述合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、(如法律允許)留置或其他擔(dān)保的損害或影響，或因其無效，或因貴行現(xiàn)在和將來交換、釋放、變更、放棄完善或強(qiáng)制執(zhí)行上述合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、(如法律允許)留置或其他擔(dān)保或貴行當(dāng)前和將來擁有的任何其他權(quán)利，或因貴行給予付款延展期，寬限或與其他責(zé)任人達(dá)成妥協(xié)而受到損害或影響。

　　(xviii) If signed by a firm, this Trust Receipt shall be binding jointly and severally on all persons from time to time carrying on business in the name of such firm or under the name in which the business of such firm may from time to time be continued notwithstanding the retirement or death of any partner or the introduction of any further partner.

　　如果本信托收據(jù)由合伙簽署，則不時(shí)以該合伙名義或以該合伙存續(xù)的業(yè)務(wù)在當(dāng)時(shí)所使用的名義從事經(jīng)營的全部人士均應(yīng)受其約束并承擔(dān)連帶責(zé)任，無論該合伙的任何合伙人發(fā)生退休，死亡或其引入任何新合伙人。

　　(xix) This Trust Receipt (this Trust Receipt)is governed by, and shall be construed in accordance with, the laws of the People’s Republic of China(for the purpose of this Receipt, excluding the laws of Hong Kong Administrative Region, Macao Administrative Region and Taiwan). Any dispute arising from the performance of this Trust Receipt or in connection with them may be resolved by negotiation between us. If it could not be resolved by negotiation, any party may take

　　proceedings in the court of competent jurisdiction in the place of the branch provided in the first page of this Trust Receipt. Nothing in this clause shall limit your right to take proceedings against us in any other court of competent jurisdiction. For the avoidance of doubt, any provisions other than those in dispute shall continue to be performed during the proceedings.

　　本信托收據(jù)(本信托收據(jù))受中國法律(為本信托收據(jù)之目的，不包括香港特別行政區(qū)、澳門特別行政區(qū)及臺灣省之法律)管轄并按其解釋。任何與本信托收據(jù)有關(guān)或其履行中產(chǎn)生的糾紛均應(yīng)由本公司與貴行協(xié)商解決。如果協(xié)商無法解決，則任何一方均有權(quán)向本信托收據(jù)首頁規(guī)定之分行所在地有管轄權(quán)的法院提起訴訟。本條款并不限制貴行在任何其他有管轄權(quán)的法院向本公司提起訴訟的權(quán)利。為了避免疑問，任何不涉及糾紛的條款在訴訟過程中應(yīng)繼續(xù)履行。

　　This Trust Receipt is signed in English and Chinese, both versions shall have the same legal effect.

　　本信托收據(jù)以英文本和中文本簽署，兩種文本具有相同的法律效力。
