SALE CONTRACT OF FOLDING UMBRELLAS

　　This contract is made this 15th day of July 2014 by Corporation (hereinafter referred to as SELLERS), a Chinese corporation having their principal office at 19 Wu Chang St., Sec. 1, Taipei, Taiwan, Republic of China, who agree to sell, and Z Corporation (hereinafter referred to as BUYERS), a New York corporation having their principal office at 30 Wall St., New York, NY, USA, who agree to buy the following goods on the terms and conditions as below:

　　本契約由 公司--總公司設(shè)于 (以下簡(jiǎn)稱賣方)與Z公司--總公司設(shè)于美國(guó)紐約州紐約市華爾街30號(hào)(以下簡(jiǎn)稱買方)于__ 日訂定，雙方同意按下述條件買賣下面貨物：

　　1. 貨物：女用雙折洋傘。COMMODITY: Ladies double folding umbrellas.

　　2. 品質(zhì)：雙節(jié)鐵質(zhì)鍍鉻傘柄，單面

　　QUALITY: 2 section shaft, iron and chrome plated shaft, unichrome plated ribs, siliconed coated waterproof plain nylon cover with same nylon cloth sack.

　　Size: 18 * 10 ribs As per sample submitted to BUYERS .

　　3. 數(shù)量：QUALITY: 10,000 (Ten thousand) dozen only.

　　4. 單價(jià)及總金額：UNIT PRICE: US$ per dozen CIF New York.

　　Total amount: US$140,000 (Say US Dollars one hundred forty thousand only) CIF New York.

　　5. 包裝：1打裝1盒，10盒裝1箱。PACKING: One dozen to a box, 10 boxes to a carton.

　　6. 裝船嘜頭：SHIPPING MARK: NEW YORK No.1 & Up

　　7. 裝運(yùn)：__ 日前裝運(yùn)，但以可接受的信用狀于__ 月底前開到賣方為條件，容許分批裝運(yùn)及轉(zhuǎn)運(yùn)。

　　SHIPMENT: To be shipped on or before December __subject to acceptable L/C reaches SELLERS before the end of __ , and partial shipments allowed, transshipment allowed.

　　8. 付款：憑一流銀行的不可撤銷的信用狀付款，信用狀以賣方為受益人，并照貨物金額100%開發(fā)。

　　PAYMENT: By a prime banker’s irrevocable sight L/C in SELLERS’ favor, for 100% value of goods.

　　9. 保險(xiǎn)：賣方應(yīng)洽保險(xiǎn)，投保B款險(xiǎn)并加保遺失竊盜險(xiǎn)及兵險(xiǎn)，保險(xiǎn)金額按發(fā)票金額的100%投保，并須規(guī)定如有索賠應(yīng)在紐約以美金支付。

　　INSURANCE: SELLERS shall arrange marine insurance covering ICC (B) plus TPND and war risk for 110% of the invoice value and provide for claim, if any, payable in New York in US currency.

　　10. 檢驗(yàn)：貨物須經(jīng)一家獨(dú)立公證行檢驗(yàn)，其出具質(zhì)量及數(shù)量檢驗(yàn)證明書應(yīng)為最后認(rèn)定標(biāo)準(zhǔn)。

　　INSPECTION: Goods is to be inspected by an independent inspector and whose certificate of quality and quantity is to be final.

　　11. FLUCTUATIONS OF FREIGHT, INSURANCE PREMIUM, CURRENCY, ETC.

　　運(yùn)費(fèi)、保險(xiǎn)費(fèi)、幣值等的變動(dòng)

　　(1) 茲同意本契約內(nèi)所列價(jià)格全是以目前國(guó)際貨幣基金平價(jià)匯率35元兌換美金元為準(zhǔn)。倘若這項(xiàng)匯率在押匯時(shí)有任何變動(dòng)，則價(jià)格應(yīng)根據(jù)這項(xiàng)變動(dòng)比照調(diào)整及清償，俾賣方的臺(tái)幣收入不因而減少。

　　It is agreed that the prices mentioned herein are all based upon the present IMF parity rate of NT$35 to one US Dollar. In case, there in any change in such rate at the time of negotiating drafts, the prices shall be adjusted and settled according to the corresponding change so as not to decrease SELLERS’ proceeds in NT Dollars.

　　(2) 契約中所列價(jià)格全是以目前運(yùn)費(fèi)率及(或)兵險(xiǎn)和水險(xiǎn)保險(xiǎn)費(fèi)率為準(zhǔn)。裝運(yùn)時(shí)運(yùn)費(fèi)率及(或)保險(xiǎn)費(fèi)率如有增加，應(yīng)歸由買方負(fù)擔(dān)。

　　The prices mentioned herein are all based upon the current rate of freight and/or war and marine insurance premium. Any increase in freight and/or insurance premium rate at the time of shipment shall be for BUYER’S risks and account.

　　(3) 交貨前如原料及組成配件的成本增加甚巨，賣方保留調(diào)整契約中所列價(jià)格的權(quán)利。

　　SELLERS reserve the right to adjust the prices mentioned herein, if prior to delivery there is any substantial increase in the cost of raw material or component part.

　　12. 稅捐等：對(duì)于貨物或包件、原料，或履行契約有關(guān)活動(dòng)所課征的稅捐或規(guī)費(fèi)，如由產(chǎn)地國(guó)課征，歸由賣方負(fù)擔(dān);如由目的國(guó)課征，則歸由買方負(fù)擔(dān)。

　　TAXES AND DUTIES, ETC.: Any duties, taxes or levies imposed upon the goods, or any packages, material or activities involved in the performance of the contract shall be for account of origin, and for account of BYUERS if imposed by the country of destination.

　　13.索賠：對(duì)所裝貨物如有索賠情事發(fā)生，則請(qǐng)求索賠的通知必須于貨物抵達(dá)卸貨港后即刻以書面提示賣方，并且必須給賣方有調(diào)查的機(jī)會(huì)。俏若運(yùn)送船只到達(dá)卸貨港后21天內(nèi)沒(méi)有提示這項(xiàng)預(yù)先的書面通知以及提供調(diào)查機(jī)會(huì)，則索賠應(yīng)不予受理。在任何情況下，賣方對(duì)于使用貨物引起的損害，或?qū)τ陂g接或特別的傷害，或?qū)τ诔鲨Υ秘浳锇l(fā)票金額的款項(xiàng)均不負(fù)責(zé)。

　　CLAIMS: In the event of any claim arising in respect of any shipment, notice of intention to claim should be given in writing to SELLERS promptly after arrival of the goods at the port of discharge and opportunity must be given to SELLERS for investigation. Failing to give such prior notification and opportunity of investigation within twenty-one (21) days after the arrival of the carrying vessel at the port of discharge, no claim shall be entertained. In any event, SELLERS shall no be responsible for damages that may result from the use of goods or for consequential or special damages, or for any amount in excess of the invoice value of the defective goods.

　　14.不可抗力：因戰(zhàn)爭(zhēng)、封鎖、革命、暴動(dòng)、民變、民眾騷擾、動(dòng)員、罷工、工廠封鎖、天災(zāi)、惡劣氣候、疫病或其它傳染病、貨物因火災(zāi)或水災(zāi)而受毀壞、在交貨港因暴風(fēng)雨或臺(tái)風(fēng)而阻礙裝船，或在裝船前任何其它賣方所無(wú)法控制的事故發(fā)生，而致貨物的全部或一部份未能交貨，這未交貨部份的契約應(yīng)予取消。然而，在裝運(yùn)期限截止前，如貨物業(yè)經(jīng)備妥待運(yùn)，但因前述事故之一發(fā)生而致未能裝運(yùn)，則買方于接到賣方請(qǐng)求時(shí)，應(yīng)以修改信用裝方式或其它方式延長(zhǎng)裝運(yùn)期限。

　　FORCE MAJEURE: Non-delivery of all or any part of the merchandise cause by war, blockage, revolution, insurrection, civil commotions, riots, mobilization, strikes, lockouts, act of God, severe weather, plague or other epidemic, destruction of goods by fire of flood, obstruction of loading by storm or typhoon at the port of delivery, or any other cause beyond SELLERS’ control before shipment shall operate as cancellation of the sale to the extent of such non-delivery. However, in case the merchandise has been prepared and ready for shipment deadline but the shipment could not be effected due to any of the abovementioned causes, BUYERS shall extend the shipping deadline by means of amending relevant L/C or otherwise, upon the request of SELLERS.

　　15.仲裁：有關(guān)本契約買賣雙方間所引起的任何糾紛、爭(zhēng)議或歧見，可付諸仲裁。這項(xiàng)仲裁應(yīng)于臺(tái)灣臺(tái)北舉行，并應(yīng)依仲裁協(xié)會(huì)規(guī)則處理及進(jìn)行。

　　ARBITRATION: Any disputes, controversies or differences which may arise between the parties, out of , or in relation to or in connection with this contract may be refereed to arbitration. Such arbitration shall take place in Taipei, Taiwan, Republic of China, and shall be held and shall proceed in accordance with the rule of the Arbitration association of Republic of China.

　　16. 適用法：本契約的成立、效力、解釋，以及履行均受 國(guó)法律管轄。

　　PROPER LAW: The formation, validity, construction and the performance of this contract are governed by the laws of Republic of Chine.

　　本契約書兩份業(yè)經(jīng)雙方法定代理人訂定，于前文日期簽署。

　　IN WITNESS WHEREOF, the parties have executed this contract in duplicate by their duly authorized representative as on the date first above written.
