　　本合同經(jīng)買、賣雙方友好協(xié)商后在 年 月 日簽訂。根據(jù)本合同簽訂的條款，買方同意向賣方購買、賣方同意向買方提供下列輕鋼結構系統(tǒng)建筑材料一套(以下簡稱鋼結構)：

　　This Contract is made by and between the Buyer and Seller on ______ after friendly negotiations. The Buyer hereby agrees to purchase from the Seller, and the Seller hereby agrees to sell to the Buyer, the following set of metal building system (hereinafter, the Metal Building System) on the terms and conditions set forth in this Contract:

　　第二條 賣方供貨范圍 Article 2. Scope of Supply from Seller

　　2.1 在提供鋼結構時，賣方應負責：

　　In supplying the Metal Building System, the Seller shall be responsible for:

　　2.1.1設計并制造供應本項目地面以上的全部鋼結構(詳見附件一);及

　　the design and manufacture of this project’s entire above-ground structure (see Attachment 1 for details); and

　　2.1.2所提供鋼結構部件及材料的 □必要包裝 □運輸 □運輸?shù)谋ｋU。

　　the necessary packing □shipping □shipping insurance□of and for the parts and materials of the Metal Building System being supplied.

　　第三條 合同價格Article 3. Contract Price

　　3.1 本合同總價為人民幣 整(以下簡稱合同總價)。

　　The price of this Contract is Rmb (hereinafter, the Contract Price ).

　　3.2 合同總價不包含有關之 □關稅 □增值稅。

　　The Contract Price excludes the related customs duty □ value added taxes □.

　　第四條 付款條件及方式Article 4. Payment Terms

　　4.1 本合同簽訂后五個工作日內(nèi)，買方應付予賣方合同總價之20 %作為定金，即人民幣： 元。

　　Within 5 working days of the signing of this Contract, the Buyer shall pay to the Seller a deposit equal to 20% of the Contract Price, i.e. Rmb .

　　4.2 買方收到賣方的鋼結構設計圖并確認后三個工作日內(nèi)，應付予賣方合同總價之20 %作為預付款，即人民幣 元。

　　Within 3 working days of its receipt and approval of the design drawings for the Metal Building System, the Buyer shall pay to the Seller a prepayment amount equal to 20% of the Contract Price, i.e. Rmb .

　　4.3 鋼結構制造完成后，并經(jīng)買方驗收后五個工作日內(nèi)，買方應付予賣方合同總價之60%，即人民幣 元。

　　Within 5 working days after the manufacture of the Metal Building System has been completed and the Buyer has accepted the Metal Building System, the Buyer shall pay to the Seller 60% of the Contract Price, i.e. Rmb .

　　4.4 買方支付賣方的所有款項均以銀行匯票或電匯方式匯至賣方指定在 銀行所開之帳號，號碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項0.1%的滯納金。若買方之逾期付款超過應付款日三十天后，賣方有權單方面取消整個合同，并沒收買方已支付之定金、預付款和其他款項作為賠償。若該筆款項不足彌補賣方之損失，則買方還需就不足部分支付賠償金。

　　All payments to be made by the Buyer to the Seller hereunder shall be made by bank draft or wire transfer to the Seller’s designated account at Bank , account No. 086861-10224020560. The date of payment for all amounts shall be the official date of receipt by the seller’s receiving bank. If the Buyer’s payment is late for five days,it shall pay a penalty on the late sum from the sixth day at a rate of 0.1% per day. If the Buyer’s payment is late for more than 30 days, the Seller has a right to unilaterally terminate this Contract and forfeit the deposit, prepayment and any other sums as compensation . If such sums are not sufficient to compensate the Seller’s losses, the Buyer shall pay the Seller the amount of such deficiency.

　　第五條 設計、制造進度及期限Article5. Progress and Time Limit on Design and Manufacture

　　5.1 賣方收到定金后四周內(nèi)，應向買方提供設計所需的反力圖及地腳螺栓布置圖。買方應盡快將以上資料提交負責設計地基和基礎的設計院。有關設計院的所有費用(包括圖簽費用)均由買方承擔。

　　Within four weeks after it received the deposit, the Seller shall provide to the Buyer the reaction drawings and the drawings for the placement of the anchor bolts required for the design of the Metal Building System. The Buyer shall give this information to the design institute responsible for the design of the foundation as soon as possible. All costs related to the design institute (including the cost of signing the drawings) shall be borne by the Buyer.

　　5.2 收到預付款后 周，賣方應完成鋼結構制造并通知買方派員到賣方工廠進行交貨發(fā)運前檢驗。

　　Within weeks after it received the prepayment, the Seller shall complete the manufacture of the Metal Building System and notify the Buyer to send its representative to the Seller’s plant to inspect the goods before their delivery and shipment.

　　5.3 買方驗收后已付賣方第4.3條貨款后一周內(nèi)，賣方應將產(chǎn)品運至工地現(xiàn)場。

　　Within one week after the Buyer has inspected and accepted the goods and paid Seller the amount set forth in article 4.3 hereof, the Seller shall have the goods shipped to the Site.

　　5.4 買方若要求變更鋼結構規(guī)格或設計，應以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時和材料調(diào)整本合同價格及期限，經(jīng)買賣雙方同意后才生效。所有鋼結構規(guī)格或設計之變更，若因買方未能于兩天內(nèi)簽署賣方所提供的有關確認文件，均視為買方取消變更要求，恢復原本規(guī)格或設計。如因此而造成鋼結構設計或制造之延誤，則買方須承擔一切責任。

　　Should the Buyer request any changes to the specifications or design of the Metal Building System, it shall notify the seller in writing. The Seller shall try to satisfy the Buyer’s request as best as possible, but may adjust the Contract Price or the time frame for performance based on the additional amount of work, time and materials required as a result of such changes. Such adjustments shall be effective upon agreement by both the Buyer and the Seller. If the Buyer shall fail to sign the relevant confirmation provided by the Seller relating to such adjustments within 2 days thereof , such adjustments shall be deemed to be cancelled by the Buyer. The Buyer shall not be responsible for any delays in the design or manufacture of the Metal Building System as a result thereof.

　　5.5 除天災人禍等不可抗力因素及因買方未盡本合同責任之情形以外，如賣方逾期完成以上任何一項義務，須從逾期第四天起按日支付該筆逾期款項0.1%的罰款，但該罰款不應超過本合同總價之3%。

　　Except for force majeure or a failure by the Buyer to perform its obligations under this Contract, if the Seller fails to complete on time any of its tasks set forth above, it shall pay a penalty of 0.1% per day on the late amount, commencing on the fourth day of such delay, provided that such penalty shall not exceed 3% of the Contract Price.

　　5.6 第5.2及5.3條所提到的交貨時限是以買方在收到鋼結構設計圖后七天內(nèi)把確認圖還給賣方和買方在收到驗收通知后七天內(nèi)派員到賣方工廠進行貨物檢驗為根據(jù)。買方每逾期一天確認設計圖或到賣方工廠驗貨，無論什么原因，賣方的交貨時限會延遲兩天，如該逾期超過七天，賣方有權根據(jù)其當時的業(yè)務要求重新安排交貨時間。

　　The delivery schedule referred to in Sections 5.2 and 5.3 hereof is subject to the Purchaser returning the approved design drawings to the Seller within 7 days of receipt thereof and inspecting the goods at Seller’s plant within 7 days of notice thereof from the Seller. Each day of delay in the return of such approved drawings to the Seller or such inspection of the goods, for whatever reasons, will result in a two-day postponement of the date of delivery. If any such delay shall exceed 7 days, the Seller shall be entitled to re-schedule the delivery date based on its then existing business commitments.

　　5.7 買方應賠償或補償賣方因買方造成的交貨延誤所受到的所有損失，包括(但不限于)貨物貯存的費用，該費用以每天每噸人民幣83元計算。

　　The Purchaser shall indemnify the Seller for all costs incurred by it as a result of any delay in the delivery of the Metal Building System caused by the Purchaser, including, without limitation, the cost of storage which shall be charged at the rate of Rmb 83 per ton per day.

　　第六條 裝運和清點Article 6. Packing, Shipping and Inventory

　　6.1 鋼結構制造完畢、經(jīng)買方驗收后方能裝運到工地現(xiàn)場。賣方應提前一周前通知買方其發(fā)運日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場物資存放的道路、場地及水電供應等。

　　The Metal Building System may be packed and shipped to the Site only after the manufacture of the Metal Building System is completed and the Buyer has inspected and accepted the goods. The Seller shall notify the Buyer one week in advance of the shipment date so that the Buyer can provide the working convenience for the Seller, such as the roads and place for the storage of the goods and water and electricity, etc.

　　6.2 貨物到達工地現(xiàn)場后，買方應即時清點及驗查貨物質(zhì)量并簽收。如有損壞，買方應即時通知賣方。

　　After the goods arrived at the Site, the Seller shall immediately inventory and inspect the quality of the goods and accept them. If there is any damage thereto, the Buyer shall immediately notify the Seller.

　　6.3 工地現(xiàn)場的卸貨由買方負責，如有延誤，所有費用由買方負責。

　　The Buyer shall be responsible for the unloading of the goods at the Site. The costs of any delays shall be borne by the Buyer.

　　第七條 產(chǎn)品檢驗Article7. Inspection of Goods

　　7.1 如在驗收過程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復，達到合同要求。如有爭議，買方可申請上海進出口商品檢驗局就產(chǎn)品質(zhì)量、規(guī)格及性能進行檢驗，所有費用由買方承擔。

　　If during the course of inspection the Buyer discovers that the quality, quantity, specifications of nature of the goods do not meet with the requirements in the Contract, it may request to return the goods or have them repaired or replaced so as to meet the requirements in the Contract. If there is any dispute, the Buyer may apply to have Shanghai Import & Export Commodity Inspection Bureau to inspect the quality, quantity, specifications and nature of the goods. All costs related thereto shall be borne by the Buyer.

　　第八條 賣方聲明和保證Article 8. Seller’s Representations and Warranties

　　8.1 賣方對產(chǎn)品質(zhì)量作出下列聲明及保證：

　　The Seller makes the following representations and warranties with respect to the quality and quantity of the goods:

　　8.2 鋼結構設計以美國Metal building Members Association (MBMA) 建筑規(guī)范 (1986年版)及相關技術文本為標準。

　　The design of the Metal Building System is based on the building codes of the Metal Building Members Association (MBMA) of the United States of America (1986 Edition) and related technical documents.

　　8.3 賣方對產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達工地現(xiàn)場一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問題，賣方會免費提供維修服務。此產(chǎn)品質(zhì)量保證不包括因買方不當處置產(chǎn)品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。

　　The Seller’s warranty on the goods is one years. If the goods develop problem during normal operation within one years. of its arrival at the Site, the Seller shall provide free repair service. This warranty does not cover any problems caused by the mishandling of the goods by the Buyer or indirect losses caused by the raw materials or any consequential damages.

　　第九條 技術資料和單據(jù)Article 9. Technical Information and Receipts

　　9.1 賣方應在產(chǎn)品送達工地現(xiàn)場一周前，把下列技術資料交給買方：

　　9.1.1由制造廠發(fā)出產(chǎn)品說明書一份;和

　　9.1.2施工圖一式三份。

　　Within one week of the delivery of the goods to the Site, the Seller shall provide the following technical information to the Buyer:

　　9.1.1 A copy of the product description issued by the manufacturer; and

　　9.1.2Three copies of the construction drawings.

　　9.2 賣方應于賣方在產(chǎn)品運出后，把下列單據(jù)交給買方：

　　9.2.1稅務發(fā)票，內(nèi)容注明本合同編號、項目名稱等;

　　9.2.2交貨清單一式四份;

　　9.2.3制造廠簽發(fā)的質(zhì)量證明書;和

　　After the goods have been shipped ,the Seller shall provide the Buyer with the following invoices and receipts:

　　9.2.1A tax receipt, the content of which shall include the number of this Contract, the name of the project, etc.

　　9.2.2 Four copies of the inventory list of the goods delivered;

　　9.2.3 The quality and quantity certificate issued by the manufacturer; and

　　第十條 不可抗力Article10. Force Majeure

　　10.1 買賣雙方中任何一方，由于人力不可抗力事故而影響合同執(zhí)行時，則延遲履行合同的期限，延遲的時間相當于事故所影響的時間，受事故影響一方應于事故發(fā)生后三天內(nèi)將所發(fā)生的不可抗力事故的情況用傳真方式通知對方，并在十天內(nèi)遞交有關證明文件給另一方確認。當不可抗力事故終止后，受事故影響的一方應于事故終止后三天內(nèi)用以傳真方式通知對方，并以信件證實。任何不可抗力事故影響合同執(zhí)行超過12周以上的，雙方應應合同執(zhí)行的有關問題進行協(xié)商。

　　If the performance of the Buyer or Seller under this Contract is affected by a force majeure, then the period for such performance shall be postponed during the duration of such event. The affected party shall notify the other party by fax within 3 days of the occurrence of such event and shall provide the other party evidence of such event within 10 days of the occurrence of such event. After the force majeure event has terminated, the affected party shall notify the other party by fax within 3 day after the termination of such event followed by a latter to evidence such termination. The parties shall discuss the problems of this Contract if any force majeure event shall affect such performance for more than 12 weeks.

　　10.2 不可抗力事故包括任何預料之外事件，如戰(zhàn)爭、叛亂、暴動、騷動、火災、罷工、自然災害、禁運及任何其他賣方控制范圍以外之事件。

　　For purposes hereof, force majeure means any unforeseeable event, such as war, insurrection, mob action, civil commotion, fire, strike, natural disaster, embargo and any other event outside the control of the Seller.

　　第十一條 仲裁Article 11. Arbitration

　　11.1 凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關的一切爭議，雙方應通過友好協(xié)商解決，如協(xié)商不成，任何一方可提交上海市經(jīng)濟貿(mào)易仲裁委員會進行仲裁，仲裁裁決是最終的，對雙方都有約束力。仲裁費用由敗訴方承擔。

　　All disputes arising out of or in connection with this Contract shall be resolved by the parties through friendly negotiations . If the parties are unable to resolve such disputes, either party may submit such disputes to arbitration by the China International Economic and Trade Arbitration Commission, which arbitral award shall be final and binding on both parties. The costs of arbitration shall be borne by the losing party.

　　第十二條 其他條款Article12. Other Provisions

　　12.1 本合同經(jīng)雙方簽字及蓋章后生效。買賣雙方之所有責任和義務完畢時，本合同自然終止。

　　This Contract shall be effective after both parties have signed and sealed it. When the duties and obligations of the Buyer and Seller are completed, this contract shall automatically terminate.

　　12.2 本合同的附件為本合同不可分割之組成部分，與本合同具有同等法律效力。

　　The appendices to this Contract constitute an inseparable part of this Contract and shall have the same legal effect of this Contract.

　　12.3 本合同包含雙方所有談判內(nèi)容及協(xié)商的條款，并取代雙方以往對合同項目的一切協(xié)議。

　　This Contract sets forth the entire understanding and agreement of the parties and shall supersede all prior agreements between the parties with respect to the project set forth in this Contract.

　　12.4 本合同正本一式四份，由買賣雙方各執(zhí)二份。

　　This Contract has four counterparts, the Buyer and the Seller each to have two counterparts.

　　設計及材料說明Design & Materials Specification

　　1. 主框架：Main Frame:

　　所有鋼性框架為焊接成型的變截面I形柱、梁;所有端墻屋面梁和端墻柱根據(jù)設計要求同樣選擇組合焊接I型變截面，設計時根據(jù)AISC1989年6月1日版的鋼結構建筑規(guī)范中允許應力設計及塑性應力設計：

　　All rigid frames will be welded, built-up I sections. The columns and the rafters will both select welded, built-up I according to design requirements The design will be in accordance with the stress design and plastic stress design permitted by AISC’s June 1, 1989 edition of Specification for Structural Steel Buildings.

　　所有底板，拼接板，蓋板和加強板應在工廠焊接到結構構件上;螺栓孔以及所有底板，拼接板和翼緣板均在工廠預制，并打好螺栓連接孔;腹板的工廠預制包括對拉桿支撐及翼緣支撐的沖孔定位。

　　All base plates, splice plates, cap plates, and stiffeners will be welded into place on the structural parts in the factory. Anchor bolt openings and all base plates, splice plates and flanges will be pre-fabricated at the factory and include bolt connection holes. Webs will be shop fabricated to include cable brace and rod brace holes and flange brace holes.

　　組合焊接截面鋼材的材質(zhì)相當于___鋼;鋼支架制作完畢后表面噴砂除銹，表面再涂覆醇酸快干底漆。

　　The quality of steel for all built -up sections will be the same as ____. After the frame is manufactured , injecting sand and undusting from the face, then cover coats.

　　2. 次結構：Substructure:

　　檁條和圍梁為冷彎Z型或 C 型薄壁型鋼，并在翼緣設置加強件，工廠加工時預先沖孔，以便于在現(xiàn)場將其與主框架用螺栓連接起來，檐口支撐為翼緣寬度不等的冷彎C型材。

　　Purlins and girts should be cold-formed Z or C sections with stiffened flanges. They will be pre-punched at the factory to provide for field bolting to the primary framing. Eave struts should be unequal flange, cold -formed C sections.

　　3. 支撐：Bracing:

　　屋面和邊墻的對角斜支撐用于傳遞結構的縱向荷載(風荷載、吊車荷載等)，該撐條整條加工，兩端配有斜面墊圈和螺帽，支撐條是兩端有螺紋的拉桿，翼緣支撐中所有主框架的受壓翼緣均用角鋼側向支撐至檁條或墻梁的腹板，以便翼緣壓應力在任何荷載組合條件下均不超出充許極限;邊墻不許設置對角斜支撐的部位(因為門窗或開孔的緣故)，用門式網(wǎng)性框架、固定式柱腳、或具有斜支撐作用的墻體來代替，屋面或邊墻的板材具有充分的斜向支撐強度，并能保證抵抗風荷載，則考慮不設置屋面或墻體斜支撐。

　　Diagonal bracing in the roof and sidewall will be used to remove longitudinal loads form the structure. This bracing will be furnished to length and equipped with bevel washers and nuts at each end .It may consist of rods threaded each end or galvanized cable with suitable threaded end anchors. The compression flange of all primary framing will be braced laterally with angles connection to the webs of purlins or girts so that the flange compressive stress is within allowable limits for any combination of loadings. When diagonal bracing is not permitted in the sidewall, a rigid frame type portal, fixed base columns, or wall diaphragm must be used. Wind bracing in the roof and /or walls need not furnished where it can be shown that the diaphragm strength of the roof and/or wall covering is adequate to resist the applied wind forces.

　　4. P.V.D.F.涂層P.V.D.F. Painting

　　外墻板在冷軋鋼板表面鍍鋁鋅合金鍍層后，表面再作熱漫預處理，上底漆后，外表涂P.V.D.F.面漆(屬Kynar 500系列產(chǎn)品)，整個涂層干膜的厚度為27～30微米。

　　The wall Panel should be aluminum-zinc alloy-coated cold-formed steel. The base metal shall be pretreated and then primed with primer. The exterior side shall be given P.V.D.F. coating (Kynar 500). All the dry film thickness shall be 27～30µm.

　　5. S.M.P.涂層S.M.P. Coating

　　內(nèi)墻板在冷軋鋼板表面鍍鋁鋅合金鍍層后，表面處理后，再加以烘烤，最后再涂覆上耐候性極佳的特殊強化聚脂(Special Modified Polyester), 這些措施可保證鋁鋅色板在經(jīng)過多年的風雨侵蝕后不產(chǎn)生褪色、剝落現(xiàn)象。

　　The interior wall panel should be aluminum-zinc alloy-coated cold-formed steel. The base metal should be pretreated and baked, then given the Special Modified Polyester which has excellent weatherability. These can protect the aluminum-zinc alloy-coated steel from fading and spalling by weathering.

　　6. 其他零星材料說明Miscellaneous Material Specifications

　　6.1 緊固件Fasteners

　　6.1.1結構螺栓：所有用于主結構拼接和次結構相接處的螺栓，都根據(jù)設計要求選用。

　　Structural Bolts: All bolts used in primary splices and secondary framing connections will be as required by design.

　　6.1.2屋面板和墻面板緊固件：所有屋面板與次結構的聯(lián)結都選用由碳鋼制成的自攻螺絲，該螺絲帶鋅合金壓?；虿讳P鋼鑄造而成的杯狀六角墊圈螺帽，屋板緊固件配有墊圈，此類緊固件涂有彩色漆，以永久涂層系統(tǒng)相配，該自攻螺絲為進口。

　　Fasteners for Roof Panels and Wall Panels: All the connections for Roof Panel and Substructure will be self-drilling carbon steel screws with a molded zinc alloy or capped stainless steel cupped hex washer head. Roof fasteners will be assembled with washer. The wall fasteners will be color coordinated with a premium coating system. The self-drilling steel screws will be imported.-drilling steel screws will be imported.
