MEMORANDUM OF AGREEMENT

　　NORWEGIAN SALE FORM 1993

　　二手船買賣合同1993年挪威格式(NSF'93)

　　譯注：　國際上二手船的合同,稱之為Memorandun of Agreement 可譯稱協(xié)議備忘錄,簡稱M.O.A.,目前國際上通行的有兩種標(biāo)準(zhǔn)版：一種是挪威標(biāo)準(zhǔn),另一種是日本標(biāo)準(zhǔn).兩種二手船舶買賣合同的標(biāo)準(zhǔn)略有不同,日本的標(biāo)準(zhǔn)版本略為偏向于賣方的益處,盡管兩種都是標(biāo)準(zhǔn)的條款,然而經(jīng)過買賣雙方的談判、增加、刪減或修改之后,最后也面目全非,因此采用何種條款問題都不大,最終雙方簽署的M.O.A,將是雙方獲得一致,都可以接受的并且受到有關(guān)法律保護(hù)的正式文件。

　　由于二手船買賣涉及的方面很多,交易金額高,買方風(fēng)險(xiǎn)大,因此,二手船買賣的雙方通常會選擇標(biāo)準(zhǔn)合同文本作為合同談判的基礎(chǔ).國際上二手船買賣合同通常稱之為協(xié)議備忘錄,即Memorandum of Agreement,簡稱M.O.A.目前國際上使用最多的就是挪威買賣格式,尤其以采用1993年版本的最多.另外也有其他的國際二手船買賣的標(biāo)準(zhǔn)格式,如1985年倫敦船舶買賣格式,即the London Ship Sale Contract, 1985,1999年的日本船舶買賣格式,即Nipponsale,1999,不過二手船交易雙方使用這兩種版本的較少.日本標(biāo)準(zhǔn)版本比較偏向賣方的利益.國內(nèi)的二手船交易雙方通常也是參照挪威買賣格式的中文譯本而訂立的.通常,合同文本由賣方提供.因此買方應(yīng)該熟悉二手船買賣標(biāo)準(zhǔn)版本的內(nèi)容,以便對賣方提供的合同文本進(jìn)行合適的修改.

　　hereinafter called the Vessel, on the following terms and conditions：

　　Definitions定義

　　"Banking days" are days on which banks are open both in the country of the currency stipulated for the Purchase Price in Clause 1 and in the place of closing stipulated in Clause 8.

　　"In writing or "written" means a letter handed over from the Sellers to the Buyers or vice versa, a registered letter, telex, telefax or other modern form of written communication.

　　"Classification Society" or "Class" mean the Society referred to in Line 4.

　　銀行日是指第一條下購買價格的幣種可以交易的并在第八條約定的地點(diǎn)附近的銀行對外營業(yè)的日數(shù)。

　　書面的或書面地指一份由賣方遞交給買方或者買方遞交給賣方的信件、掛號信、電傳、傳真或其它現(xiàn)今形式的書面交流。

　　船級社或船級指第四行提及的社會團(tuán)體。

　　1. Purchase Price 買價：美元

　　2. Deposit 押金

　　As a security for the correct fulfilment of this contract, the Buyers shall pay a deposit of 10% - ten per cent - of the Purchase Money within banking days from the date of this agreement. This deposit shall be deposited with and held by them in a joint account for the Sellers and the Buyers, to be released in accordance with joint written instructions of the Sellers and the Buyers. Interest, if any, to be credited the Buyers. Any fee charged for holding said deposit shall be borne equally by the Sellers and the Buyers.

　　為了能確保此合同的執(zhí)行，買方要在此合同生效日起 銀行日內(nèi)支付買價的10%作為押金。押金要由買賣雙方的聯(lián)名賬戶保管并且需要通過雙方的書面指示提取。如果發(fā)生利息的話，利息歸于買方。任何由于保管上述押金而產(chǎn)生的費(fèi)用由買賣雙方平均承擔(dān)。

　　3. Payment 付款

　　The said Purchase Money shall be paid free of bank charges to on delivery of the vessel, but not later than three banking days after the Vessel is in every respect physically ready for delivery in accordance with the terms and conditions of this Agreement and Notice of Readiness has been given in accordance with Clause 5.

　　在船舶交付時，上述購買價應(yīng)全額支付，不負(fù)擔(dān)銀行手續(xù)費(fèi)。買方支付船款日期應(yīng)不遲于船舶本身在各方面已按本合同的條款規(guī)定處于交付狀態(tài)，且準(zhǔn)備通知書已按第5a條的要求遞交后的3個銀行工作日。

　　4. Inspections 檢查

　　a) The Buyers have inspected and accepted the Vessel's classification records. The Buyers have also inspected the Vessel at / in on and have accepted the Vessel following this inspection and the sale is outright and definite, subject only to the terms and conditions of this Agreement.

　　買方已檢查并接受船舶的船級記錄。買方已在 (日期)在 (地點(diǎn))對船舶進(jìn)行檢查。買方根據(jù)該檢查已接受船舶，那么船舶買賣關(guān)系即告確立，這僅限于此合同的條款。

　　b) The Buyers shall have the right to inspect the Vessel's classification records and declare whether same are accepted or not within The Sellers shall provide for inspection of the vessel at / in The Buyers shall undertake the inspection without undue delay to the vessel. Should the Buyers cause such delay they shall compensate the Sellers for the losses thereby incurred. The Buyers shall inspect the Vessel without opening up and without cost to the Sellers. During the inspection, the Vessel's deck and engine log books shall be made available for examination by the Buyer's. If the vessel is accepted after such inspection, the sale shall become outright and definite, subject only to the terms and conditions of this Agreement, provided the Sellers receive written notice from the Buyers within 72 hours after completion of such inspection. Should notice of acceptance of the Vessel's classification records and of the Vessel not be received by the Sellers as aforesaid, the deposit together with interest earned shall be released immediately to the Buyers, whereafter this contract shall be null and void.

　　買方有權(quán)檢查船舶的船級記錄，并在 (時間)內(nèi)宣布是否予以承認(rèn)。賣方應(yīng)在 (地方)為買方安排船舶檢查。買方不得因船舶檢查而延誤船期，否則，買方應(yīng)向賣方賠償由此引起的損失。買方在船舶檢驗(yàn)時，不可將其拆解，也不可給給賣方帶來費(fèi)用上的負(fù)擔(dān)。在檢查過程中，船舶的輪機(jī)日志和航海日志應(yīng)提供給買方查閱。如果經(jīng)檢查，憑賣方在檢驗(yàn)后72小時內(nèi)收到買方認(rèn)可書面通知為準(zhǔn)，一旦船舶獲得認(rèn)可，船舶買賣關(guān)系即告確立，這僅限于此合同的條款。賣方如果未能收到上述所提到的船舶船級記錄的認(rèn)可通知，保證金及利息應(yīng)立即交還給買方，本合同宣告無效。

　　4a) and 4B) are alternatives; delete whichever is not applicable. In the absence of deletions, alternative 4a) to apply.

　　5. Notices, time and place of delivery 交船通知，時間及地點(diǎn)

　　a) The Sellers shall keep the buyers well informed of the Vessel's itinerary and shall provide the Buyers with , and days of estimated time of arrival at the intended place of dry-docking / underwater inspection / delivery. When the vessel is at the place of delivery and in every respect physically ready for delivery in accordance with this agreement, the Sellers shall give the Buyers a written Notice of Readiness for delivery.

　　賣方應(yīng)及時將船舶動態(tài)告知買方并提供 和 (填上多少天)進(jìn)船塢/水下檢查/交付的通知。當(dāng)船舶在交付地點(diǎn)并且本身在各方面處于交付狀態(tài)時，賣方要提交給買方書面的準(zhǔn)備交付通知書。

　　b) The vessel shall be delivered and taken over safely afloat at a safe and accessible berth or anchorage at /in in the Sellers option.

　　Expected time of delivery:

　　Date of cancelling (see Clauses 5c), 6b), (III) and 14):

　　船舶要在賣方指定的泊位或錨地，并在漂浮的狀態(tài)下進(jìn)行交付。

　　預(yù)期的交付時間：

　　銷約期(見條款5C,6B(iii)和14)

　　c) If the Sellers anticipate that, notwithstanding the exercise of due diligence by them, the vessel will not be ready for delivery by the cancelling date they may notify the Buyers in writing stating the date when that the vessel will be ready for delivery and propose a new cancelling date. Upon receipt of such notification the Buyers shall have the option of either cancelling his agreement in accordance with clause 14 within 7 running days of receipt of the notice or of accepting the new date as the new cancelling date. If the Buyers have not declared their option within 7 running days of receipt of the Sellers notification or if the Buyers accept the new date, the date proposed in the Sellers' notification shall be deemed to be the new cancelling date and shall be substituted for the cancelling date stipulated in line 61.

　　If this agreement is maintained with the new cancelling date all other terms and conditions hereof including those contained in clause 5a) and 5c) shall remain unaltered and in full force and effect. Cancellation or failure to cancel shall be entirely without prejudice to any claim for damages the Buyers may have under clause 14 for the vessel not being ready by the original cancelling date.

　　如果賣方盡力而不能在銷約期前交船，那么賣方要書面通知買方新的交船日期和銷約期。買方有權(quán)在接到通知后7天內(nèi)決定是否取消此合同(根據(jù)第14條)。如果買方未能在該7天內(nèi)作出決定，或接受新的日期和銷約期，那么新的銷約期將取代第61行所述的銷約期。

　　d) Should the vessel become an actual, constructive or compromised total loss before delivery the deposit together with interest earned shall released immediately to the Buyers whereafter this agreement shall be null andvoid.

　　交船前，倘若船舶發(fā)生全損或推定全損，本合同宣告無效，保證金及利息應(yīng)立即交還給買方。

　　6. Drydocking/Divers inspection進(jìn)船塢/水底檢

　　a) The Sellers shall place the vessel in dry dock at the port of delivery for inspection by the Classification Society of the Vessel's underwater parts below the deepest load line, the extent of the inspection being in accordance with the Classification Society's rules.If the rudder, propeller, or bottom or other underwater parts below the deepest load line are found broken, damaged, or defective, so as to affect the Vessel's class, such defects shall be made good at the Seller's expense to the satisfaction of the Classification Society without condition / recommendation.

　　賣方在交船港的船塢安排船舶檢查，由該船舶的船級社負(fù)責(zé)對船舶低于最深載重線的水下部分進(jìn)行檢查，該檢查遵循船級社的條款。如果發(fā)現(xiàn)船舵，螺旋槳或低于最深載重線水下部分有影響船級的損壞或缺陷，那么應(yīng)由賣方無條件地自費(fèi)修理，直到滿足船級社的要求。

　　b) (i)The Vessel is to be delivered without dry docking. However the Buyers shall have the right at their expense to arrange for an underwater inspection by a diver approved by the Classification Society prior to delivery of the Vessel. The Sellers shall at their cost make the Vessel available for such inspection. The extent of the inspection and the conditions under which it is performed shall be to the satisfaction of the Classification Society. If the conditions at the port of delivery are unsuitable for such inspection, the Seller's shall make the Vessel available at a suitable alternative place near to the delivery port.

　　船舶不進(jìn)船塢交船。那么，買方有權(quán)自費(fèi)安排由船級社審核的潛水員進(jìn)行水底檢查。賣方承擔(dān)為船舶檢查準(zhǔn)備的費(fèi)用。該檢查和進(jìn)行的條件應(yīng)當(dāng)滿足船級社的要求。如果交船港不合適該檢查，那么賣方要在交船港附近安排一個合適該檢查的地點(diǎn)。

　　(ii) If the rudder, propeller, bottom, other underwater parts below the deepest load Line are found broken, damaged or defective so as to affect the Vessel's class, then unless repairs can be carried out to the satisfaction of the Classification Society, the Seller's shall arrange for the Vessel to be drydocked at their expense for inspection by the Classification Society of the Vessel's underwater parts below the deepest load line, the extent of the inspection being in accordance with the Classification Society's rules. If the rudder, propeller, bottom or other underwater parts below the deepest load line are found damaged or defective so as to affect the vessels class such defects shall be made good by the Sellers at their expense to the satisfaction of the Classification Society without condition/recommendation. In such event the Seller's are to pay for the cost of the underwater inspection and the Classification Society's attendance.

　　如果發(fā)現(xiàn)船舵，螺旋槳或其他地域載重線水下部分有影響船級的損壞或缺陷，除非能在船舶漂浮狀態(tài)下進(jìn)行維修并滿足船級社的要求，不然賣方要自費(fèi)安排船舶進(jìn)船塢的檢查費(fèi)用，該檢查由船級社負(fù)責(zé)并遵循船級社的規(guī)定。如果發(fā)現(xiàn)船舵，螺旋槳或其他地域載重線水下部分有影響船級的損壞或缺陷，那么賣方要無條件地自費(fèi)維修，直到滿足船級社的要求，在此情況下，賣方應(yīng)承擔(dān)水底檢費(fèi)和驗(yàn)船師費(fèi)。

　　(iii) If the Vessel is to be drydocked pursuant to Clause 6B) (ii) and no suitable drydocking facilities are available at the port of delivery, the Sellers shall take the Vessel to a port where suitable drydocking facilities are available, whether within or outside the delivery range as per Clause 5b) which shall, for the purpose of this clause, become the new port of delivery. In such event the cancelling date provided or in Clause 5 b shall be extended by the additional time required for the drydocking and extra steaming, but limited to a maximum of 14 running days.

　　如果船舶要求進(jìn)船塢(根據(jù)第6條(ii) )但該交船港沒有適合的船塢設(shè)備，那么賣方在交船港內(nèi)外(根據(jù)條款5b)安排一處由合適的船塢設(shè)備的港口。一旦進(jìn)塢地點(diǎn)確定，那么該船塢的港口成為新的交船港。如果發(fā)生上述事件，那么銷約期(根據(jù)條款5b)要根據(jù)進(jìn)塢的額外的減速而增加的時間而延長，但不能超過14天。

　　c) If the Vessel is drydocked pursuant to Clause 6 a) or 6 b) above

　　如果船舶根據(jù)上述條款6a或6b進(jìn)船塢。

　　(i) the Classification Society may require survey of the tailshaft system, the extent of the survey being to the satisfaction of the Classification surveyor. If such survey is not required by the Classification Society, the Buyers shall have the right to require the tailshaft to be drawn and surveyed by the Classification Society, the extent of the survey being in accordance with the Classification Society rules for tailshaft survey and consistent with the current stage of the Vessel's survey cycle. The Buyers shall declare whether they require the tailshaft to be drawn and surveyed not later than by the completion of the inspection by the Classification Society. The drawing and refitting of the tail shaft shall be arranged by the Sellers. Should any parts of the tailshaft system be condemned or found defective so as to affect the Vessel's class, those parts shall be renewed or made good at the Seller's expense to the satisfaction of the Classification Society without condition / recommendation.

　　船級社可能要求對尾軸系統(tǒng)進(jìn)行檢驗(yàn)，該檢驗(yàn)要滿足船級社的要求。如果船級社沒有要求進(jìn)行該檢驗(yàn)，那么買方有權(quán)要求船級社對尾軸進(jìn)行抽出并檢驗(yàn)，該檢驗(yàn)遵循船級社的規(guī)定和現(xiàn)階段的船舶的驗(yàn)船周期。買方要在船級社完成船舶檢查前宣布是否對尾軸進(jìn)行抽出和檢驗(yàn)。賣方安排尾軸的抽出和重裝。發(fā)現(xiàn)尾軸系統(tǒng)的任何部件有影響船級的缺陷，賣方要無條件地自費(fèi)對這些部件進(jìn)行更新或維修，直到滿足船級社的要求。

　　(ii) the expense relating to the survey of the tailshaft system shall be borne by the Buyers unless the Classification Society requires such survey to be carried out, in which case the Sellers shall pay these expenses. The Sellers shall also pay the expenses if the Buyers require the survey and parts of the system are condemned or found defective or broken so as to affect the Vessel's class.

　　尾軸系統(tǒng)的檢驗(yàn)費(fèi)由買方承擔(dān)，除非船級社要求該檢驗(yàn)，那么就由賣方承擔(dān)。如果買方要求檢驗(yàn)的尾軸系統(tǒng)里有影響船級的損壞部件，那么賣方應(yīng)承擔(dān)檢驗(yàn)費(fèi)。

　　(iii) the expense in connection with putting the Vessel in and taking her out of drydock, including the drydock dues and the Classification Society's fees shall be paid by the Sellers if the Classification Society issues any condition/ recommendation as a result of the survey or if it requires survey of the tailshaft system. In all other cases the Buyers shall pay the aforesaid expenses, dues and fees.

　　如果船級社提出任何建議作為檢驗(yàn)的結(jié)果或要求對尾軸系統(tǒng)進(jìn)行檢驗(yàn)，那么船舶進(jìn)出船塢的費(fèi)用包括船塢費(fèi)和驗(yàn)船師費(fèi)用由賣方承擔(dān)。在任何其它情況下，上述費(fèi)用應(yīng)由買方承擔(dān)。

　　the Buyer's representative shall have the right to be present in the drydock, but without interfering with the work or decisions of the Classification Surveyor.

　　買方代表有權(quán)在船塢，但不能影響驗(yàn)船師的工作和決定。

　　(iv) the Buyers shall have the right to have the underwater parts of the Vessel cleaned and painted at their risk and expense without interfering with the Sellers' or the Classification surveyors work, if any, and without affecting the Vessel's timely delivery, If, however, the Buyer' work in drydock is still in progress when the Sellers have completed the work which the Sellers are required to do, the additional docking time needed to complete the Buyers' work shall be for the Buyers' risk and expense. In the event that theBuyers' work requires such additional time, the Sellers may upon completion of the seller's work tender Notice of Readiness for delivery in accordance with Clause 3, whether the Vessel is in drydock or not and irrespective of Clause 5 b).

　　買方有權(quán)在不影響賣方或驗(yàn)船師工作的前提下，自費(fèi)對船舶水下部分進(jìn)行清洗和油漆。如果發(fā)生的話，不能影響船舶及時交付。如果賣方已經(jīng)完成被要求的工作但買方在船塢的工作還在繼續(xù)，由于買方要完成其工作而產(chǎn)生的額外的進(jìn)塢時間由買方承擔(dān)。在此情況下，買方的工作要求額外的時間，賣方應(yīng)在完成自己的工作后出具船舶準(zhǔn)備通知書，盡管船舶還在船塢，買方必須根據(jù)第3條接受船舶，不管船舶是否在船塢并不考慮條款5b。

　　Notes, if any, in the surveyor's report which are accepted by the Classification Society without condition / recommendation are not to be taken into account.

　　注意，如果上述情況發(fā)生的話，不考慮船級社無條件接受的驗(yàn)船師的報(bào)告。

　　6 a) and 6 b) are alternatives; delete whichever is not applicable. In the absence of deletions, alternative 6 a) to apply.

　　條款6a和6b二選一，刪除任一條不適用，在不刪除的條件下，采用6a.

　　7. Spares/bunkers etc 備件/燃料等

　　The Sellers shall deliver the Vessel to the Buyers with everything belonging to her on board and on shore. All spare parts and spare equipment including spare tail end shaft(s) and or spare propeller(s) if any, belonging to the Vessel at the time of inspection, used or unused, whether or board or not shall become the Buyers property, but spares on order to be excluded. Forwarding charges, if any, shall be for the Buyers account. The Sellers are not required to replace spare parts including spare tail end shafts(s) and spares propeller(s) which are taken out of store and used as replacement prior to delivery, but the replaced items shall be the property of the Buyers. The radio installation and navigational equipment shall be included in the sale without extra payment, if the same is the property of the Sellers. Unused stores and provisions shall be included in the sale and be taken over by the Buyer's without extra payment.

　　船舶包括屬于船舶的一切船上和岸上物品應(yīng)由賣方移交給買方。所有備件和備用設(shè)備包括備用尾軸和備用螺旋槳，凡是在船舶檢查時屬于船舶物品，無論是否曾使用過，是否在船上，都應(yīng)成為買方的財(cái)產(chǎn)。但是，正在訂購的備件不包括在內(nèi)，倘若發(fā)生轉(zhuǎn)運(yùn)費(fèi)用問題，則轉(zhuǎn)運(yùn)費(fèi)用應(yīng)由買方承擔(dān)。賣方不需要對交船前已經(jīng)從后備庫中取出用于替換的備件包括備用尾軸和備用螺旋槳進(jìn)行補(bǔ)充，但是，被替換下的物件應(yīng)成為買方財(cái)產(chǎn)。包括在本售賣中的無線電裝置、導(dǎo)航設(shè)備，只要它們確實(shí)是賣方財(cái)產(chǎn)，無須另外付款。包括在本售賣中的未使用的倉儲和給養(yǎng)由買方接收，無須另外付款。

　　The Sellers have the right to take ashore crockery, plate, cutlery, linen, and other articles bearing the Sellers flag or name, provided they replace same with similar unmarked items. Library forms etc, exclusively for use in the Sellers' Vessel(s), shall be excluded from the sale without compensation. Captain's, Officers' and Crew's personal belongings including the slop chest are to be excluded from the sale, as well as the following additional items (including items on hire):

　　賣方有權(quán)將印有賣方旗幟或名字的陶器、盤子、刀叉餐具、亞麻織品和其它物品拿上岸，只要賣方用沒有標(biāo)記的類似物品替代之。屬于賣方專用的船上圖書、資料表格等不包括在內(nèi)，賣方不予以補(bǔ)償。船長、高級船員和普通船員的私人行李包括日用品。儲藏箱以及下列物品均不包括在本售賣中。

　　The Buyers shall take over remaining bunkers, unused lubricating oils in storage tanks and sealed drums and pay the current net market price (excluding barging expenses) at the port and date of delivery of the Vessel. Payment under this clause shall be made at the same time and place and in the same currency as the Purchase Price.

　　船上剩余的燃料、未使用的潤滑油，應(yīng)由買方接收并按交船日的市場價格付款。本條款下的付款時間、地點(diǎn)和幣制與買價的支付相同。

　　8. Documentation 交船文件

　　The place of closing:法律/文件交接地點(diǎn)

　　In exchange for payment of the Purchase Money the Sellers shall furnish the Buyers with delivery documents, namely:

　　在作為對買方支付買價的交換，賣方應(yīng)為買方完成交船文件，即：

　　a) Legal Bill of Sale in a form recordable in (the country in which the Buyers are to register the Vessel), warranting that the Vessel is free from all encumbrances, mortgages and maritime liens or any other debts whatsoever, duly notarially attested and legalised by the consul of such country or other competent authority.

　　正式的銷售合同用(買方注冊船舶國家)可記錄的形式。證明該船沒有任何債務(wù)、海上留置權(quán)以及其他債務(wù)之牽連，經(jīng)公證人證實(shí)，并由該城市的領(lǐng)事或其他公證機(jī)關(guān)合法化。

　　b) Current Certificate of Ownership issued by the competent authorities of the flag state of the Vessel.

　　由船舶的船旗國公證機(jī)關(guān)出具船舶所有權(quán)證明證書。

　　c) Confirmation of Class issued within 72 hours prior to delivery.

　　在交船前72小時內(nèi)出具維持船級證書。

　　d) Current Certificate issued by the competent authorities stating that the Vessel is free from registered encumbrances.

　　由公證機(jī)關(guān)出具船舶無債務(wù)登記證明

　　e) Certificate of Deletion of the Vessel from the Vessel's registry or other official evidence of deletion appropriate to the Vessel's registry at the time of delivery, or, in the event that the registry does not as a matter of practice issue such documentation immediately, a written undertaking by the Sellers to effect deletion from the Vessel's registry forthwith and furnish a Certificate or other official evidence of deletion to the Buyers promptly and latest within 4 (four) weeks after the Purchase Price has been paid and the Vessel has been delivered.

　　船舶登記處的船舶注銷證書或其他關(guān)于船舶登記處的注銷證明。如果登記處沒有立即發(fā)行這種證書的慣例，那么在買價已付并交船后的最遲4周內(nèi)，將由賣方出具的書面的船舶注銷證書和其他官方的注銷證明交給買方。

　　f) Any such additional documents as may reasonably be required by the competent authorities or the purpose of registering the Vessel, provided the Buyers notify the Sellers of any such documents as soon as possible after the date of this Agreement.

　　任何公證機(jī)關(guān)為了船舶的登記而要求的其他的文件，在簽完合同后由買方通知賣方盡快提供。

　　At the time of delivery the Buyers and the Sellers shall sign and deliver to each other a Protocol of Delivery and Acceptance confirming the date and time of delivery of the Vessel from the Sellers to the Buyers.

　　在交船時，買賣雙方要簽訂一份船舶交接協(xié)議書，用于確認(rèn)賣方交給買方船舶的時間。

　　At the time of delivery the Sellers shall hand to the Buyers the classification certificate(s) well as all plans etc which are on board the Vessel. Other certificates which are on board the Vessel shall also be handed over to the Buyers unless the Sellers are required to retain same, in which case the Buyers to have the right to take copies. Other technical documentation which may be in the Sellers possession shall promptly be forwarded to the Buyers at their expense, if they so request. The Sellers may keep the log books, but the Buyers have the right to take copies of same.

　　在交船時，賣方將船上所有證書和全部圖紙交給買方，其他船上證書也應(yīng)交給買方，如果賣方要求保留，那么買方有復(fù)印的權(quán)利。如果買方要求，其他賣方擁有的技術(shù)文件也應(yīng)及時地遞交給買方。航海日志應(yīng)由賣方收存，但買方有復(fù)印的權(quán)利。

　　9. Encumbrances債務(wù)

　　The Sellers warrant that the Vessel, at the time of delivery, is free from all charters, encumbrances, mortgages and maritime liens or any other debts whatsoever. The Sellers hereby undertake to indemnify the Buyers against all consequences of claims made against the Vessel which have been incurred prior to the time of delivery.

　　賣方保證在交船時船舶沒有任何債務(wù)、海上留置權(quán)以及其他債務(wù)之牽連。交船前，倘若發(fā)生任何有關(guān)所售船舶在交船前產(chǎn)生的索賠要求，賣方保證賠償給買方上述索賠所造成的損失。

　　10. Taxes稅款

　　Any taxes, fees and expenses connected with the purchase and registration under the Buyer's flag shall be for the Buyer's account, whereas similar charges connected with the closing of the Sellers register shall be for the Sellers' account.

　　任何與懸掛買方旗幟的船舶的購買和登記有關(guān)的稅款、費(fèi)用以及其他開支應(yīng)由買方承擔(dān);與賣方注銷船舶登記有關(guān)的類似費(fèi)用應(yīng)由賣方承擔(dān)。

　　11. Condition on delivery交船狀況

　　The Vessel with everything belonging to her shall be at the Sellers risk and expenses until she is delivered to the Buyers, but subject to the conditions of this contract, she shall be delivered and taken over as she is at the time of inspection, fair wear and tear excepted. However, the Vessel shall be delivered with her class maintained without condition/recommendation, free of average damage affecting the Vessel's class, and with her classification certificates and national certificates, as well as all other certificates the Vessel had at the time of inspection, valid and unextended with condition / recommendation by Class or the relevant authorities at the time of delivery. Inspection" in this clause 11, shall mean the Buyer's inspection according to Clause 4a) or 4b), if applicable, or the Buyer's inspection prior to signing of this Agreement. If the Vessel is taken over without inspection, the date of this Agreement shall be the relevant date.

　　賣方應(yīng)對屬于船舶一切的物品承擔(dān)風(fēng)險(xiǎn)和費(fèi)用，直至船舶移交給買方為止，但須以本合同的條款為限。船舶應(yīng)按其接受檢查時的狀況移交，自然損耗除外。

　　另外，船舶無條件得按現(xiàn)有船級交付，不考慮影響船級的平均損傷，船級證書和國籍證書或其他船舶證書在船舶檢查時交付，由船級社或相關(guān)機(jī)構(gòu)出具的有效的，未延期的證書在交船時交付。

　　第11條上的檢查，如果合適的話，是指根據(jù)條款4a或4b的檢查，又或者指在簽合同前買方的檢查。如果沒有檢查就進(jìn)行交船，合同的日期就是相關(guān)的日期。

　　Notes, if any, in the surveyor's report which are accepted by the Classification Society without condition/recommendation are not to be taken into account.

　　注意：如果可以的話，不考慮船級社無條件接受的驗(yàn)船師的報(bào)告。

　　12. Name /markings船名與標(biāo)記

　　Upon delivery the Buyers undertake to change the name of the Vessel and alter funnel markings.

　　船舶移交時，買方應(yīng)負(fù)責(zé)更換船名和煙囪標(biāo)記

　　13. Buyers' default買方違約責(zé)任

　　Should the deposit not be in accordance with Clause 2, the Sellers have the right to cancel this contract, and they shall be entitled to claim compensation for their losses and for all expenses incurred together with interest. Should the Purchase Money not be paid in accordance with Clause 3, the Sellers have the right to cancel this Agreement, in which case the amount deposited together with interest earned shall be released to the Sellers. If the deposit does not cover their loss, they shall be entitled to claim further compensation for their losses and for all expenses together with interest.

　　如果買方?jīng)]有支付條款2所規(guī)定的押金，賣方有權(quán)取消合同，賣方有權(quán)索賠由此產(chǎn)生的損失和所有費(fèi)用及利息。

　　如果買方?jīng)]有支付條款3所規(guī)定的買價，賣方有權(quán)取消合同，而押金及利息要交還給賣方。如果押金未能彌補(bǔ)損失，賣方有權(quán)進(jìn)一步索賠由此產(chǎn)生的損失和所有費(fèi)用及利息。

　　14. Sellers' default賣方違約責(zé)任

　　Should the Sellers fail to give Notice of Readiness in accordance with Clause 5 a) or fail to be ready to validly complete a legal transfer by the date stipulated in line 61 the Buyers shall have the option of cancelling this Agreement provided always that the Sellers shall be granted a maximum of 3 banking days after Notice of Readiness has been given to make arrangements for the documentation set out in Clause 8. If after Notice of Readiness has been given but before the Buyers have taken delivery, the Vessel ceases to be physically ready for delivery and is not made physically ready again in every respect by the date stipulated in line 61 and new Notice of Readiness given, the Buyers shall retain their option to cancel. In the event that the Buyers elect

　　to cancel this Agreement the deposit together with interest earned shall be released top them immediately. Should the Sellers fail to give Notice of readiness by the date stipulated in line 61 or fail to be ready to validly complete a legal transfer as aforesaid they shall make due compensation to the Buyers for their loss and for all expenses together with interest if their failure is due to proven negligence and whether or not the Buyers cancel this Agreement.

　　在第61行所規(guī)定的銷約期前，賣方未能根據(jù)條款5a提交準(zhǔn)備通知書，或未能處于有效完成法律轉(zhuǎn)讓狀態(tài)，買方有權(quán)取消合同。在提交完準(zhǔn)備通知書后賣方有最多3天銀行工作日的時間來準(zhǔn)備第8條所述的船舶文件。如果在準(zhǔn)備通知書遞交后，買方收船前，船舶本身終止準(zhǔn)備狀態(tài)，又沒有在第61行所規(guī)定的時間上處于準(zhǔn)備遞交狀態(tài)，新的準(zhǔn)備通知書已經(jīng)提交，買方保留取消決定。如果買方取消合同，押金及利息要立刻一起交還給買方。

　　15. Buyer's representatives買方代表

　　After this agreement has been signed by both parties and the deposit has been lodged, the Buyers have a right to place two representatives on board the Vessel at their sole risk and expense upon arrival at on or about These representatives are on board for the purpose of familiarization and in the capacity of observers only, and they shall not interfere in any respect with the operation of the Vessel. The Buyers' representatives shall sign the Sellers' letter of indemnity prior to their embarkation.

　　買賣雙方簽完合同后，押金已提交，買方有權(quán)在 (日期)在 (買方代表上船熟悉地點(diǎn))派2名代表上船，費(fèi)用自擔(dān)。代表只是以觀察員的形式上船熟悉船舶，不能影響船舶的操作。買方代表在上船前簽署賣方的保函。

　　16. Arbitration仲裁

　　a) This Agreement shall be governed by and construed according with English law and any dispute arising out of this Agreement shall be referred to arbitration in London in accordance with the Arbitration acts 1950 and 1979 or any statutory modification or re-enactment thereof for the time being in force, one arbitrator being appointed by each party. On the receipt by one party of the nomination in writing of the other party's arbitrator, hat party shall appoint their arbitrator within fourteen days, failing which the decision of he single arbitrator appointed shall apply. If two arbitrators properly appointed shall not agree they shall appoint an umpire whose decision shall be final.

　　此合同管理和解釋應(yīng)符合英國法律，此合同產(chǎn)生的糾紛應(yīng)提交于倫敦并根據(jù)1950年與1979年的仲裁條款或任何當(dāng)時有效力的新指定修正本等進(jìn)行仲裁。每一方應(yīng)各自任命一名仲裁員。一方當(dāng)事人收到另一方仲裁員的提名就應(yīng)該在14天內(nèi)任命自己的仲裁員，否則單方面任命的仲裁員的判決失效。如果正式任命的兩名仲裁員不符，那么雙方應(yīng)該在任命一名仲裁員，該仲裁員的判決是終局的。

　　b) This Agreement shall be governed by and construed in accordance with Title 9 of the United States of America Code and Law of the State of New York and should any dispute arise out of this Agreement, the matter in dispute shall be referred to three persons at New York, one to be appointed by each of other the parties hereto, and nthe third by the two so chosen; their decision or that of any two of them shall be final, and for the purpose of enforcing any award, this Agreement may be made a rule of the Court. The proceedings shall be conducted in accordance with the rules of the Society or Maritime Arbitrators, Inc. New York.

　　此合同管理和解釋應(yīng)符合美國法典的第九條和紐約的法律，由此產(chǎn)生的糾紛涉及交由在紐約的3個仲裁員來仲裁，每一方各自任命一名，第三個由雙方共同任命，他們做出的決定或他們當(dāng)中任何兩人做出的決定將成為最終裁決，并且為執(zhí)行任何裁決的目的，本合同可能成為法院的一項(xiàng)依據(jù)。仲裁的各項(xiàng)程序應(yīng)按照紐約海事仲裁員協(xié)會的規(guī)則進(jìn)行。

　　c) Any dispute arising out of this Agreement shall be referred to arbitration at , subject to the procedures applicable there. The laws of shall govern this Agreement.

　　此合同產(chǎn)生的糾紛應(yīng)交于 (其他仲裁地)仲裁，仲裁的各項(xiàng)程序僅限于按照當(dāng)?shù)氐囊?guī)則進(jìn)行。本合同的管轄法為 地的法律。

　　16 a), 16 b) and 16 c) are alternatives; delete whichever is not applicable. In the absence of deletions, alternative 16 a) to apply.

　　條款16a,16b和16c要三選一，刪除任一條不適用。在不刪除的情況下，采用16a 。
