GENERAL TERMS OF VEHICLE ELECTRICAL APPLIANCE PURCAHSE

　　汽車電器采購一般性條款

　　1. Basic agreement 基本協(xié)議

　　1.1 Iskra Avtoelektrika d.d. (hereinafter IAE) demands from its suppliers to follow all the procedures laid down in the Suppliers Manual and these General Terms of Delivery (GENERAL TERMS). The valid issue of GENERAL TERMS is the one that is attached to the Suppliers Manual of IAE.

　　依斯克拉汽車電器有限公司(以下簡稱IAE)要求其供應(yīng)商遵守供應(yīng)商手冊及運(yùn)輸條款總則上面所列的所有流程及程序。一般性條款的有效版本是附在依斯克拉汽車電器有限公司供應(yīng)商手冊后面的那個版本。

　　1.2 By signing the Purchasing Agreement, making out a quotation on demand or confirming a price list, the supplier: a) confirms his agreement with all provisions and requirements of the Suppliers Manual (available at http://www.iskra-ae.com) and these GENERAL TERMS, b) undertakes to organize his/her production process in compliance with all provisions and requirements referred to in the Suppliers Manual of IAE and to implement all the procedures laid down in it, c) agrees that the delivery note of delivery issued to IAE for an individual delivery guarantees that the supplied standard products fully comply with the provisions of the agreed national and international standards and that the supplied non-standard products and the shipment as a whole fully comply with the agreed requirements defined by the technical, control, commercial and environmental documentation of IAE.

　　通過簽署采購協(xié)議，根據(jù)需求做出報價或確認(rèn)價格、供應(yīng)商。a) 確認(rèn)供應(yīng)商手冊的所有條款和要求的協(xié)議(參見http://www.iskra-ae.com)及這些一般性條款。b) 承諾根據(jù)依斯克拉汽車電器有限公司供應(yīng)商手冊的所有條款及要求來組織其生產(chǎn)并實(shí)施手冊中規(guī)定的所有流程。c) 同意給依斯克拉汽車電器有限公司的單獨(dú)送貨的送貨單保證所提供的標(biāo)準(zhǔn)產(chǎn)品完全符合商定的國家和國際標(biāo)準(zhǔn)和規(guī)定，提供的非標(biāo)產(chǎn)品和貨物作為一個整體完全符合商定的依斯克拉汽車電器有限公司的技術(shù)、控制、商務(wù)及環(huán)境文件所定義的要求。

　　2. General總則

　　The customers expect IAE to fulfil all their expectations regarding products and services quality. Therefore, IAE requires reliable and competent suppliers, committed to the common goals and quality. They are fully responsible for the fulfilment of all contractual obligations. Thus, IAE expects and demands from its suppliers:

　　客戶希望依斯克拉汽車電器有限公司履行他們對產(chǎn)品和服務(wù)質(zhì)量的所有期望。因此，依斯克拉汽車電器有限公司要求可信任的及有能力的供應(yīng)商，承諾一般的目標(biāo)和質(zhì)量。他們負(fù)責(zé)履行所有合同義務(wù)。因此，依斯克拉汽車電器有限公司希望并要求其供應(yīng)商：

　　a) their supplied products and services to comply with the required demands of IAE, b) 100% on-time deliveries, c) 0 ppm of nonconforming products, d) to implement modern and efficient quality management systems. In development, production and all other processes, these have to include the principle of no nonconformities. A stress should be laid to the preventive methods and not to the methods of detecting the nonconformities.

　　3. Products and services specifications產(chǎn)品及服務(wù)規(guī)范

　　3.1 Specifications are all data necessary for thorough description of the material, parts and services with regard to their quality characteristics, i.e., dimensions, mechanical, electrical, chemical and other features as well as the terms of installation and operation. Specifications of IAE are given by technical,commercial and environmental documentation. Technical documentation of IAE includes drawings, part list, test specifications, process and control technologies, national , international and standards of IAE, manufacturer final control data, PPAP documentation including PPAP samples and other documents in writing defining the features of the supplied products and services.

　　3.2 For parts and products that have been developed by the supplier himself, the supplier shall submit to IAE his technical documentation that is in line with the specifications. This documentation shall include also all the necessary tests, the installation tests, reliability tests and life tests inclusive.

　　3.3 Both, the supplier and IAE can use documents and knowledge acquired through mutual business relations only for the purpose of contractually agreed business partnership, and they are treated as confidential. This confidentiality shall be respected also after termination of the business relationship. In the same way, the suppliers are obliged to bind their employees, sub-suppliers and others business partners. The entire technical documentation and data that IAE gives at supplier’s disposal are business secrets and property of IAE. Top confidentiality is required in their use and maintenance. All the documents shall be returned if IAE requires so. Production according to these documents is allowed exclusively for the needs of IAE. The same applies to the supplier’s sub-supplier. Transmission of these documents to the others is allowed only by written consent of IAE. The supplier confirms this commitment with Declaration on Confidentiality.

　　供應(yīng)商和依斯克拉汽車電器有限公司雙方可以使用通過合同限定的彼此的合作及業(yè)務(wù)關(guān)系所獲得的文件和知識并且是保密的。保密協(xié)議在終止業(yè)務(wù)關(guān)系后也必須遵從。以同樣的方式，供應(yīng)商有責(zé)任約束其雇員，分包供應(yīng)商和其他商業(yè)伙伴。依斯克拉汽車電器有限公司根據(jù)供應(yīng)商的建議所提供的整套技術(shù)文件是屬于依斯克拉汽車電器有限公司的商業(yè)機(jī)密和財產(chǎn)。在他們的使用和維護(hù)過程中必須具有高度機(jī)密性。所有文件必須歸還如依斯克拉汽車電器有限公司有此要求。根據(jù)這些文件的生產(chǎn)是完全根據(jù)依斯克拉汽車電器有限公司的需求的。這同樣適用于供應(yīng)商的分包商。向其他人傳輸這些文件必須得到依斯克拉汽車電器有限公司的書面同意。供應(yīng)商確認(rèn)了這個保密性的承諾宣言。

　　4. Special tools and gauges特殊模具及量具

　　IAE is a legitimate owner of special tools and gauges ordered at the supplier by order or supply agreement. They are given to the supplier on loan and are irrevocable property of IAE. The supplier must under no circumstances use these tools and gauges to manufacture products for other customers, exceptionally in cases of written approval of IAE. Also, IAE can, for a shorter period of time, give the supplier on loan its special or standard production tools and gauges in order to achieve faster order fulfilment. IAE does not allow any additional interventions on the tools that are its property. Such interventions can be carried out only after a written consent of IAE. Tools and gauges can undergo only maintenance procedures that are necessary for their perfect condition and longer service life. The supplier shall keep the record of all procedures carried out on the tools. The maintenance costs are charged to the supplier. The supplier has to appropriately protect from all kinds of damage or loss tools and devices that are the property of IAE. The supplier shall regularly, at his own expense, carry our metrological inspections of gauges that are the property of IAE. The same specifications apply for tools and gauges. At the latest within 14 days after the conclusion of contractual arrangements, the supplier is obliged to return all the borrowed tools and gauges to IAE. They shall be returned in the same state as when accepted, except for the normal wear. The supplier shall inform IAE about tools that are not in use any more and ask for further instructions. The supplier can write off tools and gauges only after having received a written consent of IAE.

　　依斯克拉汽車電器有限公司是供應(yīng)商訂購的或訂購協(xié)議下的一個特殊模具或量具的合法擁有者。他們是借給供應(yīng)商的并且是依斯克拉汽車電器有限公司的不可撤銷的財產(chǎn)。供應(yīng)商在任何情況下都不得使用這些模具和量具為其他客戶制造產(chǎn)品，除非得到依斯克拉汽車電器有限公司的書面批準(zhǔn)。此外，依斯克拉汽車電器有限公司可以在更短的時間內(nèi)給借給供應(yīng)商它的特殊的或標(biāo)準(zhǔn)的模具或量具，以便更快的實(shí)現(xiàn)定單的履行。依斯克拉汽車電器有限公司不允許在屬于他的財產(chǎn)的模具上做任何改變。這樣的改變只有在依斯克拉汽車電器有限公司書面同意后才能實(shí)行。模具和量具可以只進(jìn)行保養(yǎng)程序，這對他們完美的條件和更長的使用壽命是必要的。供應(yīng)商應(yīng)該保存對模具進(jìn)行的所有程序的記錄。保養(yǎng)費(fèi)用由供應(yīng)商承擔(dān)。供應(yīng)商必須妥善保護(hù)屬于依斯克拉汽車電器有限公司財產(chǎn)的各類損壞或丟失的模具。供應(yīng)商應(yīng)定期的自費(fèi)對屬于依斯克拉汽車電器有限公司的財產(chǎn)的量具進(jìn)行計量。模具和量具需要同樣的說明。合同結(jié)束的14天內(nèi)供應(yīng)商有義務(wù)將借來的模具和量具歸還給依斯克拉汽車電器有限公司。反還時狀態(tài)應(yīng)該與接受時一致，除了正常的磨損。供應(yīng)商應(yīng)該通知依斯克拉汽車電器有限公司那些不再使用的模具并詢問進(jìn)一步的指示。只有在接到依斯克拉汽車電器有限公司的書面同意后才能取消這些模具和量具。

　　5. Quality assurance 質(zhì)量保證

　　5.1 Before the beginning of regular supplies every product has to undergo the PPAP procedure (Production Part Approval Process) and initial samples must be approved. The supplier has to manufacture the initial samples that are, as a rule, free of charge, under the conditions and by means of series production. Besides the initial samples, the supplier shall deliver IAE the entire required documentation that belongs to the samples. The above mentioned procedure is necessary a) in case of a new supplier, b) when there are changes of construction, technology, material or location of production, c) after changing the sub-supplier or source of material supply, d) after longer interruptions of production. After inspection of samples and documentation, IAE decides about: a) approval, b) temporary approval or c) rejection. It shall inform the supplier about its decision in writing. By approval of the initial samples and documentation, IAE approves the start of the supplier’s regular production of the sampled products. Consequently, regular deliveries can start. However, the supplier’s liability and warranty for the quality of regular deliveries is still of the same importance. Quality of these products and services shall be the same or even better than the one of the approved samples. IAE and supplier have to keep PPAP documentation and PPAP samples using them for Inspection before shipment (supplier) and Incoming inspection (IAE).

　　5.1在供應(yīng)商生產(chǎn)產(chǎn)品前，必須先通過生產(chǎn)件批準(zhǔn)程序，并且首批的樣品必須通過。供應(yīng)商首批的樣品，依據(jù)往后的連續(xù)生產(chǎn)，通常都受免費(fèi)的。 此外，首批的樣品，供應(yīng)商需要發(fā)給依斯克拉汽車電器有限公司所有配套樣品需要的文檔。 如出現(xiàn)以下情況，上面所述的流程也是必須的：a) 假設(shè)是一個新的供應(yīng)商，b)當(dāng)建筑，技術(shù)，材料或是生產(chǎn)地址有變動時，c)如果換了子供應(yīng)商或是材料供應(yīng)的來源，b)已停產(chǎn)很長一段時間。 在檢查過了樣品以及配套文件后，依斯克拉汽車電器有限公司將做出決定：a)通過，b)暫時通過，c)拒絕。 依斯克拉汽車電器有限公司將這個決定書面通知給供應(yīng)商。在首批樣品和文檔通過后，依斯克拉汽車電器有限公司將同意供應(yīng)商開始常規(guī)生產(chǎn)。 因此常規(guī)的送貨也可以就此開始。但是供應(yīng)商有義務(wù)并且須保證常規(guī)的交貨，這同樣也很重要。而且產(chǎn)品的質(zhì)量以及服務(wù)也必須保證， 甚至可以比已通過的樣品做的更好。依斯克拉汽車電器有限公司和供應(yīng)商都需要保存好PPAP文檔，發(fā)貨前的產(chǎn)品檢測需要使用(供應(yīng)商)以及后期的檢測(依斯克拉汽車電器有限公司)也需要。

　　5.2 The supplier undertakes to assure the quality of products and services in line with the requirements. IAE shall accept the supplied products based on the trustworthy relationship with the supplier. To this end, the supplier shall inspect the products before the consignment. Supplier's authorized person has to give a written approval for each delivery and he shall deliver IAE the Manufacturer Final Control data. This has to include measurement results of all quality characteristics agreed already in the PPAP procedure; in case of claims also all those features that are nonconforming.

　　5.2 供應(yīng)商需要保證產(chǎn)品的質(zhì)量以及服務(wù)符合要求。在與供應(yīng)商建立了相互可信懶的關(guān)系得基礎(chǔ)上，依斯克拉汽車電器有限公司將接受供應(yīng)商的產(chǎn)品。最后，在發(fā)貨前供應(yīng)商需要先檢測產(chǎn)品合格。 供應(yīng)商授權(quán)認(rèn)可的負(fù)責(zé)人需要為每一次交貨提供一份書面的通過報告并且將廠商最終控制數(shù)據(jù)發(fā)送給依斯克拉汽車電器有限公司。這些控制數(shù)據(jù)必須包括已通過的所有的質(zhì)量特性的測量結(jié)果;以防這些特性還沒有一致確認(rèn)。

　　5.3. IAE shall reject every nonconforming product. Consequently, all direct and indirect costs (of transport and handling, selecting, extra work, stoppage of production, loss of sales, etc.) shall be charged to the supplier. In case of nonconformities on the supplied products and services, IAE shall hold back the payment. In case of hidden nonconformities on the supplied products that are found out, not sooner than by the customer of IAE, IAE shall just as well charge the supplier for all direct and indirect costs (repair, exchange of products at home and at the customer’s, call-off). All costs are settled by the valid Price List of Claim Costs (it’s included into Supplier Quality Manual).

　　5.3.依斯克拉汽車電器有限公司將拒收所有不合格產(chǎn)品。 因此，導(dǎo)致的所有直接和間接的成本費(fèi)用(包括運(yùn)輸，處理，挑選，額外的工作，生產(chǎn)中斷，銷售損失等等)將由供應(yīng)商來承擔(dān)。假設(shè)供貨產(chǎn)品及服務(wù)上有不合格問題， 依斯克拉汽車電器有限公司將拒絕付款。 假設(shè)供貨產(chǎn)品上的潛藏的的不合格問題被發(fā)現(xiàn)了，不早于依斯克拉汽車電器有限公司的客戶，依斯克拉汽車電器有限公司同樣也會向供應(yīng)商收取所有直接或間接的費(fèi)用(包括維修，國內(nèi)的以及客戶那兒的貨物交貨，訂單取消等等)。 所有費(fèi)用都依照有效索賠費(fèi)用價格表(包含在供應(yīng)商質(zhì)量手冊中)。

　　5.4. IAE shall in case of any nonconformities (of the accompanying documentation, packing, labelling, quantity or quality of a product) file a claim. The supplier has to respond to any kind of a claim (telephone, fax, e-mail, Claims minutes) not later than in 24 hours and during this time he has to: a) select or replace the nonconforming products,

　　b) inform the sender in writing about all possible actions for assuring undisturbed production in IAE, c) inform the sender about the cause for nonconformities and actions that have been carried out to prevent recurrence of nonconformities. All further activities shall be carried out through the purchaser of goods in IAE. In case of requirements for corrective measures, the supplier of IAE has to send a written plan of permanent elimination of nonconformities (8D report) not later than in a month.

　　5.4.依斯克拉汽車電器有限公司將以防任何的不合格問題(包括附帶文件，包裝，標(biāo)簽，數(shù)量和產(chǎn)品質(zhì)量)。供應(yīng)商必須在少于24小時內(nèi)對于任何的投訴(包括電話，傳真，電郵，投訴記錄)予以回應(yīng)，并且在這段時間內(nèi)，供應(yīng)商必須執(zhí)行以下步驟：a)選出或者替換不合格的產(chǎn)品，b) 書面通知發(fā)貨人所有可行的操作來確保依斯克拉汽車電器有限公司未受干擾的生產(chǎn)，c)告知發(fā)貨人不合格的原因以及已經(jīng)執(zhí)行的措施來防止不合格再次發(fā)生。依斯克拉汽車電器有限公司的物料采購員將執(zhí)行之后的一些操作。為了調(diào)整措施的需要， 依斯克拉汽車電器有限公司的供應(yīng)商必須在一個月內(nèi)提供一份書面的計劃，說明如何永久的去除不合格的問題(8D 報告)。

　　5.5 After the product approval, IAE requires that the supplier does not make any changes. This refers to the technical requirements, documentation, supplier’s own supply sources, technology, process, and location of production. The foregoing can only be changed after prior written consent of IAE.

　　5.5產(chǎn)品通過了之后，依斯克拉汽車電器有限公司要求供應(yīng)商不要做任何更改，因為這個涉及到技術(shù)需求，文檔，供應(yīng)商自己的供應(yīng)來源，技術(shù)，流程以及產(chǎn)地。只有在依斯克拉汽車電器有限公司有書面同意后，之前所述的才可以做更改。

　　5.6 IAE performs audits and delivery evaluation system to evaluate the efficiency of the supplier’s quality management system. In case of detected nonconformities, the supplier has to prepare, present and carry out the corrective actions. IAE evaluates the suppliers and their supplies once a year. Good evaluation gives priority to suppliers regarding the new requirements of IAE.

　　5.6依斯克拉汽車電器有限公司通過執(zhí)行審計和交貨評價系統(tǒng)來評估供應(yīng)商質(zhì)量管理體系的效率。對于檢測出的不合格品，供應(yīng)商必須準(zhǔn)備，提出并且執(zhí)行相應(yīng)得調(diào)整措施。依斯克拉汽車電器有限公司會一年一次評估供應(yīng)商已及他們的供應(yīng)商。依據(jù)依斯克拉汽車電器有限公司新的需求標(biāo)準(zhǔn)，好的評估將會使供應(yīng)商被優(yōu)先考慮。

　　5.7 Assuring quality of the final product demands also quality of all those products that are bought at the supplier’s sub-supplier and built in the products for IAE. Therefore, IAE requires from the supplier to set the same requirements to his sub-suppliers as IAE does to him.

　　5.7最終成品的質(zhì)量保證同樣需要所有從供應(yīng)商的子供應(yīng)商那買來的產(chǎn)品和為依斯克拉汽車電器有限公司生產(chǎn)的產(chǎn)品能夠保質(zhì)保量。 所以，依斯克拉汽車電器有限公司要求供應(yīng)商以同樣的需求要求他們的供應(yīng)商， 就像依斯克拉汽車電器有限公司要求供應(yīng)商的一樣。

　　5.8 The Supplier guarantees the quality and functionality of the contractual products in the same range and time as the IAE customer guarantees for his products.

　　5.8在相同的范圍和時間內(nèi)，供應(yīng)商需要保證合同上的產(chǎn)品的質(zhì)量以及功能，就像依斯克拉汽車電器有限公司的客戶對他們產(chǎn)品的保證一樣。

　　5.9 For the purpose of preferential trade, the supplier is obliged to issue a certificate about the origin of goods that is in line with the applicable Decree on the qualification criteria for identifying and proving the origin of goods.

　　5.9因特惠貿(mào)易起見，供應(yīng)商必須發(fā)布有關(guān)物料來源的證明，說明其必須符合可適用法令上關(guān)于鑒定和證實(shí)物料來源的資格標(biāo)準(zhǔn)的規(guī)定。

　　6. Logistics物流

　　6.1 The supplier shall provide for the packaging material, packaging and identification as well as a suitable transport method to prevent from the damaging of parts. In this, he shall take into consideration IAE’s requirements given in the Supplier Quality Manual. All packaging units shall comply with the requirements, retain their shape all to the place of use, allow machine handling, include the goods of the same supplier, products with the same part number, same date of production, same lot, and shall not endanger the workers’ safety. Each packaging unit shall carry a label. Its contents have to comply with the IAE requirements and have to meet the requirements regarding traceability. The following information shall be stated there: name of the manufacturer, name of a product, number of order, product number, amount in the unit, lot marking, date of production, outgoing inspection stamp, bar code. Unless otherwise agreed, the transport labels are in compliance with the ODETTE standard. The supplier is liable for the additional costs or loss of material as a consequence of deficiencies in identification, packaging or transport.

　　6.1供應(yīng)商需要提供包裝材料，貨物的包裝，鑒定以及合適的運(yùn)輸方式來防止部件的損壞。 在這方面，供應(yīng)商需要考慮到依斯克拉汽車電器有限公司在供應(yīng)商質(zhì)量手冊中提出的要求。所有的包裝單位須符合要求，直到使用地都能保持原有形狀，允許機(jī)器處理， 這些貨品包括有相同供應(yīng)商，相同編號，相同的生產(chǎn)日期，相同裝運(yùn)批次的以及不能危及工人安全的。每個包裝單元需要有一個標(biāo)簽。標(biāo)簽上的內(nèi)容需要符合依斯克拉汽車電器有限公司的要求并且能滿足可追溯要求。以下的信息需要在包裝上標(biāo)記：供應(yīng)商名字，產(chǎn)品名稱，訂單編號，產(chǎn)品編號，單位數(shù)量，貨物裝運(yùn)標(biāo)志，生產(chǎn)日期，發(fā)貨檢測印章，條形碼。除非有另外的批準(zhǔn)，運(yùn)輸標(biāo)簽必須符合標(biāo)準(zhǔn)。在鑒定，包裝或運(yùn)輸方面的不足， 供應(yīng)商需要對額外費(fèi)用或物料遺失負(fù)責(zé)。

　　6.2 If not otherwise agreed, the basis for the creation of call-offs and trends of needs is a weekly calculation of material needs at IAE. By call-offs, the goods are forecast for a longer period of time. The actual flow of goods is regulated by weekly call-offs for X weeks. The call-offs apply to weekly quantity. If not otherwise agreed, the delivery of the ordered quantities fco delivered to the warehouse/ production line of IAE, considering the transport risk from the supplier to the IAE, is carried out. Within the method of call-offs and the agreed schedules of orders placing, the delivery times and methods are binding and allow neither delays nor too early deliveries. IAE has the right to reject at the supplier’s expense the deliveries before the scheduled time or charge the supplier for the costs of storage.

　　如果不是另有約定，合同發(fā)布訂單或是需求趨勢標(biāo)準(zhǔn)的基礎(chǔ)就是依斯克拉汽車電器有限公司每周一次的物料需求計算。若是合同發(fā)布訂單，貨物將會預(yù)計一段更長的時間。實(shí)際的貨物流動是由每星期的未來幾周的合同發(fā)布訂單來控管的。合同發(fā)布訂單應(yīng)用于一周數(shù)量。如果不是另有約定，考慮到從供應(yīng)商到依斯克拉汽車電器有限公司的運(yùn)輸風(fēng)險，訂單數(shù)量的貨物及責(zé)任供貨函會交付給倉庫或是依斯克拉汽車電器有限公司的生產(chǎn)線上。以合同發(fā)布訂單的方式并且在下放訂單的議定進(jìn)度表內(nèi)，交貨時間和方式是捆綁固定的，既不允許有延期交貨也不能太過提前。依斯克拉汽車電器有限公司有權(quán)拒絕早于計劃時間前的送貨并且費(fèi)用計算在供應(yīng)商上，或者向供應(yīng)商收取存貨保管費(fèi)用。

　　6.3 In case of delays in supply (Force Majeure excluded), IAE has the right to a) require from the supplier the complete supply or the supply in part and charge the supplier, if not otherwise agreed, for 0.5% of the value of the ordered quantity for each day of delay, b) assure supply from another manufacturer at the supplier’s expense.

　　如果有供應(yīng)延期(排除不可抗力)， 依斯克拉汽車電器有限公司有權(quán)執(zhí)行以下操作：a)向供應(yīng)商要求全部的供貨或者部分供貨, 并且如果不是另有約定，每延遲1天，將向供應(yīng)商收取訂單總額的0.5%的費(fèi)用，b)從另一個制造商那以此供應(yīng)商的價格來保證供貨。

　　6.4 The supplier shall assure security stock in his storehouse following the agreement or at least 30% of the monthly needs (the average of the last three months). If this is not the case, IAE has the right to charge to the supplier the costs of the missing stocks.

　　In case of Force Majeure, new terms of delivery shall be specifically agreed upon. The basis for such an agreement is the supplier’s notice in writing to IAE about the impossibility of deliveries within the agreed time. IAE shall not accept these terms after the expiration of the first delivery time. Also, the delay in the supplies of the sub-suppliers is not accepted as Force Majeure.

　　依據(jù)合同，供應(yīng)商需要確保有安全庫存在他們的倉庫或者有至少30%的月需求量 (上三個月的平均值)。若不然，依斯克拉汽車電器有限公司有權(quán)向供應(yīng)商收取缺失庫存的成本費(fèi)用。

　　假設(shè)有不可抗力，新的運(yùn)輸條款必須要明確地達(dá)成一致。此份協(xié)議的基礎(chǔ)就是在同意的時間內(nèi)，如果交期有任何問題，供應(yīng)商需要書面通知依斯克拉汽車電器有限公司。若首次交貨時間逾期，依斯克拉汽車電器有限公司將不接受這些條款。同樣，對于子供應(yīng)商供貨的延期將不被作為不可抗力而接受。

　　7. Acceptance of goods 貨物的接收

　　7.1 Reception of the supplied material and its payment do not indicate that the delivery has actually been accepted. The acceptance is carried out in accordance with the decision of the competent service and according to the specially specified methods. The supplier is fully responsible for a quantitatively conforming delivery, complying with the agreement and delivery documents. In case of nonconforming quantity of the delivery at the acceptance of goods, IAE has the right to: a) accept the delivery and change the quantities of further orders – the difference accordingly, b) reject the excessive delivery at the supplier’s expense or charge the supplier for the expense of storage if quantitative deviation has not been specifically agreed, c) require from the supplier immediate delivery of the deficient goods with all additional costs to be at the supplier’s expense, d) charge the supplier, if not otherwise agreed, for 10% of the value of the missing goods. IAE shall notify the supplier about the claim referring to the nonconforming quantity within 30 days after the delivery date, by sending him the claims record.

　　7.1供貨物料的接收和付款并不意味著交貨已經(jīng)確實(shí)被接受認(rèn)可了。貨物接收必須依照主管服務(wù)的決定并且依據(jù)特別指定的方法。遵從協(xié)議以及交貨檔案上的規(guī)定，供應(yīng)商全全負(fù)責(zé)定量的交貨。假設(shè)貨物接收中有數(shù)量上不一致，依斯克拉汽車電器有限公司有權(quán)執(zhí)行以下操作：a)接收此次交貨并且修改今后訂單的數(shù)量-相應(yīng)的數(shù)量上差額，b)拒絕在供應(yīng)商費(fèi)用上的過多交付或者向供應(yīng)商收取存儲的費(fèi)用，如果數(shù)量上的不一致沒有得到明確的贊成，要求供應(yīng)商立即發(fā)送缺少的貨物連同所有額外的成本一并算在供應(yīng)商的費(fèi)用中，d)如果不是另有約定的話，向供應(yīng)商收取遺失貨物10%的貨款。自交貨日期開始，依斯克拉汽車電器有限公司將在30天內(nèi)通知供應(yīng)商有關(guān)不一致數(shù)量上的要求，并將要求記錄發(fā)送給對方。

　　8. Prices價格

　　The prices to the agreed price lists and other terms of delivery defined in this GENERAL TERMS are fixed and therefore any unilateral change is excluded. For each change in price resulting from price reduction and introduction of improvements, the supplier has to deliver to IAE an offer in writing. The change is accepted and in force only after the written approval of IAE.

　　議定價格清單上的價格以及這份一般性條款定義的其他條款都是固定不變的，所以任何單方面的修改都是不予接受的。由于降價和改進(jìn)的引入，價格上的每一改動，供應(yīng)商都需要給依斯克拉汽車電器有限公司發(fā)送書面的報價。只有當(dāng)依斯克拉汽車電器有限公司書面上贊成，價格的變動才會被接受并生效。

　　9. Invoices, delivery notes and payments發(fā)票，送貨單及付款

　　If not otherwise agreed, the invoices are issued for each individual order/call-off. The invoices shall included: the number of order, the number of delivery note, IAE’s identification number for each delivered article, the quantity and the unit of measure. The unit of measure has to be the same on the invoice and the delivery note as well as on the order. In cases when this is not possible, the ratio of units shall be indicated (e.g., x meters = y kg).

　　9.1 如果不是另有約定，發(fā)票將發(fā)放給每個單獨(dú)的常規(guī)訂單/合同發(fā)布訂單。發(fā)票包含：訂單號碼，送貨單編號，依斯克拉汽車電器有限公司為每個送貨物品設(shè)定的鑒定號碼，送貨數(shù)量以及度量單位。發(fā)票和送貨單上的度量單位必須一致，并且訂單上的也必須相同。假設(shè)當(dāng)不相同時，單位換算比率將會指出(例如，x 米=y 公斤)

　　9.2 The supplied material shall always be accompanied by delivery note. The following indications shall be given on the delivery note: the name and number of the supplier, the number and the date of order and call-off, IAE part name and number, the delivered quantity and lot number, the number of packaging units (colli). Each delivery note is referred to one order only.

　　供貨物料應(yīng)該始終和送貨單一同發(fā)送。以下指示需要在送貨單上給出：供應(yīng)商的名稱和代碼編號，常規(guī)訂單和合同發(fā)布訂單的數(shù)量以及日期，依斯克拉汽車電器有限公司部件名稱和編號，送貨數(shù)量和批號，包裝單位號碼(批貨)。每一送貨單只對應(yīng)于一個訂單。

　　9.3 IAE is obliged to settle the obligations to the supplier within the agreed time and in the agreed way, in sequence for each individual invoice separately. The supplier is obliged, unless otherwise agreed, to issue invoices for supplies or services carried out together with the supply of goods or after the service has been carried out. Time of payment is, unless otherwise agreed, counted from the date of delivery of goods/services. If the delivery does not comply with the agreed requirements, IAE has the right to stop payments in total or diminish the payments to the supplier for the delivery or part of it.

　　依斯克拉汽車電器有限公司必須在議定的時間內(nèi)，順次分別地為每一個發(fā)票，使用議定的方式給供應(yīng)商設(shè)定應(yīng)盡的職責(zé)。除非另有約定，供應(yīng)商必須要為供貨及服務(wù)的執(zhí)行連同貨物的供應(yīng)一起或是服務(wù)已經(jīng)執(zhí)行后開具發(fā)票。付款時間，除非另有約定，是從貨物交付/服務(wù)執(zhí)行的日期開始計算。如果交貨沒有依照議定的需求，依斯克拉汽車電器有限公司有權(quán)整個的停付或者是因為交貨或部分原因而減少向供應(yīng)商的付款。

　　10. Agreement or order rescission協(xié)議或定單的解除

　　10.1 When the supplier does not meet the contractual obligations: does not supply the goods or carry out services within the required time of delivery, does not eliminate nonconformities or does not deliver a plan of corrective actions that are acceptable to IAE and are within the required period of time, IAE has the right to resign from the agreement/order or only part of it without prior period of notice and further obligations to the supplier. IAE informs the supplier about this decision in writing. Costs resulting from this (Force Majeure excluded) shall be charged to the supplier.

　　當(dāng)供應(yīng)商不履行合同義務(wù)時，如：在要求的交貨時間內(nèi)不提供貨物或不執(zhí)行服務(wù)，不消除不良品或是不提交依斯克拉汽車電器有限公司已經(jīng)同意的整改措施的計劃，并且是在要求的時間內(nèi)，依斯克拉汽車電器有限公司有權(quán)撤銷協(xié)議/訂單或是其中一部分，而無須提前通知供應(yīng)商或是向供應(yīng)商履行義務(wù)。依斯克拉汽車電器有限公司將書面通知供應(yīng)商這個決定。并且因此導(dǎo)致的代價(去除不可抗力)將由供應(yīng)商來承擔(dān)。

　　10.2. IAE has the right to resign from the agreement/order without special explanation and without period of notice. It shall inform the supplier about this in writing. In such case, IAE undertakes to accept the already manufactured goods/services (charged at the applicable price) in accordance with the ordered quantity.

　　依斯克拉汽車電器有限公司有權(quán)撤銷協(xié)議/訂單，而無須專門的解釋和通知。關(guān)于這個將會有書面的通知給供應(yīng)商。在這種情況下，依照訂單數(shù)量，依斯克拉汽車電器有限公司承諾將接受已有的產(chǎn)成品及服務(wù)(以適宜的價格收取費(fèi)用)。

　　10.3 Without further obligations to the supplier IAE can resign from the agreement also when it is obvious that the supplier will not be able to fulfil the order within the agreed period of time (declaring bankruptcy of the supplier, illiquidity, disposal of operational resources).

　　如果情況已經(jīng)很明顯，供應(yīng)商不會在議定的時間內(nèi)將訂單完成(供應(yīng)商宣告破產(chǎn)，非流動性，可操作資源的處理等等...)，依斯克拉汽車電器有限公司同樣可以撤銷協(xié)議而不需要履行更多的義務(wù)。

　　11. Environmental requirements環(huán)境要求

　　To meet the requirements regarding the environment, IAE recommends to the suppliers certificate to ISO 14001. Not certificated supplier is in charge to make environmental activities for ambient saving based on his own program. IAE requires that every three years sends fulfiled Environmental Questionnaire. Products that are produced by the supplier and sold to IAE have to be manufactured in line with the European Directive 2000/53/EC and its related Annex II to the European Commission Decision of 27 June 2002. The packaging has to comply with Packaging Instructions of IAE given to supplier.

　　為了滿足環(huán)境方面的要求，依斯克拉汽車電器有限公司向供應(yīng)商建議ISO 14001證明。 未經(jīng)證明的供應(yīng)商根據(jù)各自的計劃控制環(huán)境方面的一些活動來挽救周圍環(huán)境。依斯克拉汽車電器有限公司要求每三年發(fā)出環(huán)境調(diào)查表。供應(yīng)商生產(chǎn)的并且賣給依斯克拉汽車電器有限公司的產(chǎn)品，其制造工藝必須符合2002年6月27日上歐盟委員會決議通過的歐洲指示2000/53/EC以及相關(guān)附件II上的相關(guān)規(guī)定。

　　12. Transitory and final provisions過渡及最后條款

　　If the conditions regarding the legal specifications, agreements with customers and banks, change, IAE has the right to change the contractual terms and conditions and has to notify its contractual party about it in writing.

　　如果與客戶和銀行相關(guān)的法律規(guī)范相關(guān)的條件改變了，依斯克拉汽車電器有限公司有權(quán)改變合同條款和條件并書面通知合同的另一方。

　　12.2 By signing an agreement, the supplier confirms that he knows and agrees with the obligations that are defined in the General Terms of Delivery. For those mutual relationships that are not included in the General Terms of Delivery or other written agreements, provisions of Obligations Act, Trade Act and other provisions in effect including Incoterms 2000 apply. If IAE and the supplier define in the agreement otherwise than it is specified in these GENERAL TERMS, the provisions of the agreement apply.

　　通過簽署協(xié)議，供應(yīng)商確認(rèn)了在運(yùn)輸條款總則中定義的供應(yīng)商了解并同意的義務(wù)。對于那些沒有包括在一般性條款或其他書面協(xié)議，義務(wù)的規(guī)定，對外貿(mào)易法和其他條款的相互關(guān)系事實(shí)上包括了國際商會國際貿(mào)易術(shù)語解釋通則2000的適用。除依斯克拉汽車電器有限公司和供應(yīng)商在協(xié)議中定義了外它是在這些一般性條款中規(guī)定的， 該協(xié)議適用的規(guī)定。

　　12.3 The Supplier and IAE shall strive to settle all disputes arising out of these General Terms of Delivery in an amicable way. If this proves impossible, the disputes shall be submitted to the jurisdiction of the court of the IAE’s domicile.

　　供應(yīng)商和依斯克拉汽車電器有限公司將以友好方式解決由這些一般性條款所引起的一切爭端。如無法解決，所有爭端將提交依斯克拉汽車電器有限公司所在地的法院裁決。

　　12.4 General Terms of Delivery are made in two equal copies of which each party receives one.

　　一般性條款一式兩份，雙方各執(zhí)一份。
