  A Party may have LNG available for sale during the term of this Master Agreement and the other Party may wish to purchase LNG during the term of this Master Agreement.

  The Parties may, from time

  to time, enter into Agreements for the sale and purchase of LNG by executing Sale Memoranda.

  This Master Agreement sets out the general terms and conditions applicable to Agreements.

  1. 術(shù)語與釋義DEFINITIONS AND INTERPRETATION

  1.1 術(shù)語Definitions

  實際轉(zhuǎn)售價格:如果買方未進行一批LNG 貨品的接收,賣方對這批LNG 進行轉(zhuǎn)賣而收取的實際價格(以美元/MMBtu 計)。

  "Actual Resale Price" means the actual price in USD per MMBtu paid to Seller upon resale of the LNG following a failure by Buyer to accept a LNG Cargo.

  "Adverse Weather Conditions" means weather and/or sea conditions actually experienced that are sufficiently severe to prevent a LNG Ship from proceeding to berth, loading or unloading (as the case may be) and/or departing from berth in accordance with published stipulations in effect at the Loading Port or the Discharge Port (as the case may be) or by the order of the relevant harbour master.

  "Affiliate" means in relation to either Party, any company which is affiliated to it. A company is deemed to be affiliated to another if the first company is controlled by, under common control with, or controls the other. A company shall be deemed to have control of another if (directly or indirectly) it owns a majority of the voting shares, or is entitled (directly or indirectly) to appoint a majority of the directors, of the other company.

  協(xié)議:通過實施以本總協(xié)議條款為基礎(chǔ)的銷售備忘錄,達成的LNG 購銷活動。

  "Agreement" means a sale and purchase of LNG concluded by way of execution of a Sale Memorandum incorporating the terms of this Master Agreement.

  "Allowed Laytime" means, in the case of a FOB delivery, Laytime to be allowed to Seller at the Loading Port as stated in the Sale Memorandum, and, in the case of a DAP delivery, Laytime to be allowed to Buyer at the Discharge Port as stated in the Sale Memorandum. Btu:

  "Btu" means a British thermal unit, being the amount of heat equal to 1055.06 Joules.

  "Business Day" means a day upon which banks are normally open for business in London, England, and in New York City, United States of America.

  "Buyer" means the Party named in a Sale Memorandum as the buyer.

  "Buyer's Facilities" means, in the case of a DAP delivery, facilities located at or near to the Discharge Port, as further specified in the relevant Sale Memorandum, that are used by Buyer for the fulfilment of its obligations under an Agreement, which includes (i) the LNG ship berthing facilities and the Discharge Port facilities, (ii) the LNG unloading, receipt, storage, treatment (if necessary) and regasification facilities, (iii) the Natural Gas (and LNG if applicable) processing and delivery facilities and (iv) all ancillary equipment, whether or not owned by Buyer and whether operated directly by Buyer or by a Third Party. Such facilities shall include the pipeline that extends from the tailgate of the regasification terminal to the point of interconnection with the downstream primary gas transmission facilities only to the extent such pipeline is specified in the relevant Sale Memorandum.

  "Confidential Information" means this Master Agreement, all Agreements, and all information, whether communicated in writing or verbally, which concerns the contents of this Master Agreement or any Agreement, or any other information identified by a Party as "confidential" at the time of disclosure.

  "Delivery Point" means (i) in the case of a FOB delivery, the junction point where the flange coupling of the export lines at Seller's Facilities connect with the flange coupling of the LNG Ship's loading lines or (ii) in the case of a DAP delivery, the junction point where the flange coupling of the relevant LNG Ship's unloading lines connect with the flange coupling of the receiving lines at Buyer's Facilities.

  "Delivery Window" means the period of time specified in a Sale Memorandum within which the Notice of Readiness is to be tendered by the relevant LNG Ship.

  "Demurrage Rate" means the demurrage rate specified in the Sale Memorandum.

  "Event of Default" has the meaning specified in Section 13.1.

  "Expert" means a person appointed pursuant to Section 16.2 to resolve a Dispute.

  "Full Cargo Lot" means the volume of LNG in cubic metres which fills the LNG Ship to the fullest extent that such LNG Ship can safely load and carry taking into account the maximum amount of LNG that can practically be loaded onto the LNG Ship at the Loading Port and Loading Port restrictions.

  天然氣供應(yīng)區(qū)域:生產(chǎn)買賣雙方交易LNG 所用天然氣的產(chǎn)地區(qū)域,以銷售備忘錄為準。"Gas Supply Area" means the area, specified in the Sale Memorandum, from which Natural Gas used to manufacture LNG to be sold by Seller to Buyer hereunder is produced.

  "Heel" means, with respect to a given LNG Cargo, the volume or quantity of LNG specified as such in the Sale Memorandum (i) in the case of DAP deliveries, to be retained by the LNG Ship after discharge; and (ii) in the case of FOB deliveries, expected to be on board the LNG Ship prior

  to commencement of loading of a LNG Cargo.

  IMO:國際海事組織。"IMO" means International Maritime Organisation.

  "Income Tax" means any tax of general application imposed on income.

  破產(chǎn)事件:協(xié)議一方經(jīng)相關(guān)法律(或由管轄法院)認定為破產(chǎn)或無法償還債務(wù)的;協(xié)議一方終止或暫停,或即將終止或暫停支付該方所有或大部分負債的;協(xié)議一方向其所有或大部分負債的債權(quán)人,或為相關(guān)債權(quán)人利益,建議或做出全部財產(chǎn)的移交或債務(wù)償還安排或償債和解計劃,或協(xié)議一方或其資產(chǎn)被指定了接管人、管理人、行政接管人、強制經(jīng)理人或其它類似官員;協(xié)議一方導(dǎo)致或遭遇的任何事件經(jīng)管轄權(quán)內(nèi)的相關(guān)法律認定與上述規(guī)定破產(chǎn)事件具備類似效果。

  "Insolvency Event" means with respect to a Party when such Party is by applicable law (or is found by a competent court to be) insolvent or unable to pay its debts; stops, suspends or threatens to stop or suspend payment of all or a substantial part of its indebtedness; or proposes or makes a general assignment or scheme of arrangement or composition with, or for the benefit of its creditors in respect of all or a material part of its indebtedness or where a receiver, administrator, administrative receiver, compulsory manager or similar officer in respect of such Party or any of its assets is appointed; or causes or is subject to any event with respect to it which, under the applicable laws of any jurisdiction, has an analogous effect to any of the events specified herein.

  "Interest Rate" means an interest rate equal to two (2) percent above (i) the London Interbank Offered Rate as fixed by the British Bankers' Association for the offering of deposits in USD, for a three (3) month period in effect at 11:00 hours, GMT on the relevant invoice due date or (ii) if the British Bankers' Association ceases to fix or publish the London Interbank Offered Rate as aforesaid, a reasonably comparable interest rate agreed by the Parties in either case where the associated interest is calculated on the basis of a three hundred and sixty (360) day year, daily accrual and compounding at three-monthly rests.

  "LNG Cargo" means a cargo of LNG to be delivered by Seller to Buyer pursuant to an Agreement.

  "LNG Ship" means an ocean going vessel meeting the requirements of Section 2.5 of Schedule B in the case of a FOB delivery and Section 2.5 of Schedule C in the case of a DAP delivery and suitable for transporting LNG, which, in respect of each delivery pursuant to an Agreement, shall be identified in the Sale Memorandum, or subsequently agreed between the Parties, and be used for such delivery.

  "Loading Port" means the port where LNG purchased and sold under an Agreement is to be loaded.

  "Master Agreement" means this Master LNG Sale and Purchase Agreement.

  MMBtu:一百萬(1,000,000)Btu。"MMBtu" means one million (1,000,000) Btus.

  "Nominal Quantity" means a quantity of LNG in MMBtu as specified in the Sale Memorandum and being a good faith estimate of a Full Cargo Lot of the relevant LNG Ship, (i) in the case of a DAP delivery, reduced to take account of the quality of LNG usually applicable at Seller's Facilities, the boil-off rate usually applicable for a voyage of the LNG Ship between the Loading Port and the Discharge Port in the standard course of the LNG business, the required draft upon arrival at the Discharge Port, and retention where appropriate of the LNG Heel; or (ii) in the case of a FOB delivery, reduced to take account of the required draft upon departure from the Loading Port, and the Heel.

  "Notice of Readiness" has the meaning, in the case of a FOB delivery, specified in Section 4.1(f) of Schedule B and, in the case of a DAP delivery, specified in Section 4.1(f) of Schedule C.

  "OCIMF" means the Oil Companies International Marine Forum.

  "Party" and "Parties" have the meanings specified in the preamble to this Master Agreement.

  "Reasonable and Prudent Operator" means a Person seeking in good faith to perform its contractual obligations under an Agreement, and in so doing, and in the general conduct of its undertaking, exercising that degree of skill, diligence, prudence and foresight which would reasonably or ordinarily be expected from a skilled and experienced operator engaged in the same type of undertaking under the same or similar circumstances and conditions.

  銷售備忘錄:協(xié)議雙方以附件A 中的表格為基礎(chǔ)形成的文件,對協(xié)議的條款進行說明,并使協(xié)議生效。

  "Sale Memorandum" means a document executed by the Parties substantially in the form contained in Schedule A giving effect to and stating the terms of an Agreement.

  "Sale Memorandum Date" means the date on which a Sale Memorandum is executed.

  賣方設(shè)施:位于或靠近裝貨港的設(shè)施,具體信息會在銷售備忘錄中予以說明。賣方依靠這些設(shè)施履行協(xié)議義務(wù),賣方設(shè)施包括:(i)天然氣輸入、壓縮、處理、加工與液化設(shè)施;(ii)LNG 儲存與裝載設(shè)施;(iii)LNG 船靠泊設(shè)施和裝貨港設(shè)施;以及(iv)所有附屬設(shè)備和公共設(shè)施,無論是否為賣方所有,也無論是否由賣方或第三方直接運營。

  "Seller's Facilities" means those facilities located at or near to the Loading Port, as further specified in the Sale Memorandum, that are used by Seller for the fulfilment of its obligations under an Agreement which includes (i) the Natural Gas inlet, compression, processing, treatment and liquefaction facilities, (ii) the LNG storage and loading facilities, (iii) the LNG Ship berthing facilities and Loading Port facilities, and (iv) all ancillary equipment and utilities, whether or not owned by Seller and whether operated directly by Seller or by a Third Party.

  SIGTTO:國際天然氣油輪和終端運營商協(xié)會。

  "SIGTTO" means the Society of International Gas Tanker and Terminal Operators.

  規(guī)范:根據(jù)第5.1 條中的規(guī)定。

  "Specifications" has the meaning specified in Section 5.1.

  代用LNG 船:裝運港船上交貨時,根據(jù)附件B 第2.3 條中的定義;目的港船上交貨時,根據(jù)附件C 第2.3條中的定義。

  "Substitute LNG Ship" has the meaning specified in Section 2.3 of Schedule B in respect of FOB deliveries and Section 2.3 of Schedule C in respect of DAP deliveries.

  稅款:所有形式的稅收和法定、政府、政府以上、國家、主要、當?shù)卣蚴姓母鞣N征收稅目、稅項、稅款、捐稅、關(guān)稅和稅費(包括但不限于所有的雇傭稅和國民保險稅),以及因未支付或推遲支付上述稅款而需要支付的所有罰款、費用、開銷和股權(quán),包括任何類別的相關(guān)扣款或扣稅。

  "Taxes" means all forms of taxation and statutory, governmental, supra-governmental, state, principal, local governmental or municipal impositions, duties, contributions and levies, imposts, tariffs and rates (including without limitation all employment taxes and national insurance contributions) and all penalties, charges, costs and interest payable in connection with any failure to pay or delay in paying them and any associated deductions or withholdings of any sort.

  接收站規(guī)范:(i)裝運港船上交貨時,所有適用于LNG 在裝貨港賣方設(shè)施處交貨的規(guī)章制度,或(ii)目的港船上交貨時,所有適用于LNG 在卸貨港買方設(shè)施處交貨的規(guī)章制度;在以上兩種情況下,上述規(guī)章制度需由適當?shù)母劭诋斁帧①u方設(shè)施或賣方設(shè)施(視情況而定)運營商出具。

  "Terminal Rules" means all the rules and regulations applicable (i) in the case of a FOB delivery, to the delivery of LNG at Seller's Facilities at the Loading Port; or (ii) in the case of a DAP delivery, to the delivery of LNG at Buyer's Facilities at the Discharge Port; in either case above, either issued by the proper port authorities, the operator of Seller's Facilities or Buyer's Facilities (as applicable).

  第三方:本協(xié)議簽約方以外的任何人員。

  "Third Party" means any Person other than a Party.

  承運方:裝運港船上交貨時,LNG 船舶的持有、運營人員和/或與買方就提供或運營任何LNG 船舶簽訂協(xié)議的人員;目的港船上交貨時,LNG 船舶的持有、運營人員和/或與賣方就提供或運營任何LNG 船舶簽訂協(xié)議的人員。

  "Transporter" means in the case of a FOB delivery, any Person who owns, operates and/or contracts with Buyer for the purposes of providing or operating any of the LNG Ships, and in the case of a DAP delivery, any Person who owns, operates and/or contracts with Seller for the purposes of providing or operating any of the LNG Ships.

  未交付量:根據(jù)第6.1(a)條中的定義。

  "Undelivered Quantity" has the meaning specified in Section 6.1(a).

  美元(USD):美國的法定貨幣。

  "USD" means the lawful currency of the United States of America.

  蒸發(fā)氣回流點:裝運港船上交貨時,LNG 船蒸發(fā)氣回流管出口法蘭與賣方設(shè)施蒸發(fā)氣回流管入口法蘭的連接處;目的港船上交貨時,買方設(shè)施蒸發(fā)氣回流管出口法蘭與LNG 船蒸發(fā)氣回流管入口法蘭的連接處。

  "Vapour Return Point" means, in the case of a FOB delivery, the point at which the outlet flange of the vapour return line of the LNG Ship connects with the inlet flange of the vapour return line of Seller's Facilities, and, in the case of a DAP delivery, the point at which the outlet flange of the vapour return line of Buyer's Facilities connects with the inlet flange of the vapour return line of the LNG Ship.

  故意不當行為:任何故意的作為或不作為,或毫不顧及或故意無視可預(yù)見的不利后果而實施的故意作為或不作為。

  "Wilful Misconduct" means any act or omission which is done or omitted to be done wilfully having regard to, or is done or omitted to be done with reckless disregard for or wanton indifference to, its foreseeable and harmful consequences.

  1.2 釋義Interpretation

  在本總協(xié)議和/或銷售備忘錄中,除非另行規(guī)定,均按下述要求執(zhí)行:

  In this Master Agreement and/or a Sale Memorandum unless otherwise stated:

  (a) 文中提及的本協(xié)議包括其附件內(nèi)容;

  references to this Master Agreement include its Schedules;

  (b) 文中提及的條款、陳述文字和附件均為本總協(xié)議中的內(nèi)容;

  references to Sections, Recitals and Schedules are to such provisions in this Master Agreement;

  (c) 本總協(xié)議主體部分與附件部分提出的協(xié)議雙方的權(quán)利與義務(wù)需具備同等效力;

  rights and obligations of the Parties set out in the Schedules have the same effect as those set out in the main body of this Master Agreement;

  (c) 文中提及項的單數(shù)形式應(yīng)包括其復(fù)數(shù)形式,反之亦然;

  references in the singular shall include references in the plural and vice versa;

  (e) 表示任一性別的術(shù)語應(yīng)包括所有其他性別,表示自然人的術(shù)語應(yīng)包括任何其他

  人員;

  words denoting gender shall include any other gender and words denoting natural persons shall include any other Persons;

  (f) 條款標題的設(shè)置只為方便閱讀,在分析理解本總協(xié)議和/或銷售備忘錄時,可以忽略條款標題;

  headings are inserted for convenience only and shall be ignored in construing this Master Agreement and/or a Sale Memorandum;

  (g) 本總協(xié)議和任何銷售備忘錄的解釋語言需為英語;

  the language which governs interpretation of this Master Agreement and any Sale Memorandum is English;

  (h) 術(shù)語包含和包括不應(yīng)理解為具備限定作用;

  the words "include" and "including" are to be construed without limitation;

  (i) 本協(xié)議中提及的法律包括普通法、慣例法和任何憲法、法令、判決材料、法規(guī)、法則、條例、規(guī)章、法案、條約或其它任何立法措施,依據(jù)具體管轄區(qū)域的具體情況而定(合法和不合法也根據(jù)上述法律理解);

  any reference to a "law" includes common or customary law and any constitution, decree, judgment, legislation, order, ordinance, regulation, statute, treaty, or other legislative measure, in each case of any jurisdiction whatever (and "lawful" and "unlawful" shall be construed accordingly);

  (j) 所有提及的特定實體需包括該實體的接任機構(gòu)和經(jīng)允許的受托單位。

  all references to a particular entity shall include such entity's successor and permitted assigns.

  2. 銷售和購買SALE AND PURCHASE

  2.1 本總協(xié)議適用于協(xié)議雙方為銷售和購買LNG 可能簽訂的所有協(xié)議。但是,只有當協(xié)議雙方以銷售備忘錄的形式達成協(xié)議,協(xié)議方才具有銷售和購買任意LNG 量的責任或義務(wù)。This Master Agreement applies to all Agreements the Parties may enter into for the sale and purchase of LNG, but neither Party shall have any obligation or liability with respect to the sale or purchase of any quantity of LNG unless and until the Parties make an Agreement by way of execution of a Sale Memorandum.

  2.2 一旦簽訂銷售備忘錄,賣方便有義務(wù)根據(jù)相關(guān)銷售備忘錄條款向買方出售并交付一批LNG 貨品,買方便有義務(wù)根據(jù)相關(guān)銷售備忘錄條款向賣方購買、接收上述LNG 貨品并支付相應(yīng)貨款。

  Upon the execution of a Sale Memorandum, Seller will become obliged to sell and deliver a LNG Cargo to Buyer and Buyer will become obliged to purchase, receive and pay Seller for such LNG Cargo in accordance with the terms of such Sale Memorandum.

  2.3 如果銷售備忘錄中的任何條款與本總協(xié)議中的條款存在沖突,以銷售備忘錄中的條款

  為準。

  If any provision in a Sale Memorandum is inconsistent with a provision or provisions in this Master Agreement, then the provision in the Sale Memorandum shall prevail.

  2.4 如果本總協(xié)議或銷售備忘錄中的任何條款與Incoterms(國際貿(mào)易術(shù)語通則)存在沖突,以本總協(xié)議或銷售備忘錄(視情況而定)中的條款為準。

  If any provision of this Master Agreement or a Sale Memorandum is inconsistent with Incoterms, then the provision in this Master Agreement or the Sale Memorandum, as the case may be, shall prevail.

  3. 期限TERM

  3.1 本總協(xié)議從簽訂之日起保持完全有效,除非協(xié)議一方根據(jù)本總協(xié)議條款對協(xié)議予以終

  止。

  This Master Agreement shall remain in full force and effect from the date of its execution until terminated by either Party in accordance with the terms of this Master Agreement.

  3.2 協(xié)議任一方可以提前三十(30)天向另一方發(fā)出書面通知,提出終止本總協(xié)議;但是,如果協(xié)議雙方當時簽訂有銷售備忘錄,且簽訂的該協(xié)議未得到完全履行,只有在相關(guān)協(xié)議完全得到履約之后,上述的總協(xié)議終止方可生效。

  Either Party may terminate this Master Agreement by giving the other Party thirty (30) days prior written notice; provided, however, that if a Sale Memorandum has been executed by the Parties and the Agreement effected thereby has not been fully performed, such termination shall only be effective once all obligations under such Agreement have been performed.

  3.3 本總協(xié)議的任何終止行為不應(yīng)影響協(xié)議任一方在協(xié)議終止日期前已產(chǎn)生的任何權(quán)利或賠償,總協(xié)議中涉及上述權(quán)利或賠償實施的相關(guān)條款應(yīng)按要求,在總協(xié)議期滿或終止之后繼續(xù)有效。

  Any termination of this Master Agreement shall be without prejudice to any rights or remedies that may have accrued to either Party prior to the date of such termination, and any provisions of the Master Agreement necessary for the exercise of such accrued rights or remedies shall survive expiry or termination of the Master Agreement to the extent so required.

  4. 交付量和交付時間QUANTITY AND DELIVERY SCHEDULE

  4.1 交付量Quantity

  每份銷售備忘錄中需對賣方在交付點交付給買方的標稱量進行規(guī)定。除非銷售備忘錄中另行規(guī)定, LNG 需以整船貨進行出售。

  Each Sale Memorandum shall set out the Nominal Quantity to be delivered by Seller to Buyer at the Delivery Point. Unless otherwise stated in a Sale Memorandum, LNG shall be sold in Full Cargo Lots.

  4.2 交付窗口期Delivery Window

  每批LNG 貨品的交付窗口期需以銷售備忘錄中的協(xié)議規(guī)定為準。

  The Delivery Window for each LNG Cargo delivered pursuant to an Agreement shall be stated in the Sale Memorandum.

  5. 質(zhì)量QUALITY

  5.1 賣方需確保根據(jù)相關(guān)協(xié)議在交付點交付給買方的所有LNG 產(chǎn)品,在轉(zhuǎn)化成氣態(tài)時,符

  合銷售備忘錄中規(guī)定的質(zhì)量規(guī)范(以下簡稱規(guī)范)。

  Seller shall cause all LNG delivered to Buyer at the Delivery Point under an Agreement, when converted into a gaseous state, to comply with the quality specifications set out in the Sale Memorandum ("Specifications").

  5.2 如果賣方意識到即將交付給買方的LNG 質(zhì)量不符合或可能不符合規(guī)范要求,賣方需將

  LNG 不符合或可能不符合規(guī)范的情況盡快通知買方,并告知買方LNG 與規(guī)范的差異程度或可能存在的差異程度。

  If Seller becomes aware that LNG to be delivered to Buyer does not comply with or is likely not to comply with the Specifications, Seller shall notify Buyer as soon as reasonably practicable that the LNG does not or may not comply with the Specifications and the extent to which it does not or may not comply with the Specifications.

  5.3 在賣方根據(jù)第5.2 條發(fā)出通知后,買方認為上述LNG 會對買方設(shè)施的安全可靠運營產(chǎn)

  生影響,或不被買方設(shè)施運營商所接受的,買方需要在收到賣方通知之后的四十八(48)個小時內(nèi)向賣方發(fā)出相關(guān)LNG 的拒收通知,賣方仍有責任嚴格按照相關(guān)協(xié)議交付一批LNG 貨品。

  Where Seller gives a notice pursuant to Section 5.2 and Buyer reasonably considers that the LNG would prejudice the safe and reliable operation of Buyer's Facilities or would not be acceptable to the operator of Buyer's Facilities, Buyer may reject such LNG by giving Seller notice of rejection within forty-eight (48) hours of Buyer's receipt of Seller's notice, and Seller shall remain obliged to deliver a LNG Cargo strictly in accordance with the applicable Agreement.

  5.4 在賣方根據(jù)第5.2 條發(fā)出通知后,買方認為上述LNG 不會對買方設(shè)施的安全可靠運營

  產(chǎn)生影響,而且可以被買方設(shè)施運營商所接受,買方需要在收到賣方通知之后的四十八(48)個小時內(nèi)告知賣方因接收賣方通知中所述LNG,買方所產(chǎn)生的所有損失、賠償、成本、費用和償金,包括接收和處理LNG 的費用、買方由于無法履行合同義務(wù)而對第三方產(chǎn)生的法律責任。

  Where Seller gives a notice pursuant to Section 5.2 and Buyer considers that the LNG would not prejudice the safe and reliable operation of Buyer's Facilities and would be acceptable to the operator of Buyer's Facilities, Buyer shall within forty-eight (48) hours of receiving Seller's notice provide Seller with a reasonable estimate of all loss, damage, costs, expenses and liabilities that Buyer would incur as a result of taking delivery of the LNG described in Seller's notice, including costs of receiving and treating the LNG and Buyer's liabilities to Third Parties for failure to perform contractual obligations.

  5.5 在買方根據(jù)第5.4 條發(fā)出通知后,賣方在收到通知的四十八(48)個小時內(nèi)通知買方其

  同意就買方合理估計的損失、賠償、成本、費用和償金對買方進行賠償?shù)模I方需接收上述LNG,賣方則需對買方因接收LNG 所產(chǎn)生的所有損失、賠償、成本、費用和償金向買方予以賠償,賠償金額不應(yīng)超過買方根據(jù)第5.4 條所提供的估算值;但是,如果實際交付的LNG 與賣方根據(jù)第5.2 條發(fā)出通知中的描述不一致的,則根據(jù)第5.7 條進行處理。

  If, within forty-eight (48) hours of receiving a notice from Buyer pursuant to Section 5.4, Seller notifies Buyer that it agrees to compensate Buyer for Buyer's reasonably estimated loss, damage, costs, expenses and liabilities, then Buyer shall take delivery of such LNG and Seller shall compensate Buyer for all loss, damage, costs, expenses and liabilities incurred by Buyer as a result of taking delivery of the LNG in an amount not exceeding the estimate given by Buyer pursuant to Section 5.4; provided, however, if the LNG actually delivered does not correspond to the description in the notice given by Seller pursuant to Section 5.2, then Section 5.7 shall apply.

  5.6 在買方根據(jù)第5.4 條發(fā)出通知后,賣方在收到通知的四十八(48)個小時內(nèi)未通知買方

  其同意就買方合理估計的損失、賠償、成本、費用和償金對買方進行賠償?shù)?,買方可以向賣方發(fā)出相關(guān)LNG的拒收通知,賣方仍有責任嚴格按照相關(guān)協(xié)議交付一批LNG 貨品。

  If, within forty-eight (48) hours of receiving a notice from Buyer pursuant to Section 5.4, Seller does not notify Buyer that it agrees to compensate Buyer for Buyer's reasonably estimated loss, damage, costs, expenses and liabilities, then Buyer may reject such LNG by giving Seller notice of rejection, and Seller shall remain obliged to deliver a LNG Cargo strictly in accordance with the applicable Agreement.

  5.7 如果賣方在未事先告知買方的情況下,將不符合規(guī)范的LNG 交付給買方,或者賣方未

  將LNG 不合規(guī)范的程度告知買方:

  If LNG that does not comply with the Specifications is delivered to Buyer without Buyer being made aware by Seller of the fact that it does not comply with the Specifications, or without Buyer being made aware by Seller of the extent to which it does not comply with the Specifications, then:

  (a) 如果買方能夠通過合理努力,對上述LNG 進行處理或通過其它途徑使其達到規(guī)范要求或可銷售的要求,賣方需(i)對買方由于相關(guān)LNG 不符合規(guī)范而對LNG 進行處理或采取其他措施而導(dǎo)致(買方需向第三方或其他方支付)的所有合理、有據(jù)可查的費用予以償還;(ii)對買方由于相關(guān)LNG 交付而導(dǎo)致的所有損失、賠償、成本、費用和償金,包括上述LNG 對買方接收站設(shè)施、LNG 船舶造成的損壞或?qū)е缕渌麹NG 的污染予以償還和賠償;但是,賣方根據(jù)本條第5.7 條的累積責任不應(yīng)超過LNG 符合規(guī)范條件下的合同價與標稱量的乘積值的百分之五十(50%);或者

  if Buyer is able, using reasonable endeavours, to treat or otherwise deal with such LNG so that it meets the Specifications or otherwise to make the LNG marketable, Seller shall (i) reimburse Buyer for all reasonable and documented costs incurred by Buyer (whether to Third Parties or otherwise) in treating or otherwise dealing with such LNG by reason of its not complying with the

  Specifications; and (ii) reimburse and indemnify Buyer in respect of all loss, damage, costs, expenses or liabilities incurred by Buyer in consequence of the delivery of such LNG, including damage to the Buyer's Receiving Facilities, the LNG Ship, or other LNG contaminated by such LNG, and any delays to the loading of LNG carriers at the Loading Port or the unloading LNG carriers at the Discharge Port; provided, however, that Seller's aggregate liability pursuant to this Section 5.7 shall not exceed fifty per cent (50%) of what would have been the Contract Price multiplied by the Nominal Quantity if the LNG had met the Specifications; or

  (b) 如果買方無法通過合理努力,對上述LNG 進行處理或通過其它途徑使其達到規(guī)范要求或可銷售的要求,賣方需(i)被認定為未成功進行LNG 交付,如第6.1 條中所述;和(ii)對買方由于相關(guān)LNG 交付而導(dǎo)致的所有損失、賠償、成本、費用和償金,包括上述LNG 對買方接收站設(shè)施、LNG 船舶造成的損壞或?qū)е缕渌麹NG 的污染,對上述LNG 進行處理或處置的成本和費用,對LNG 船在裝貨港的裝貨作業(yè)或在卸貨港的卸貨作業(yè)造成的延遲予以償還和賠償。

  if Buyer is unable, using reasonable endeavours, to treat or otherwise deal with such LNG so that it meets the Specifications or otherwise to make the LNG marketable, Seller shall (i) be deemed to have failed to deliver the LNG Cargo for the purposes of Section 6.1; and (ii) reimburse Buyer and indemnify it in respect of all loss, damage, costs, expenses or liabilities incurred by Buyer in consequence of the delivery of such LNG, including damage to the Buyer's Receiving Facilities, the LNG Ship, or other LNG contaminated by such LNG, costs and expenses in respect of the treatment or disposal of such LNG, and any delays to the loading of LNG carriers at the Loading Port or the unloading LNG carriers at the Discharge Port.

  5.8 在無論是否知情的情況下,如果買方對交付的不符合規(guī)范的LNG 進行了接收,由于賣

  方未遵守第5.1 條中規(guī)定的義務(wù),買方可以采取的唯一補救措施(侵權(quán)行為,包括過失和合同)就是賣方或賣方承運方根據(jù)第5.5,5.7 和6.1 條(視情況而定)進行償付。

  Where Buyer takes delivery of quantities of LNG which fail to comply with the Specifications, whether knowingly or unknowingly, payments under Sections 5.5, 5.7 and 6.1 (as applicable) shall be Buyer's sole and exclusive remedies (in tort, including negligence, and contract) against Seller or Seller's Transporter for Seller's failure to comply with its obligations under Section 5.1.

  5.9 關(guān)于交付給買方的LNG 的描述、質(zhì)量和適合性,規(guī)范中對賣方責任的完整范圍進行了

  說明,除了根據(jù)法律的實施、所有法定或其它條件、保證或擔保,無論明示或暗示, 對LNG 的描述或合規(guī)品質(zhì),或其對于任何特定用途的合適性或其它方面需不予包含在內(nèi)的,則不予包含在內(nèi)。

  The Specifications prescribe the full extent of Seller's obligations with respect to the description, quality and fitness for purpose of the LNG delivered to Buyer and, save to the extent that exclusion thereof is not permitted or is ineffective by operation of law, all statutory or other conditions, warranties or guarantees, express or implied, with respect to the description or satisfactory quality of the LNG or its fitness for any particular purpose or otherwise are excluded.

  6. 交付責任DELIVERY LIABILITIES

  6.1 賣方未能交貨Seller's failure to deliver

  (a) 如果賣方:If Seller:

  (A) 目的港船上交貨時,未能在相關(guān)交付窗口期結(jié)束之前發(fā)出LNG 貨品的準備就緒通知書,或未能在交付窗口期結(jié)束之后七十二(72)小時內(nèi)交付所有或部分LNG 貨品;或

  in the case of a DAP delivery, fails to issue a Notice of Readiness in respect of a LNG Cargo before the end of the applicable Delivery Window, or fails to deliver all or part of a LNG Cargo

  within seventy-two (72) hours after the end of the Delivery Window; or

  (B) 裝運港船上交貨時,未能在交付窗口期結(jié)束之后七十二(72)小時內(nèi)交付所有或部分LNG 貨品,

  in the case of a FOB delivery, fails to deliver all or part of a LNG Cargo within seventy-two (72) hours after the end of the Delivery Window,

  除了由于(i)不可抗力,(ii)買方未能收貨或買方其它原因,(iii)目的港船上交貨時,買方設(shè)施或其所有者或運營方的過失,或(iv)裝運港船上交貨時,LNG 船、承運方或LNG 船船長或船員的過失之外,買方通過自行決定, 在不影響買方任何其他權(quán)利的情況下,有權(quán)向賣方發(fā)出通知,取消LNG 貨品的交付,并在可行的情況下,指揮LNG 船離開裝貨港或卸貨港(視情況而定)的泊位。如果買方根據(jù)第6.1(a)條取消了LNG貨品的交付,則需將該標稱量作為未交付量(以下簡稱未交付量)。

  for any reason other than (i) Force Majeure, (ii) Buyer's failure to accept or any reasons attributable to Buyer, (iii) in the case of a DAP delivery, fault of Buyer's Facilities, or its owner or operator or (iv) in the case of a FOB delivery, fault of the LNG Ship, the Transporter or the LNG Ship's master or crew, then, in Buyer's sole discretion and without prejudice to any of Buyer's other rights, Buyer shall be entitled by and upon giving notice to Seller to cancel the delivery of the LNG Cargo and, if applicable, to direct the LNG Ship to depart the berth at the Loading Port or the Discharge Port, as applicable. If Buyer cancels the delivery of a LNG Cargo in accordance with this Section 6.1(a), the Nominal Quantity shall be considered an undelivered quantity ("Undelivered Quantity").

  (b) 賣方需向買方支付相當于(i)用來取代未交付量的LNG 采購總成本(通過參考買方取消LNG 貨品交付之日的市場價格進行評估,不論買方是否真的去購買LNG 取代未交付量)超出合同價的部分乘以未交付量的金額(如有的話);加上(ii)由于賣方未能交貨而直接導(dǎo)致的,買方無法履行或推遲履行轉(zhuǎn)售義務(wù)而實際產(chǎn)生的任何償金(經(jīng)賣方合理要求,買方需提供相關(guān)證明文件);但是,上述金額不應(yīng)超過合同價與未交付量的乘積。

  Seller shall pay to Buyer an amount equal to (i) the amount, if any, by which the total cost of acquiring LNG to replace the Undelivered Quantity (assessed by reference to Market Prices at the date of Buyer's cancellation of the delivery of the LNG Cargo, and without reference to whether Buyer in fact acquires LNG to replace the Undelivered Quantity) exceeds the Contract Price multiplied by the Undelivered Quantity; plus (ii) any liabilities actually incurred by Buyer (which Buyer shall evidence with such documents as Seller may reasonably require) because of failure to perform or delay in performing resale obligations as a direct result of Seller's failure to deliver; provided, however, that such amount shall not exceed the Contract Price multiplied by the Undelivered Quantity.

  (c) 第6.1(b)條中規(guī)定的補救措施是針對賣方未交付LNG 貨品,買方可以采取的唯一補救措施。

  The remedy stipulated in Section 6.1(b) shall be Buyer's sole and exclusive remedy for Seller's failure to deliver a LNG Cargo.

  6.2 買方未能收貨Buyer's failure to accept

  (a) 如果買方:If Buyer:

  (A) 裝運港船上交貨時,未能在相關(guān)交付窗口期結(jié)束之前發(fā)出LNG 貨品的準備就緒通知書,或未能在交付窗口期結(jié)束之后七十二(72)小時內(nèi)交付所有或部分LNG 貨品;或

  in the case of a FOB delivery, fails to issue a Notice of Readiness in respect of a LNG Cargo before the end of the applicable Delivery Window, or fails to take delivery of all or part of a LNG

  Cargo within seventy-two (72) hours after the end of the Delivery Window; or

  (B) 目的港船上交貨時,未能在交付窗口期結(jié)束之后七十二(72)小時內(nèi)交付所有或部分LNG 貨品,

  in the case of a DAP delivery, fails to take delivery of all or part of a LNG Cargo within seventy-two (72) hours after the end of the Delivery Window,

  除了由于(i)不可抗力,(ii)賣方未能交貨或賣方其它原因,(iii)裝運港船上交貨時,賣方設(shè)施或其所有者或運營方的過失,或(iv)目的港船上交貨時,LNG 船、承運方或LNG 船船長或船員的過失之外,賣方通過自行決定, 在不影響賣方任何其他權(quán)利的情況下,有權(quán)向買方發(fā)出通知,取消LNG 貨品的交付,并在可行的情況下,指揮LNG 船離開裝貨港或卸貨港(視情況而定)的泊位。如果賣方根據(jù)第6.2(a)條取消了LNG貨品的交付,則需將該標稱量作為差額量(以下簡稱差額量)。

  for any reason other than (i) Force Majeure, (ii) Seller's failure to deliver or any other reasons attributable to Seller, (iii) in the case of a FOB delivery, fault of Seller's Facilities, or its owner or operator or (iv) in the case of a DAP delivery, fault of the LNG Ship, the Transporter or the LNG Ship's master or crew, then, in Seller's sole discretion and without prejudice to any of Seller's other rights, Seller shall be entitled by and upon giving notice to Buyer to cancel the delivery of the LNG Cargo and, if applicable, to direct the LNG Ship to depart the berth at the Loading Port or the Discharge Port, as applicable. If Seller cancels the delivery of a LNG Cargo in accordance with this Section 6.2(a), the Nominal Quantity shall be considered a deficiency quantity ("Deficiency Quantity").

  (b) 賣方應(yīng)通過合理努力將所有或部分差額量進行銷售,在此情況下,買方需向賣方支付相當于實際轉(zhuǎn)售價格(經(jīng)買方合理要求,賣方需提供相關(guān)證明文件)與售出差額量(MMBtu)的乘積扣除(i)合同價與售出差額量(MMBtu)的乘積,和(ii)由于買方未能收貨而導(dǎo)致賣方產(chǎn)生的任何其他交通和物流成本后所得的金額。如果計算所得金額為負數(shù), 買方則不需要就售出的差額量(MMBtu)支付任何費用,賣方需對相關(guān)金額予以保留。這是針對售出的差額量(MMBtu ) ,賣方可以采取的唯一補救措施。

  Seller shall use reasonable endeavours to sell all or part of a Deficiency Quantity, and, if Seller does so, Buyer shall pay Seller an amount equal to the amount obtained by subtracting the Actual Resale Price (which Seller shall evidence with such documents as Buyer may reasonably require) multiplied by the MMBtus of Deficiency Quantity sold from the sum of (i) the Contract Price multiplied by the MMBtus of the Deficiency Quantity sold and (ii) any additional transportation and logistics costs incurred by Seller due to such failure. If such amount is negative, Buyer shall not be liable to make any payment with respect to the MMBtus of the Deficiency Quantity sold and Seller shall retain such amount. This shall be Seller's sole and exclusive remedy with respect to MMBtus of Deficiency Quantity sold.

  In the event Seller cannot find an alternative buyer for all or part of the Deficiency Quantity, Buyer shall pay to Seller the Contract Price multiplied by the MMBtus of the Deficiency Quantity which could not be sold. This shall be Seller's sole and exclusive remedy with respect to MMBtus

  of Deficiency Quantity which could not be sold.

  7. 供氣、設(shè)施和運輸GAS SUPPLY, FACILITIES AND TRANSPORTATION

  7.1 供氣Gas Supply

  加工成LNG 銷售的天然氣需為銷售備忘錄中規(guī)定的天然氣供應(yīng)區(qū)域所生產(chǎn)。如果銷售

  備忘錄中未指定天然氣供應(yīng)區(qū)域,銷售的LNG 可以是賣方可用的任何供應(yīng)氣源,只要

  相關(guān)LNG 符合銷售備忘錄中的規(guī)范即可。

  The Natural Gas to be processed into LNG and

  sold hereunder shall be produced from the Gas Supply Area specified in the Sale Memorandum. If no Gas Supply Area is specified in the Sale Memorandum, then the LNG sold hereunder may be supplied from any source available to Seller, provided that such LNG complies with the Specifications stipulated in the Sale Memorandum.

  7.2 設(shè)施Facilities

  買方需在LNG 供應(yīng)期間隨時提供、維護和操作買方設(shè)施,或要求他方提供、維護和操作買方設(shè)施,確保買方設(shè)施運轉(zhuǎn)正常,并獨自承擔相關(guān)費用,以履行協(xié)議中的自身義務(wù)。賣方需在LNG 供應(yīng)期間隨時提供、維護和操作賣方設(shè)施,或要求他方提供、維護和操作賣方設(shè)施,確保賣方設(shè)施運轉(zhuǎn)正常,并獨自承擔相關(guān)費用,以履行協(xié)議中的自身義務(wù)。裝運港船上交貨時,關(guān)于賣方設(shè)施的詳細規(guī)范請見附件B。目的港船上交貨時,關(guān)于買方設(shè)施的詳細規(guī)范請見附件C。

  Buyer shall, at its sole expense, at all times throughout the period of supply of LNG, provide, maintain and operate or cause to be provided, maintained and operated, in good working order the Buyer's Facilities, to fulfil its obligations under an Agreement. Seller shall, at its sole expense, at all times throughout the period of supply of LNG, provide, maintain and operate or cause to be provided, maintained and operated in good working order the Seller's Facilities, to fulfil its obligations under an Agreement. In the case of a FOB delivery, detailed specifications with respect to Seller's Facilities are provided in Schedule B. In the case of a DAP delivery, detailed specifications with respect to Buyer's Facilities are provided in Schedule C.
