第二十條借款人向貸款人承諾并保證，在本合同項下貸款本金、利息及其他應(yīng)付款項全部清償前:

　　The Borrower committed and guaranteed to the Lender that, before fully repaid all principal, interest, and other accounts payable under the terms and conditions of this Contract:

　　1. 應(yīng)按貸款人的要求每季向貸款人提供最新財務(wù)報表，每年四 月底之前應(yīng)提供經(jīng)審計的上年度財務(wù)報表;并應(yīng)按貨款人的要求 隨時提供有關(guān)(包括但不限于)其經(jīng)營狀況、財務(wù)狀況之報告、報表 等文件和資料，并對其真實性、準確性、有效性和完整性負責(zé);

　　The Borrower shall, upon the Lender’s requirement, provide the latest financial report quarterly and the audited financial report of previous year before each April, and offer relevant documents about (including but not limited to) its operation status, financial report, statements at any time upon the Lender’s requirement and be responsible for the authenticity, accuracy, validity and integrity of those documents and information;

　　2. 每季度、每年定期向貸款人提供，并且隨時按貸款人的要求 提供有關(guān)項目進展情況、向貸款人報送一次本合同項下貸 款的使用、項目的進展情況和建成投產(chǎn)后的經(jīng)營管理、經(jīng)濟效益情況以及其他有關(guān)材料;

　　The Borrower shall, upon the Lender’s requirement, provide all documents and information about the Project progress, usage report of Loan under the Contract, and operation management, economic benefits and other relevant information to the Lender each quarter and each year.

　　3. 每季度、每年定期向貸款人提供，并且隨時按貸款人的要求 向貸款人報送借款人自籌資金和其他資金來源到位情況和使 用情況、貸款資金支付情況及有關(guān)資料;

　　The Borrower shall, and upon the Lender’s requirement, offer at any time the documents about its self-raised fund and other funds including its availability, usage and the Loan payment.

　　4. 盡最大努力促使項目按項目建設(shè)和運營進度計劃進行;

　　The Borrower shall take the best effort to ensure the Project be proceeded as the construction and operation schedule;

　　5. 保存全面及完整的與項目有關(guān)的記錄和賬冊，按照貸款人的要求進行對賬，接受貸款人的信贊檢查與監(jiān)督，并給予充分的協(xié)助和配合。在并經(jīng)合理事先通知及在正常營業(yè)時間的情況下，允許貸 款人及其代理人和雇員在正常營業(yè)時間內(nèi)進出場地、項目設(shè)施及查閱該等記錄和賬冊，并應(yīng)當(dāng)促使其代理人和雇員對任何該等探訪或檢查給予合作;

　　The Borrower shall keep full and complete records and books about the Project, check the account based on the Lender’s request and accept the Lender’s credit inspection and supervision with adequate assistance and cooperation. The Borrower shall allow the Lender and its agents and employees, upon the Lender’s prior notice, to enter the site and project facilities, check the records and books in normal business hours and urge its agents and employees to cooperate in such visit or inspection;

　　6. 獲得并保持為項目的建設(shè)和運營所必需的各項知識產(chǎn)權(quán)或使用許可以及相關(guān)的批準;

　　The Borrower shall obtain and maintain the necessary intellectual property rights or permissions and approvals for the construction and operation of the Project;

　　7. 借款人有任何減少注冊資本、重大產(chǎn)權(quán)變動和經(jīng)營方式調(diào)整的行為，均應(yīng)事先征得貸款人的書面同意，包括但不限于以下各項：

　　The Borrower shall apply for the Lender’s prior written consent before any registered capital reduction, major property right alteration or operation adjustment, including but not limited to the following:

　　8. 借款人和擔(dān)保人或項目發(fā)生任何重大事項，借款人應(yīng)及時報告貨款人;未經(jīng)貸款人事先書面同意，借款人不得減少其注冊資本或?qū)ζ湔鲁套鞒鲂薷?

　　If any major events occurs to the Borrower and the Guarantor or the Project, the Borrower shall report to the Lender immediately; without the Lender’s prior written consent, the Borrower shall not deduct it registered capital or make amends to its article of association;

　　9. 未經(jīng)貸款人事先書面同意，借款人不得就項目產(chǎn)生任何除 本合同項下債務(wù)之外的其他融資性的債務(wù)，不得在項目資產(chǎn)上設(shè)置任何擔(dān)保權(quán)益，或釆用任何方式對該等項目資產(chǎn)進行處置。

　　Without the Lender’s prior written consent, the Borrower shall not generate any other financing debt related to the Project except the debt under this Contract, and shall not set any security interest on the Project’s assets or by any means dispose the assets of the Project.

　　10. 向任何人提供可能影響到貸款人債權(quán)受償?shù)膫鶆?wù)保證、抵押、質(zhì)押或其他形式的擔(dān)保，需經(jīng)貸款人同意;未經(jīng)貸款人事先書 面同意，借款人不進行合并、分立、股權(quán)轉(zhuǎn)讓、對外投資、實質(zhì) 性增加債務(wù)融資、股份制改造或其他經(jīng)營方式和產(chǎn)權(quán)結(jié)構(gòu)的重大變更 安排;如確因經(jīng)營需要或國家政策、法律調(diào)整而進行任何上述活動的，借款人應(yīng)事先取得貸款人的同意，并對其在本合同項下的還款責(zé)任和義務(wù)作出令貸款人滿意的安排。

　　The Borrower shall not provide any liability guarantee, mortgage, or pledge or other forms of guarantee to any entity if without the Lender’s consent; the Borrower shall not conduct merge, divide, equity assignment, foreign investment, increase of financing debt, shareholding reform or other major adjustment of its operation and property right structures if without the Lender’s prior written consent; if it’s indeed for necessary business operation or required by legal regulation, the Borrower shall gain the Lender’s prior consent and make satisfactory arrangement for the repayment obligations and duties under this Contract.

　　11. 在法定期限內(nèi)或貸款人要求的期限內(nèi)，及時辦理與項目有關(guān) 的登記手續(xù)，并向貸款人提供登記文件復(fù)印件;

　　The Borrower shall accomplish the relevant registration procedures within the statutory period or period required by the Lender, and submits copies of the registered document to the Lender;

　　12. 未經(jīng)貸款人事先書面同意，借款人不得減少其注冊資本或?qū)?其章程作出修改;

　　Without the Lender’s prior written consent, the Borrower shall not deduct it registered capital or make amends to its article of association;

　　13. 借款人如在工商行政管理部門進行任何變更登記，應(yīng)在變更后十(10)個工作日內(nèi)通知貸款人并將有關(guān)登記文件的副本送交貸詳欠人。

　　Any registration change made by the Borrower in the industrial and commercial administrative department shall inform the Lender with copies of related registered document within ten (10) days after the change has made.

　　14. 將向貸款人提供貸款人隨時合理要求的財務(wù)或其它資料。

　　The Borrower shall provide other reasonable requested financial documents and information to the Lender.

　　15. 與本合同項下的有關(guān)結(jié)算業(yè)務(wù)應(yīng)在貸款人或貸款人指定的銀 行辦理;

　　The related settlement business shall be processed in the Lender’s or it designated bank;

　　16. 根據(jù)貸款人的要求將與本合同或項目有關(guān)的文件正本(包括本票、承兌匯票等)存放在貸款人或貸款人指定的銀行處;

　　The Borrower shall keep the Contact or original documents related to the Project (including promissory notes, acceptance draft etc.) in the Lender’s Bank or it designated bank;

　　17. 如有未按期償還本合同項下的貸款本金、利息或其他應(yīng)付款項的任何情形，則不得以任何形式向其股東分配股息或紅利;

　　The Borrower can not share dividend or bonus with its shareholders in whatever manners if it failed to repay the principal, interest or other payable accounts of the Loan under this Contract as scheduled;

　　18. 一旦發(fā)生或可能發(fā)生本合同第十二章中所述的任一違約事件，應(yīng)在得 知該事件發(fā)生或可能發(fā)生之日起三(3)日內(nèi)通知貸款人，并對所發(fā)生的違約事件釆取合理、及時的補救措施;

　　Should it occur or possible to occur any default specified in Chapter 12 under the Contract, the Borrower shall inform the Lender within 3 days after it occurred or aware its occurrence, and take immediate reasonable remedy measures to the default event;

　　19. 貨款人定期向借款人發(fā)出對賬單，其中列明尚未提取貸款額度 和尚未償還本息金額，借款人應(yīng)在收到該對賬單后五個工作日內(nèi) 向貸款人出具書面確認函，以確認對賬單中列明的金額。

　　The Lender will issue statement of account which contains the remaining amount of the Loan and unpaid amount of principal and interest to the Borrower periodically. The Borrower shall present written letter of confirmation to the Lender within five working days upon receiving and confirm the amount listed in the statement of account.

　　20. 借款人應(yīng)保持如下財務(wù)指標：

　　The Borrower shall keep the following financial indicators:

　　21. 借款人不得改變貸款用途，不得以任何方式將貸款資金用 于境內(nèi)資本市場或房地產(chǎn)市場的投資，不得用于國家禁止生產(chǎn)、經(jīng)營 的領(lǐng)域和用途，且不得用于支付中介費、代理費和傭金。

　　The Borrower shall not change the purpose of the Loan and shall not apply the Loan capital to domestic capital market or the real estate market in whatever manners nor to any production, operation field or purpose which is prohibited by the state, or pay for any brokerage fee, agency fee or commission fee.

　　22. 應(yīng)按貸款人的要求，在項目竣工后6個月之內(nèi)向貸款人 提供項目完工總結(jié)報告，并在貸款人規(guī)定的期限內(nèi)，提供貸款項目后評價所需文件和資料，并對其真實性、準確性、有效性和完 整性負責(zé)。

　　Upon the requirement of the Lender, within 6 months after the Project completed, the Borrower shall provide the completion report of the Project to the Lender, and shall offer all necessary documents and information required to assess the Project within a period regulated by the Lender and be liable for the authenticity, accuracy, validity and integrity of those documents.

　　特別約定:Special Provisions:

　　第六章 情勢變更Chapter 6 Change of Situation

　　第二十一條在本合同生效后，因任何適用法律法規(guī)或其解釋的頒布、實施或變更，影或為了遵守對貸款人有管轄權(quán)的中央銀行、財政、金融監(jiān)管機構(gòu)或其他行政機關(guān)的要求，導(dǎo)致或?qū)?dǎo)致貸款人履行本合同項下的義務(wù)(包括但不限于籌措資金、發(fā)放貸款或維持任何貸款余額)成為不合法或違反監(jiān)管規(guī)定的，貸款人應(yīng)當(dāng)在知悉該等情況后盡快通知借款人，并說明導(dǎo)致該等不合法或違反監(jiān)管規(guī)定的原因及依椐。

　　After the Contract has come into force, if due to the issue, implement or amendment of any applicable law and regulation or its interpretation, and/or in comply with the requirements of authorized central bank, fiscal and financial regulator or other administrative organizations, which has caused or will cause the Lender’s duties under the Contract (including but not limited to fund raising, loan issuing or maintenance of any loan balance) become illegal or violate against regulatory rules, the Lender shall inform the Borrower immediately and clarify the reasons or proofs of such causes.

　　在借款人收到上述通知后，貸款人的放款義務(wù)應(yīng)當(dāng)立即全部自動取消。借款人應(yīng)當(dāng)在收到貸款人要求后三十(30)個工作日內(nèi),向"貸款人提前償還所有貸款余額以及應(yīng)計利息和費用。按照本條的規(guī)定取消放款義務(wù)及提前還款的，貸款人不向借款人支付任何違約金或費用，借款人不向貸款人支付任何提前還款違約金。

　　Upon the Borrower’s receiving of such notice, the Lender’s loan obligations shall be automatically canceled. The Borrower shall repay all unpaid loan principal and interest and related fees to the Lender within thirty (30) days after receiving the Lender’s request. For the cancelation of loan obligation and the prepayment on the basis of this term, the Lender shall not pay any penalty or fine to the Borrower; meanwhile, the Borrower shall not pay any penalty for the prepayment to the Lender.

　　第二十二條在本合同生效后，因任何適用法律法規(guī)或其解釋的頒布、實施或變更，影或為了遵守對貸款人有管轄權(quán)的中央銀行、財政、金融監(jiān)管機構(gòu)或其他行政機關(guān)的要求，貸款人無法按合同約定放款或必須調(diào)整還款計劃的，借款人同意貸款人可自行決定是否放款以及放款的金額，或根椐有關(guān)要求直接調(diào)整還款計劃。貸款人應(yīng)將有關(guān)決定及時書面通知借款人，并說明有關(guān)情況，以便借款人盡快落實其他融資來源，或根據(jù)調(diào)整后的還款計劃準備還款。借款人承諾不就貸款人根據(jù)本條規(guī)定不予全部或部分放款的行為或者調(diào)整還款計劃的行為提出任何異議，包括但不限于要求承擔(dān)違約責(zé)任以及訴諸司法程序。

　　After the Contract has come into force, if due to the issue, implement or amendment of any applicable law and regulation or its interpretation, and/or in comply with the requirements of authorized central bank, fiscal and financial regulator or other administrative organizations which has caused or will cause the Lender fail to perform the loan disbursement duty or have to adjust the repayment schedule, the Borrower agrees that the Lender can decide whether to issue loan or not, and the amount to be issued or directly adjustment the repayment schedule at its own discretion. The Lender shall inform the Borrower immediately and make elaborating statements, so as the Borrower can prepare for other source of financing fund, or prepare for the adjusted repayment schedule. The Borrower accepts that no objection will be raised on partial or all loan disbursement actions or repayment schedule adjustment of the Lender under this term, including but not limited to requirement on bearing the default liability or lawsuit.

　　第二十三條在本合同生效后，因任何適用法律法規(guī)或其解釋的頒布、實施或變更，影或為了遵守對其有管轄權(quán)的中央銀行、財政、稅務(wù)、金融監(jiān)管或其他行政機關(guān)的要求，導(dǎo)致或?qū)?dǎo)致貸款人因訂立本合同或履行本合同項下的義務(wù)(包括但不限于籌措資金、發(fā)放貸款或維持任何貸款余額)而增加成本或發(fā)生額外成本,或者貸款人按照本合同條款收到或應(yīng)收的任何款項的金額減少，則貸款人在知悉該等情況后，應(yīng)當(dāng)及時通知借款人，并說明增加成本的產(chǎn)生原因和計算依據(jù)。借款人在收到該通知后的五(_5_)個工作日內(nèi)，應(yīng)當(dāng)根據(jù)貸款人的要求，向貸款人支付一筆金額等于該項增加成本的款項。

　　After the Contract has come into force, if due to the issue, implement or amendment of any applicable law and regulation or its interpretation, and/or in comply with the requirements of authorized central bank, fiscal and financial regulator or other administrative organizations which has caused or will cause the Lender’s cost increase or additional cost, or decrease of the amount received or receivable according to the terms in the Contract, because of entered this Contract or performing the duties under this Contract (including but not limited to fund raising, loan issuing or maintenance of any loan balance), the Lender shall inform the Borrower immediately after acknowledged it and clarify reasons and proofs of the cost increase. The Borrower shall, upon requirement of the Lender, pay an equal amount of the increases cost to the Lender within five (5) working days after receiving the notice.

　　借款人和貸款人將進一步協(xié)商避免發(fā)生成本增加的有關(guān)安排，包括提高貸款利率、調(diào)整提款計劃、變更還款計劃等，雙方并將就此另行簽訂補充協(xié)議。如果導(dǎo)致貨款人成本增加的情況持續(xù)存在，則借款人有權(quán)在至少提前三十(30)個工作日書面通知貸款人的情況下，按照本合同第八章的規(guī)定提前償還已經(jīng)發(fā)放的全部貸款。貸款人在本合同項下的放款義務(wù)自借款人發(fā)出該提前還款通知之日起取消。

　　The Borrower and the Lender shall further negotiate arrangements to avoid the Lender’ cost increase, including raising loan interest, adjusting or altering repayment schedule, which shall be signed in supplementary agreements. In case of the cause of Lender’s cost increase is chronic, the Borrower has the right to repay all the granted loans ahead of schedule according to terms in Chapter 8 of the Contract, for which the Borrower shall notify the Lender at least thirty (30) working days ahead of time. The Lender’s duty of issuing loan under this Contract will be canceled since the day the Borrower send out the notice of prepayment.

　　第七章 代理行的參與Chapter 7Involvement of the Agent Bank

　　第二十四條為了保證本合同項下貸款的?？顚Ｓ煤桶雌趦斶€，貸款人委托 銀行作為其在本合同項下的代理行(以下稱代理行)。貸款人另與借款人和代理行簽訂委托代理協(xié)議(以下稱委托代理協(xié)議，協(xié)議號： )。

　　Article 24 To ensure the Loan under this Contract to be used only for designated purpose and be repaid as scheduled, the Lender hereby entrusts bank as its Agent Bank under the terms of this Contract (hereinafter the Agent Bank). The Lender signs Agreement of Agency with the Borrower and the Agent Bank (hereinafter the Agreement of Agency, agreement no.:

　　借款人除應(yīng)遵守和履行其在本合同項下的義務(wù)外，還應(yīng)受委托代理協(xié)議的約束。委托代理協(xié)議在貸款支付、管理方面的有關(guān)約定與本合同的有關(guān)內(nèi)容不一致的，以委托代理協(xié)議的有關(guān)約定為準。

　　Apart from obligation specified in this Contract, the Borrower shall also comply with the terms in Agreement of Agency. In the event of any inconsistent contents of Loan disbursement and management in the Agreement of Agency and this Contract, the Agreement of Agency shall prevail.

　　第二十五條貸款人將委托代理行負責(zé)本合同項下貸款的撥付、監(jiān)督貸款的使用和項目的執(zhí)行。

　　The Lender will entrust the Agent Bank to take full charge of the Loan disbursement, usage of Loan funds monitor and implementation of the Project.

　　第八章 貸款的償還 Chapter 8 Repayment of the Loan

　　第二十六條借款人應(yīng)在本合同規(guī)定的貸款期限內(nèi)嚴格按還款計劃原幣償還本合同項下的貸款本金，還款計劃如下：

　　The Borrower shall strictly repay the principal of the Loan under this Contract by the original currency in accordance with the Load Period specified as follows:

　　第二十七條借款人應(yīng)在每一個還款日之前，將當(dāng)期應(yīng)還本金金額支付至指定賬戶。借款人在此授權(quán)貸款人于還款日當(dāng)日從指定賬戶中扣劃相應(yīng)的本金金額。借款人在此授權(quán)貸款人可以自己或通過代理行將借款人在項目項下的往來資金及時劃付至指定賬戶，用于償還貸款項下的本金，但如果該等資金的金額不足以償還當(dāng)期應(yīng)還本金時，借款人仍有義務(wù)以其自有資金償還。

　　The Borrower shall credit the period loan principal to the Designate Accounts before each repayment date. The Borrower hereby authorizes the Lender to deduct corresponding amount from the Designated Accounts on the payment date. The Lender is authorized to transfer the Borrower's flowing capital under the Project to the Designated Accounts, by the Lender itself or by its Agent Bank, to repay the principal of the Loan. In the event that this capital under the Project is insufficient to pay for the period principal, the Borrower is obliged to pay by its own fund.

　　第二十八條借款人在項目項下的往來資金必須全部劃入指定賬戶，并且自首次還款日之前的 日開始，指定賬戶中的資金余額應(yīng)不低于 。對于高于該最低余額的金額，可以用于項目的資金需要，但須提供相應(yīng)書面證明，也可以用于借款人根據(jù)本合同的規(guī)定申請?zhí)崆斑€款。

　　Article 28 The Borrower's flowing capital under the Project shall be wholly transferred to Designated Accounts and since days before the first payment date, the capital amount in the Designated Accounts shall not lesser than . The amount higher than minimum requirement can be used for the Project with relevant written confirmation, and can also be used for the Borrower's prepayment according to terms of this Contact.

　　第二十九條借款人如提前還款，應(yīng)提前二十(20)個工作日向貸款人提出書面申請，并征得貸人的同意。提前還款日應(yīng)為還本曰，所有提前還款的金額應(yīng)按與到期相反的順序沖減本金。

　　Article 29 In the event of prepayment, the Borrower shall provide written application to the Lender twenty (20) days ahead of time and obtain the Lender's consent. The prepayment date is the day to repay the principal and the amount shall write down the principal on the opposite of this term amount.

　　借款人應(yīng)就提前償還的貸款向貸款人支付提前還款違約金。違約金的計算公式為：人民幣貸款提前還款違約金的計算公式為：提前還款違約金=提前還款金額x提前還款天數(shù)X0.05%0;外幣貸款提前還款違約金的計算公式為：提前還款違約金=提前還款金額x提前還款天數(shù)x1%/360。如借款人沒有按照貸款人的要求按時支付提前還款違約金，應(yīng)按本合同第三十五條規(guī)定向貸款人支付違約金。

　　The Borrower shall pay penalty to the Lender for prepaid loan. The penalty is calculated as follows: prepayment penalty for RMB: Penalty= Prepayment amount * number of pays prepaid * 0.05‰; prepayment penalty for foreign currency: Prepayment amount * number of pays prepaid * 1%/360. Should the Borrower didn't pay the penalty on time as the Lender's has required, the default fine shall be paid according to article 35 of the Contract.

　　第三十條對于任何提前償還的部分，借款人不得要求再次提用。

　　Article 30 The Borrower shall not re-claim to withdraw the prepaid amount of the Loan.

　　第三十一條如借款人申請貸款展期或調(diào)整還款計劃，至遲應(yīng)在貸款到期日前三十(30)個工作日向貸款人提交書面展期申請或調(diào)整還款計劃申請和有關(guān)材料(包括但不限于擔(dān)保人同意該貸款展期或調(diào)整還款計劃的證明文件)。經(jīng)貸款人審查同意后，借款人應(yīng)與貸款人另行簽訂貸款展期協(xié)議或還款計劃，并安排簽署相關(guān)抵(質(zhì))押協(xié)議、保險協(xié)議(若有)或補充協(xié)議等法律文本并在相關(guān)保單上注明或出具新的保單以及辦妥其他相關(guān)手續(xù)。

　　In the event that the Borrower applies for extension of the Loan or adjustment of the repayment schedule, the Borrower shall, at least thirty (30) days before the due day of the Loan, submit written application for Loan extension or repayment schedule adjustment and other documents to the Lender (including but not limited to proofs of guarantor's consent on the Loan extension or repayment adjustment). After receiving the Lender's permission, the Borrower shall sign another Loan Extension Agreement and/or repayment schedule with the Lender, and arrange the sign of relevant mortgage (pledge) agreement, insurance agreement (if any) or supplementary agreement and clarify the event on the insurance policy or issue a new one and other documents and procedures.

　　第三十二條借款人在還款時應(yīng)按貸款人的要求填寫匯款單據(jù)的有關(guān)內(nèi)容(包括但不限于注明本合同的合同編號)。

　　The Borrower shall, upon the lender's requirement, fill in relevant information on the cash remittance when repaying the loan (including but not limited to the contract number of this Contract).
