AGREEMENT OF PRODUCT’S ENVIRONMENT PROTECTION

　　為確保甲方的產(chǎn)品完全滿足各環(huán)保法規(guī)要求，甲、乙雙方經(jīng)友好協(xié)商達(dá)成以下協(xié)議：

　　To ensure that products of Party A fully comply with all requirements of environment protection regulations, Party A and Party B hereof enters this agreement through friendly consultations:

　　1、 乙方保證向甲方交貨的所有產(chǎn)品，符合甲方有毒有害物質(zhì)含量管控標(biāo)準(zhǔn)(見(jiàn)附表)。

　　Party B promises that all the products provided to Party A comply with Standard of Hazardous Substance Content of Party A (refer to the attachment).

　　2、 乙方保證向甲方交貨的所有產(chǎn)品，均符合截止交貨日時(shí)之歐盟《化學(xué)品注冊(cè)、評(píng)估、授權(quán)和限制制度》(簡(jiǎn)稱：REACH法規(guī))最新公布的限制物質(zhì)管控標(biāo)準(zhǔn)。

　　Party B promises that all the products provided to Party A will comply with the updated Registration, Evaluation, Authorization and Restriction of Chemicals (REACH) of European Union by the date of delivery.

　　3、 若甲方發(fā)現(xiàn)乙方提供給甲方的產(chǎn)品中管控物質(zhì)的含量不符合甲方有毒有害物質(zhì)含量管控標(biāo)準(zhǔn)或交貨時(shí)的REACH法規(guī)公布的限制物質(zhì)管控標(biāo)準(zhǔn)，則按如下方式處理：

　　In case that Party A finds the content of the restricted substances in products supplied by Party B is not in compliance with Standard of Hazardous Substance Content of Party A or the updated REACH directives by the date of delivery, the products shall be disposed in the following ways:

　　3.1不符合附表中的管控標(biāo)準(zhǔn)，但符合歐盟管控標(biāo)準(zhǔn)的，甲方有權(quán)要求乙方暫停供貨，同時(shí)乙方應(yīng)向甲方支付違約金人民幣貳萬(wàn)圓。乙方須提供整改報(bào)告給甲方，在得到甲方書面許可后，方可恢復(fù)供貨。

　　If the products do not comply with the restriction standard attached while complying with the European Union restriction standard, Party A has the right to request Party B to stop the supply temporarily, and Party B is required to pay Party A RMB20,000 as compensation for breach of contract. Party B is required to submit a report on correction to Party A, and the supply cannot be resumed until Party B received consent in writing from Party A.

　　3.2若在甲方工廠內(nèi)抽檢過(guò)程中發(fā)現(xiàn)乙方產(chǎn)品有毒有害管控物質(zhì)含量不符合歐盟管控標(biāo)準(zhǔn)，乙方應(yīng)向甲方支付違約金人民幣伍萬(wàn)圓，同時(shí)乙方須承擔(dān)甲方因此造成的所有損失(包括但不限于重工費(fèi)用、重工時(shí)物料損失費(fèi)用等)。

　　In case that the products from Party B do not comply with the European Union restriction standard by Party A during the process of on-site inspection in the factory of Party B, Party B shall pay Party A RMB50,000 as compensation for breach of contract. In addition, Party B shall undertake all losses therefore suffered by Party A (including but not limited to charges for rework and material waste for rework.).

　　3.3若在甲方產(chǎn)品投入市場(chǎng)后被相關(guān)機(jī)構(gòu)抽檢或在客戶使用過(guò)程中發(fā)現(xiàn)有毒有害管控物質(zhì)含量不符合歐盟管控標(biāo)準(zhǔn)，乙方應(yīng)向甲方支付違約金人民幣壹拾萬(wàn)圓，同時(shí)乙方須承擔(dān)甲方因此造成的所有損失(包括但不限于重工費(fèi)用、重工時(shí)物料損失費(fèi)用、甲方對(duì)已銷售出機(jī)器召回的損失費(fèi)用、相關(guān)機(jī)構(gòu)對(duì)甲方的處罰費(fèi)用等)

　　In case that products from Party A is found not in compliance with the European Union restriction standard during sampling inspection by competent authority or when used by customer after entering market, Party B shall pay Party A RMB50,000 as compensation for breach of contract. In addition, Party B shall undertake all losses therefore suffered by Party A (including but not limited to charges for rework, waste of material for rework, loss for calling back of the sold machine by Party A, and punishment from competent authority to Party A).

　　3.4若乙方對(duì)甲方的判定有異議可抽樣送第三方(國(guó)家認(rèn)可的實(shí)驗(yàn)室)測(cè)試有毒有害管控物質(zhì)的含量。若第三方測(cè)試結(jié)果仍不符合附表中的標(biāo)準(zhǔn)，則由乙方承擔(dān)第三方測(cè)試費(fèi)用;若第三方測(cè)試結(jié)果符合附表中的標(biāo)準(zhǔn)，則由甲方承擔(dān)第三方測(cè)試費(fèi)用。

　　In case of objection from Party B to judgment made by Party A, sampling inspection can be performed by a entrusted third party (lab approved by the state) to make test on content of hazardous substances. If the test result from the third party shows that it still fails in satisfying the restriction standard in the attachment, Party B shall undertake the charge of test performed by the third party; if the test result shows that it satisfies the restriction standard in the attachment, Party A shall undertake the charge of test performed by the third party.

　　4、 有毒有害物質(zhì)含量管控標(biāo)準(zhǔn)(見(jiàn)附表)的含量標(biāo)準(zhǔn)以產(chǎn)品中所含均質(zhì)物質(zhì)為據(jù);(均質(zhì)物質(zhì)就是用機(jī)械方法拆分到不能拆分的最小單元)。

　　Standard of hazardous substance content (see attachment) is based on homogeneous substance contained in the products (homogeneous substance means the minimum unit split mechanically.)

　　5、 REACH法規(guī)SVHC(高關(guān)注度物質(zhì))清單中的含量是以乙方供給甲方的單個(gè)產(chǎn)品來(lái)計(jì)算,限值含量以歐盟標(biāo)準(zhǔn)為準(zhǔn)。

　　Content in SVHC list of REACH directive is calculated based on single product provided by Party B to Party A, and limited content is subject to standard of European Union.

　　6、乙方所供給甲方產(chǎn)品中單一SVHC(高關(guān)注度物質(zhì))濃度必須<0.1%，當(dāng)乙方所供給甲方產(chǎn)品中單一SVHC(高關(guān)注度物質(zhì))濃度≥0.1%時(shí)，乙方必須向甲方提供SDS(安全數(shù)據(jù)表)，并經(jīng)甲方書面認(rèn)可后方可送貨給甲方。

　　Single SVHC concentration of the products provided to Party A by Party B must be <0.1%. If single SVHC concentration of the products provided to Party A by Party B is ≥0.1%, Party B is required to provide SDS to Party A, and delivery can not be made until Party B receives consent in writing from Party A.

　　7、SVHC(高關(guān)注度物質(zhì))清單均以REACH法規(guī)最新公布的清單為準(zhǔn)，乙方所供產(chǎn)品中若含有新公布的限制物質(zhì)且超標(biāo)，必須向甲方進(jìn)行書面說(shuō)明，并經(jīng)甲方書面認(rèn)可后方可供貨給甲方。

　　List of SVHC is subject to the updated REACH directives. If the restricted substances contained in the products from Party B fail to satisfy the updated standard, statement in writing is required to be submitted to Party A, and delivery can not be made until Party B receives consent in writing from Party A.

　　8、一般條款 General Provision

　　8.1本協(xié)議若有版本升級(jí)，則新版本協(xié)議簽訂后舊版本自動(dòng)解除。

　　In case of any upgraded agreement, the old version of agreement shall be automatically terminated as long as the new version of agreement signed.

　　8.2如果本協(xié)議的任何條款被司法機(jī)關(guān)裁定在某些方面不可執(zhí)行，且這種不可執(zhí)行性不會(huì)對(duì)雙方在本協(xié)議中的權(quán)利造成實(shí)質(zhì)性的影響，則本協(xié)議的其它條款繼續(xù)有效。

　　Provided any article in this agreement is adjudged as unenforceable in certain aspects by judicial authority while the unenforceability has no material influences on responsibilities and obligations of both parties, the balance of this agreement shall remain valid and enforceable.

　　8.3本協(xié)議不因甲方或乙方改組、簽約人離職、公司變遷或產(chǎn)地不同等因素而改變其法律效力。

　　Legal force of this agreement shall be not changed because of reorganization, resignation of the signatory, company evolution or variation of producing places.

　　8.4本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，自雙方簽章后生效。

　　This agreement is made in duplicate. Party A and Party B shall hold one original each. The agreement will come into force at signature and seal of both parties.

　　8.5本協(xié)議之解釋、效力、履行及其他未盡事宜均依中華人民共和國(guó)法律為準(zhǔn)，任何關(guān)于本協(xié)議產(chǎn)生的爭(zhēng)議，由雙方協(xié)商解決，協(xié)商不成的，雙方同意任何一方均向甲方所在地人民法院起訴。

　　This agreement is construed in accordance with, enforced pursuant to and governed by laws of the People’s Republic of China. Any dispute arising from this agreement shall be settled through consultations. In case no agreement reached by the two parties, the case in dispute shall then be submitted to the local people’s court in the location of Party A.

　　備注：1、電池指令：為甲方供環(huán)保電池、遙控器附帶電池、其它組件產(chǎn)品附帶電池的供應(yīng)商，電池需按此標(biāo)準(zhǔn)執(zhí)行;

　　2、包裝指令：為甲方供各類紙箱、說(shuō)明書、布袋、打包帶、打包扣、泡沫、扎線、提手、標(biāo)簽、珍珠棉袋、氣泡袋、膠袋、產(chǎn)品緩沖材料、膠帶、托盤、輔肋產(chǎn)品包裝材料等按包裝指令標(biāo)準(zhǔn)執(zhí)行;

　　3、物質(zhì)含量管控標(biāo)準(zhǔn)，不包括歐盟各法規(guī)有毒有害物質(zhì)豁免部分;

　　4、乙方所供甲方產(chǎn)品在送貨時(shí)，產(chǎn)品的外包裝箱和最小包裝上需有環(huán)保標(biāo)識(shí)。

　　Note: 1. Battery directive: As for supplier of environment-friendly battery, battery attached to remote controller and battery attached to other components, this standard shall be carried on batteries supplied;

　　2. Packaging directive: For various paper carton, product manual, cloth bag, strapping band, foam, banding thread, handle, label, pearl bubble bag, air bubble bag, plastic bag, cushion material, adhesive tape, tray, auxiliary product packing material etc. supplied to Party A, packaging directive shall be followed;

　　3. Substance content control standard does not include exemption part of hazardous substance in all directives of EU;

　　4. At shipment of products to Party A by Party B, environment protection label is required on external carton and minimum package.
