  根據(jù)汽車集團(tuán)對(duì)奔馳發(fā)展的要求,現(xiàn)意向與汽車工業(yè)高級(jí)技工學(xué)校合作創(chuàng)辦數(shù)控加工奔馳試驗(yàn)班,并借鑒德國雙元制職業(yè)教育的成功模式,與學(xué)校共同培養(yǎng)職業(yè)教育學(xué)生,以滿足奔馳發(fā)動(dòng)機(jī)工廠建設(shè)與人員發(fā)展的需要。

  According to strategy of Benz Automotive Co.,Ltd.(BAC), BAC will set up the CNC Pilot Class to cooperate with Automobile Industry Advanced Technical School(PAB). The Dual System education system will be referenced, it will be used in CNC Pilot Class for the engine workshop running normally and the development of human resource.

  1. 合作宗旨 Cooperation Aims

  奔馳汽車有限公司與汽車工業(yè)高級(jí)技工學(xué)校強(qiáng)強(qiáng)聯(lián)手,充分利用企業(yè)與學(xué)校各自教育培訓(xùn)資源優(yōu)勢,積極引進(jìn)德國雙元制教育培訓(xùn)模式,實(shí)施客戶化定制職業(yè)教育,縮短高素質(zhì)藍(lán)領(lǐng)工人進(jìn)入企業(yè)的適應(yīng)期,實(shí)現(xiàn)為企業(yè)打造高素質(zhì)藍(lán)領(lǐng)技術(shù)人才隊(duì)伍,促進(jìn)企業(yè)核心競爭力的提高,更好的為企業(yè)經(jīng)營發(fā)展戰(zhàn)略服務(wù)。奔馳汽車有限公司(以下簡稱:公司)與汽車工業(yè)高級(jí)技工學(xué)校(以下簡稱:學(xué)校)充分發(fā)揮各自的優(yōu)勢和特色,擬合作共建數(shù)控加工奔馳試驗(yàn)班,經(jīng)雙方協(xié)商達(dá)成以下合作框架協(xié)議。

  Therefore, BAC and PAB will combine their strengths and opportunities in order to fully utilize the education and training advantages of enterprise and school respectively, actively import dual system educational system from Germany. The customized vocational education will greatly shorten the adaptation period of high-quality blue-collar in the enterprise, establish a technical team for the enterprise, promote the improvement of core competences and serve the operating development for the enterprise. At the same time, it will also enhance the vocational education level of the school to provide better training services. Benz Automotive Co.,Ltd.(BAC) and Automobile Industry Advanced Technical School(PAB), give full play to their advantages and characteristics and plan to cooperate in the establishment of CNC Pilot Class. The following cooperative framework agreements are reached under the negotiation of either party:

  2. 任務(wù)和目標(biāo) Task and Objective

  數(shù)控加工奔馳試驗(yàn)班的任務(wù)是為奔馳汽車有限公司提供職業(yè)學(xué)歷教育和職業(yè)培訓(xùn)服務(wù)。職業(yè)學(xué)歷教育按照試驗(yàn)班模式運(yùn)作,為公司培養(yǎng)技術(shù)工人;職業(yè)培訓(xùn)主要是培訓(xùn)在崗技術(shù)工人。

  CNC Pilot Class aims to provide vocational education and training service for BBDC. Accompanied with pilot class mode, the vocational education aims to train technical workers for BBAC and vocational training is mainly responsible for technical workers on the job.

  數(shù)控加工奔馳試驗(yàn)班是校企非盈利合作項(xiàng)目,利用德國先進(jìn)的職業(yè)教育理念,提升汽車工業(yè)高級(jí)技工學(xué)校的教育與培訓(xùn)能力及其學(xué)生的職業(yè)技能。

  As a kind of non-profit cooperative organization of school and enterprise, CNC Pilot Class utilizes the advanced German vocational education concept to improve the education and training capacity of PAB and the professional skills of the students.

  數(shù)控加工奔馳試驗(yàn)班計(jì)劃2011年9月參照雙元制模式正常開班。首屆暫開2個(gè)試驗(yàn)班,層次為中職班,試行小班制教學(xué),每個(gè)班30名學(xué)生。從在校生中挑選合適人選加入奔馳班,試驗(yàn)班學(xué)制1年,經(jīng)考試和考核合格,準(zhǔn)予畢業(yè)并頒發(fā)國家統(tǒng)一認(rèn)可的畢業(yè)證書。

  The Pilot Class plans to open normally with Dual System mode in September, 2011. The first batch has two pilot classes temporarily and tries out teaching method with small class of 30 students. They will be selected from the internal students. After one year’s study in pilot class with qualified examination result, students will win the qualification to graduate with junior college certificate recognized by the country. BAC will give priority to employ the graduates in pilot class.

  3. 合作雙方分工 Division of the cooperative parties:

  3.1 學(xué)校方分工: PAB Party:

  (1) 組織試驗(yàn)班招生計(jì)劃,主持招生和選拔工作。

  Apply the recruitment plan of pilot class , preside and perform the recruitment.

  (2) 組織和實(shí)施試驗(yàn)班教學(xué)管理工作。

  Organize and implement the teaching management of the class

  (3) 組織和實(shí)施試驗(yàn)班學(xué)生管理工作。

  Organize and implement the students management of the class.

  (4) 組織和實(shí)施試驗(yàn)班教師和教輔人員管理工作。

  Organize and implement the management of teachers and auxiliary teaching staffs.

  (5) 組織和實(shí)施試驗(yàn)班學(xué)生工廠實(shí)習(xí)管理工作。

  Organize and implement the practice management of students in the factory.

  (6) 組織和實(shí)施試驗(yàn)班獎(jiǎng)學(xué)金管理和發(fā)放工作。

  Organize and implement the management and dispense of scholarship.

  (7) 組織和實(shí)施試驗(yàn)班突發(fā)事件應(yīng)急預(yù)案。

  Organize and implement the emergency preparedness of pilot class

  (8) 組織和實(shí)施試驗(yàn)班各項(xiàng)設(shè)備和教學(xué)場地、教學(xué)輔助工具等管理工作。

  Organize and implement the management of various equipments, teaching field and auxiliary tools of the class.

  (9) 組織和實(shí)施職業(yè)培訓(xùn)項(xiàng)目管理工作。

  Organize and implement the management of vocational training.

  (10) 組織和實(shí)施校企合作財(cái)務(wù)管理工作。

  Organize and implement the management of cooperative finance of Pilot Class.

  (11) 組織和實(shí)施職業(yè)學(xué)歷教育與職業(yè)培訓(xùn)日常管理。

  Organize and implement the management of vocational education and vocational trining.

  3.2 公司方分工: BAC Party:

  1)參與學(xué)校試驗(yàn)班招生和選拔工作。

  Participate the recruitment of pilot class.

  (2)參與組織和實(shí)施試驗(yàn)班教學(xué)工作。

  Participate the management of teaching of the class.

  3)參與組織和實(shí)施試驗(yàn)班學(xué)生管理工作。

  Participate the management of students of the class.

  4)參與組織和實(shí)施試驗(yàn)班教師和教輔人員管理工作。

  Participate the management of teachers and teaching auxiliary staffs in the class.

  (5)參與組織和實(shí)施試驗(yàn)班學(xué)生工廠實(shí)習(xí)管理工作。

  Participate the practice management of students in the factory.

  (6)組織和實(shí)施試驗(yàn)班獎(jiǎng)學(xué)金管理和發(fā)放工作。

  Organize and dispense of scholarship.

  (7)參與組織和實(shí)施試驗(yàn)班突發(fā)事件應(yīng)急預(yù)案。

  Participate the emergency preparedness of pilot class.

  (8)參與組織和實(shí)施試驗(yàn)班 各項(xiàng)設(shè)備和教學(xué)場地、教學(xué)輔助工具等管理工作。 Participate the management of various equipments, teaching field and auxiliary tools of the class.

  9)組織和實(shí)施職業(yè)培訓(xùn)項(xiàng)目管理工作。

  Organize and implement the management of vocational training.

  (10)參與組織和實(shí)施企校合作財(cái)務(wù)管理工作。

  Participate the management of finance of Pilot Class.

  (11)參與職業(yè)學(xué)歷教育與職業(yè)培訓(xùn)日常管理。

  Participate the management of vocational education and vocational training.

  4. 合作雙方權(quán)利與義務(wù) Right and Obligation of Cooperative parties

  4.1學(xué)校方權(quán)利與義務(wù) Right and obligation of Automobile Industrial School

  (1)負(fù)責(zé)提供實(shí)訓(xùn)場地、教室、辦公室及通訊、網(wǎng)絡(luò)、電、水、供暖等配套設(shè)施,充分保證職業(yè)學(xué)歷教育與職業(yè)培訓(xùn)的實(shí)際需要。

  Provide practicing and training sites, classrooms, offices and the matching facilities of communications, networks, electricity, water and heating and so on, and keeping them relatively stable in use.

  (2)負(fù)責(zé)提供日常普通教學(xué)用具、投影儀等教學(xué)輔助設(shè)施。

  Provide the teaching subsidiary facilities such as daily ordinary teaching tools and projectors, etc.

  (3)負(fù)責(zé)提供培訓(xùn)所需通用設(shè)備、設(shè)施。

  Provide the basic equipments and facilities that training needs,

  (4)負(fù)責(zé)選派專業(yè)教師擔(dān)負(fù)職業(yè)學(xué)歷教育,并支付費(fèi)用。

  Designate vocational teachers in charge of occupational education, and paying expenses for teachers.

  (5)負(fù)責(zé)試驗(yàn)班的教學(xué)和管理。

  Be responsible for the teaching and education of pilot class.

  (6)負(fù)責(zé)指定專人擔(dān)負(fù)試驗(yàn)班的日常事務(wù)管理。

  Appoint key person to be in charge of the daily affair management.

  (7)參與安排試驗(yàn)班師生到公司實(shí)習(xí)。

  Be responsible for the arrangement of the BAC practice of students and teachers in pilot class .

  (8)負(fù)責(zé)試驗(yàn)班學(xué)生選拔工作。 Be responsible for the selection of students.

  (9)主持?jǐn)?shù)控加工技術(shù)專業(yè)的課程開發(fā),與公司合作開發(fā)的成果版權(quán)共享。

  Preside the course development of CNC technology major and share the copyright with BAC.

  4.2 BAC方權(quán)利與義務(wù) Right and obligation of Benz-DaimlerChrysler Co., Ltd.

  (1)協(xié)助選派公司技術(shù)人員、管理人員或?qū)<姨峁┲v座或進(jìn)行授課。

  Assist selecting technical staffs, managers or experts of BAC for the school teaching of vocational education.

  (2)設(shè)立職業(yè)學(xué)歷教育獎(jiǎng)學(xué)金,用于獎(jiǎng)勵(lì)試驗(yàn)班的優(yōu)秀學(xué)生。獎(jiǎng)學(xué)金管理辦法見附件。 Be responsible to establish the vocational educational prize to reward the students in pilot class. The attachment is Scholarship Management Ordinances

  (3)有權(quán)參與試驗(yàn)班的管理工作。 Have the right to join in the management of the Pilot Class. (4)負(fù)責(zé)安排試驗(yàn)班學(xué)生到公司實(shí)習(xí)。

  Be responsible for the arrangement of practice in the factory of partial students out of pilot class.

  (5)負(fù)責(zé)試驗(yàn)班學(xué)生選拔工作。Be responsible for the selection of students.

  (6)優(yōu)先錄用奔馳班畢業(yè)生,擇優(yōu)錄用汽車工業(yè)高級(jí)技工學(xué)校的其他畢業(yè)生。

  Have the priority to recruit graduates in the pilot class and select other graduates in PAB.

  (7)共同制定數(shù)控加工技術(shù)專業(yè)的課程,并共同享有教材版權(quán)。

  Working out of CNC technology major course together and share the copyright of teaching materials.

  5. 日常管理與運(yùn)行 Operation of Pilot Class

  5.1工作人員及管理辦法 The working staffs in the center and management

  奔馳班日常管理設(shè)主任1名,由學(xué)校指派并支付工資。設(shè)副主任1名,由公司指派并支付工資。

  The Pilot Class sets one director in charge of daily management which will be appointed and paid by PAB. The Pilot Class sets 1 vice director and will be paid by BAC.

  5.2 職業(yè)教育與培訓(xùn)對(duì)象 The Educational and Training Objects

  職業(yè)培訓(xùn)對(duì)象:奔馳汽車有限公司在崗技術(shù)工人、技師。

  The object of vocational training: the skilled workers and technicians employed by BAC.

  5.3 教育與培訓(xùn)模式 The educational and training mode

  職業(yè)教育模式:參照雙元制教學(xué)模式、參照奔馳公司技術(shù)工人崗位標(biāo)準(zhǔn)進(jìn)行培訓(xùn)教學(xué)。

  The modes of vocational education: the training will carry out according to dual system and the post standards of BAC.

  職業(yè)培訓(xùn)模式:按照培訓(xùn)項(xiàng)目要求進(jìn)行運(yùn)作。

  The modes of vocational training: Operating according to the requirements of training items.

  5.4 培訓(xùn)教師將主要來源于汽車工業(yè)高級(jí)技工學(xué)?,F(xiàn)有專業(yè)、外語基礎(chǔ)較好的中青年教師。

  The training teachers of Pilot Class will mainly come from the present middle and young teachers with better foreign language foundation of PAB.

  6. 違約責(zé)任 Liabilities for breach of contract

  6.1 合作雙方應(yīng)本著真誠合作、互惠互利的原則,建設(shè)性的履行本協(xié)議,任何一方不履行本協(xié)議或未按協(xié)議約定履行的行為視為違約,并應(yīng)賠償由此給守約方造成的損失。

  On the light of the principle of sincere cooperation and mutual advantage, each party should perform the agreement constructively. Any failure by a party to carry out the agreement or violate the agreement will be considered as a breach and should compensate to the loss of observant party.

  6.2 如學(xué)校方非因不可抗力原因單方終止職業(yè)學(xué)歷教育合作內(nèi)容,公司有權(quán)撤回本公司投入的所有的設(shè)備資產(chǎn),并應(yīng)賠償由此給公司造成的損失。

  If the PAB party terminates the cooperative contents of vocational education one-sided due to force majeure, BAC has the obligation to withdraw all the equipment assets as sample vehicle and special detection equipments provided by the company and compensate and the loss should be compensated brought to BAC.

  6.3 職業(yè)培訓(xùn)的違約責(zé)任及其賠償將在具體合作項(xiàng)目協(xié)議中約定。

  The liabilities for breach of contract and compensation of vocational training will be agreed in the specific cooperative project.

  7. 協(xié)議的解除條件 Termination condition of the agreement

  當(dāng)出現(xiàn)下列情形之一,合作各方本著協(xié)商一致的原則,可以提前解除本協(xié)議:

  When one of the following conditions occurs, each party of the cooperation can terminate the agreement in advance with the consensus principle:

  (1)當(dāng)初約定的客觀條件發(fā)生重大變化,導(dǎo)致協(xié)議無法履行的;

  The appointed objective conditions make important changes and can’t be carried out;

  (2)合作主體方提出解除本協(xié)議并征得各方一致同意的;

  Conditions in which the cooperative object proposes to terminate the agreement with the consensus of each party;

  (3)當(dāng)合作主體一方嚴(yán)重違反本協(xié)議的約定,導(dǎo)致協(xié)議無法履行的。

  The cooperative party seriously violates the agreement and the agreement can’t be performed.

  8.協(xié)議的終止條件 Termination condition of the agreement

  當(dāng)出現(xiàn)下列情形之一,本協(xié)議將終止執(zhí)行:

  When one of the following conditions occurs, the agreement will be terminated:

  (1) 約定期滿,合作各方無意續(xù)約的;

  Each party in the cooperation has no intention to renew when the agreement expires;

  (2) 當(dāng)上述第7項(xiàng)中任何一種情形出現(xiàn)導(dǎo)致協(xié)議解除的。

  When one of the above conditions of article 7 occurs, the agreement is terminated.

  9.協(xié)議的變更 Alternation of the agreement

  合作任何一方需要變更本協(xié)議條款,均需書面通知其余方,經(jīng)各方協(xié)商一致,達(dá)成書 面意見。各方未達(dá)成書面意見前,本協(xié)議仍然有效,仍應(yīng)繼續(xù)履行。

  Any party of the cooperation needs to change the articles of the agreement, written notice is required to the other party. The consensus of each party should be reached. Before that, the agreement is still effective and should be performed.

  10.不可抗力 Force Majeure

  任何一方因不可抗力不能履行本協(xié)議,根據(jù)不可抗力的影響,部分或全部免除責(zé)任。

  Any party can’t carry out the agreement due to the majeure, part or full responsibility should be exempted with the influence of force majeure.

  11.其它 Others

  11.1框架協(xié)議簽署后,另有較大的事項(xiàng),需要簽署專項(xiàng)協(xié)議的,另項(xiàng)簽署。

  After signing the framework agreement, if there is larger items which needs to sign the special agreement, sign that in another way.

  11.2框架協(xié)議有效期起始時(shí)間為框架協(xié)議的簽署時(shí)間,有效期三年。

  The initial time of expiration date of framework agreement is the sign time of framework agreement. Available period is three years。

  11.3本框架協(xié)議一式4份(中英文版本,以中文版為基準(zhǔn)),合作雙方各執(zhí)2份。

  The framework agreement is in four counterparts (Chinese version will prevail in both Chinese and English version.), either party holds 2 copies.

  11.4本協(xié)議未盡事宜,各方應(yīng)本著諒解合作態(tài)度,共同協(xié)商解決。各方還可根據(jù)今后發(fā)展的需要簽訂補(bǔ)充協(xié)議。如雙方不能通過友好協(xié)商解決的,可向有管轄權(quán)的人民法院提起訴訟。 Either party shall negotiate the unforeseeable issues friendly and cooperatively. They can also sign the complementary agreement according to the requirement in future. If both parties can’t negotiate with friend and cooperative method, they can bring a suit to the People’s Court with jurisdiction.
