EMPLOYER INVENTION AGREEMENT

　　FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which being hereby acknowledged, and in consideration of the understanding being employed by

　　(the Company), the undersigned hereby agrees, acknowledges and represents as follows:

　　鑒于業(yè)已收訖的有效的、有價(jià)的約因，再鑒于本協(xié)議簽署人已被 (公司名)雇傭，簽署人同意、認(rèn)可并且聲明如下：

　　1. That the undersigned, during the course of employment, shall promptly disclose in writing to the company all inventions, discoveries, improvements, developments and innovation whether patentable or not, conceived in whole or in part by the undersigned or through assistance of the undersigned, and whether conceived or developed during working hours or not, which:

　　在雇傭期內(nèi)，本協(xié)議的簽署人應(yīng)該及時(shí)書面匯報(bào)所取得的發(fā)明、發(fā)現(xiàn)、改良、發(fā)展和技術(shù)革新成果，而不論這些成果能否取得專利，全部還是部分由員工做出，或僅是在簽署員工的幫助下做出，或者是否在工作時(shí)間內(nèi)做出。這些成果只需要滿足如下條件：

　　a). Result in any work performed on behalf of Company, or pursuant to a suggested research project by the Company, or

　　b). Relate in any manner to the existing or contemplated business of the Company, or

　　c). Result from the use of the Company’s time, material, employees, or facilities.

　　a) 這些成果是在與公司有關(guān)的工作中或是由公司所建議的研究項(xiàng)目中得出的，或

　　b) 這些成果以任何形式與公司現(xiàn)存或者未來的業(yè)務(wù)有關(guān)，或

　　c) 這些成果的取得占用了公司的工作時(shí)間、原材料、人力和設(shè)施。

　　2. The undersigned hereby assigns to the Company, its successors and assigns, all of the rights, title and interest to the said inventions.

　　本協(xié)議簽署后，簽署人便已將該發(fā)明的所有權(quán)利、名稱和收益讓渡給公司或者公司的繼承者和轉(zhuǎn)讓者所有。

　　3. The undersigned shall, as requested, execute specific assignments to any such invention and execute, acknowledge, and deliver any shall, at the Company’s request and expenses, assist in the defense and prosecution of such letters patent or other registrations as may be required by the Company. This provision shall survive any termination of employment with the Company.

　　本協(xié)議的簽署人有義務(wù)按公司要求完成對任何該類發(fā)明的某一具體工作，并且有義務(wù)為該發(fā)明獲得任何形式的專利而起草、確認(rèn)和遞交各類附加司法材料。同時(shí)，也有義務(wù)應(yīng)公司要求協(xié)助申請和保護(hù)該發(fā)明的專利權(quán)和本公司所要求的其他注冊權(quán)利(費(fèi)用由公司支付)。本協(xié)議的規(guī)定在員工離職后仍然有效。
