Provision of Representation and Warranty in Contract

　　合同中的陳述和保證一般包括兩方面內(nèi)容：其一是對公司是否有權(quán)簽署本協(xié)議所做的陳述和保證，包括公司組建設(shè)立情況、公司是否對簽約人授權(quán)簽署本合同等;其二是依據(jù)合同性質(zhì)和合同標(biāo)的需要合同另一方作出特別保證的內(nèi)容，比如，公司是否存在正在進(jìn)行的訴訟等。通過這個(gè)條款對這些信息作出保證，保證其在本協(xié)議下真實(shí)有效。如果一方違反這個(gè)保證，另一方可以采取包括終止合同在內(nèi)的救濟(jì)措施，從而最大限度地保護(hù)自己。

　　一、 公司是否有權(quán)簽署本協(xié)議所做的陳述和保證

　　例：賣方謹(jǐn)此保證下列事項(xiàng)屬實(shí)：

　　The Seller hereby represents and warrants as to itself that:

　　本公司為依中華人民共和國法律合法組織存在、享有良好商譽(yù)之法律主體;

　　it is a duly organized legal entity, validly existing and in good standing under the laws of the People's Republic of China;

　　本公司訂立本合約及履行因本合約所致生之義務(wù)，不違反訂約時(shí)之任何中國法令，或違反其它任何本公司為當(dāng)事人的合約。

　　its entry into and performance of its obligations under this Agreement do not violate any legal requirements in the People’s Republic of China as of the date hereof or any material agreements to which it is a party.

　　例：甲方為依照公司設(shè)立地法律依法設(shè)立并存續(xù)的有限責(zé)任公司，具備簽署執(zhí)行本協(xié)議、依照本協(xié)議規(guī)定行使本協(xié)議規(guī)定權(quán)利和履行本協(xié)議規(guī)定義務(wù)的所有法人權(quán)力。

　　Party A is a limited liability company duly incorporated and validly existing under the laws of its place of incorporation, and has all corporate power and authority to executed this agreement, exercise the rights and perform the obligations hereunder in accordance with the provisions of this agreement.

　　例：甲方保證如下：

　　PARTY A represents and warrants that:

　　it is duly incorporated with limited liability and validly exists under the laws of New Zealand;

　　本公司是依照新西蘭法律成立的并有效續(xù)存的有限責(zé)任公司;

　　it has corporate power and has taken all necessary corporate and other action to enter into and complete this AGREEMENT.

　　本公司具有法人權(quán)利，已采取必要的法人和其他行為簽訂和履行本協(xié)議。

　　例 乙方承諾并保證其具有完全權(quán)利簽署、履行和完成本協(xié)議項(xiàng)下所約定的義務(wù);本協(xié)議已經(jīng)被乙方適當(dāng)?shù)睾炇穑诘玫秸鞴懿块T的批準(zhǔn)(如果要求的話)的前提下，根據(jù)條款對甲方產(chǎn)生合法有效、有約束力和強(qiáng)制性義務(wù)。

　　PARTY B represents and warrants that it has full power and authority to enter into, perform and comply with its obligations under this AGREEMENT; this AGREEMENT has been duly executed and delivered by PARTY B and, subject to the approval by the governmental authorities (if required) constitutes legal, valid, binding and enforceable obligations of PARTY A in accordance with its terms.

　　例 各方聲明并保證： Each PARTY represents and warrants that:

　　它是在美國國內(nèi)正式成立和注冊的公司，符合各項(xiàng)規(guī)定，它有權(quán)力且授權(quán)簽訂并履行本協(xié)議及由其簽署并遞交的、與之有關(guān)的任何其他協(xié)議和文件(包括本合同在內(nèi)統(tǒng)稱為文件)。

　　It is duly organized and registered and in good standing in the United States, has power and authority to enter into and perform?this AGREEMENT and any other agreements and documents executed or delivered by it in connection herewith (collectively, with this AGREEMENT, the DOCUMENTS).

　　二、對是否得到授權(quán)的陳述與保證

　　例 本公司董事會(huì)已依法授權(quán)本公司進(jìn)行與本合約相關(guān)的訂立與履行事宜，并記載于董事會(huì)記錄中;

　　its Board of Directors has taken all necessary action to duly authorize the execution, delivery and performance of this Agreement which actions are reflected in the minutes book of the corporation; and

　　例 文件的簽署、遞交和履行已經(jīng)通過一切必要的行為獲得正式授權(quán)。

　　Its execution, delivery and performance of the DOCUMENTS have been duly authorized by all necessary action.

　　例 甲方已經(jīng)得到履行本協(xié)議所必需的同意、批準(zhǔn)和授權(quán)，所有合同文件均已提交，本協(xié)議在審批部門批準(zhǔn)后生效。

　　PARTY A has obtained all consents, approvals and authorizations necessary for the valid execution and delivery of this AGREEMENT and all of the contracts referred to herein to which it is a party; provided, however, that this AGREEMENT shall be subject to the approval of the Examination and Approval Authority before the same may become effective.

　　例 受讓人簽署、交付、履行本協(xié)議行為和本協(xié)議規(guī)定的轉(zhuǎn)讓以及受讓人履行完畢的行為在受讓人的公司授權(quán)范圍之內(nèi)。

　　The execution, delivery and performance by the Transferee of this Agreement and the completion by the Transferee of the transfer contemplated hereunder are within the transferee’s corporate power and authority.

　　例 承包商聲明并保證，承包商經(jīng)依法授權(quán)，本合同經(jīng)承包商依法授權(quán)、簽署并提交對方，對承包商形成合法、有效、具有法律約束力的合同責(zé)任，依照本合同規(guī)定具有強(qiáng)制執(zhí)行效力。

　　The contractor represents and warrants that the contractor is empowered legally and this contract has been duly authorized, executed, and delivered by the contractor, and constitutes a legal, valid, and binding obligation of the contractor, enforceable in accordance with its terms.

　　三、對是否有權(quán)力履行合同義務(wù)或承擔(dān)合同責(zé)任的陳述與保證

　　例：甲方謹(jǐn)在此聲明及保證甲方為出租房屋的合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事，甲方已取得所有有關(guān)機(jī)構(gòu)的批準(zhǔn)，包括政府批準(zhǔn)及抵押權(quán)人的同意。甲方于本合同所做出的聲明及保證，如有錯(cuò)誤或違反者，甲方須就因此而引起的任何損失、損害、支出及費(fèi)用做出全部補(bǔ)償。

　　Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent ( if applicable) Party A shall be liable to Keep Party B be fully indemnified against any costs, expenses, losses and damages incurred to suffered by Party B as a result of any breach of Party A’s representations or warranties herein ( including but not limited to legal costs)

　　房東保證本約期間不將租賃標(biāo)的物出售或抵押給第三人。

　　The Landlord hereby covenants that the Premises will not be sold or mortgaged to any third person during the term of this Agreement.

　　四、對是否存在債務(wù)糾紛或者是否存在對履行合同的能力產(chǎn)生障礙的陳述與保證

　　例 發(fā)包商再次保證： The SUBCONTRACTOR hereby represents and warrants:

　　發(fā)包商是根據(jù)中國法律依法成立，合法經(jīng)營和良好續(xù)存的公司，在中華人民共和國工商管理機(jī)關(guān)注冊。

　　1) The SUBCONTRACTOR is a company duly organized, validly existing and in good standing under the laws of the People’s Republic of China, being registered at the State Administration for Industry and Commerce of the People’s Republic of China.

　　本分包合同的簽訂與履行是在本公司的經(jīng)營能力和范圍內(nèi)，不違反任何法律、法規(guī)和簽約的其他協(xié)議。

　　2) The conclusion and performance of this SUBCONTRACT are within the corporate powers and authority of the SUBCONTRACTOR and do not contravene any laws, regulations or any agreements to which the SUBCONTRACTOR is a party.

　　不存在任何對發(fā)包商的經(jīng)營、財(cái)產(chǎn)、資格、財(cái)務(wù)和其他狀況產(chǎn)生負(fù)面影響并進(jìn)而將影響到分包商履行本協(xié)議義務(wù)的能力的任何未決案件、訴訟、被法院或行政機(jī)關(guān)立案。

　　3) There is no pending action or issue in or action by any court or administration authority which could exert a material adverse impact on the business, property, status, finance and other aspects of the SUBCONTRACTOR so as to affect the capability of the SUBCONTRACTOR to carry out its obligations under this AGREEMENT.

　　例 各方保證如下： Each PARTY hereby represents and warrants that:

　　本協(xié)議已由各方代表簽署，具有合法有效、約束力以及強(qiáng)制性義務(wù)，其效力除非以下情況可以例外：申請破產(chǎn)，資不抵債或其他類似的法律影響債權(quán)人的權(quán)利實(shí)施。

　　this AGREEMENT has been duly executed and delivered on its behalf and constitutes its legal, valid, binding and enforceable obligation, except to the extent that enforceability may be limited by applicable bankruptcy, insolvency or other similar laws affecting the enforcement of creditor rights;

　　不存在涉及第三方的、有礙于本協(xié)議簽署或者妨礙本協(xié)議義務(wù)履行的安排或約定。

　　there are no existing arrangements or agreements with third parties, the terms of which prevent the PARTIES from entering into this AGREEMENT or which would impede the performance of its obligations under the AGREEMENT.

　　五、對產(chǎn)品質(zhì)量或者保障的陳述與保證

　　例：WARRANTIES 質(zhì)量保證條款

　　The Seller guarantee that the Equipment supplied under this Contract is made of the best quality materials with first class workmanship, brand new, up to standard in all respects and in good condition.

　　賣方保證提供的設(shè)備是全新制造的，用最好的材料及新設(shè)計(jì)，符合各方面的標(biāo)準(zhǔn)并狀況良好。

　　例：：讓與人將保證按合同要求向引進(jìn)方提供的技術(shù)資料和軟件是讓與人實(shí)際使用的和最新的并被證實(shí)了的技術(shù)資料和軟件，并保證在合同執(zhí)行過程中及時(shí)向引進(jìn)方免費(fèi)提供改進(jìn)、修改和開發(fā)的新的技術(shù)資料和軟件。

　　The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be of the latest and well-proved Technical Documentation and Software which are actually used by the Licensor and that the improved, modified and developed Technical Documentation and Software shall be supplied in time by the Licensor to the Licensee in the course of implementation of the Contract, without charge.

　　例：許可方保證是本專有技術(shù)的合法所有者或持有者，并且有權(quán)許可被許可方使用

　　Licensor guarantees that it is the legitimate owner or holder of Know-how and in the lawful position to grant the license to Licensee.

　　例： 許可方保證本專有技術(shù)是最新的現(xiàn)代化用的，能依照合同附件二的規(guī)定予以開發(fā)。

　　Licensor guarantees that Know-how is well developed and industrialized, and is exploitable in accordance with Technical Documentation specified in Appendix 2.

　　例： 許可方保證合同附件一規(guī)定的合格的合同產(chǎn)品能在工作現(xiàn)場采用本專有技術(shù)制造出來。

　　Licensor guarantees that qualified Contract Products as specified in Appendix 1 can be manufactured by exploiting Know-how at Job Site.

　　例：許可方保證所提供的技術(shù)資料是完整的、正確的、清晰的，并保證能按合同附件二的規(guī)定及時(shí)交付。

　　Licensor guarantees that Technical Documentation is complete, correct, and clear, and shall be delivered in accordance with the schedule specified in Appendix 2.

　　例：許可方保證按時(shí)派遣合格的技術(shù)人員提供正確和充分的技術(shù)服務(wù)和技術(shù)培訓(xùn)。

　　Licensor guarantees that qualified professional technical personnel shall be dispatched in duetime to provide correct and sufficient Technical Service and Technical Training.

　　例：本專有技術(shù)在工作現(xiàn)場的保證期為驗(yàn)收通過之日后的________個(gè)月，詳見合同附件五。保證期滿，被許可方的授權(quán)代表應(yīng)簽署一份保證期滿證書給許可方。

　　The guarantee period for the Know-how at Job Site is____ months from the date of the acceptance, details of which are specified in Appendix 5. A guarantee expiration certificate shall be signed by the authorized representative of Licensee at its expiration and submitted to Licensor.

　　例：許可方保證不會(huì)發(fā)生被許可方被指控有關(guān)合同產(chǎn)品上的侵權(quán)責(zé)任。

　　Licensor guarantees that Licensee shall not be claimed for product liability in relation to Contract Products.
