FINANCING FEE AGREEMENT

　　融資傭金協(xié)議

　　THIS AGREEMENT entered into this [ ] day of September, 2012 by and between A (Consultant) having offices located in New York, and [ ]. (the Company) having offices located at, [ in China].

　　本協(xié)議是2012年9月 訂立的協(xié)議，是由辦事處設(shè)在紐約的展望資本風(fēng)險(xiǎn)投資公司(顧問公司)，與辦事處設(shè)在中國 的融資公司之間簽訂。

　　WHEREAS, the Company desires to obtain financing by the pledge of certain of its assets; and

　　鑒于， 融資公司希望用其若干資產(chǎn)來抵押取得融資;并且

　　WHEREAS, the Company has requested Consultant to seek Lenders that may offer to provide this financing for the Company; and

　　鑒于，融資公司已要求顧問公司尋求可向融資公司提供融資的貸款人;

　　WHEREAS, The Company hereby engages and authorizes Consultant as its authorized agent to develop and secure debt financing of all or a portion of the Company Assets, including ACCOUNTS RECEIVABLE / PURCHASE ORDERS / MACHINERY & EQUIPMENT / INVENTORY. Consultant will use its best efforts to secure and provide financing of the Company’s Assets through Consultant’s funding sources.

　　鑒于，融資公司現(xiàn)認(rèn)可和授權(quán)顧問公司作為其代理人發(fā)展和保護(hù)融資公司的全部或部分資產(chǎn)債務(wù)，包括應(yīng)收賬款/采購訂單/機(jī)械及設(shè)備/庫存的債務(wù),顧問公司會(huì)盡其最大的努力，以確保與通過顧問公司的資金來源為融資公司的資產(chǎn)進(jìn)行融資。

　　WHEREAS, This Agreement shall have an exclusive term of 120 days from the date of the receipt of any and all documentation that the Company can disclose as requested by Consultant or the proposed Lender or Investor (Funding Source). It remains the responsibility of the Company to provide the documentation requested on a commercially reasonable basis, understanding that the timeliness and receipt of such data is crucial to the development of a prudent lending facility or funding source for the Company. Subsequent to this period of time and based on the successful funding by a Consultant Lender accepted and received by the Company, the Company will provide to Consultant a Right of First Refusal (ROFR) on any additional debt funding requirement for a period equal to the Initial Term of the original facility, that term is not to exceed a three year term. The Company agrees not to engage with another Financing Agent during the 120 Day period as detailed above. This agreement shall apply for any Investment made by a Funding Source during a period of one year from the date of such introduction and any Investment made pursuant to any commitment made by, or any right, option or warrant to make an Investment granted to, a Funding Source within one year after the date of such introduction.

　　鑒于， 本協(xié)議按照顧問公司或貸款人或投資者( 資金來源 )的要求，從顧問公司收到的任何或所有文件開始算起，應(yīng)當(dāng)有一個(gè)專屬期限為120天的封閉期，此時(shí)間過后，融資公司才可以再將這些文件對外披露。融資公司在商業(yè)合理的基礎(chǔ)上有責(zé)任提供要求的文件，了解這些數(shù)據(jù)的及時(shí)性和獲得數(shù)據(jù)對審慎的貸款機(jī)構(gòu)或融資公司的資金來源工作的發(fā)展是至關(guān)重要的。在這一段 時(shí)間的基礎(chǔ)上，顧問公司成功獲得貸款人并被融資公司接受后，在融資公司獲得資金后，對任何額外的債務(wù)融資要求，這些額外要求的開始期限等于初始貸款機(jī)構(gòu)進(jìn)入的時(shí)限，將提供顧問公司優(yōu)先購買權(quán)( ROFR )，這個(gè)貸款時(shí)限是不超過3年的期限。融資公司同意不得從事與另一融資代理進(jìn)行聯(lián)系，細(xì)節(jié)如上規(guī)定封閉期 在120天。本協(xié)定應(yīng)適用于來自資金來源的任何一年期間的投資，從引進(jìn)之日起，所作出的任何承諾和任何投資，或擁有任何權(quán)利，或者這樣引進(jìn)后一年內(nèi)的新的資金來源。

　　WHEREAS, Consultant has agreed to search for a loan or loans, or other forms of financing from a Lender (hereinafter referred to as Lending Facility) or financing sources for the Company;

　　鑒于，顧問公司已同意為融資公司找到貸款，從貸款人(以下簡稱貸款融資 )或融資公司的融資渠道進(jìn)行。

　　NOW THEREFORE, in consideration of the promises and the mutual agreement contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties do hereby agree as follows:

　　因此，由現(xiàn)在的承諾和相互協(xié)議所含內(nèi)容的考慮，以及其他有益且有價(jià)值的考慮，在收到并足夠的予以承認(rèn)后，雙方在此達(dá)成如下協(xié)議：

　　1.The Company hereby engages Consultant as its authorized agent under the Terms described above, to locate and develop a financing source or Lending Facility.

　　融資公司現(xiàn)授權(quán)顧問公司作為其授權(quán)代理，根據(jù)上述所列條款，定位和發(fā)展融資渠道或貸款基金。

　　2.The Company acknowledges that Consultant will use letters, contracts, data records, projections, forecasts and financial statements provided by the Company (Company Information) to assist Consultant its search for a Lending Facility. The Company agrees to hold Consultant harmless from any and all claims that may arise from Consultant’s use of Company Information to the extent that such claims arise based upon any material misrepresentation or inaccuracy contained therein.

　　融資公司確認(rèn)，顧問公司將使用融資公司(公司信息)所提供的 信件，合同，數(shù)據(jù)記錄，預(yù)測，預(yù)報(bào)和財(cái)務(wù)報(bào)表協(xié)助顧問公司尋找貸款融資機(jī)構(gòu)。融資公司同意顧問公司在使用融資公司信息過程中，由于所承載信息的任何重大失實(shí)陳述或不準(zhǔn)確的程度可能出現(xiàn)問題，顧問公司免受任何及所有索賠。

　　3.Consultant acknowledges that the Company information is confidential and hereby agrees not to disclose such information to any individual, company or entity that might be a competitor of the Company. Furthermore, Consultant agrees to require its agents, assigns, and Consultant’s funding sources to not disclose any company information to any individual, company, or entity that might be a competitor of the Company. Any company information provided by Consultant to Consultant’s Funding Sources is to be used only for the purpose of deciding if a Lending Facility or equity investment should be granted to the Company.

　　顧問公司承認(rèn)，融資公司的信息是保密的，并在此同意不對任何個(gè)人，公司或?qū)嶓w，可能是競爭對手的公司披露這樣的信息。此外，顧問公司同意要求其代理人，受讓人和顧問資金來源對任何個(gè)人，公司或?qū)嶓w，可能是競爭對手的公司不透露任何信息。任何由顧問公司提供給顧問資金來源的信息，將只用于決定借貸機(jī)構(gòu)或股權(quán)投資是否授予融資公司的貸款的目的。

　　4.COMPANY FINANCIAL DATA: The Company grants to Consultant restricted access to any and all Company financial data, including but not limited to books, records, financial statements etc The Company hereby agrees to provide such data to Consultant on a commercially reasonable basis. The Company agrees to provide to Consultant the financial data that the Company provides to a Consultant Funding Source.

　　融資公司財(cái)務(wù)數(shù)據(jù)：融資公司授予顧問公司的準(zhǔn)入限制級獲取融資公司的任何及所有財(cái)務(wù)數(shù)據(jù)，包括但不限于書籍，記錄，財(cái)務(wù)報(bào)表等... 在商業(yè)上合理的基礎(chǔ)上，融資公司特此同意向顧問提供此類數(shù)據(jù)。融資公司同意向顧問公司提供財(cái)務(wù)數(shù)據(jù)，這些數(shù)據(jù)是融資公司提供給顧問資金來源的數(shù)據(jù)。

　　5. NON-CIRCUMVENTION: Consultant’s Funding Sources are a valuable asset of Consultant. The Company acknowledges that Consultant’s Funding Sources have been developed at considerable cost of time, effort, and resources, and as such, are fundamental to Consultant’s livelihood and future. Accordingly, the Company agrees not to make direct or indirect contact with any Consultant’s funding sources except through Consultant. The Company further agrees not to disclose the names of Consultant’s deal funding sources to any third party. This non-circumvention clause will remain in effect for THREE (3) YEARS.

　　非規(guī)避：顧問公司的資金來源是其一筆寶貴的財(cái)富。融資公司認(rèn)可顧問公司的資金來源的發(fā)展是花費(fèi)了相當(dāng)?shù)臅r(shí)間，精力，成本和資源，正因?yàn)槿绱?，是顧問公司的生命線和未來。因此，融資公司同意不直接或間接接觸任何通過咨詢顧問以外的資金來源。融資公司還同意不向任何第三方透露成交的顧問來源資金的姓名。這里啟用的非規(guī)避條款，有效期限在三(3)年。

　　6. Consultant agrees to present each lending facility or investment proposal it may develop to the Company for discussion and approval. The Company retains the sole right to accept or reject any proposals submitted to the Company by Consultant or Consultant’s funding sources.

　　顧問公司同意向融資公司呈報(bào)各貸款機(jī)構(gòu)或投資機(jī)構(gòu)的建議作為討論和批準(zhǔn)的依據(jù)。融資公司保留唯一有權(quán)接受或拒絕由顧問或顧問公司的資金來源提交給其的任何建議。

　　7. COMPENSATION:補(bǔ)償

　　a) The Company agrees to pay Consultant a fee of Four (4) PERCENT of the total Lending Facility (CREDIT LINE) developed by Consultant and accepted by the Company (Fee). The fee shall be based on the total of all facilities offered to and accepted by the Company. This fee shall be due and payable to Consultant only upon the successful completion and funding of a lending facility developed by Consultant and accepted by the Company. The entire fee shall be due and payable upon funding of a lending facility from Consultant’s lending source or the Company. Company agrees that the Consultant’s lending source that funds a lending facility for the Company will be instructed through the use of an intermediary bank account or escrow, or instructing the Lender to pay Consultant’s fee directly by wire transfer to Consultant from the initial proceeds of the lending facility.

　　融資公司同意支付給顧問公司發(fā)展的并且被公司所承認(rèn)的借貸總量總數(shù)的4% 為傭金。傭金以所提供的所有的并被公司承認(rèn)的貸款量為基礎(chǔ)。只有成功的完成一個(gè)借貸，顧問公司才可以拿到傭金。只有是在融資公司或顧問公司的資源之上形成的借貸關(guān)系，顧問公司才能拿到傭金。融資公司同意顧問公司的借貸資源，為公司形成的一個(gè)借貸必須在使用一個(gè)中間銀行賬戶或契約的指導(dǎo)下所支持，或者指導(dǎo)借貸方通過電匯的形式在借貸形成的最初階段直接給顧問資金。

　　CREDIT LINE INCREASES: Should the Company receive additional or incremental Credit Line increases beyond the initial loan facility within a Two (2) year period from the initial funding date, Consultant shall be entitled to and receive THREE QUARTERS (equal to 75% of the Original Commission Fee Percentage) commission (Fee) on the increased amount as described above, within Ten (10) days of the additional funding being completed.

　　信貸額度增加：如果公司在最初的資金日簽署的兩年內(nèi)收到額外的增長額，那么顧問公司有權(quán)利取得額外增長額傭金的75%作為傭金(等于原來傭金率的75%)，在額外增長額完成的10天之內(nèi)顧問公司就應(yīng)該拿到傭金。

　　8.LOAN RENEWAL: Should the Borrower and the Lender renew their Loan Commitment within the first two years of the original Term, the Borrower will then be obligated to pay to Consultant. a sum equal to ONE QUARTER (equal to 25%) the fee described in the Compensation Paragraph. Upon the completion of the funding, this fee shall be payable to Consultant whether the loan is drawn upon within 10 business days. The Borrower agrees to provide Consultant with copies of all correspondence between themselves and the Lender regarding the loan renewal.

　　貸款協(xié)議續(xù)展。如果借方和貸方在原始條款的第一個(gè)前兩年里繼續(xù)貸款協(xié)議，那么借方有義務(wù)支付顧問公司總值為上面提到的傭金的25%為傭金，當(dāng)資金完成落實(shí)后，傭金會(huì)支付給顧問公司，無論貸款是否在10個(gè)工作日內(nèi)被提走。借方同意給顧問公司提供所有在借方和貸方就貸款繼續(xù)協(xié)議所產(chǎn)生的所有書信往來。

　　9. Should Consultant develop a debt facility with another Lender, a different entity entirely (not in any relationship whatsoever) from the original Lender, as a LOAN RENEWAL, the Company agrees to remit a fee to Consultant in the amount equal to ONE-HALF (50%) of the original fee.

　　一旦顧問公司發(fā)展了其他貸款人的債務(wù)信貸，與原來的貸款人是一個(gè)完全不同的實(shí)體(而不是有任何形式的聯(lián)系) ，作為一個(gè)貸款續(xù)期，融資公司同意向顧問公司支付等于原來傭金費(fèi)用的一半(原始的費(fèi)用50%)的費(fèi)用的金額。

　　The Company shall furnish to Consultant, a detailed list of Funding Sources it has approached in the past, describing what was concluded if anything and the name of the contact person at each Funding Source. The Company will not breach any Non-Disclosure Agreement (NDA) previously signed with other potential lending sources. The Company will ask each Lender for a release from the NDA to disclose their names and result.

　　融資公司需要向顧問公司提供過去獲得的資金來源的詳細(xì)清單，說明現(xiàn)在資金狀況是什么結(jié)論，各種資金來源的聯(lián)絡(luò)人的名稱。融資公司將不會(huì)違反與其他潛在的貸款來源此前簽署的任何保密協(xié)議(NDA)。融資公司應(yīng)該向每個(gè)前貸款人要求NDA可以釋放,以便可以透露他們的姓名和結(jié)果。

　　10.GOVERNING LAW: This Agreement shall be governed by, construed by and enforced in accordance with the laws of the State of New York. The parties further agree, if a dispute arises as to the terms and or breach of the terms of this Agreement, jurisdiction and venue shall occur in New York County. However, in the event injunctive relief is reasonably necessary or available to the Finder with regard to payment of the Fee, Finder may move and commence a proceeding for appropriate injunctive relief in any court of competent jurisdiction. The parties further agree, the rights of the Parties under this Agreement are personal to that Party and may not be assigned or transferred to any other person, firm, corporation or any other entity without the other’s express written consent.

　　適用法律：本協(xié)議應(yīng)根據(jù)紐約州的法律解釋和執(zhí)行。雙方進(jìn)一步同意，如果有發(fā)生爭議的條款或違反了本協(xié)議的條款，司法管轄權(quán)和地點(diǎn)將在紐約州紐約郡。然而，在對查明者關(guān)于支付傭金的問題上，禁令救濟(jì)是合理必要的，查明者可提出動(dòng)議，并開始適當(dāng)?shù)慕罹葷?jì)，在任何有管轄權(quán)的法院訴訟。雙方進(jìn)一步同意，各締約方根據(jù)本協(xié)議的權(quán)利是個(gè)人參加每一方，而且在融資公司沒有其他明確的書面同意下，不得轉(zhuǎn)讓或轉(zhuǎn)移到任何其他人士，商號(hào)，或任何其他實(shí)體。

　　11. PUBLIC NOTICES: 公告：

　　Upon the completion of a successful funding by a Consultant’s Funding Source, the Company shall provide to Consultant a letter of commendation for Consultant Management’s efforts in securing and finalizing funding for the Company.

　　通過顧問公司的資金來源完成一個(gè)成功的投資后，融資公司要為顧問公司在為其融資資金的安全到達(dá)落實(shí)所提供的管理及努力書寫一封表揚(yáng)信。

　　12.FACSIMILE SIGNATURES: 傳真簽字：

　　Any signed copy of this Agreement or of any other document or agreement referred to herein, or copy of counterpart thereof, delivered by facsimile transmission, shall for all purposes be treated as if it were delivered containing an original manual signature of whose signature appears in the facsimile, and shall be binding upon such party in the same manner as though an originally signed copy had been delivered.

　　任何通過傳真發(fā)送的簽署的協(xié)議或與此關(guān)聯(lián)的任何其他文件或協(xié)議，復(fù)制的副本，就所有目的而言，如果它包含一個(gè)原始的手工簽名出現(xiàn)在交付傳真中，應(yīng)與該位人士以同樣的方式最初簽署的已交付的副本同樣具有約束力。

　　13. NOTIFICATION:通知

　　All communications between the parties shall be in English in written form during implementation of Contract. Faxes concerning important matters shall be confirmed timely by registered or express mails.

　　雙方之間的聯(lián)系應(yīng)以書面形式進(jìn)行，涉及重要事項(xiàng)的傳真應(yīng)隨后立即以掛號(hào)信件或特快專遞確認(rèn)。

　　14. LANGUAGE 文本條款

　　This Contract is executed in two counterparts each in Chinese and English, each of which shall deemed equally authentic. This Contract is in ____ copies, effective since being signed/sealed by both parties.

　　本合同用中英文兩種文字寫成，兩種文字具有同等效力。本合同共__ 份，自雙方代表簽字(蓋章)之日起生效。
