　　1.服務(wù)內(nèi)容 Service Content

　　根據(jù)客戶要求派遣工程師，對合同號 的 機(jī)及其它設(shè)備進(jìn)行安裝。賣方同意派遣有經(jīng)驗(yàn)的工程師到買方的工廠進(jìn)行指導(dǎo)安裝、試機(jī)和培訓(xùn)服務(wù)。全部時間為30天。相關(guān)費(fèi)用由買方承擔(dān)，如往返機(jī)票、工程師的費(fèi)用、保險(xiǎn)等。另外，安裝期間，買方應(yīng)向賣方的工程師提供食宿。安裝過程中所需要的翻譯由買方負(fù)責(zé)安排。詳細(xì)內(nèi)容見合同附件Ⅰ。

　　According to the buyer’s request to send the engineer for installation of and other equipment under Sales Contract , the seller agrees to send an experienced engineer to the buyer’s factory to take the installation, commissioning and training services. The whole period will be 30days. And the relative costs, such as round way air tickets, engineer’s salary, insurance, etc will be borne by the buyer. In addition, the buyer should provide the accommodation for the seller’s engineer during the stay in the buyer’s factory. The installation translator need to be arranged by Buyer. The details are shown in the Appendix 1 of the contract.

　　2. 合同金額及付款方式Contract Value and Payment term

　　2.1該服務(wù)合同用美元付款。合同金額 美金.

　　The price for the service is in USD. Contract amount is USD.

　　2.2所有本合同的付款應(yīng)用美元以電匯(T/T)方式進(jìn)行支付。

　　All the payments under this Contract shall be made by bank transfer in USD.

　　2.3. 合同金額的支付Payment of the Contract

　　2.3.1合同簽訂并接收到發(fā)票后5個工作日內(nèi)買方應(yīng)將合同總金額的100%即美元 整電匯至賣方指定的銀行賬戶。在買方收到此項(xiàng)費(fèi)用之后依照合同開始安排安裝工程師的簽證機(jī)票及出國事宜。

　　Within 5 (five)working days after signing the Contract and receiving of invoice，the Buyer shall remit 100% of the total contract value in exact amount of USD by T/T to the bank account designated by the Seller. After the seller get this payment, the seller should arrange the visa and flight ticket and sent the installation worker go for installation.

　　2.4因合同執(zhí)行在買方國家產(chǎn)生的銀行費(fèi)用及稅收費(fèi)用應(yīng)由買方承擔(dān)，由賣方在賣方國家產(chǎn)生的銀行費(fèi)用及稅收費(fèi)用由賣方承擔(dān)。買方付款的銀行手續(xù)費(fèi)用由買方承擔(dān)，賣方收款的銀行手續(xù)費(fèi)用由賣方承擔(dān)。

　　The banking charges and taxes incurred in the Buyer’s country for the execution of the Contract shall be borne by the Buyer and the banking charges and taxes incurred inside the Seller’s Country shall be borne by the Seller. The buyer covers the bank charge for the transfer; the bank charge at the seller’s side is borne by the seller.

　　3. 安裝及技術(shù)培訓(xùn) INSTALLATION AND TECHNICAL TRAINING

　　合同設(shè)備的安裝、調(diào)試應(yīng)在賣方提供的技術(shù)人員指導(dǎo)下由買方實(shí)施。這期間，賣方人員所發(fā)生的國際交通、當(dāng)?shù)亟煌笆乘拶M(fèi)用、人身保險(xiǎn)費(fèi)，通訊費(fèi)等合理費(fèi)用由買方負(fù)責(zé)，此外買方還需按 美金/天支付賣方人員工資，超過 天的以每天 美金計(jì)算，超過 天安裝時間的為每天 美金。安裝期間，買方應(yīng)保證賣方人員的安全和自由。

　　The Buyer should carry out the contract equipment’ installation, commissioning and acceptance under the Seller’s technicians’ supervise. All of the transportation and accommodation, insurance, communication fee of the Seller’s technicians should be borne by the Buyer. In addition, the Buyer should pay US dollars to the technician per person per day as salary in the first days and US dollars per person per day for the extra days, and US dollars per person per day for the extra days if the installation period exceeds days. The Buyer shall warranty the technician's (technicians’) safety and freedom not being limited during installation period.

　　為設(shè)備安裝調(diào)試，買方將為賣方技術(shù)人員提供下列服務(wù)：

　　For installation works and commissioning of the Equipment, the Buyer at own expense provides technical experts of the Seller, and also their translator with following services:

　　- 酒店住宿 Hotel accommodation;

　　- 酒店到工廠的往返交通 Transport from hotel to working place and back;

　　- 提供裝配必需的準(zhǔn)備 Provides preparation of assembly site;

　　- 裝配點(diǎn)的起吊和運(yùn)輸方式 Elevating and transporting means for assembly site;

　　- 必要的標(biāo)準(zhǔn)工具 The necessary standard tool, for work of the technical experts.

　　-賣方技術(shù)人員從中國往返印度尼西亞的費(fèi)用由買方承擔(dān)。

　　Charges on arrival of technical experts from China to Indonesia and back are borne by the Buyer.

　　-買方可以自行聘請翻譯，也可以請求賣方派遣翻譯，翻譯費(fèi)用事項(xiàng)另議。

　　Buyer can employ Chinese translator on his own, or ask for translators from Seller. Charges of translators services are the matter of another contract.

　　4. 文本及有效期 Languages and Valid Term

　　本合同用中英文兩種文字寫成，兩種文字具有同等效力。本合同應(yīng)自生效之日起持續(xù)有效直到雙方履行所有的本合同各自的義務(wù)和責(zé)任。本合同自雙方授權(quán)代表簽字之日起生效。

　　This Contract is executed in two counterparts each in Chinese and English, each of which shall be deemed equally authentic. This Contract is in four sets, each party holds two sets.The contract is taken into effect from the signing date. It shall be valid from the effective date until both parties have fulfilled all their respective obligations and responsibilities under the Contract.
