10.1.6     Development charges, charges payable to the concerned authorities and registration charges for registration of agreements in favour of the purchasers of the units to be constructed in the Project, mortgage deeds etc. shall be payable by the Developer/ respective purchasers without any recourse to the Owner and the Owner shall not be liable for the same in any manner whatsoever.

開發(fā)收費(fèi)、應(yīng)付有關(guān)當(dāng)局的收費(fèi)和以項(xiàng)目中擬建設(shè)單位買方為受益人的協(xié)議注冊的注冊收費(fèi)、抵押契據(jù)等須由開發(fā)商/各買方支付,且不會對業(yè)主存在任何追索權(quán)。業(yè)主無需以任何方式對上述內(nèi)容負(fù)責(zé)。

 

10.1.7     The Developer shall not at any time cause or permit any public or private nuisance in or upon the said Property or do anything which shall cause unnecessary annoyance, inconvenience, suffering hardship or disturbance to the Owner or to the occupants of the neighboring properties.

開發(fā)商在任何時候均不得促使或允許上述物業(yè)內(nèi)或上的任何公共或私人滋擾或做出任何可能給業(yè)主或鄰近物業(yè)的居住者引起不必要的煩擾、不便、困難或干擾的事宜。

 

10.1.8     It is agreed that from the date of execution of this Agreement, the Developer shall pay and discharge all taxes and outgoings including municipal taxes and all other charges, rates, cess, taxes that may be levied by any public body or authorities in respect of the said Property. The Developer shall indemnify and keep indemnified the Owner from and against non-payment thereof.  

經(jīng)約定,自本協(xié)議簽署之日起,開發(fā)商應(yīng)當(dāng)支付及繳納所有稅費(fèi)和支出,包括任何公共機(jī)構(gòu)或當(dāng)局就上述物業(yè)可能征收的市政稅及其它所有收費(fèi)、費(fèi)用、地方稅、稅務(wù)。開發(fā)商應(yīng)使業(yè)主免于支付上述費(fèi)用。 

 

10.1.9     The Developer may, on sanction of the appropriate licenses and the construction plan, obtain facilities from banks and / or other financial institutions, on security of the Development Rights [and on the Developer’s share in the Project]. Provided however that there shall be no liability on the Owner in regard to any such borrowings and in the event of any default in the repayment of any such debt by the Developer, recovery shall be enforced against the Developer alone.  

開發(fā)商可在適當(dāng)執(zhí)照和建設(shè)規(guī)劃批準(zhǔn)獲批后,以開發(fā)權(quán)[及開發(fā)商在項(xiàng)目中的份額]為擔(dān)保從銀行和/或其它金融機(jī)構(gòu)取得融資。但前提是,業(yè)主無需對任何其它借款承擔(dān)責(zé)任,且如果開發(fā)商延遲償還任何此類債務(wù),則應(yīng)僅向開發(fā)商執(zhí)行回收。

 

10.2 Obligations and Covenants of the Owner 業(yè)主的義務(wù)及公約

10.2.1     The Owner shall make timely payments of its share of the promotional expenses to the service providers determined by the Developer in terms of Clause 5.6 above.   

業(yè)主應(yīng)及時向服務(wù)供應(yīng)商支付其推廣費(fèi)用份額(由開發(fā)商根據(jù)以上第5.6條確定)。

 

10.2.2     The Owner shall not transfer the said Property or any part thereof and/or its rights in the said Property in favour of any third party during the subsistence of this Agreement. 

本協(xié)議存續(xù)期間,業(yè)主將上述物業(yè)或其任何部分和/或其于上述物業(yè)中的權(quán)利轉(zhuǎn)讓予任何第三方。

 

10.2.3     The Owner shall execute from time to time all papers, declarations, affidavits, applications and any other documents that are necessary for the successful pursuit, implementation and completion of the activities contemplated under this Agreement.

業(yè)主應(yīng)不時簽署所有文件、聲明、宣誓書、申請及順利從事、執(zhí)行及完成本協(xié)議項(xiàng)下活動所需的任何其它文件。

 

10.2.4     The Owner shall, whenever requested by the Developer, cooperate with and assist the Developer, in the process of development, construction, marketing, sale, and all other such activities that are necessary and incidental to the successful completion of the entire Project being developed on the said Property provided that, other than as provided herein, it does not have to incur any cost in respect of the same. 

經(jīng)開發(fā)商要求,業(yè)主應(yīng)在開發(fā)、建設(shè)、營銷、銷售及在上述物業(yè)上順利完成整個項(xiàng)目所需的及相關(guān)的所有其它活動中予以配合和協(xié)助,前提條件是,除非本文件另有規(guī)定,其不得就此承擔(dān)任何成本。

 

10.3 Joint Obligations and Covenants of the Parties 訂約方的共同義務(wù)和公約

10.3.1     The Parties shall jointly approach [ ]  for preparation of a Master Plan in joint consultation with   the Owner and the Developer. The Developer shall make best efforts to apply for and obtain approval from all concerned statutory authorities of the Master Plan. Both Parties expressly agree, undertake and covenant to adhere to the Master Plan as originally drafted and as amended from time to time in accordance with this Agreement. 

訂約方應(yīng)共同委任[ ]10與業(yè)主和開發(fā)商共同協(xié)商編制一份總體規(guī)劃。開發(fā)商應(yīng)盡最大努力向所有相關(guān)法定機(jī)關(guān)申請取得總體規(guī)劃批準(zhǔn)。訂約方明確同意、承諾及契諾堅(jiān)持最初起草及根據(jù)本協(xié)議不時修訂的總體規(guī)劃。

 

10.3.2     Neither Party shall do or cause or permit to be done any act which may prejudicially affect the rights of the other Party under this Agreement. 

任何一方都不得做出或促使或準(zhǔn)許做出任何對本協(xié)議項(xiàng)下另一方的權(quán)利造成不利影響的行文。

 

10.3.3     The Parties agree to conduct themselves for the maximum benefit of this Agreement, and do all such acts, deeds etc. as may be required for and in furtherance of the Agreement. 

訂約方同意為了本協(xié)議的最大利益行事,及采取本協(xié)議所需及本協(xié)議規(guī)定的一切行為、行動等。

 

10.3.4     The Parties agree that they shall be empowered and entitled to raise finance for the development/marketing/retail of the said Property by creating a charge, encumbrance or any form of mortgage or lien over any part or whole of the said Property.  

[訂約方同意,彼等應(yīng)獲授權(quán)及有權(quán)通過對上述物業(yè)的部分或全部創(chuàng)建一項(xiàng)負(fù)擔(dān)、產(chǎn)權(quán)負(fù)擔(dān)或任何形式的抵押或留置權(quán),為上述物業(yè)的開發(fā)/營銷/零售籌集資金。

 

11.   Project Management 項(xiàng)目管理

11.1 Decision Making: 決策:

11.1.1     The day to day management of the Project and all matters pertaining to the supervision and management of the Project will be the role and responsibility of the Developer. Decisions in respect of the key items set out in Clause 11.2 below shall be taken jointly and mutually by the Parties.  

項(xiàng)目的日常管理和與項(xiàng)目監(jiān)督和管理有關(guān)的所有事宜將由開發(fā)商全權(quán)負(fù)責(zé)。下文第11.2條所載主要項(xiàng)目的決定應(yīng)由訂約方聯(lián)合及共同負(fù)責(zé)。

 

11.1.2     The Parties shall schedule meetings from time to time as, how and when may required to discuss various aspects regarding construction, development, marketing and sales with respect to the developments contemplated upon the said Property. 

訂約方應(yīng)不時安排會議討論上述物業(yè)項(xiàng)下開發(fā)相關(guān)的建設(shè)、開發(fā)、營銷及銷售各方面的方式和時間。

 

11.2 Key Items: 主要項(xiàng)目:

The Owner shall have the sole decision making authority in respect of the following matters :

業(yè)主應(yīng)具備下列事項(xiàng)的唯一決策權(quán)利:

 

(i)    Approval of the Master Plan of the Project and any modification to the same;

批準(zhǔn)項(xiàng)目的總體規(guī)劃及任何修改;

 

(ii)   Any litigation or proceedings affecting the said Property and/or the Project;

影響上述物業(yè)及/或項(xiàng)目的任何訴訟或程序;

 

(iii)  Appointment/change of design  architect, auditors, cost consultant connected to the Project; 

 委任/變更項(xiàng)目的設(shè)計(jì)建筑師、審計(jì)師、造價咨詢師;

 

(iv)  Change in the project costs beyond   the budget prepared by the cost consultant;

項(xiàng)目成本超出造價咨詢師編制預(yù)算的變更;

 

(v)   Defining of quality standards, sign off on final rates for execution, approvals for purchase of materials, product mix finalization, sign off on project branding & communication strategy, determination of project positioning strategy and amenities finalization in respect of the Project; 

界定質(zhì)量標(biāo)準(zhǔn)、確定執(zhí)行最終費(fèi)用、批準(zhǔn)購買材料、最終確定產(chǎn)品結(jié)構(gòu)、確定項(xiàng)目品牌與傳播策略、確定項(xiàng)目定位策略和最終確定項(xiàng)目的便利設(shè)施;

 

(vi)  Selection, appointment, removal and approval of work of contractors; 

選拔、委任、罷免承包商和批準(zhǔn)承包商的工作;

 

(vii) Incurring of indebtedness in respect of the Project; and 承擔(dān)項(xiàng)目債務(wù);及

(viii)       Entry into, modification, assignment or termination of material contracts, including but not limited to construction contracts with various contractors, and sales and marketing agreements with various marketers. 

訂立、修改、轉(zhuǎn)讓或終止重大合同,包括但不限于與各承包商訂立的各種建設(shè)合同及與各種市場商人訂立的銷售和營銷協(xié)議。

 

12.   Inspection and Information  檢查和信息

The Developer shall furnish the Owner with all such information as the Owner may reasonably require for their satisfaction as to due compliance of the obligations of the Developer and adherence with the Construction Schedule and all such periodical reports and information at such times, in such form and containing such particulars as the Owner may call for from time to time. 

開發(fā)商應(yīng)向業(yè)主提供業(yè)主可能合理要求的履行開發(fā)商義務(wù)及遵守施工進(jìn)度所需的所有信息以及按業(yè)主不時要求的時間、形式及詳情的提交定期報(bào)告及信息。

 

13.   Execution of conveyance documents 簽署轉(zhuǎn)讓文件

13.1 The Owner hereby confirms and acknowledges that the Developer shall, on its own account, be entitled to sell, lease, give on leave and license basis etc. the units/premises comprised in the [Project / Developer’s area being the Actual Saleable Area less the Owner’s Area to any person or persons or to enter into agreements on ownership basis or any other basis whatsoever in respect of the same.

業(yè)主特此確認(rèn)并承認(rèn),開發(fā)商應(yīng)在自擔(dān)風(fēng)險情況下有權(quán)通過委托及許可將[項(xiàng)目/開發(fā)商的面積(即實(shí)際可售面積減去業(yè)主的面積)出售予、出租予、給予任何人士或就上述面積的所有權(quán)或任何其它訂立協(xié)議。

 

It is however clarified that the Developer shall not be entitled to soft launch the Project whereby it receives consideration form the purchasers/ allottee and/or commence sale by way of bookings or otherwise till the Owner’s Area is handed over to the Owner.  

但須澄清的是,業(yè)主的面積交付予業(yè)主之前,開發(fā)商無權(quán)因收到買方/被分予者代價而軟啟動項(xiàng)目及/或通過訂購或其它方式開始銷售。

 

13.2 All such allotments shall, however, be made by the Developer at its own costs and account and at its risk, the intention being that the Developer shall alone be liable and responsible to such party or parties in connection with all dealings between the Developer and such party or parties.  

所有此類分配應(yīng)由開發(fā)商自行承擔(dān)費(fèi)用和風(fēng)險進(jìn)行,開發(fā)商應(yīng)就開發(fā)商與該方或多方之間的交易向該方或多方負(fù)責(zé)。

 

13.3 The Developer will be entitled to hand-over possession of the sold/transferred area to the respective buyers/licensees/lessees as the case may be.

開發(fā)商將有權(quán)將出售/轉(zhuǎn)讓的面積的所有權(quán)移交各自買家/被許可方/承租人(視情況而定)。

 

13.4 On completion of the construction on the said Property and grant of [occupation certificate / an equivalent thereof], the Developer shall intimate the respective purchasers to take possession of the constructed units and directly cause to be executed and delivered the relevant deeds of conveyance. 

在上述物業(yè)上完成建設(shè)及授予[入住證明/相等物]后,承包商應(yīng)通知各買方占有建設(shè)單位及直接促使簽署及交付相關(guān)轉(zhuǎn)讓契據(jù)。

 

14.   Defects Liability Period   保修期

In the event of any structural defects in the Owner’s Area being informed by the Owner in writing to the Developer within [ ] months from the date of its possession, the Developer shall attend to the same. Warranty for all other consumables or equipment like generators & lifts, will be provided by the respective manufacturers on their standard terms. 

如果業(yè)主在其持有之日起[ ]個月內(nèi)將業(yè)主的面積的任何結(jié)構(gòu)缺陷以書面形式告知開發(fā)商,則開發(fā)商應(yīng)處理缺陷。各廠商按各自標(biāo)準(zhǔn)條款為所有其它消耗品或發(fā)電機(jī)和升降機(jī)等設(shè)備提供擔(dān)保。

 

15.   Representations and Warranties陳述和保證

15.1 Representations and warranties of the Owner : 業(yè)主的陳述及保證

 

The Owner hereby represents and warrants to the Developer that:

 業(yè)主特此向開發(fā)商陳述并保證:

 

(i)    it  is seized  and possessed  of or otherwise well and sufficiently entitled to the said Property as the absolute owner thereof; 

其占有及持有或以其它方式有權(quán)作為絕對所有人享有上述物業(yè);

 

(ii)   the title of the Owner to the said Property is clear and marketable; 

業(yè)主對上述物業(yè)之業(yè)權(quán)清晰且適銷;

 

(iii)  The Owner has good right, full power and absolute authority to grant Development Rights of the said Property as contemplated herein and that the Owner does not require any  consent, confirmation permission or otherwise from any third party and/or local body and/or any government authorities for the same; 

業(yè)主具有授予本文件內(nèi)上述物業(yè)開發(fā)權(quán)的充分權(quán)利、全部權(quán)力及絕對權(quán)限,及業(yè)務(wù)無需就此獲得任何第三方及/或本地機(jī)構(gòu)及/或任何政府機(jī)關(guān)的任何同意、確認(rèn)許可或其它;

 

(iv)  the Owner has not entered into any agreements or arrangement or transactions, oral or written, or otherwise entered into or concluded any negotiations concerning the said Property which might in jeopardize or affect the terms of this Agreement or the rights of the Developer herein; 

業(yè)主并未訂立任何可能危害或影響本協(xié)議的條款或開發(fā)商于本協(xié)議內(nèi)權(quán)利的口頭或書面協(xié)議或安排或交易,或以其它方式訂立或簽訂任何與上述物業(yè)有關(guān)的協(xié)商;

 

(v)   the Owner has not received  any notice from under any law  in respect of the said Property or any part thereof that restricts or affects or may restrict or affect in any manner the implementation of this Agreement or the rights of the Developer herein;  

業(yè)主還未收到任何法律規(guī)定的限制或影響或可能以任何方式限制或影響本協(xié)議實(shí)施或開發(fā)商于本協(xié)議內(nèi)權(quán)利的與上述物業(yè)或其任何部分有關(guān)的通知;

 

(vi)  the said Property or any part or portion thereof is not subject to any suit, proceedings, attachment either before or after judgment or any claim, demand or encumbrance or any process issued by any court or authority; and 

上述物業(yè)或其任何部分未遭受任何訴訟、程序、判決前后查封或任何索賠、索求或產(chǎn)權(quán)負(fù)擔(dān)或任何法院或主管當(dāng)局發(fā)出的任何程序;及

 

(vii) All outgoings in respect of the said Property including all statutory taxes, charges,   duties   (by whatsoever name called and levied by any body or authority) in respect of the said Property have been fully paid by the Owner prior to the date of execution of this Agreement.   

上述物業(yè)的所有開支包括所有法定稅費(fèi)、收費(fèi)、關(guān)稅(由任何機(jī)構(gòu)或機(jī)關(guān)命名的及征收的)已于本協(xié)議簽署當(dāng)日之前由業(yè)主全額支付。

 

15.2 Representations and warranties of the Developer  開發(fā)商的陳述及保證

The Developer hereby represents and warrants to the Owner that: 

開發(fā)商特此向業(yè)主陳述及保證:

 

(i)    The Developer has full power and absolute authority to enter into this Agreement and all other related documents/applications; 

開發(fā)商具有訂立本協(xié)議及所有其它相關(guān)文件/申請的全部權(quán)力和絕對權(quán)限;

 

(ii)   The Developer is not under any disability, restriction, or prohibition, whether legal or contractual, which shall prevent it from performing or adhering to any of their obligations under this Agreement, and has not entered into and shall not enter into any agreement that may violate this Development Agreement; 

開發(fā)商未受到阻礙其履行及堅(jiān)持其于本協(xié)議項(xiàng)下任何義務(wù)任何法律或合同障礙、限制或禁止,并無訂立且不得訂立任何可能違反本開發(fā)協(xié)議的協(xié)議

 

(iii)  No litigation, arbitration, or administrative proceedings are threatened or pending, which call into question the validity or performance of the Developer’s obligations under this Agreement;  

無任何質(zhì)疑本協(xié)議項(xiàng)下開發(fā)商義務(wù)有效性或履行的可能或未決訴訟、仲裁或行政程序;

 

(iv)  The Developer shall be absolutely bound by the undertakings and guarantees executed by it on behalf of the Owner; and  

開發(fā)商應(yīng)受其代表業(yè)主簽署承諾及擔(dān)保的絕對約束;及

 

(v)   Till  the  subsistence  of  this  Agreement,  there  shall  be  no change in control of the Developer except with the prior consent in writing of the Owner. 

在本協(xié)議存續(xù)期間內(nèi),除非經(jīng)業(yè)主提前書面同意,開發(fā)商的控制權(quán)不得改變。

 

16.   Indemnification 賠償

16.1 Each Party agrees to indemnify and keep the other Party and its successors or assigns, indemnified from and against all claims, losses, damages, expenses, costs or other liabilities (including attorney's reasonable fees) incurred or suffered by the indemnified Party due to any breach of any obligation, covenant or representation by the indemnifying Party under this Agreement or any breach by the indemnifying Party of its representations and warranties under this Agreement. [In no event shall a Party be liable, whether in contract, tort or otherwise for any special, indirect, incidental or consequential damages to the other Party.   

各方同意就獲賠償方因賠償方違反本協(xié)議項(xiàng)下的任何義務(wù)、契約或陳述或因賠償方違反其于本協(xié)議項(xiàng)下的陳述及保證而承擔(dān)或遭受的所有索賠、損失、損害、費(fèi)用、成本或其它負(fù)債(包括合理律師費(fèi)用)向另一方及其繼承者或受讓人賠償。在任何情況下,一方無需就合同、侵權(quán)或其它中的任何特殊、間接、附帶或造成的損害向另一方賠償。

 

16.2 Each Party shall pay and discharge their respective tax liability and indemnify and keep indemnified the other of, from and against any action, suit, cost including legal cost, penalty that may be suffered or incurred or cause to be suffered or incurred due to any demand or attachment by the concerned authorities. 

各方應(yīng)支付和履行各自的稅務(wù)責(zé)任,并就任何法律行動、訴訟、費(fèi)用,包括因相關(guān)當(dāng)局的任何索求或扣押而承受或承擔(dān)或造成承受或承擔(dān)的訴訟費(fèi)、罰款對另一方賠償。

 

16.3 In addition to the above, the Developer hereby further indemnifies and agrees to keep indemnified and hold harmless the Owner and/or its successors, nominees  or assigns against all costs, charges, losses, expenses, claims, demands, penalties, and/or damages whatsoever that may be occasioned or any hindrance or abstractions or any other costs, charges, losses, expenses, claims, demands, penalties,   and/or damages that may be brought against the Owner or any of them as aforesaid by any purchaser or a representative thereof of the units to be developed on the said Property or any other costs, charges, losses, expenses, claims, demands, penalties and/or damages that the Owner or any of them as aforesaid may suffer or incur as a result of any act of omission/commission on the part of the of the Developer or by any other person or persons lawfully or equitably claiming or to claim, by, from, under or in trust for the Developer.

除上文所述外,開發(fā)商特此進(jìn)一步就可能招致的所有成本、收費(fèi)、損失、費(fèi)用、索賠、索求、處罰及/或損害或任何障礙或妨礙或擬于上述物業(yè)上開發(fā)的單位的任何買方或其代表使業(yè)主或任何上述其他方可能遭受的任何其它成本、收費(fèi)、損失、費(fèi)用、索賠、索求、處罰及/或損害或因開發(fā)商的任何過失/疏忽或開發(fā)商或代開發(fā)商依法或公正地針對任何其他人士的索賠向業(yè)主及/或其繼承者、被任命者或受讓人予以賠償或使彼等不受損害。

 

17.   Exclusivity  獨(dú)占性

17.1 It is hereby agreed by and between the Parties that, on and from the date of execution hereof, the Developer shall not, within the Territory, engage in any business or activities which is the same as or similar to the Business except together with the Owner, on such terms and conditions as may be mutually agreed between the Parties on a case to case basis. 

訂約方特此同意,自本協(xié)議簽署之日起,開發(fā)商不得在領(lǐng)地內(nèi)從事任何與業(yè)務(wù)相同或類似的任何業(yè)務(wù)或活動,除非與業(yè)主一起根據(jù)訂約方雙方約定的條款及條件共同從事此業(yè)務(wù)或活動。

 

17.2 In the event the Parties are unable to mutually agree to such terms and conditions, the Developer shall not be entitled to conduct such Business within the Territory. 

如果訂約方未能同意此類條款及條件,則開發(fā)商應(yīng)無權(quán)在領(lǐng)地內(nèi)從事該業(yè)務(wù)。

 

17.3 The Parties expressly acknowledge and agree that the restrictions contained in this Clause 17 are reasonable and justified in light of the transactions contemplated under this Agreement, and are no greater than what is reasonable and necessary for the protection of the legitimate business interests of the Parties and that if any such restriction shall be held to be void but would be valid if deleted in part or reduced in application, such restriction shall apply with such deletion or modification as may be necessary to make it valid and enforceable. 

訂約方明確承認(rèn)及同意,本第17條所含限制就本協(xié)議項(xiàng)下訂立交易而言屬合理且正當(dāng),且不會超過保護(hù)訂約方合法商業(yè)權(quán)益合理所需的限制,且如果任何此類限制無效但因部分刪除或在應(yīng)用中減少而有效,則此限制應(yīng)適用于使其有效及可執(zhí)行所需的刪除或修改。

 

18.   Grounds for Termination終止理由

18.1 The Owner shall be entitled to terminate this Agreement upon occurrence of any of the following events : 

業(yè)主應(yīng)有權(quán)于在發(fā)生下列任何事件時終止本協(xié)議

 

18.1.1     in accordance with the provisions set out in Clause 8.4 above, by providing the Developer with a notice of [ ] months to the Developer intimating the Developer of the Land Owner’s desire to terminate the Agreement;

根據(jù)上文第8.4條的規(guī)定,通過向開發(fā)商提供[ ]個月通知告知開發(fā)商土地業(yè)主希望終止協(xié)議的意向;

 

18.1.2     if the Developer is declared bankrupt or becomes insolvent or has a liquidator, administrator or receiver appointed for all its assets by court of competent jurisdiction, the Owner shall be entitled to terminate this Agreement with immediate effect; 

如果開發(fā)商被宣告破產(chǎn)或無力償債或具有管轄權(quán)的法庭已就其所有資產(chǎn)委任一名清盤人、管理人或接收人,則業(yè)主應(yīng)有權(quán)立即終止本協(xié)議;

 

18.1.3     any dilution in the shareholding or the powers of the present management of the Developer without the prior written consent of the Owner shall entitle the Owner to terminate this Agreement with immediate effect; or  

未經(jīng)業(yè)主提前書面批準(zhǔn)的情況下稀釋開發(fā)商現(xiàn)有管理層的股權(quán)或權(quán)力應(yīng)使業(yè)主有權(quán)立即終止本協(xié)議;或

 

18.1.4     upon breach of any of the terms and conditions contained in this Agreement by the Developer, with such breach remaining uncured for a period of [ ] days from the date of a written notice by the Owner calling upon the Developer to rectify / remedy such breach.

開發(fā)商違反本協(xié)議中的任何條款及條件,且在業(yè)主向開發(fā)商出具書面通知要求其糾正/補(bǔ)救該違約之日起[ ]天內(nèi)該違約還未得到補(bǔ)救。

 

19.   Consequences of termination 終止后果

19.1 Pursuant to the termination of the Agreement in accordance with Clause 18 above, the Owner shall take possession of the said Property as well as the construction/developments undertaken thereon and shall reserve the right to complete such development by appointing any third party contractors/agencies, at the cost of the Developer. 

根據(jù)上述第18條終止本協(xié)議后,業(yè)主須接管上述物業(yè)以及在其上進(jìn)行的建設(shè)/開發(fā),并應(yīng)保留委任任何第三方承包商/機(jī)構(gòu)完成該發(fā)展的權(quán)利,且成本由開發(fā)商承擔(dān)。

 

19.2 Pursuant to the Owner taking the charge and possession of the said Property, it shall not be responsible for any pre-existing liability of the Developer in respect of the Project or otherwise. It is clarified that the Owner shall not be liable to pay any outstanding dues, fees etc. to the agents/contractors /engineers/ architects/ labourers or any other party appointed by the Developer in respect of development of the said Property. Furthermore, such contracting parties of the Developer shall not have any right, interest or charge on the Project or any part thereof on account of termination of this Agreement. 

根據(jù)負(fù)責(zé)及接管上述物業(yè)的業(yè)主,其不會負(fù)責(zé)開發(fā)商之前對項(xiàng)目或其它承擔(dān)的責(zé)任。須澄清的是,業(yè)主毋須向開發(fā)商就上述物業(yè)的開發(fā)委任的代理/承辦商/工程師/建筑師/勞工或任何其他方支付任何未付應(yīng)付費(fèi)用、費(fèi)用等。此外,終止本協(xié)議后,開發(fā)商的此類合同方對項(xiàng)目不具有任何權(quán)利、權(quán)益或收費(fèi)。

 

19.3 The Developer also undertakes that in the event of termination of this Agreement for any reason whatsoever, (i) it shall have not have any objection to its eviction from the said Property; and (ii) it shall have no objection to completion of the development of the said Property by a third party at cost of the Developer; and (iii) it shall lose all rights over the said Property as prescribed under this Agreement.  

開發(fā)商還承諾,本協(xié)議因任何理由終止后,(i)其不會對其被遷出上述物業(yè)存在任何異議;及(ii)其不會對第三方完成上述物業(yè)的開發(fā)并由開發(fā)商承擔(dān)費(fèi)用存在任何異議;及(iii)其不會喪失本協(xié)議項(xiàng)下規(guī)定的上述物業(yè)的所有權(quán)利。

 

19.4 [In addition to the aforementioned consequences, the Owner shall, at its sole discretion, also be entitled to forfeit the interest free refundable security deposited with it by the Developer under Clause 5 above.]   

[除了上述后果外,業(yè)主應(yīng)酌情決定其亦有權(quán)沒收開發(fā)商根據(jù)上述第5條在其處存放的免息可退保證金。] 18

 

20.   Governing Law and Jurisdiction 適用法律及管轄權(quán)

This Agreement shall be governed by and construed in accordance with the laws of [Kenya] and shall be subject to the exclusive jurisdiction of the courts at Nairobi . 

本協(xié)議應(yīng)受[肯尼亞]法律規(guī)管及根據(jù)此類法律解釋,并須接受內(nèi)羅畢法院的專屬管轄。

 

21.   Dispute Resolution  爭議解決

21.1 In the event of any dispute or difference between the Parties under this Agreement including but not limited to its interpretation, effect, validity, subsistence and/or contents, the Parties shall try and initially resolve the same through mutual discussions and negotiations.

如果訂約方于本協(xié)議項(xiàng)下存在任何爭議或差異,包括但不限于其解釋、效力、有效性、存續(xù)及/或內(nèi)容,訂約方應(yīng)嘗試及初步通過相互討論及協(xié)商解決爭議或差異。

 

21.2 In the event that the Parties cannot resolve the dispute through such discussions and negotiations within [ ] days, the dispute shall be referred to arbitration by a sole arbitrator to be nominated by the Owner. The arbitration shall be conducted under the [ ] Rules. The arbitration shall be held in [ ] and in English language. The arbitral tribunal shall decide on the costs of the arbitration and its procedure. The arbitral tribunal shall pass a reasoned award, which shall be binding on the Parties. 

如果訂約方無法在[ ]天內(nèi)通過討論及協(xié)商解決爭議,爭議應(yīng)由業(yè)主提名的獨(dú)任仲裁員仲裁。仲裁應(yīng)根據(jù)[ ]條例進(jìn)行。仲裁應(yīng)在[ ]以中英文進(jìn)行。仲裁庭應(yīng)決定仲裁成本和程序。仲裁庭應(yīng)通過一個有理由的裁決,該裁決對雙方均有約束力。

 

22.   Notices 通知

22.1 All correspondence and notices to be issued to a Party under this Agreement shall be through either hand delivery (with a written acknowledgement of receipt) or by a national courier service or by email or facsimile at the following addresses:   

一方根據(jù)本協(xié)議發(fā)出的所有信件和通知應(yīng)通過直接遞交(附書面收取確認(rèn))或通過全國快遞服務(wù)或電子郵件或傳真發(fā)送至下述地址:

 

22.2 Any notice, approval, instruction, demand or other communication so addressed to the relevant Party shall be deemed to have been delivered (i) if given or made by email or facsimile on the business day immediately after the date of transmission; (ii) if given or made by registered mail, 10 calendar days after posting; and (iii) if given by personal delivery, at the time of delivery. 

發(fā)送至相關(guān)方的任何通知、批準(zhǔn)、指示、索求或其他通訊應(yīng)在以下情況下被視為已送達(dá)(i)如果通過郵件或傳真寄出或作出,則于傳輸后的首個營業(yè)日;(ii)如果通過掛號郵件寄出或作出,則于寄出后10個日歷日;及(iii)如果以專人送遞寄出,則于交付時。

 

23.   Miscellaneous 其它

23.1 Time is of essence: Any date or period as set out in any Clause of this Agreement may be extended only with the written consent of the Parties, failing which time shall be of the essence.  

時間因素是合同要點(diǎn):僅能通過訂約方的書面同意延長本協(xié)議任何條款中所載任何日期或期間。若未能如此,則時間因素是合同要點(diǎn)。

 

23.2 Costs and Expenses: Stamp duty, if any, and any other incidental charges payable in respect of this Agreement, shall be borne by the Developer alone. Each Party shall respectively bear the cost of its legal advice.

成本及費(fèi)用:印花稅(如有)及就本協(xié)議應(yīng)付的任何其它雜費(fèi)應(yīng)由開發(fā)商獨(dú)自承擔(dān)。各方應(yīng)各自承擔(dān)其法律意見成本。

 

23.3 Severability: If any provision of this Agreement or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, under any present or future law, the remainder of this Agreement and the application of such provisions to persons or circumstances other than those as to which are invalid or unenforceable, shall not be affected thereby, and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law and shall not be affected by the invalid or unenforceable provision or by its severance here from. The Parties shall replace the unenforceable provision with another valid provision, which, as far as legally possible, reflects the original intent of the Parties. 

可分割性:如果本協(xié)議的任何規(guī)定或其應(yīng)用于任何人士或情況出現(xiàn)任何程度的無效性或不可執(zhí)行性,則根據(jù)任何現(xiàn)有或?qū)矸?,本協(xié)議的其余部分及將此類規(guī)定適用于除無效或不可執(zhí)行人士或情況之外人士或情況不得受影響,且本協(xié)議的各項(xiàng)規(guī)定應(yīng)在法律許可的最大范圍內(nèi)有效及可執(zhí)行且不得受無效或不可執(zhí)行規(guī)定或其分割影響。訂約方應(yīng)用另一有效規(guī)定替換不可執(zhí)行規(guī)定,其應(yīng)在法律可行范圍內(nèi)反映訂約方的原意圖。

 

23.4 Waiver: The failure of either Party to enforce at any time or for any period of time, any of the provisions hereof shall not be construed to be waiver of such provision and/or of the right thereafter to enforce such provision. 

放棄:任何一方未能在任何時候或任何時期執(zhí)行本協(xié)議的任何規(guī)定不得被解釋為放棄該規(guī)定及/或之后執(zhí)行該規(guī)定的權(quán)利。

 

23.5 Assurance: Each Party hereby undertakes, at the request of the other to execute or procure the execution of such documents and do or procure the doing of such acts and things that the other Party may reasonably require for the purpose of giving to other Party the full benefit of all the provisions of this Agreement. 

保證:各方特此承諾,經(jīng)另一方請求,將簽署或促使簽署另一方合理要求的文件及做出或促使做出任何另一方合理要求的行為及事宜,以給予另一方本協(xié)議所有規(guī)定的全部利益。

 

23.6 Counterparts: This Agreement may be executed in any number of counterparts, each of which when so executed and delivered shall be an original, but all of which shall constitute but one and the same instrument. 

副本:本協(xié)議可能為一式多份。各份在簽署及交付時應(yīng)為原件,但所有副本應(yīng)構(gòu)成同一份相同文書。

 

23.7 Amendments: This Agreement may be modified and/or amended only by the mutual written agreement signed by the Parties.  

修訂:本協(xié)議僅可通過經(jīng)訂約方簽署的書面協(xié)議修改及/或修訂。

 

23.8 Relationship: Nothing in this Agreement will be deemed to place the Parties in the relationship of employer-employee, principal-agent, partners or joint ventures for any purpose whatsoever throughout the tenure of this Agreement. The Developer herein is given a right to develop the said Property as aforesaid on its own accord and not as the agent of the Owner. 

關(guān)系:本協(xié)議中的任何內(nèi)容將不被視為使訂約方在本協(xié)議期間存在雇主與雇員、委托人與代理、合作伙伴或合資企業(yè)關(guān)系。開發(fā)商獲賦予根據(jù)以上所述自行但不作為業(yè)主代理開發(fā)上述物業(yè)的權(quán)利。

 

23.9 Assignment: Neither Party shall assign any of its rights, title and benefits under this Agreement to any third party without prior written consent of the other Party. 

轉(zhuǎn)讓:未經(jīng)另一方提前書面同意,任何一方不得將其于本協(xié)議項(xiàng)下的任何權(quán)利、所有權(quán)及利益轉(zhuǎn)讓予任何第三方。

 

IN WITNESS WHEREOF the Parties hereto have set and subscribed his hand on the day and the year first hereinabove written.   

訂約方已于本文件上文所述年份及日期簽字,特此為證。
