第一條  本合同簽訂依據(jù)  Article 1: This Contract is signed in accordance with:
1.1《中華人民共和國(guó)合同法》、《中華人民共和國(guó)建筑法》和《建設(shè)工程勘察設(shè)計(jì)市場(chǎng)管理規(guī)定》。

第二條　設(shè)計(jì)依據(jù)Article 2 Design Basis

第七條　　費(fèi)用Article 7 Expenditure

7.1雙方商定，本合同的設(shè)計(jì)費(fèi)為設(shè)計(jì)費(fèi)按設(shè)計(jì)價(jià)格（2002）10號(hào)文計(jì)取  萬元。收費(fèi)依據(jù)和計(jì)算方法按國(guó)家和地方有關(guān)規(guī)定執(zhí)行，國(guó)家和地方?jīng)]有規(guī)定的，由雙方商定。
7.1 It is agreed between both parties that the design fee under this contract is calculated and charged according to the document No.10 (2002) Design Prices. The charging basis and method are in accordance with relevant national and local provisions, and will be determined by both parties through negotiation, if there is no relevant national or local provision.

7.2 如果上述費(fèi)用為估算設(shè)計(jì)費(fèi)，則雙方在初步設(shè)計(jì)審批后，按批準(zhǔn)的初步設(shè)計(jì)概算核算設(shè)計(jì)費(fèi)。工程建設(shè)期間如遇概算調(diào)整，則設(shè)計(jì)費(fèi)也應(yīng)做相應(yīng)調(diào)整。
7.2 If the above expense is estimated design fee, both parties shall check the design fee as per the approved budgetary estimate of the preliminary design, after the examination and approval of preliminary design. During the construction of this project, if there is any adjustment in budgetary estimate, the design fee will also be adjusted correspondingly.

第八條　　支付方式Article 8  Form of Payment

8.1本合同生效后三天內(nèi)，發(fā)包人支付設(shè)計(jì)費(fèi)總額，計(jì) 16 萬元作為定金（合同結(jié)算時(shí)，定金抵作設(shè)計(jì)費(fèi)）。
8.1 The party issuing contract shall pay the total design fee, within three days after the execution of this contract, that is, 160000 RMB as a deposit (the deposit will be seen as a part of design fee, at the time of contract settlement).

8.2設(shè)計(jì)人提交　 全部  　設(shè)計(jì)文件之前，發(fā)包人結(jié)清設(shè)計(jì)費(fèi)，不留尾款。
8.2 Before the designer submits all design documents. the design charge is all squared by the employer, and no final payment left.

8.3雙方委托銀行代付代收有關(guān)費(fèi)用。
8.3 Both parties commission bank to pay and collect related fees.

第九條　　雙方責(zé)任Article 9 Responsibility of Two Parties

9.1  發(fā)包人責(zé)任9.1 Responsibility of the Employer

9.1.1發(fā)包人按本合同第五條規(guī)定的內(nèi)容，在規(guī)定的時(shí)間內(nèi)向設(shè)計(jì)人提交基礎(chǔ)資料及文件，并對(duì)其完整性、正確性及時(shí)限負(fù)責(zé)。發(fā)包人不得要求設(shè)計(jì)人違反國(guó)家有關(guān)標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)。
發(fā)包人提交上述資料及文件超過規(guī)定期限15天以內(nèi)，設(shè)計(jì)人按本合同第六條規(guī)定的交付設(shè)計(jì)文件時(shí)間順延；發(fā)包人交付上述資料及文件超過規(guī)定期限15天以上時(shí)，設(shè)計(jì)人有權(quán)重新確定提交設(shè)計(jì)文件的時(shí)間。
9.1.1 The Employer shall deliver basic materials and documents to the designer within the specified time in accordance requirements stipulated in Article 5, and shall be responsible for their completeness, correctness and time limit. The employer shall not request the designer to design by violating the concerned national standards.
If it exceeds the prescribed time limit within fifteen (15) days when the employer delivers above materials and documents, the designer can postpone accordingly the time of delivering the design documents in accordance with Article 6 in the Contract; if it exceeds the prescribed time limit over fifteen (15) days when the employer delivers above materials and documents, the designer is entitled to decide again the time of delivery of design documents.

9.1.2發(fā)包人變更委托設(shè)計(jì)項(xiàng)目、規(guī)模、條件或因提交的資料錯(cuò)誤，或所提交資料作較大修改，以致造成設(shè)計(jì)人設(shè)計(jì)返工時(shí)，雙方除另行協(xié)商簽訂補(bǔ)充協(xié)議（或另訂合同）、重新明確有關(guān)條款外，發(fā)包人應(yīng)按設(shè)計(jì)人所耗工作量向設(shè)計(jì)人支付返工費(fèi)。
9.1.2 When the employer alters entrusted design items, scale and conditions, or delivers the wrong materials, or delivers mostly revised materials so that the designer rework for the design, the employer shall pay for rework cost for the designer based on the amount of the work performed by the designer except the supplemental agreement (or contract ) signed separately, and the relevant articles specified again by both parties through the consultation.
Prior to signing the contract, if the employer has satisfied to design work which is done by the designer, the employer shall pay the corresponding design charge.

在未簽訂合同前發(fā)包人已同意，設(shè)計(jì)人為發(fā)包人所做的各項(xiàng)設(shè)計(jì)工作，發(fā)包人應(yīng)支付相應(yīng)設(shè)計(jì)費(fèi)。
9.1.3在合同履行期間，發(fā)包人要求終止或解除合同，設(shè)計(jì)人未開始設(shè)計(jì)工作的，不退還發(fā)包人已付的定金；已開始設(shè)計(jì)工作的，發(fā)包人應(yīng)根據(jù)設(shè)計(jì)人已進(jìn)行的實(shí)際工作量，不足一半時(shí)，按該階段設(shè)計(jì)費(fèi)的一半支付；超過一半時(shí)，按該階段設(shè)計(jì)費(fèi)的全部支付。
9.1.3 During implementation of the Contract, when the employer requests to terminate and cancel the contract, the down payment paid by the employer shall not be returned if the designer doesn’t begin the design work; if the designer starts the design, the employer shall pay half of design charge in the phase if it is less than half of the actual amount of work performed by the designer; if it exceeds the half, the full design charge in the phase shall be paid in all.

9.1.4發(fā)包人必須按合同規(guī)定支付定金，收到定金作為設(shè)計(jì)人設(shè)計(jì)開工的標(biāo)志。未收到定金，設(shè)計(jì)人有權(quán)推遲設(shè)計(jì)工作的開工時(shí)間，且交付文件的時(shí)間順延。
9.1.4 The employer shall pay the down payment in accordance with stipulations of the Contract. Reception of the down payment is the mark of commencement of design work for the designer. If the down payment is not received, the designer is entitled to put off the time of commencement of design work, and postpone accordingly the time of delivery of documents.

9.1.5發(fā)包人應(yīng)按本合同規(guī)定的金額和日期向設(shè)計(jì)人支付設(shè)計(jì)費(fèi)，每逾期支付一天，應(yīng)承擔(dān)應(yīng)支付金額千分之二的逾期違約金，且設(shè)計(jì)人提交設(shè)計(jì)文件的時(shí)間順延。逾期超過30天以上時(shí)，設(shè)計(jì)人有權(quán)暫停履行下階段工作，并書面通知發(fā)包人．發(fā)包人的上級(jí)或設(shè)計(jì)審批部門對(duì)設(shè)計(jì)文件不審批或本合同項(xiàng)目停緩建，發(fā)包人均應(yīng)支付應(yīng)付的設(shè)計(jì)費(fèi)。
9.1.5 The Employer should pay charges for design to the Designer at the amount and date provided in this Contract. For each day of overdue payment, 2‰ of the overdue payment shall be paid as damages for overdue payment and the time for delivery by the Designer shall be extended accordingly. Where the delay of payment has exceeded 30 days, the Designer shall have the right to suspend the performance of the work at the next stage and give written notice to the Employer. In case the higher authority or competent department of design approval would not approve the design documents or the engineering construction of this contract is suspended or stopped, the Employer should pay the payable charges for design.

9.1.6發(fā)包人要求設(shè)計(jì)人比合同規(guī)定時(shí)間提前交付設(shè)計(jì)文件時(shí)，須征得設(shè)計(jì)人同意，不得嚴(yán)重背離合理設(shè)計(jì)周期，且發(fā)包人應(yīng)支付趕工費(fèi)。
9.1.6 The employer requests the designer should deliver the design documents ahead of the time specified by the Contract, it shall need the approval of the designer, and shall not deviate gravely from the rational design period, and the employer shall pay for the crashing charge.

9.1.7發(fā)包人應(yīng)為設(shè)計(jì)人派駐現(xiàn)場(chǎng)的工作人員提供工作、生活及交通等方面的便利條件及必要的勞動(dòng)保護(hù)裝備。
9.1.7 The Employer should offer conveniences in aspects of working, living and traffic and necessary labor-protection equipments.

9.1.8設(shè)計(jì)文件中選用的國(guó)家標(biāo)準(zhǔn)圖、部標(biāo)準(zhǔn)圖及地方標(biāo)準(zhǔn)圖由發(fā)包人負(fù)責(zé)解決。
9.1.8 The Employer shall be responsible for the national standard drawing, ministerial standard drawing and local standard drawings.

9.1.9承擔(dān)本項(xiàng)目外國(guó)專家來設(shè)計(jì)人辦公室工作的接待費(fèi)（包括傳真、電話、復(fù)印、辦公等費(fèi)用）。
9.1.9 The Employer shall bear the expenses for receiving foreign expert in charge of the engineering to the Designer's office (including expenses on fax, telephone, copy and office affairs).

9.2設(shè)計(jì)人責(zé)任9.2 Responsibilities of the Designer

9.2.1設(shè)計(jì)人應(yīng)按國(guó)家規(guī)定和合同約定的技術(shù)規(guī)范、標(biāo)準(zhǔn)進(jìn)行設(shè)計(jì)，按本合同第六條規(guī)定的內(nèi)容、時(shí)間及份數(shù)向發(fā)包人交付設(shè)計(jì)文件　（出現(xiàn)9.11、9.12、9.14、9.15、規(guī)定有關(guān)交付設(shè)計(jì)文件順延的情況除外）．并對(duì)提交的設(shè)計(jì)文件的質(zhì)量負(fù)責(zé)。
9.2.1 The designer shall perform the design in accordance with provisions of the State and the technical codes and standards stipulated in the Contract, deliver the design documents in accordance with contents, time and number of copies to the employer specified in Article 6 (exclusion of the case where the design documents shall be prolonged accordingly stipulated in Article 9.11, 9.12, 9.14 and 9.15), and be responsible for quality of the delivered design documents.

9.2.2設(shè)計(jì)合理使用年限為　　25　　年。
   9.2.2 The design life of the engineering construction shall be   25   years.

9.2.3負(fù)責(zé)對(duì)外商的設(shè)計(jì)資料進(jìn)行審查，負(fù)責(zé)該合同項(xiàng)目的設(shè)計(jì)聯(lián)絡(luò)工作。
9.2.3 Responsible for examining for design materials of foreign businessman, and responsible for design liaison of the Contract project.

9.2.4設(shè)計(jì)人對(duì)設(shè)計(jì)文件出現(xiàn)的遺漏或錯(cuò)誤負(fù)責(zé)修改或補(bǔ)充。由于設(shè)計(jì)人設(shè)計(jì)錯(cuò)誤造成工程質(zhì)量事故損失，設(shè)計(jì)人除負(fù)責(zé)采取補(bǔ)救措施外，應(yīng)免收受損失部分的設(shè)計(jì)費(fèi)，并根據(jù)損失程度向發(fā)包人支付賠償金，賠償金數(shù)額由雙方商定為實(shí)際損失的 \％。
9.2.4 The designer shall be responsible for revision or supplement to the mistakes or omission of the design documents. The designer shall be free of the design charge of loss part besides remedial measures taken for casualty loss of construction quality caused by the designer due to the wrong design, and shall pay compensation money for the employer based on degree of loss. Amount of compensation which is decided by two parties through consultation is \% of actual loss.

9.2.5由于設(shè)計(jì)人原因，延誤了設(shè)計(jì)文件交付時(shí)間，每延誤一天，應(yīng)減收該項(xiàng)目應(yīng)收設(shè)計(jì)費(fèi)的千分之二。
9.2.5 If the delivery of design documents is delayed for the Designer's reason, each day overdue will result in the reduction of 2‰ of the design charges for the project.

9.2.6合同生效后，設(shè)計(jì)人要求終止或解除合同，設(shè)計(jì)人應(yīng)雙倍返還發(fā)包人已支付的定金。
9.2.6 After the contract enters into force, the Designer may require termination or cancellation of the contract and the Designer should return the down payment in double.

9.2.7設(shè)計(jì)人交付設(shè)計(jì)文件后，按規(guī)定參加有關(guān)上級(jí)的設(shè)計(jì)審查，并根據(jù)審查結(jié)論負(fù)責(zé)不超出原定范圍的內(nèi)容做必要調(diào)整補(bǔ)充。設(shè)計(jì)人按合同規(guī)定時(shí)限交付設(shè)計(jì)文件一年內(nèi)項(xiàng)目開始施工，負(fù)責(zé)向發(fā)包人及施工單位進(jìn)行設(shè)計(jì)交底、處理有關(guān)設(shè)計(jì)問題和參加竣工驗(yàn)收。在一年內(nèi)項(xiàng)目尚未開始施工，設(shè)計(jì)人仍負(fù)責(zé)上述工作，可按所需工作量向發(fā)包人適當(dāng)收取咨詢服務(wù)費(fèi)，收費(fèi)額由雙方商定。
9.2.7 Upon delivery of the design documents, the Designer shall participate in the inspection on the design by the relevant higher authority as provide and shall be responsible for necessary adjustment and supplements to the content within the original scope of the design according to the inspection conclusion. The Designer shall start the construction within one year upon delivery of the design documents within the specified time limit and shall be responsible for the technological disclosure to the Employer and construction unit, handling with relevant matters on design and participation in the acceptance upon completion of the engineering construction. In case the engineering construction has not started within one year, the Designer shall still be responsible for the above work and may collect reasonable service charge for consultancy from the Employer according to the needed workload. The amount of the service charge shall be discussed and determined by the Parties.

第十條　　保密Article 10 Confidentiality

雙方均應(yīng)保護(hù)對(duì)方的知識(shí)產(chǎn)權(quán)，未經(jīng)對(duì)方同意，任何一方均不得對(duì)對(duì)方的資料及文件擅自修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本合同項(xiàng)目外的項(xiàng)目。如發(fā)生以上情況，泄密方承擔(dān)一切由此引起的后果并承擔(dān)賠償責(zé)任。
Both Parties shall protect each other’s intellectual property rights. Without prior consent, neither party shall revise, copy or transfer to a third party or use for the project other than the project of this Contract any materials and documents of the other party. Under such circumstances, the disclosing party shall be responsible for all the any consequence it resulted and shall bear the relevant compensation.

第十一條　　仲裁Article 11: Arbitration

本建設(shè)工程設(shè)計(jì)合同發(fā)生爭(zhēng)議，發(fā)包人與設(shè)計(jì)人應(yīng)及時(shí)協(xié)商解決。也可由當(dāng)?shù)亟ㄔO(shè)行政主管部門調(diào)解，調(diào)解不成時(shí)，雙方當(dāng)事人同意由　沈陽(yáng)　仲裁委員會(huì)仲裁。雙方當(dāng)事人未在合同中約定仲裁機(jī)構(gòu)，當(dāng)事人又未達(dá)成仲裁書面協(xié)議的，可向人民法院起訴。
If any dispute arises in connection with this Engineering Service Contract, it shall be settled by friendly consultation of the Parties, or be submitted to the competent local construction administration department for mediation. Where the dispute can not be settled by mediation, it shall be submitted to the Shenyang Arbitration Committee for settlement. Where the Parties have not agreed on the arbitration organization in the Contract nor conclude arbitration agreement in written form, the dispute will be brought to the People’s Court.

第十二條　　合同生效及其他Article 12: Contract effective and miscellaneous

12.1發(fā)包人要求設(shè)計(jì)人派專人長(zhǎng)期駐施工現(xiàn)場(chǎng)進(jìn)行配合與解決有關(guān)問題時(shí)，雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。
12.1 As per the request of the Employer for dispatch of personnel to stay on the Construction site so as to coordinate and solve relevant issues, the individual technical consultant service contract shall be signed by both parties.

12.2設(shè)計(jì)人為本合同項(xiàng)目的服務(wù)至施工安裝結(jié)束為止。
12.2 Service provided by the Designer for the Project in this Contract will be concluded until the completion of construction and installation.

12.3本工程項(xiàng)目中，設(shè)計(jì)人不得指定建筑材料、設(shè)備的生產(chǎn)廠或供貨商。發(fā)包人需要設(shè)計(jì)人配合建筑材料、設(shè)備的加工訂貨時(shí)，所需費(fèi)用由發(fā)包人承擔(dān)。
12.3 In the projects of the Contract, Designer shall not appoint manufacturers or Designers of construction materials and equipments. Where there is a necessity that Designer shall cooperate with Employer in ordering the process of construction materials and equipments, the relevant charge shall be paid by Employer.

12.4發(fā)包人委托設(shè)計(jì)人配合引進(jìn)項(xiàng)目的設(shè)計(jì)任務(wù)，從詢價(jià)、對(duì)外談判、國(guó)內(nèi)外技術(shù)考察直至建成投產(chǎn)的各個(gè)階段，應(yīng)吸收承擔(dān)有關(guān)設(shè)計(jì)任務(wù)的設(shè)計(jì)人員參加。出國(guó)費(fèi)用，除制裝費(fèi)外，其他費(fèi)用由發(fā)包人支付。
12.4 The Employer entrusted the Designer to cooperate with the engineering work of imported project and design personnel undertaking relevant design assignment shall be included in all stages from enquiry, business negotiation, domestic and overseas technical inspection until the production period. The charge for overseas business trip and other relevant charge will be paid by Employer except the charge for purchasing dress.

12.5發(fā)包人委托設(shè)計(jì)人承擔(dān)本合同內(nèi)容以外的工作服務(wù)，另行簽訂協(xié)議并支付費(fèi)用。
12.5 Additional agreement for any other service, which Employer entrusts Designer to provide, however, out of the scope of the Contract, shall be signed and the payment shall be paid correspondingly.

12.6由于不可抗力因素致使合同無法履行時(shí)，雙方應(yīng)及時(shí)協(xié)商解決。
12.6 For any failure to perform any term or condition of this Contract due to the force majeure, both parties shall, in good faith, attempt to settle amicably and by mutual agreement.

12.7本合同雙方簽字蓋章即生效。一式　貳　份，發(fā)包人　壹　份，設(shè)計(jì)人　壹　份。
12.7 The Contract is effective once after both parties stamped and signed. There are totally __two_ copies of the Contract, Employer retains __one_ copies, and Designer retains __one__ copies.

12.8本合同生效后，按規(guī)定應(yīng)到項(xiàng)目所在地省級(jí)建設(shè)行政主管部門規(guī)定的審查部門備案；雙方認(rèn)為必要時(shí)，到工商行政管理部門鑒證。雙方履行完合同規(guī)定的義務(wù)后，本合同即行終止。
12.8 Once this Contract became effective, it should be registered in the Auditing Section stipulated by Provincial Administrative Ministry of Construction where the Project locates. Where is necessity mutually agreed by both parties, the Contract shall be certified by Local Administration for Industry and Commerce. This Contract is to be concluded once after both parties fulfilled their own responsibilities.

12.9雙方認(rèn)可的來往傳真、電報(bào)、會(huì)議紀(jì)要等，均為合同的組成部分，與本合同具有同等法律效力。
12.9 Any correspondence, include faxes, telegram, meeting minutes agreed by both parties, are components of the Contract, which shall have the same validity with this Contract.

12.10未盡事宜，經(jīng)雙方協(xié)商一致，簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等效力。
12.10 As for matters not covered in this Agreement, supplementary agreement may be concluded by the Parties separately and such supplementary agreement shall have the same legal validity with this Contract.
